Invitation for Expression of Interest (EOI) 1.0 BACKGROUND: 1.1. Bangalore Airport Hotel Limited ( BAHL ), a 100% subsidiary of Bangalore International Airport Limited ( BIAL ), is entrusted with the construction of an Upper Upscale 5 Star Deluxe Hotel with 154 key and having conference facilities (the Hotel ) at a prominent site, opposite to the passenger terminal building of Kempegowda International Airport, Bengaluru (the Airport ). When finished, the Hotel will be a world-class Upper Upscale 5 Star Deluxe hotel offering services in keeping with the exceptional operational standards set by BAHL. 1.2. BAHL proposes to undertake the process of identifying and appointing a hotel developer who will be responsible for completion and management of the Hotel. The hotel developer will need to bring relevant project implementation, completion and pre-opening and development experience. Scope includes; 1) review of existing specifications and suggesting modifications required to meet Upper Upscale 5 Star Deluxe standards; 2) implement completion of civil, MEP, fit out and testing activities in accordance with specifications agreed upon; and 3) ensure smooth handover to the operating team in a time bound fashion. 1.3. The fee structure during the development and operational phases of the project shall be specified in the Request for Proposal ( RFP ) document that will be issued only to the parties which are determined as eligible pursuant to this EOI document. 1.4. The eligibility criteria and structure of the proposed arrangements are elaborated in this document. 1.5. BAHL hereby invites the interested parties ( Applicant ) to submit their expression of interest (Application) as provided in this EOI document. 2
2.0 SALIENT PROJECT DETAILS: Spread over a land area of 4.49 acres. 6 floors including a mezzanine floor. Two Basements (Lower and Upper). The Hotel has 154 keys. F&B Outlets include an All Day Dining outlet, 2 Specialty Restaurants and a Bar. The Hotel has substantial banquet and meeting facilities. Other Facilities include a swimming pool, gymnasium, spa and retail shops. Back of the house facilities are well proportioned and laid out. There is a possibility of the Hotel being expanded. 3.0 EXCLUSIVITY RIGHTS: The proposed arrangement for the subject Hotel is on a non-exclusive basis with BIAL reserving the right to allocate land for additional similar hospitality developments at a later stage as a part of its real estate development plan. It is BIAL s intention to allocate such future land in a manner that will create a mix of hospitality products that will best complement each other. 4.0 THE APPLICANT: 4.1. shall mean, who is a hotel developer with proven development capability, satisfying the eligibility criteria set forth in this EOI and is accepted by BAHL. Such Applicants are eligible to submit bids (Bids) and participate in the selection process under the RFP. Applicant for this purpose shall include all entities defined in this Section. 4.2. The Applicant should be a private or public limited company or a limited liability partnership ( LLP ) incorporated in India. 4.3. The Applicant may fulfill the Eligibility Criteria either on its own or through any of its Affiliates. For the purposes of this EOI, Affiliate with respect to the Applicant, shall mean: 3
(i) (ii) (iii) any entity which, directly or indirectly, holds minimum 26% of shares in the Applicant; or any entity in which the Applicant, directly or indirectly, holds minimum 26% of shares; or any entity which has common shareholders (directly or indirectly) as in the Applicant and to the extent of minimum 26%. 4.4. No other category of persons or entities may participate in this EOI. 5.0 ELIGIBILITY CRITERIA: The Applicant either on its own or through any of its Affiliates has to satisfy the eligibility criteria listed in Sub-Sections 5.1, 5.2, and 5.3 below. 5.1 Experience Criteria: I. The Applicant must have developed minimum of three 5 Star category hotels or higher category hotels or combination thereof within India which are operational as on March 31, 2013, with total number of rooms across all such hotels being not less than 750 as on March 31, 2013. II. Out of the hotels described in (I) above, at least one hotel must be based in each of any of the 2 major cities of India (i.e., out of Delhi, Mumbai, Chennai, Bangalore, Hyderabad & Kolkata). 5.2 Financial Criteria: I. Average audited annual turnover of the Applicant from the Hotel business for the last three financial years should be at least Rs. 250 Crores. II. Net worth of the Applicant from the hotel business for the last Audited financial year should be not less than Rs. 250 Crores. For the purposes of this EOI, Net Worth shall mean the sum of subscribed and paid up equity and reserves from which shall be deducted the sum of revaluation reserves, miscellaneous expenditure not written off and reserves not available for distribution to equity share holders. 4
Others: I. No Applicant shall directly, or through an Affiliate, participate in or be associated with more than one Application. II. No Applicant shall be an entity that has an interest (whether by way of equity or otherwise) in a commercial air carrier / commercial airline. 6.0 SUBMISSION FEE: Along with the Application, a non-refundable submission fee of INR 1,00,000/- (Rupees One Hundred Thousand) has to be paid in the form of a banker s draft drawn on a scheduled commercial bank in favour of Bangalore Airport Hotel Limited payable at Bengaluru. 7.0 TWO STAGE PROCESS The Applicant will be selected through a two stage competitive bidding process. The first stage of the process involves qualification of interested Applicants who shall make an Application in accordance with the provisions of this EOI. BAHL needs to find the most suitable hotel developer with relevant project experience and competitive commercial terms. 8.2. BAHL is conducting the selection process in a fair and non-discriminatory manner. Applicant who does not meet the eligibility criteria will be disqualified. 5
8.3. BAHL reserves the rights to accept or reject any or all EOI, without assigning any reasons and is not obliged to correspond with the applicants in this regard. Further BAHL reserves the right to change and/or cancel the prequalification and tender process and/or review / revise the prequalification criteria at any time without prior notice or without assigning any reasons whatsoever and this shall be without prejudice to its right to re-tender at any time in the future and in such case no applicant/intending applicant shall have any claim arising out of such action. This invitation for EoI does not give rise to any right in rem and is not an offer or invitation to offer. 8.4. Nothing contained in this document is intended to be a representation or promise enforceable at law against BAHL or BIAL. Without prejudice to any provision contained in this document, the Applicant unequivocally acknowledges that prior to the submission of Application, the Applicant has, after a complete and careful examination, made an independent evaluation of all the information provided by BIAL / BAHL and has determined to its satisfaction the nature and extent of such difficulties, risks and hazards as are likely to arise or may be faced by the Applicant in the course of performance. The Applicant further acknowledges and hereby accepts the risk of inadequacy, mistake or error in or relating to any of the matters set forth above and any direct, indirect and/or consequential loss or damages that may arise there from and accepts that BIAL / BAHL shall not be liable and/or responsible for the same in any manner whatsoever to the Applicant. 9.
