SHELLEY MEDIA OVERVIEW

ENTERPRISE INVESTMENT SCHEME (EIS) RISK FACTORS An investment in EIS is high risk. Some of the principal risks are outlined below. Any changes to the bases of taxation, tax reliefs, rates of tax or an investor s tax position may affect the return an investor receives. An EIS invests in small companies whose shares can be more volatile than larger established companies. Companies must continue to perform a qualifying trade to maintain their EIS status. INVESTMENT OPPORTUNITY We are delighted to present Shelley Media, providing clients with the opportunity to invest in a portfolio of companies developing and producing film and television content. Ingenious has a history of creating innovative, efficiently structured and well managed investment opportunities across our specialist sectors. Throughout that time film and television have remained at the heart of our business, with our total media fundraise currently in excess of 8 billion. Our investors will benefit from risk mitigation through diversification, investing in multiple companies engaging in the production of a broad slate of commercial projects. The financial illustration is based upon a single investment of 100,000, income tax relief applied against an investor s 2017/18 income tax liability, tax rates currently in force and a realisation of the qualifying investments in each Investee Company after four years of trade. The illustration is based upon an advised retail client investment. The value of an investment may go down as well as up and you may not get back the full amount invested. 2. Illustrated investment proceeds are net of all fees paid to the Manager and based on a four year term. 3. Average annual gross equivalent return is the return that an alternative investment would have to deliver in order for an investor paying income tax at 45% to achieve the same post tax return as that provided by the Service.

INVESTMENT STRATEGY BUSINESS MODEL We will target investment in companies developing and producing commercial film and/ or television content whose business models are driven by the ability to charge commercial production fees and have the benefit of distributor presales, applicable tax incentives and strong sales estimates provided by first class international sales agents. RISK MITIGATION Investors risk will be efficiently managed through a combination of the expert management of the Ingenious team and diversification by investing in a portfolio of companies each producing different film and/or television projects. PROVEN MARKET Demand for media content continues to rise and shows resilience to general prevailing economic conditions. This presents a significant opportunity for UK production companies. The recent enhancement of film and TV tax credits has further encouraged international rights owners to use the UK s world class expertise in these sectors.

TRACK RECORD The Shelley Media service has gone from strength to strength since its launch a little over six years ago, gaining significant traction in the market. With an aggregate fundraise to date now exceeding 350m, our investee companies production slates glitter with the names of Oscar winners and nominees, both home grown and international. In seeking to produce the best content possible, Shelley Media investee companies work with a wide variety of counterparties throughout the world in order to maximise the global value of the projects created. For example, from small national distributors and acquisition companies to global entertainment companies such as BBC Films, StudioCanal, and the US film studios. Our industry experience, combined with our unparalleled professional, financial, legal and administrative infrastructure, has ensured that investors to date have been rewarded with a consistent, average annual return in line with our investment objectives. RECENT PRODUCTIONS FELT Based on a true story about a man called Mark Felt, who under the name Deep Throat helped journalists Bob Woodward and Carl Bernstein uncover the Watergate scandal in 1974. ON CHESIL BEACH On Chesil Beach is an eagerly anticipated drama directed by Dominic Cooke, based on Ian McEwan s 2007 Booker Prize nominated novella of the same name. It stars Saoirse Ronan (Brooklyn, Hanna, The Grand Budapest Hotel). The film is currently in postproduction, with an anticipated UK release date by Lionsgate of mid-2017. THEIR FINEST Based on the novel, Their Finest Hour and a Half by Lissa Evans, the production focuses on British propaganda filmmakers during WWII. In the process, it celebrates cinema and filmmaking and, especially, women s roles within them. Directed by critically acclaimed filmmaker, Lone Scherfig (An Education, The Riot Club), the film stars Gemma Arterton (Prince of Persia: The Sands of Time), Sam Claflin (Me Before You, Love Rosie) and Bill Nighy (Hot Fuzz, The Best Exotic Marigold Hotel).

THE FINE PRINT FEES AND CHARGES Upfront fees of 3.5% of subscription for Advised Retail Clients.
