Indorama Ventures Public Company Limited Memorandum of Association

The Memorandum of Association of the Company contains the following particulars Clause 1 Clause 2 Clause 3 The name of the Company is "Indorama Ventures Chamkat (Mahachon)" which is to be called in English as "INDORAMA VENTURES PUBLIC COMPANY LIMITED" The Company wishes to make its shares available to the public. The objectives of the Company are concluded in 27 Clauses as follows: (1) To make investment in joint venture projects, investment with any individuals, groups of persons, juristic persons, government agencies or state entities, to become a partner with limited liability in limited liability partnerships, or a shareholder in private limited companies and public limited companies, or a unitholder in mutual funds, or to invest in any domestic or international business, regardless of whether such business is a limited liability partnership, private limited company, public limited company and regardless of whether such business has the same objectives as the Company. (2) To issue securities in the form of ordinary shares, preferred shares, debentures, bills and notes or any other instruments or securities in accordance with the law regarding public limited companies and the law regarding securities and exchange or any other law, for offering for sale to shareholders, the general public or any persons, at a price equivalent to, at a discount or higher than, the par value of such instruments or securities. (3) To invest or seek benefits by holding shares or to invest in securities or any other security including purchasing, selling or exchanging such shares, debentures, securities or any other security under the law regarding securities and exchange. (4) To undertake a service business of counseling, providing advice, and making recommendations on problems related to work management, commerce, industry, manufacturing, marketing, banking and distributing, engaging to be bailer for the bail of an alleged offender or accused or to take any action in accordance with the applicable laws, acting as broker and agent in all other kinds of construction and civil engineering work, overseeing, planning, administering, working as manager or executive, managing the business, managing and protecting the benefit, collecting the benefit derived from the property and right for individuals, bodies of persons, juristic persons, condominium juristic person, condominium or condominium residents, and giving advice in condominium purchase financing to condominium buyers. (5) To carry on the business of consulting, providing advice and providing service in management, and providing training in general subjects or related to the business or any type of transaction which the Company can operate, and to provide training, teaching, give advice regarding equipment to the Company s employees or its affiliated companies or a third party. (6) To carry on a service business of information technology management. (7) To carry on a service business of human resources management and personnel development and training. (8) To carry on a service business of business administration and corporate advisory including the providing of advice regarding the corporate management, preparation of corporate documents and keeping of corporate document records, purchase and procurement of office supplies and coordination with any person regarding the work of company secretary. (9) To carry on the service business in accountancy, engineering and architectural fields, as well as advertising, public relations via broadcasting on radio, television, newspapers, all kinds and all types of mass media, including engagement in making advertisement material for broadcasting on radio and television for all kinds of mass media, and to carry on the service business of auditing and translation and interpretation. (10) To carry on a service business of providing guarantees for debt, liability or performance of the contractual obligations of a third party, including the guarantee for a person who has entered or departed the country in accordance with the laws of immigration, taxation and other laws. (11) To carry on a service business of collecting, compiling, preparing, publishing and distributing all types of statistics, data and information, such as data and information concerning agriculture, industry, commerce, finance, marketing, banking, trading, etc. including analyzing and assessing business performance, as well as providing the service as a data center or call center, excluding the service of providing data on individual credit. (12) To buy, procure, receive, take on lease, take on sublease, buy on hirepurchase, lease out, sublease out, sell with right of redemption, repair, provide cleaning service, own, possess, improve, use or otherwise manage any property whatsoever, land, buildings, constructions, indoor and outdoor premises of buildings and parking areas, common property of the condominium, as well as the fruits thereof. (13) To sell, transfer, mortgage, pledge, exchange or dispose of any property by other means. (14) To be a broker, agent or commission agent in transactions and businesses of all types, except for the business of insurance, membership recruitment for associations and trading in securities. (15) To borrow money, overdraw from accounts with banks, juristic persons or other financial institutions, and to lend money or give credit by other means, with or without security; as well as to accept, issue, transfer or endorse bills of exchange or other negotiable instruments, except for the banking business, finance business and credit foncier business. (16) To establish branch offices or to appoint agents, domestically or overseas. (17) To carry on the business of receiving pledge of movable property and receiving mortgage of immovable property to guarantee the sale of goods or the employment of an employee, which is not a regular trading practice of the Company, or the credit foncier business. (18) To carry on the business of trading in plastics, or similar materials, either in raw form or processed in articles. (19) To carry on the business of import and export of the goods stipulated in the objectives for distribution. (20) To carry on the business of bidding for sale of goods and hire of work in accordance with all of the objectives, for any individuals, bodies of persons, juristic persons, government agencies and state entities. (21) To manufacture, export, import, make, purchase, sell, exchange, modify, improve, manage, develop, correct, prepare for marketing, provide and deal in business of : A. Various types of plastic chips. B. Polyester sheets, polyester fiber, polyester yarns, plastic resin, polyester resin and all other polymers sheets. C. Textiles of all kinds such as yarns, cotton silk, imitation yarns, wool fibers, knitted wool including raw and ready made materials of such products. D. Synthetics and imitation fiber, textiles and various materials. E. Chemicals including polyethylene terephthalate (PET), purified terephthalic acid (PTA), mono ethylene glycol (MEG), aromatic products, petrochemical products, all types of chemical products, all synthetic chemicals in any form as well as other chemicals and all Memorandum of Association 3

kinds of by-products of such chemicals and products, special chemicals, resin, pharmaceutical products and cosmetics of various kinds. F. Rubber, rubber products, latex and latent products and sticky substance of all kinds. G. Paper pulp, paper and paper products of all kinds. H. Plastic bottles, polyester resin packing materials, packing materials of all categories and kinds. I. Appliances of all kinds, ornaments, furniture, household furniture and miscellaneous appliances of all kinds. J. Machinery, mechanical accessories, engines, electrical equipment including tools and equipment for use in agriculture, industry and manufacture of boats, air craft, vehicles including accessories and parts. K. Insulators, glycerin, perfumes, soap, cosmetics, toilet articles, socks, panties, plastic, boots, newsprint, canvas, card board, straw cardboard, fiber board, shipboard, carbon paper, ribbon, cork, kraft paper, oil cloth, linoleum, waterproof canvas, caustic soda, resin, enamel ware, carbon oil, automobile tires, pipes, glass ware, tire rubber sheets, tires, fuel coal, fiber bricks and prisms including raw materials and processed materials. (22) To contact government authorities, municipalities or local administration, competent officials or officers, in order to obtain any right, ownership, license, right over trademarks, copyrights, patents, concessions, or any special rights necessary for the Company s business operations for the fulfillment of the Company s objectives. (23) To carry on the business of transporting and loading of freights and passengers via land, marine or air, both domestically and internationally, including the provision of custom service in order to obtain a permission to release goods from ports or airports, porting management service as well as all types of logistics service. (24) To carry on the business relating to electrical power, both domestically and internationally, including purchase, sale, exploration, development, provision, hiring, transforming, planning, creation, examination, analysis, design, installment, production, purchase arrangement, procurement, transport, maintenance, collection, reserve, bidding, contract, construction, repair, import, export and any other operation relating to the electrical power, natural sources of energy from water, wind, natural heat, Memorandum of Association 4

sunlight, minerals or fuel such as oil, coals, chemicals from coals or gas as well as other supplemental businesses. (25) To carry on the business of manufacturing, purchasing, selling, exchanging or any other activities relating to cement, or any materials used for or related to construction, industrial activities and any other product produced by using cement as part of raw materials. (26) To carry on the business relating to petroleum, including other activities relating to, incidental to, or supplemental to the business of petroleum, including exploration, research, development, procurement, refinery, distillery, transformation, compound, containment, collection, reserve, storing, importing, exporting, transporting, port, petroleum storage, purchase, sale, trading and distribution of petroleum and by-products from petroleum, petrochemicals and by-products from petrochemicals, electricity, water, steam, and products from other activities relating to, incidental to or supplemental to the petroleum business. (27) To carry on the business of trading all kinds and all types of goods and services.
