(hereinafter Lifeplus, or the Company ). These guidelines and the compensation plan set forth the criteria how an Incaricato conducts his/her activity relationship with Lifeplus, as well as with other Incaricati of Lifeplus and end-consumers. These guidelines and the plan also set out how Incaricati are compensated by Lifeplus in connection with their activity. To maintain the integrity of Lifeplus system, each Incaricato agrees to perform his/her activity within this set of guidelines. It is understood that the guidelines purpose is to uniformly perform the activity subject matter of the appointment as Incaricato alle Vendite a Domicilio and therefore does not have any impact on Incaricato s status as an independent contractor/selfemployee, according to Art. 3, para. 3, of Law no. 173/2005. By duly considering the mutual and reasonable interests of Lifeplus and its Incaricati in the performance of their activity and in the perspective of any further development of Lifeplus system, Lifeplus may decide to review and amend where necessary and/or appropriate as laws and business circumstances change these guidelines and the compensation plan herein included. The Incaricati Guidelines and Compensation Plan contains the following sections: A. The Lifeplus Business Model B. General Principles C. Ethical Guidelines D. Definitions of the Compensation Plan E. The Compensation Plan in Detail A. The Lifeplus Business Model Lifeplus acts in Italy through duly appointed door-to-door home salespersons, named Incaricati alle Vendite a Domicilio according to Art. 19 of Legislative Decree no. 114/1998, as amended, and Law no. 173/2005 ( Incaricati ), promoting, directly or indirectly, the collection of purchase orders for products from end-consumers. The Lifeplus direct selling system is structured and based on Multilevel Marketing ( MLM ) principles, according to which, in summary, each Incaricato is given the opportunity to develop their own sales teams, typically known as a downline. MLM sales and compensation structures involve multiple levels of Incaricati. In fact, in the MLM structure, in addition to the commissions arising from directly promoting the collection of purchase orders from end-consumers, Incaricati are also entitled to receive additional commissions based on the sales volume achieved by those Incaricati they have trained, assisted and motivated in developing sales volume (the sponsored Incaricati, who are part of their downline). The Lifeplus system can be summarized as follows: there is no exchange of products for money among friends ; end-consumers buy directly from Lifeplus; therefore, products are delivered directly from Lifeplus to end consumers, while retail sales often use a traditional distribution system (i.e., products are sent from the seller/manufacturer to distributors which thereafter pass them on to a wholesaler which sells them to retailers, where it is finally put on a shelf for the to purchase); end-consumers can benefit from direct selling because of the services it provides, including personal demonstration and explanation of products and home delivery; everyone who orders pays the same price; there is no requirement for the purchase of inventory by Incaricati; the opportunity to become an Incaricato is available to anyone regardless of race, sex, nationality and religious or political belief, provided that, however, certain requirements are met by the applicant Incaricato; sales skills, teamwork, serving others, and family are the core values in the Lifeplus concept. The four stable pillars of Lifeplus system are first the company (i.e., Lifeplus International). Lifeplus is a company where humanity is the standard and where the majority of its products are manufactured in-house using advanced manufacturing technologies. Second, Lifeplus products are consumable, affordable, as well as unique, synergistic, high-quality formulations. Third, Lifeplus serves the fitness and wellness market sectors, which are key markets for nutritional supplements. Fourth, is the fair and balanced compensation plan. 1

It is important for prospective Incaricati, as well as Lifeplus s (both existing and potential) to understand that the direct selling system developed and implemented by Lifeplus: 1) is not a pyramidal scheme. Thus it is not any operations game, development plan or St. Anthony s Chains which propose the possibility of earning through the mere recruitment of other persons, and in which the right to recruit is transferred to infinity upon the payment of a fee/sum; 2) is not a structure of sale, nor a buying club, in which the primary economic incentive of the members/incaricati belonging to the structure is based on the mere recruiting of new members rather than on their ability to sell or promote the sales of products. B. General principles It should be highlighted that the compensation plan ( Plan ) implemented by Lifeplus is based on the following general principles, which are applicable to the compensation as provided herein: 1) compensation is paid to Incaricati who qualify pursuant to the Plan and are in compliance with the terms and conditions set forth by their Contracts; 2) only one Incaricato PIN per household is allowed; a household is defined as a person or a group of people living in the same residence; 3) the Plan enables Incaricati to earn incomes based on the sale of products to s arising from purchase orders whose collection was directly promoted by the Incaricati, as well as by those Incaricati who are sponsored members of their Downline, which, accepted by Lifeplus, have been duly performed; 4) for the purposes of this Plan, an order has been duly performed upon delivery of the products to the and upon receipt of full payment of the sales prices by Lifeplus; 5) Incaricati will not be owed commission for any order that Lifeplus decides, at its own discretion, not to accept or execute; 6) the basis for calculation of the commissions are the assigned International Points ( IP ) to the sales price of the products charged to the consumers, net of VAT, any discounts, credit memoranda, settlements, returns of merchandise, transport, or other costs borne by Lifeplus; 7) since Incaricati are entitled to the commissions only when full payment of the sales prices is received from the s, in case of any partial or installment payments by the, or in the case of waiver or settlement, Incaricati will be entitled to receive commissions in proportion to the amounts actually received by Lifeplus; 8) an Incaricato does not receive any compensation for the mere activity of sponsoring or recruiting other Incaricati; the only way to earn commissions is through the sale of products; 9) the measures of any Incaricati s incomes depends on their personal effort, time and dedication to their activity as Incaricati of Lifeplus; 10) Lifeplus does not guarantee any level of profit, nor does it guarantee an Incaricato any specific income; 11) each product is assigned a certain IP. Qualification and compensation are calculated worldwide in IP, which in Italy, are then converted to Euro for payment; 12) Italian law prevents the paying of commission upline on Incaricati purchases and so the ordering of products by Lifeplus Incaricati for personal use is not permitted. A statement of account for each contractual month shall be sent by Lifeplus to each Incaricato, showing the basis of the calculation of the compensation owed to each Incaricato, at the latest, by the end of the following month. If an Incaricato believes that there is an error in the computation of commission and/or qualification, the error must promptly be brought to the attention of Lifeplus. All compensation will be paid to Incaricati by means of wire transfer payment. C. Ethical guidelines In performing his/her activity, each Incaricato acknowledges to abide by a Code of Ethics, including the following principles: 1) To undertake to perform his/her activity basing themselves on principles of correctness and transparency. When dealing with end-consumers, Incaricato shall not, therefore, adopt any misleading, deceptive or unfair sales practices or business, in compliance with Title III of the Code of Consumers (i.e., Legislative Decree no. 206/2005, as amended); 2) to present Lifeplus system to any prospective Incaricato in a truthful and honest manner, and make sure to present only what is approved in official Lifeplus publications and literature. In particular, it is illegal to (attempt to) persuade anyone to make a payment by promising benefits from getting others to join Lifeplus system; 3) to not mislead by claims that high earnings and/or incomes are easily achieved; 4) to identify him/herself and Lifeplus and explain to end-consumers the purposes of his/her visit. Incaricati must always show their ID Cards (so-called Tesserino di riconoscimento ) issued to him/her by Lifeplus; 2

5) before promoting the collection of any end-consumer purchase order, Incaricati shall provide to such consumer an explanation and/or a demonstration of Lifeplus products, as well as the following information: a) the identity of Lifeplus and its address; b) the main characteristics of the products; c) the price of the products, including all applicable taxes (including VAT); d) delivery costs; e) the terms of payment and delivery; f) the existence of a right of withdrawal, cancellation or substitution of any purchased products; g) the terms of the guarantee applied to the products; h) details of after-sales service and care offered by Lifeplus. 6) The information provided to end-consumers shall be provided in a clear and comprehensible manner with due regard to the principles of good faith in commercial transactions so that end-consumers may understand the nature of the offer and the obligation undertaken with an order. Special attention shall be given to the principles governing the protection of those who are unable, pursuant to national legislation, to give their consent, such as minor-aged persons, who do not hold the so-called capacità di agire ; Incaricati shall not make any verbal promises that directly or by implication may deceive s with regards to the term of the offer; 7) Incaricati shall always endeavor to give accurate and understandable answers to all questions from consumers concerning the products, as well as the sales terms, conditions, policies and procedures implemented by Lifeplus; 8) Incaricati shall refrain from using comparisons which are likely to mislead or which are incompatible with principles of fair competition. Points of comparison shall not be unfairly selected and shall be based on facts which can be substantiated and proven. Incaricati shall not unfairly denigrate any firm and/or entrepreneur and/or product either directly or by implication and shall not take unfair advantage of the goodwill attached to the trade name and symbol of another firm, enterprise, or product; 9) Incaricati shall not induce any to purchase any product based upon the representation that a consumer can reduce or recover the purchase price by referring other consumers to the sellers for similar purchases, if such reductions or recovery are contingent upon some unsure future event. D. Definitions of the Compensation Plan Customer A is a non-incaricato end-consumer who buys Lifeplus products. Direct Customer A direct is a on an Incaricato s first level, whose purchase orders were promoted by such Incaricato. Incaricato An Incaricato is a so-called door to door salesperson, acting as an independent contractor/self-employee, who without a relationship of subordination, promotes, directly or indirectly, the collection of purchase orders from s at their homes or in the premises where they are found, even temporarily, for personal reasons, or by reasons of work, study, entertainment or amusement, on behalf of Lifeplus, as defined in Art. 19 of Legislative Decree no. 114/1998 and Law no. 173/2005, as amended. Products Products which appear in the Lifeplus Italian product catalogue. No other Lifeplus products may be sold or offered for sale to s in Italy. Downline The Downline is the network built underneath an Incaricato consisting of sponsored Incaricati. Upline The Upline is the line of all the Incaricati above one Incaricato. The Upline therefore consists of the Sponsor of the Incaricato, the Sponsor of his or her Sponsor and so on. International Points Every Lifeplus product has a sales price and also a value calculated in International Points. The amount of IP is used for the calculation of compensation according to the Plan. Volume ( AV ) The Volume is the amount of IP from purchase orders collected from an Incaricato s direct s. Active Incaricato An Incaricato is considered as active in any month if he or she has 40 IP or more of AV in that month. 3

An Incaricato s commission payments are calculated on purchase orders of s of Incaricato whose collection was directly promoted by him/her or by those Incaricati who are sponsored members of his or her Downline which, accepted by Lifeplus, have been duly performed. The commission is calculated using IP according to the Plan. Only an Active Incaricato is entitled to receive commission. Dynamic Compression Dynamic compression occurs when an Incaricato does not collect enough purchase orders to fulfill his/her AV on his/her first level to qualify for a commission. In such cases, the sales volume in the downline of the inactive Incaricato moves straight upwards to the next Active Incaricato in line. There is no benefit to Lifeplus because the volume is compressed upwards to benefit the Incaricato who is actively promoting Lifeplus products. Sponsor A sponsor is any Incaricato who has in turn sponsored another Incaricato. Every Incaricato has directly a sponsor above them; only Incaricati can sponsor new Incaricati. Home Volume IP from orders placed on the Incaricato s first level by people residing at the same address as the Incaricato which will roll up to the Incaricato s own pin position for the calculation of Volume only. Volume Volume is comprised of three parts: first, the total IP amount of the orders of an Incaricato s direct s; second, the total IP amount of the orders of the direct s of the Incaricati on an Incaricato s first and second level; third, any Home Volume that rolls up to the position of an Incaricato who is on an Incaricato s third level. Threshold Volume This is a fixed amount of IP that moves straight upwards from an Incaricato s first level volume to the Incaricato s own position for the purpose of calculating commissions. The fixed amount is 40 IP for an Incaricato who is not qualified for a leadership position, 100 IP for a Bronze or Silver Incaricato and for a Gold or Diamond Incaricato. Personal Consumption Incaricati may not purchase products for personal consumption. Active Legs An Active Leg is either a Direct Customer who orders Lifeplus products with a value of at least 40IP, or an Active Incaricato. Dynamic Compression applies also to Active Legs Leadership Statuses Incaricato can achieve four different leadership statuses: Bronze, Silver, Gold and Diamond. To achieve the status Bronze, an Incaricato needs 3 Active Legs (two of which must be active Incaricati), an AV of 100 IP and 3,000 IP of GV. For the status Silver an Incaricato needs 6 Active Legs (three of which must be active Incaricati), an AV of 100 IP and 6,000 IP of GV; for the status Gold, 9 Active Legs (three of which must be active Incaricati), an AV of and 9,000 IP of GV are required; and for the status Diamond an Incaricato needs 12 Active Legs (six of which must be active Incaricati), an AV of and 15,000 IP of GV. Leadership Development Status Incaricati can achieve further Diamond status while growing; this growth is rewarded with stars. To become a 1-Star Diamond an Incaricato must have 12 Active Legs six of which must be active Incaricati), one of which must be a Diamond leg, two of which must be Bronze legs, an AV of and have GV of 15,000 IP. To achieve the status of a 2-Star Diamond, an Incaricato must have 12 Active Legs six of which must be active Incaricati), two of which must be Diamond legs, one of which must be a Bronze leg, an AV of and have GV of 20,000 IP. To qualify as a 3-Star Diamond, an Incaricato must have 12 Active Legs six of which must be active Incaricati), three of which must be Diamond legs, an AV of and have GV of 25,000 IP. Lifeplus The Lifeplus consists of Lifeplus International, Lifeplus Europe Limited and Lifeplus Italia S.r.l. E. The Compensation Plan in Detail Introduction The Plan is both fair and balanced, and importantly the more time and effort Incaricati invest in their activity, the greater their potential incomes entitlement might be. The Plan only rewards Incaricati. 4

Lifeplus pays commissions on purchase orders whose collection was promoted by Incaricati. All of these commissions are based on purchase orders which have been accepted and duly performed by Lifeplus. The Plan pays in commissions a total of 60% of the associated IP value of each product. The current Euro value of an IP is shown on the monthly commission statement or may be obtained by calling Lifeplus Italia SrL or Lifeplus Europe Ltd. 1) Referral s Referral commissions are direct referral commissions and indirect referral commissions, as defined below Example: a) Direct Referral s An Incaricato will receive a commission of 18% of the total amount of IP from purchase orders collected from direct s on his or her first level minus the Threshold Volume applicable to his or her status but adding the Threshold Volume of the Incaricati in his or her first level. In the following example, Marco has just joined Lifeplus as an Incaricato and started the promotion of Lifeplus products to s. Marco has collected 5 individual orders from s totalling 250 IP. Therefore, Marco will receive a commission of 18% of 210 IP (i.e. 250 IP minus the Threshold Volume of 40 IP). Percent Level Marco Incaricato Bonus in IP 18% Direct s on 1st Level 40 IP 40 IP 60 IP 70 IP 40 IP 18% of 210 IP (250 40) Example: b) Indirect Referral s Indirect referral commissions are commissions paid for orders of the direct s of Incaricati who are on the Incaricato s first and second levels (their s are on the Incaricato s second and third level). The commission paid on volume on the second level is 12%, and 10% is paid on volume on the third level. To receive the commission of 10% on third level volume, an Incaricato also needs to have at least three Active Legs. Continuing to use Marco as an example, one of his direct s has become an Incaricato, Sophia. According to the table below, he would earn a commission of 18% of the 210 IP of his direct s plus, as he has also sponsored Sophia, her Threshold Volume of 40 IP, but minus his Threshold Volume of 40 IP. So Marco would earn 18% of 210 IP in total on his first level. Sophia has collected two orders, one of 40 IP and one of 100 IP, from direct s and sponsored an Incaricato, Angelo. These two orders are from s on Marco s second level, which means that Marco earns a commission of 12% on 140 IP (140 less Sophia s Threshold Volume but adding Angelo s Threshold Volume). Since Sophia has sponsored Incaricato Angelo and he has collected three orders from direct s with a total of 200 IP, these three orders are from s on Marco s third level. This means that Marco is entitled to earn a commission of 10% of 160 IP (200 less Angelo s Threshold Volume), because Marco has also fulfilled the requirement of three Active Legs. Additionally, Sophia will be entitled to 18% on the orders she collects from her direct s (minus her Threshold Volume but adding the Threshold Volume of Angelo) and to 12% on the orders of Angelo s direct s (minus the Threshold Volume of Angelo). Further, Angelo will be entitled to 18% on the orders he collects from his direct s (minus his Threshold Volume). 5

Example: a) Leadership The Lifeplus Plan also compensates those Incaricati who build their own sales structures and develop a network of ongoing connections with Incaricati in their Downline. Depending on the size of the sales structures, Incaricati are compensated with different leadership commissions, which are paid according to the status achieved, and are termed Bronze, Silver, Gold and Diamond Incaricati of Lifeplus. These leadership commissions are paid in full on the depth of your sales structure until another Incaricati qualifies to receive some or all of the leadership commission. An Incaricato will always receive the full leadership commission for which they qualify, on the IP of s on their 4th level. Below the 4th level, the Plan pays out a total of 12% to the Upline. This 12% can be paid to one Incaricato or divided up and paid to multiple Upline Incaricati depending on their qualification levels. The leadership commission is 3% for Bronze, 6% for Silver, 9% for Gold and 12% for Diamond. When multiple Incaricati qualify for the leadership commission, then it is paid out to the first qualified Incaricati upline. If that Incaricati is not a Diamond, then the remainder of the leadership commission moves upline and is paid to the next Incaricati qualified at a higher leadership level, until it reaches the first qualified Diamond Incaricato, who will receive the remainder of the leadership commission. Continuing with the examples above, assume Marco has no other Incaricati in his Downline eligible to receive a portion of the leadership commission, and that he has not only maintained a Downline with three Active Legs, he has also achieved a GV of 3,000 IP. This achievement qualifies Marco for a Bronze Incaricato leadership commission. Marco is compensated with an additional commission of 3% on the sales volume of the s on the fourth level of his Downline and below. If Marco achieves 6 Active Legs and a total GV of 6,000 IP, he would be compensated with the Silver leadership commission of 6% of all the orders of s of Incaricati on his fourth level and below. Should Marco build his business further, the next achievement level would be to become a Gold Incaricato. For this he would need 9 Active Legs and a GV of 9,000 IP. Marco, as a Gold Incaricato, would be compensated with 9% of all the orders of s on his fourth level and below. 6

After becoming a Gold Incaricato, Marco has the opportunity to achieve the Diamond status. For this, he would need 12 Active Legs and a GV of 15,000 IP. The leadership commission for a Diamond amounts to 12% on all the orders collected from s on his fourth level and below. So once more for clarification: in case a Bronze Incaricato achieves the status Silver and there is no Bronze partner in the Downline, the Silver Incaricato is compensated with 6%, and if the next in line is a Diamond Incaricato and not a Gold Incaricato, the Diamond Incaricato receives 6%. This adds up to a total pay-out of 12% leadership commission. Example: b) Leadership Development The leadership development commission is an additional compensation for Incaricati to reward them for their outstanding effort in building their sales structure, while supporting and stabilizing their Downline by sponsoring other Incaricati. The leadership development commission is for those Incaricati who have reached the top end of the Plan. This means once an Incaricato has achieved the status of Diamond, there is still potential for growth. For their additional achievements, Diamond Incaricati are rewarded with stars. The number of stars achieved depends on the number of Diamond legs and Bronze legs in the Incaricato s Downline. On any given order, after the leadership commission has been paid, moving upline, the first 1-Star Diamond or higher is paid 3% of IP; then continuing to move upline, the first 2-Star Diamond or higher is paid 3% of IP; and then continuing upline until the first 3-Star Diamond or higher is found, the remaining 2% of IP is paid. A1-Star Diamond (or higher) is compensated with 3% of the total leadership development commission of 8%. A 2-Star Diamond (or higher) in the same Upline is also compensated with 3% if the 2-Star Diamond commission has not already been paid to another 2-Star Diamond further below in line. A 3-Star Diamond (or higher) is compensated, with 2% if the 6% has already been paid out to star-diamonds of lower rank in the same Downline. Only Active Incaricati are entitled to the leadership commission and leadership development commission set forth in the Plan. c) Outstanding Service Reward Pool Lifeplus also pays an additional monthly commission to Incaricati who have been particularly successful in increasing the number of direct product orders collected, and so doing have carried out a valuable activity for Lifeplus. 7

1% of the worldwide monthly sales volume developed by all companies belonging to the Lifeplus is assigned to a special commission pool called the Outstanding Service Reward Pool ( OSRP or Pool ), which rewards Active Incaricati who have carried out a valuable activity. This valuable activity is where the Incaricato increases his/her monthly total product sales volume from his/her direct s by at least three product orders over his or her highest benchmark. The benchmark is defined as the largest number of monthly product orders by direct s of an Incaricato over the past 12 months. A new Incaricato s benchmark starts at one. A qualifying product order is an order of a direct with a minimum of 40 IP. Each individual order of 40 IP or more for any given direct counts only as one order, regardless of the actual value of the order. In addition, only the first 40 IP or greater order from the same direct in any given month counts as an order for OSRP commission purposes. For such valuable activity, the Plan rewards an Incaricato with a number of units from the Pool. The value of units of the Pool has typically varied between 35 and 65 per unit. In any month, the value of a unit depends on the worldwide sales volume of the Lifeplus, how many Incaricati have qualified to receive units and how many units each Incaricato receives. An OSRP commission payout will always consist of a minimum of three units. 4) Incentives & Rewards As incentives, Lifeplus awards Incaricati with rewards if they achieve a certain status within the Lifeplus compensation structure. These rewards are based on an Incaricato s achievements and associated status, for example through achievement of a Diamond leadership status. A reward will only be awarded to an Incaricato that has a valid, signed contractual relationship with Lifeplus. Acceptance of rewards in the form of travel awards cannot be deferred or delayed. They also have no cash value and therefore no payment or credit shall be due to those who cannot or choose not to take advantage of the travel awards. Lifeplus will pay some or all the costs of these travel awards up to a reasonable value, to be determined, each time, by the Company. The law could require Lifeplus to include the market value of rewards in the Incaricato s declaration of annual income. Incaricati will be liable for all applicable taxes incurred, and in no case will Lifeplus have any liability related to taxes on these rewards. Any additional information regarding incentives & rewards will be made available, each time, by Lifeplus.
