GENERAL TERMS AND CONDITIONS AND INSTRUCTION TO BIDDERS STPI-Noida invites bids for FOR SUPPLY OF 06 nos. of LAPTOPS AT STPI NOIDA on following terms and conditions: i. The tender document can be downloaded from our website www.noida.stpi.in and CPP Portal www.eprocure.gov.in/cppp ii. Product Specifications & Compliance Statement: The bidder should quote the products strictly as per the tender specifications and only of technically reputed and globally acclaimed brands / makes. Complete technical details along with brand, specification, technical literature etc. highlighting the specifications must be supplied along with the technical bid. A Statement of Compliance shall be given against each item in the prescribed format given in Annexure A. The compliance statements should be supported by authentic documents. Each page of the bid and cuttings / corrections shall be duly signed by the authorized signatory. Failure to comply with this requirement may result in the bid being rejected. Bidder should offer the laptops for one brand only. iii. Delivery: The delivery to be done at STPI, NOIDA should be completed within 15 Days from the date of Purchase Order. iv. Materials must be properly packed against any damage and insured up to the destination. The material should directly be supplied to STPI, NOIDA. All the expenses involved in shipping the equipment to STPI, NOIDA shall be borne by the Bidder. All aspects of safe delivery shall be the exclusive responsibility of the Bidder. STPI, Noida will have the right to reject the component / equipments supplied, if it does not comply with the specifications at any point of installation / inspection. v. If the material or part thereof is lost or rendered defective during transit, the supplier shall immediately arrange for the supply of the equipment or part thereof, as the case may be, at no extra cost. vi. The rates should be quoted in Indian Rupees, for the entire work to be done at site, BOTH IN FIGURES & WORDS. All the quoted prices shall be fixed and shall not be subject to escalation of any description during the bid validity period. vii. In case of any discrepancy between rates mentioned in figures and words, the latter shall prevail. If there is a discrepancy between the unit price and the total price that is obtained by multiplying the unit price and quantity, the unit price shall prevail and the total price shall be corrected. viii. STPI, Noida reserves the right to accept / reject the offers or cancel the whole tender proceedings without assigning any reason whatsoever. Offers through Email / Fax, etc and open offers shall not be accepted. Late / Delayed offers shall not be accepted under any circumstances. Incomplete offers will be rejected. In case the specified date for the submission of offers being a holiday or declared holiday for STPI, the bid-closing deadline shall stand extended to the next working day up to the same time. ix. Disclaimer: This Tender / Request for Proposal (RFP) is not an offer by STPI, Noida, but an invitation for bidder s response. No contractual obligation whatsoever shall arise from the RFP process. x. Price Basis: Price basis should be F.O.R STPI, NOIDA. Price quoted should be in the prescribed format as per Annexure - C. Form 38 / Road Permit may be provided by STPI, if required. The quoted price will be considered firm and no price escalation will be permitted during the bid validity period. Page 3 of 11

xi. Billing is to be done in the name of Software Technology Parks of India (STPI), Ganga Software Technology Complex, Noida, UP - 201301. The payment would be on the basis of the actual bill of material supplied, duly certified by our authorized representative at STPI, Noida. xii. Award Criteria: STPI will award the Contract to the successful Bidder whose bid would be determined to be substantially responsive, technically complied and determined as the best evaluated bid in terms of lowest rates. The lowest rates (L1) will be evaluated as per the Grand Total of the Price Bid Form in Annexure-C. xiii. Payment Terms: Payment will be done within 15-20 days after satisfactory delivery and installation, along with satisfactory testing report duly signed by STPI s authorized representative at site, and submission of invoice. xiv. Penalty for Delayed Services: Penalty will be charged @ 0.5% of the contract value per day subject to maximum of 5% of total order value, in case of delay / non-completion of work within the stipulated time period. xv. Warranty: The item supplied shall carry Minimum One Year Onsite warranty commencing from the date of completion of entire job by submitting a Work Completion Report jointly signed and accepted by STPI and supplier. The service support/warranty services have to be provided at STPI, NOIDA. The repairing/rectification, if any of the items under warranty must be done at site only. The bidder should submit along with the technical bid, the detailed plan for providing installation and warranty services at site. xvi. Declaration: The bidder is required to give a certificate as below in his commercial bid. SIGNATURE OF THE BIDDER Page 4 of 11

ANNEXURE-II (A) ELIGIBILITY CRITERIA The pre-qualifications of the bidders are as under: (i) The bidder/oem should have a Service Centre in NCR preferably in Noida / Delhi from where after-sales support is to be provided. (ii) If the bidder is a distributor / dealer, they should submit an Authorization Letter from OEM (in original) stating that the bidder is the authorized distributor / dealer for this item. (iii) The bidder should attach Warranty Certificate for onsite support for Minimum One year from OEM. All certificates and documentary proof for the technical specifications given in Annexure I. (iv) The bidders should enclose copies of all necessary applicable registrations like VAT/ CST, Service Tax etc. as supporting documents. In the absence of these documents, the bid will be rejected. (v) Prequalification Criteria as per enclosed format in Annexure B. Before submission of the bid, the bidders may please verify the eligibility criteria and ensure fulfillment of all the terms and conditions. In the absence of documents / certificates under eligibility criteria above, the bid is liable to be rejected. (B) BID SUBMISSION The bid must be submitted in two parts; Part-I (Technical Bid): Supply of Laptops and Part- II (Price Bid): Supply of Laptops in separate sealed envelopes. Both the bids shall be enclosed in another sealed envelope super scribing: Tender Name : SUPPLY OF LAPTOPS AT STPI NOIDA Tender No. : STPIN/PUR/QUO/14-15/09 Dated 05/09/2014) Last Date & Time : 19/09/2014; 15:00 HRS (a) Part I (Technical Bid) shall contain: (i) Technical bid with full details including description of make & model of items for technical assessment of the proposal. The bidder must quote only for branded parts. (ii) An undertaking as mentioned under Eligibility Criteria. (iii) The onsite warranty services must be provided at STPI, NOIDA. The bidder must provide the plan / arrangement in escalation matrix, for warranty services to be provided at STPI, NOIDA. (iv) The Compliance Statement by the bidder to the technical specifications (as per Annexure A) along with relevant product brochure, technical documents etc. Bids without proper Compliance Statement will be rejected. (v) Acceptance to the terms and conditions laid down in the tender document. A copy of the bid document duly signed by the bidder s authorized representative is to be attached in token of acceptance of the same. Any deviation in the general terms and condition may lead to the rejection of the bid. Important Note: 1. Part II (Price Bid) should contains Only Price Details in the prescribed format as per Annexure-C with proper seal and signature of authorized person. Prices should be given in both figures and words. Page 6 of 11

2. Opening of Technical & Price Bid: Only the technical bids will be opened on 19/09/2014; 15:30 HR. The bidder s authorized representative may attend the technical bid opening. Price bids of short-listed / technically qualified bids would be opened on a later date & time under intimation to all successful bidders. 3. The bids complete in all respects should reach STPI at the address given below by the due date and time. The Director Software Technology Parks of India Ganga Software Technology Complex Sector-29, Noida-201303 4. Bid Validity: Bid should be valid for 90 days from the date of closing. A bid, valid for a shorter period, is liable to be rejected. STPI, Noida may ask the bidders to extend the period of validity, if required. 5. Termination By default: The STPI Noida may, without prejudice to any other remedy for breach of contract, by written notice of default sent to supplier, terminate the Contract in whole or part: If the Supplier fails to provide services /rectify the fault within the time period specified in the contract or any extension thereof granted by the STPI Noida. If the Supplier fails to perform any other obligations under the Contract. 6. Rejection of the bid a. The bidder is expected to examine all instructions, formats, terms & conditions, & scope of work in the bid document. Failure to furnish all information required as per bid document or submission of bid which is not substantially responsive to the bid document in every respect may result in rejection of bid. In respect of interpretation/clarification of this bid document and in respect of any matter relating to this bid document, the decision of STPI-Noida will be final. b. No prices are to be indicated in the Technical bid and if price is mentioned in the Technical Bid it may lead to rejection of the bid. c. Bids not submitted as per two bid system will be summarily rejected. d. The bidder will have to furnish the requisite document supporting the qualification/eligibility criteria and credential as specified in the bid document, failing which the bid is liable to be rejected. e. The discount, if any, should be merged with the quoted prices. If the bidder does not follow this stipulation, the bid is liable to be rejected. f. The bids received after specified date & time will not be considered. g. The bids received through Fax / Telex/photocopy will not be considered. 7. Blacklisting Company/Firm blacklisted by Govt./PSU/Corporate organization are not eligible to Bid. If at any stage of bidding process or during the currency of contract, such information comes to knowledge of STPI, the STPI shall have right to reject the bid or terminate the contract, as the case may be, without any compensation to the bidder. 8. Arbitration All disputes or difference whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of the purchase order/work order or the breach thereof shall be settled by reference to arbitration by the Director, STPI Noida. The award made in pursuance thereof shall be binding on both parties. The venue of arbitration shall be Noida. Page 7 of 11

9. Force Majeure If, at any time, during the continuance of the agreement, the performance in whole or in any part by either party of obligation under the agreement shall be prevented or delayed by reasons of any war, hostile acts of the enemy, civil commotion, subrogate, fire, floods, earthquakes, explosions, epidemics, strikes and quarantine restrictions by acts of God,(herein after referred to as eventualities) then provided notice of the happening of any such eventualities is given by either party to the other within two days from the date of occurrence thereon, neither party shall, by reason of such eventualities be entitled to terminate this contract agreement nor shall either party have any claim of damages against the other in respect of such non performance or delay in performance.
