The third bullet point under " Tax withholding on capital gains" given under the topic "Taxation" included in Section VII."Unitholders Rights And Services"of the offer document of Standard Chartered Classic Equity Fund on page 85 shall be replaced by the following : In respect of Short Term capital gains arising to non - resident individual unitholders, the fund has obtained an order from the Income-tax authorities under section 195(2) of the Income-tax Act, 1961 for withholding of income tax at the rate of 10 percent (plus 10% surcharge thereon plus additional surcharge of 2% by way of education cess on the tax plus surcharge.) C. The third bullet point under " Tax withholding on capital gains" given under the topic "Taxation" included in Section VII "Unitholders Rights And Services" of the offer document of Standard Chartered Premier Equity Fund on page 88 shall be replaced by the following : In respect of short term capital gains arising to non - resident individual unit holders, the fund is required to deduct tax at source at the rate of 10 percent (plus 10 per cent surcharge thereon plus additional surcharge of 2 percent by way of education cess on the tax plus surcharge.) All other terms and conditions of the offer documents remain unchanged

II) For the quarter ended March, 2006 : A) Changes in the Combined Offer Document dated October 26, 2004: i) Refer Section II - "Definitions and Abbreviations" of the Combined Offer Document dated October 26, 2004 (for GCF & GFRF ST) Page 7, "Business Day" shall be defined as under i iv) A day other than (i) Sunday or ( a day on which the Reserve Bank of India &/or Banks in Mumbai are closed for business or clearing or (i a day on which there is no RBI clearing / settlement of securities / money markets are not accessible or (iv) a day on which the Redemption of Units is suspended by the Trustee / AMC or (v) a day on which normal business could not be transacted due to storms, floods, other natural calamities, bandhs, strikes or such other events or as the AMC may specify from time to time.the AMC reserves the right to declare any day as business day or otherwise at any or all collection & / or official points of acceptance of transactions. Refer Section V "Units on Offer" of the Combined Offer Document dated October 26, 2004 Page 57, under subpoint (i How to redeem? of point 22 - Redemption of Units. The following paragraph has been inserted: Unit Holders of GCF & GFRF ST, who wish to submit a redemption request after 10 a.m on the immediately preceding Business Day prior to a Saturday which is also a Business day or before 10 a.m. on such Saturday (e.g. after 10 a.m on the Friday or before 10 a.m. on the following Saturday) and who do not wish to receive pay out of their redemption proceeds on such Saturday, have the choice of giving a special instruction to receive the redemption proceeds on the next business day after Saturday and accordingly, avail of the NAV of the day preceding the next business day after such Saturday. This can be done by providing specific instruction for the same in the manner acceptable to AMC. Under Section V "Units on Offer", in point no. 9 under the heading Systematic Investment Plan (SIP) on Page No. 50 first paragraph will be replaced with the following paragraph (effective April 15, 2006) : Unitholders of the Scheme/s applying in Plan A (Regular Plan) have the benefit of opting for SIP.SIP allows the unitholder to invest a specified sum of money each month with a minimum amount of Rs. 1000. Unitholders who wish to invest on a monthly basis can invest a minimum of Rs. 1000 and in multiples of Re. 1/- thereafter providing the registrar with at least six post dated cheques for a block of six months in advance. Unitholders who wish to invest on a quarterly basis can invest a minimum of Rs. 3000/- and in multiples of Re. 1 /- by providing the Registrar with at least four post dated cheques for a block of twelve months in advance. Page 6, "Business Day" shall be defined as under A day other than (i) Sunday or ( a day on which the Reserve Bank of India &/or Banks in Mumbai are closed for business or clearing or (i a day on which there is no RBI clearing / settlement of securities / money markets are not accessible or (iv) a day on which the Redemption of Units is suspended by the Trustee / AMC or (v) a day on which normal business could not be transacted due to storms, floods, other natural calamities, bandhs, strikes or such other events or as the AMC may specify from time to time.the AMC reserves the right to declare any day as business day or otherwise at any or all collection & / or official points of acceptance of transactions. The following paragraph has been inserted: Unit Holders of SCLM, who wish to submit a redemption request after 10 a.m on the immediately preceding Business Day prior to a Saturday which is also a Business day or before 10 a.m. on such Saturday (e.g. after 10 a.m on the Friday or before 10 a.m. on the following Saturday) and who do not wish to receive pay out of their redemption proceeds on such Saturday, have the choice of giving a special instruction to receive the redemption proceeds on the next business day after Saturday and accordingly, avail of the NAV of the day preceding the next business day after such Saturday. This can be done by providing specific instruction for the same in the manner acceptable to AMC. C) Changes in the Offer Document of Standard Chartered Classic Equity Fund dated May 16, 2005 i) Under Section I "Highlights, Risk Factors, Due Diligence & Schedule", under the heading Load Structure, immediately after the exit load details on page no. 2 and under Section VI "Loads and Recurring Expenses", under the heading Load Structure, immediately after Exit Load on page no. 56 the following paragraph shall be included (effective April 15, 2006) : It is clarified that if the fund fails to get the proceeds from two instalments out of a series of instalments submitted at the time of initiating a SIP (Subject to a minimum of six instalments), the SIP is deemed as discontinued and the stated exit load as applicable for an SIP discontinuation will be applicable. Under Section V "Units on Offer", under the heading Systematic Investment Plan (SIP) on Page No. 44 the first paragraph will be replaced with the following paragraph (effective April 15, 2006): Unitholders of the scheme can avail the benefit of opting for SIP. For a SIP the unitholder is required to invest specified sum of money each month, being minimum amounts of Rs. 1000/- respectively, i.e. Unitholders who wish to invest on a monthly basis can invest a minimum of Rs 1000 and in multiples of Re 1/- thereafter.
