KMLE-FM LHM VOLKSWAGEN PASSAT GIVEAWAY OFFICIAL RULES NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE ENTRANT S CHANCE OF WINNING. 1. HOW TO ENTER a. These rules govern the KMLE-FM LHM Volkswagen Passat Giveaway promotion (the Promotion ), which is being conducted by KMLE-FM (the Station ). The Promotion begins on June 16, 2016 and ends on July 2, 2016 (the Promotion Dates ). b. To enter the Promotion, entrant may enter by: (i) text message or online beginning on Thursday, June 16, 2016 at 6:00 am Mountain Standard Time ( MST ) and ending on Tuesday, June 28, 2016 at 11:59pm MST (the Text/Online Entry Period ); or (ii) on-site at Larry H. Miller Volkswagen beginning on Thursday, June 16, 2016 and ending on Friday, July 1, 2016 during normal business hours and on Saturday, July 2, 2016 beginning at 12:00 pm MST and ending at 1:45 pm MST (the On-Site Entry Period ) as follows: i. Listen to the Station on-air during the Text/Online Entry Period for the announcement of the Keyword ( Keyword ). Each on-air announcement of the Keyword during the Entry Period shall serve as the cue to enter ( Cue ). Upon hearing the Keyword announced on-air, entrants must enter via text or online following the instructions below no later than ten (10) minutes following each announcement of the Keyword. (For example, if the Keyword is announced at 9:05am MST, the Keyword would be valid from 9:05 am MST to 9:15 am MST.) Entrants must spell the Keyword correctly, though the Keyword will not be case sensitive. Entries without the correct Keyword will be disqualified. Keyword will be deemed correct and valid at the sole discretion of the Station. The Station will be the timekeeper for this Promotion at its sole discretion. Upon hearing the Keyword, enter by text or online as follows: (i). Text Method: Text the Keyword announced on-air to 22108 to enter the Promotion within ten (10) minutes of the Keyword being announced. Message and data rates may apply. The Station is not responsible for any fees incurred by an entrant for this method of entry. Each entry must include the Keyword. Online entrants are subject to all notices posted online including but not limited to the Station's Privacy Policy. P.O. Boxes are not permitted. Entries submitted may not be acknowledged or returned. Proof of submission of an entry shall not be deemed proof of receipt by the Promotion administrator. Limit one (1) entry per person per Keyword announcement, regardless of entry method. Multiple participants are not permitted to share the same phone number or email address. ii. Miller Volkswagen located at W, 10205 Papago Fwy, Avondale, AZ 85323 during the On-Site Entry Period to obtain an official entry form (available while supplies last), legibly hand write your first name and last name, complete address, city, state, zip code, telephone number (including area code), and date of birth on an official entry form and place the completed entry form in the dedicated collection box. P.O. Boxes are not permitted. All entries must be received by 1:45 pm MST on Saturday, July 2, 2016. Entries submitted may not be acknowledged or returned. Failure to provide all required information may result in disqualification. c. There will be up to a total of fifty (50) Qualifying Prize winners (forty (40) from the combined text/online entries and ten (10) from the combined on-site entries) and one (1) Bonus Prize winner selected in the Promotion. There may be up to a total of one (1) Grand Prize winner selected in the Promotion. d. An entrant may not be both a text/online and on-site Qualifying Prize winner. An entrant may only be a Qualifying Prize winner once regardless of entry method. e. Due to delays in the online streaming of the Station s broadcast signal, listeners to the online stream may not be able to participate in or may be disadvantaged in participating in on-air contests. Entrants are encouraged to listen to the Station on-air. The Station is not responsible for online streaming delays. 2. ELIGIBILITY RESTRICTIONS a. The Promotion is open to all persons who are legal U.S. residents 21 years of age or older and who reside in Arizona. Void where prohibited or restricted by law. Employees, officers, directors and agents of Larry H. Miller Dealerships, the Station, CBS Radio Inc., their corporate affiliates, Station s advertising and promotional agencies, participating sponsors, prize suppliers, their respective affiliates (collectively, the Promotion Entities ) and other radio stations in the Phoenix metropolitan area, the members of their immediate families (spouse, parents, siblings or children) and those living in the same household of each (whether related or not), are ineligible to enter or win. This Promotion is subject

to all applicable federal, state and local laws and regulations. By participating, entrant agrees to comply with these Official Rules and the decisions of the Station, which are final and binding in all respects. b. Only one (1) Qualifier/winner per household is permitted in this Stationconducted promotion. c. Each winner may be required to present valid government-issued photo identification and must provide winner s complete address, date of birth and phone number to claim a prize(s). The potential Grand Prize winner, if any, must hold and be required to present a valid US driver s license and qualify for automobile insurance to claim the Grand Prize. d. Entrants are required to provide truthful information and the Station will reject and delete any entry that it discovers to be false or fraudulent. The Station will disqualify any entrant who does not meet the eligibility requirements and will also delete any entry as required by law. 3. PRIZES a. Up to fifty (50) Qualifying Prizes will be awarded in this Promotion. Each Qualifying Prize is two (2) tickets (valid for the winner and one (1) guest) to Wet n Wild Phoenix located at 4243 W Pinnacle Peak Rd, Glendale, AZ 85310, valid through the end of the 2016 season. The Approximate Retail Value ( ARV ) of each Qualifying Prize is $79.98. The winner will be solely responsible for all taxes and all other fees and expenses not specified herein associated with the receipt and use of the Prize. The prize is awarded as is. Tickets valid only on the date(s) printed on the tickets. Tickets are not refundable or transferable, and may not be substituted or exchanged for cash or credit at any time, nor will tickets be replaced if lost or stolen. Tickets may not be sold to a third party. If a prize-related event is unable to take place as scheduled, for reasons such as cancellation, preemption, postponement or unavailability, including for weather, or for any reason beyond the control of the Promotion Entities, their sole responsibility to the winner will be to award the remaining available elements of the prize and no substitution or compensation will be provided for the unawarded elements of the prize. The Station and/or venue, in their sole discretion, reserve the right to deny entry to or to remove the winner and/or guest(s) if either engages in disruptive behavior or in a manner with intent to annoy, abuse, threaten or harass any other person at Wet n Wild Phoenix. b. Up to one (1) Bonus Prize will be awarded. The Bonus Prize consists of two (2) five hundred dollar ($500.00) VISA gift cards. The ARV of the Bonus Prize is $1,000.00. The gift card will be subject to the terms and conditions as set forth by the issuer of the gift card. Gift cards are not refundable or transferable, and may not be substituted or exchanged for cash or credit at any time, nor will gift cards be replaced if lost or stolen.

c. Up to one (1) Grand Prize may be awarded. In the event of a successful dice roll attempt as described below, an eligible Qualifier will be awarded the Grand Prize subject to verification and compliance with these official rules. The Grand Prize is a 2016 Passat 1.8T S. The ARV of the Grand Prize is $22,440; such figure is based on Manufacturers Suggested Retail Price ("MSRP") of vehicle. Prize's actual retail value may vary from the ARV stated herein due to the selection of options, accessories, or delivery location. The prize winner shall be solely responsible for any and all applicable taxes, including sales tax, as well as title, plate fees, registration and documentation fees, insurance (proof of which must be shown prior to taking possession of vehicle), dealer preparation fees and destination charges (if any), operating and maintenance expenses and any other fees and expenses not specified herein associated with the receipt and use of the prize. Selection of vehicle color, options and equipment will be determined by Station in its sole discretion and will be based on dealer stock/availability. Dealer incentives or rebates will not be credited or applied to any vehicle won. Winner must take possession of vehicle at a dealership designated by the Station or its designee within ten (10) days following winning or whenever winner's vehicle becomes available. Winner is solely responsible for all costs associated with any permitted or available vehicle upgrade/option package and/or accessories. If required by law, winner must have a valid U.S. driver's license and proof of insurance to take delivery. Vehicle awarded may differ from any vehicle shown in Promotion materials. The prize is provided as is. Neither the Promotion Entities nor the dealer/retailer have made or are responsible in any manner for any warranties, representations or guarantees, express or implied, in fact or law, relating to the prize, including without limitation, its quality, mechanical condition, merchantability or fitness for a particular purpose, with the exception of any standard manufacturer s warranty that may apply. d. No more than the stated number of prizes specified in these official rules will be awarded. All text/online Qualifying Prizes must be claimed at the office of the Station at the address below during regular business hours. The text/online Qualifying Prize winners will forfeit any prize or prize certificate not claimed by 12:00 pm MST on July 1, 2016. All on-site Qualifying Prizes must be claimed onsite at Larry H. Miller Volkswagen on July 2, 2016. The on-site Qualifying Prize winners will forfeit any prize or prize certificate not claimed on-site at the time of winning. Grand Prize must be claimed at Larry H. Miller Volkswagen during regular business hours. The Grand Prize winner will forfeit any Grand Prize or prize certificate(s) not claimed within ten (10) days of winning and being notified that winner's vehicle is available. In the event that a prize or prize certificate is mailed or shipped to the winner, it will be with the prior written consent of the winner and therefore, winner assumes the risk of its loss. The Station is not responsible for the safe arrival of a prize or prize certificate. e. Prize(s) is not transferable, and no substitution, assignment or cash equivalent of prize(s) is permitted, except by the Station (solely at its discretion), which reserves the right to substitute a prize or prize portion with another prize or prize portion of greater or equal value. The prize(s) are expressly limited to the item(s) listed above and unless otherwise expressly specified, do not include taxes,

gratuities or any other expenses. Promotion Entities are not responsible for winners' limitations that prevent acceptance or use of prize(s). Entrants acknowledge that the Promotion Entities have not made, and are not in any manner responsible or liable for, any warranties, representations or guarantees, and hereby disclaim any and all warranties, expressed or implied, whether by contract or law, concerning any prize, including without limitation, implied warranties of quality, merchantability, mechanical condition or fitness for a particular purpose. Other restrictions may apply. 4. POTENTIAL WINNER SELECTION AND NOTIFICATION a. Decisions of the Station management with respect to the Promotion are final. b. On Wednesday, June 29, 2016 at approximately 9:00 am MST, up to forty (40) text/online Qualifying Prize winners will be selected in a Station-conducted random drawing from the combined pool of all eligible online and text message entries received during the Text/Online Entry Period. Potential text/online Qualifying Prize winners will be notified by telephone promptly following the random drawing. The forty (40) text/online Qualifying Prize winners will be deemed Qualifiers for the Grand Prize Event described below. c. On Saturday, July 2, 2016 at approximately 1:50 pm MST, up to ten (10) on-site Qualifying Prize winners will be selected in a Station-conducted random drawing from all on-site entries received during the On-Site Entry Period. Entries collected beginning on June 16, 2016 and ending on July 1, 2016 will be combined with on-site entries collected on Saturday, July 2, 2016. Potential on-site Qualifying Prize winners will be notified of winning on-site at the time of the random drawing. Each potential on-site Qualifying Prize winner must come forward within one (1) minute of his or her name being announced on-site. In the event that any potential on-site Qualifying Prize winner does not come forward within one (1) minute, the potential on-site Qualifying Prize winner will forfeit their Qualifying Prize and the opportunity to win the Grand Prize, and an alternate on-site Qualifying Prize winner will be selected at random from the remaining on-site entries and his/her name announced, and he or she will have one (1) minute to come forward. The Station will be the sole timekeeper in this Promotion. This will continue until ten (10) on-site Qualifying Prize winners have come forward within one (1) minute of their names being announced. The ten (10) on-site Qualifying Prize winners will be deemed Qualifiers for the Grand Prize Event described below. If any of the forty (40) text/online Qualifiers did not claim their Qualifying Prize by 12:00 pm MST on July 1, 2016 or did not check-in with Station personnel on-site by 1:45 pm MST on July 2, 2016 (as described below), the Station reserves the right but not the obligation to select alternate Qualifier(s) in their place from the on-site entries. Note: if a text/online Qualifier claimed their Qualifying Prize, but did not check-in with Station personnel on-site by 1:45 pm MST on July 2, 2016,

the alternate Qualifier will not receive a Qualifying Prize but will still have the opportunity to participate in the Grand Prize Event. d. Grand Prize Event: The following applies to the Grand Prize contest attempt: i. Grand Prize Event will be on Saturday, July 2, 2016 beginning at 12:00 pm MST and ending at approximately 2:00 pm MST at Larry H. Miller Volkswagen dealership located at W, 10205 Papago Fwy, Avondale, AZ 85323. ii. iii. All text/online Qualifiers must check-in with Station personnel present at the Grand Prize Event beginning at 12:00pm MST and no later than 1:45 pm MST. If any text/online Qualifiers do not check-in with Station personnel present by 1:45pm MST on July 2, 2016, the Qualifier(s) will be disqualified and forfeit their chance to win the Bonus Prize and the opportunity to attempt to win the Grand Prize. On-site Qualifiers must remain on-site, per Station personnel s instructions, at the time of being deemed a Qualifier or they may forfeit their chance to win the Bonus Prize and the opportunity to attempt to win the Grand Prize. No proxies permitted. Each Qualifier will be permitted to participate in the Dice Roll as follows: Dice Roll Rules: The predetermined winning symbols that designate a winning side for this Promotion are: P-A-S-S-A-T. Each winning symbol may appear on a maximum of one side of one die within the entire set of dice. Each eligible Qualifier must sign the Qualifier sign-in registration form on the next available space immediately prior to their attempt. Each eligible Qualifier must roll all six (6) dice all at one time. Qualifiers will roll the dice in the order in which they checked-in with Station personnel/were randomly selected on-site at the Station event. Qualifiers may roll the dice out of their hands, or using a Station provided dice roll cup. Qualifiers are not allowed any practice or warm-up attempts. Dice may not be interfered with in any way or make contact with any person or object other than the designated rolling surface. If the dice are interfered with or make contact with any person or object other than the designated rolling surface, then that Qualifier s attempt is disqualified. Nothing may be done to the dice or rolling surface to enhance a Qualifier s chance of winning. In order to be eligible for the scheduled prize, all of the rolled dice must come to rest with the designated winning side face up on the dice roll surface according to the following requirements:

a. The outcome of the dice roll attempt must be completely random. Any attempt to alter the outcome by setting, sliding or otherwise manipulating the dice in any way will disqualify the qualifier. b. Each die must come to rest a minimum of two (2) feet away from the Qualifier. The Station will mark the distance that each die must cross during the roll attempt. c. All dice must come to rest lying completely flat on the dice roll surface. d. All dice must land on and remain on the designated rolling surface to be eligible. If any of the following results occur during an individual attempt, that entire dice roll attempt is disqualified and the Qualifier will be granted a maximum of one (1) additional re-roll attempt: a. If any die fails to come to rest at least two (2) feet away from Qualifier; b. If any die is leaning in any manner; c. If any die leaves the designated rolling surface; d. If a Qualifier drops a die and the dropped die do not meet the eligible dice roll requirements outlined above. Qualifier must re-roll all six (6) dice during any re-roll attempt. In the event of an ineligible result on a re-roll attempt, the re-roll attempt is void and that qualifier is disqualified. Qualifiers may not receive more than one (1) re-roll attempt under any circumstances. If there is a Grand Prize winning roll, the Promotion will automatically be over, regardless of how many Qualifiers did not get to participate in the dice roll. If there is a no Grand Prize winning roll by an eligible Qualifier, then the Grand Prize will not be awarded. e. Up to one (1) Bonus Prize winner will be selected after all Qualifiers have participated in the dice roll or shortly following a Grand Prize winning roll or at 2:00 pm MST, whichever occurs first, in a Station-conducted random drawing from all Qualifiers present on-site at the time of the random drawing. Potential Bonus Prize winner will be notified of winning on-site at the time of the random drawing. The potential Bonus Prize winner must come forward within one (1) minute of his or her name being announced on-site. In the event that the potential Bonus Prize winner does not come forward within one (1) minute, the potential Bonus Prize winner will forfeit their Bonus Prize, and an alternate Bonus Prize winner will be selected at random from the remaining Qualifiers present and his/her name announced, and he or she will have one (1) minute to come forward. The Station will be the sole timekeeper in this Promotion. This will continue a potential Bonus Prize winner has come forward within one (1) minute of their name being announced. f. Odds of being named a text/online Qualifier depend on the number of combined text/online entries received during the Text/Online Entry Period. Odds of being named an on-site Qualifier depend on the number of entries received during the On-Site Entry Period. Odds of a Qualifier being selected as the Bonus Prize

winner are up to 1 in 50. Odds of a Qualifier winning the Grand Prize via the Grand Prize dice roll depend in part on the order in which Qualifiers roll and then for each roll are 1 in 46,656. g. Entrants who enter by text/online must listen to the Station to win but need not be present to win a Qualifying Prize. Entrants who enter on-site need not listen to the Station but must be present to enter and win a Qualifying Prize. Qualifying Prize winners need not listen to the Station but must be present for the chance to win the Bonus Prize and the opportunity to attempt to win the Grand Prize. h. Prizes will be awarded only upon confirmation of eligibility and completion of all requisite releases. The text/online Qualifying Prize winner(s) must execute and return any required affidavit of eligibility and/or liability/publicity release by 12:00 pm MST on July 1, 2016 or prize(s) will be forfeited and no alternate text/online Qualifying Prize winner(s) will be selected. The on-site Qualifying Prize winners, Bonus Prize winner and/or Grand Prize winner must execute and return any required affidavit of eligibility and/or liability/publicity release on-site at the time of winning or prize will be forfeited and an alternate on-site Qualifying Prize winner, Bonus Prize winner and/or Grand Prize winner will not be selected. If a potential winner(s) cannot be contacted, fails to sign and return the required fully-executed affidavit of eligibility and/or liability/publicity release within the required time period, or if a prize or prize notification is returned as undeliverable, the potential winner forfeits the prize (s). 5. CONDITIONS a. Payments of all federal, state and local taxes are solely the responsibility of the winner(s). The winner(s) may be required to complete and submit an IRS Form W-9 with the winner s full Social Security Number or the equivalent for receipt of any prize(s) and will be required to complete and submit an IRS Form W-9 with the winner s full Social Security Number or the equivalent for receipt of any prize(s) valued at $600 or more or for any prizes awarded by the Station (or any other CBS Radio station in Station s market) in a calendar year with an aggregate value of $600 or more. Failure to submit a complete W-9 or equivalent will result in forfeiture of the prize(s). Such winnings of $600 or more will be reported to the IRS. b. Participation in the Promotion and/or acceptance of prize(s) constitutes entrant s and/or winner s (and guest s, if applicable) permission for the Station or its designees to interview the winner(s) (or guest(s), if applicable), to photograph, film and record each winner (or guest, if applicable), and to use in commerce and in any media, now or hereafter known, throughout the world, in perpetuity, his/her name, prize(s) won, hometown (city and state), biographic information, likeness, photograph, voice, audio or video recording and/or any statements made by him/her regarding the Station, the Promotion and/or its sponsor(s) for purposes of trade, publicity or promotion without notice or additional compensation, notification or permission, in perpetuity, except where prohibited

by law. Each winner (and guest, if applicable) agrees to sign a publicity release confirming such consent prior to acceptance of the prize, except where prohibited by law. c. Participation in the Promotion and/or acceptance of prize(s) constitutes entrant s and/or winner s (and guest s, if applicable) agreement to release, discharge, and hold harmless the Promotion Entities and their respective officers, shareholders, directors, employees, agents and representatives and all of their successors and assigns (collectively, the Released Parties ) from and against any and all claims or liability arising directly or indirectly from any prize(s) awarded and participation in the Promotion, including, but not limited to, personal injury, death or damage to or loss of property, which may occur in connection with, preparation for, travel to, or participation in the Promotion, or delivery, possession, acceptance and/or use or misuse of any prize or participation in any Promotion-related activity, including, but not limited to, any claims based on publicity rights, defamation, invasion of privacy and merchandise delivery. d. If for any reason this Promotion cannot be executed as planned, including but not limited to, as a result of infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Released Parties that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Promotion, or if the Promotion is compromised or becomes technically corrupted in any way, electronically or otherwise, the Station reserves the right to cancel, terminate, suspend and/or modify the Promotion. If the Promotion is terminated before the original end date, the Station reserves the right, in its sole discretion to, to modify the procedure for selecting winner(s), unless the nature of the event giving rise to such termination renders it impossible to select winner(s). e. The Released Parties are not responsible for (i) typographical or other errors in the printing, the offering or the administration of the Promotion or in the announcement of a prize(s); (ii) incorrect or inaccurate entry information, human error, failure or omission; (iii) unauthorized human intervention; (iv) lost, stolen, mangled, misdirected, postage due, illegible, incomplete or late entries; (v) entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties, telephone service outages, delays, busy signals, poor signals or signal interference, accidental disconnection or equipment malfunctions or any other technological problems or failures of any kind; or (vi) any cancellations, delays, diversions, substitutions or omissions whatsoever by any transportation providers or any other persons or entities providing any services to winner(s) (and guest(s), if applicable) including any results thereof such as changes in services or location necessitated by same. Further, the Released Parties are not responsible if any part of a Promotion prize cannot be awarded due to acts of God, acts of war, natural disasters, weather, acts of terrorism or other factors beyond the Released Parties control. f. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins or

any other methods may void that entrant's entries and that entrant may be disqualified. The use of any device to automate entry is prohibited. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, promotion entry services or proxies) will void all entries by that entrant at the Station's discretion. The Station s or its Promotion administrator s computer or telephone system is the official time keeping device for this Promotion. In the event of a dispute, online entries will be deemed to have been submitted by the Authorized Account Holder. The "Authorized Account Holder" is the natural person who (i) is assigned to an email address by an internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address or (ii) is assigned to the text or mobile telephone number by a telecommunications provider, or other organization that is responsible for assigning such numbers. The Station, in its sole discretion, reserves the right to disqualify any person who it believes is tampering with the entry process or the operation of the Promotion. Failure to comply with the rules of the Promotion may result in an entrant s disqualification and/or forfeiture of any prize or prizes. If the Station makes a good faith determination that an entrant has cheated or committed fraudulent activity in connection with a Promotion, the Station may disqualify that entrant from entering and/or winning this and any or all future Station-administered Promotions and seek damages to the fullest extent permitted by law. g.
