Fall for Interac e-transfer with CIBC to Win Contest OFFICIAL CONTEST RULES 1. The Fall for Interac e-transfer with CIBC to Win contest (the Contest ) is being conducted by the Canadian Imperial Bank of Commerce ( CIBC ). KEY DATES 2. The Contest begins on November 6, 2015 at 12:01 a.m. Eastern Time ( ET ) and ends on December 5, 2015 at 11:59 p.m. ET (the Contest Period). ELIGIBILITY 3. To enter and to be eligible to win, an entrant must be a legal resident of Canada, and be of the age of majority in their jurisdiction of residence at the time of entry ( Eligible Entrant ). Notwithstanding the preceding, the Contest is not open to individuals associated with the Contest, including the employees, agents and representatives of CIBC (including its divisions, subsidiaries, affiliates and agencies), its advertising agencies, promotional agencies, and prize fulfillment companies that provide materials and services related to this Contest or any other party directly linked to the holding of this Contest (the Excluded Individuals ). This Contest is also not open to the immediate family members of the Excluded Individuals. For the purpose of these Contest Rules, immediate family includes: father, mother, brothers, sisters, children, legal or common-law spouse and individuals with whom such employees, agents and representatives reside. By participating in this Contest, each Eligible Entrant is agreeing to be legally bound by the terms and conditions of these Rules. HOW TO ENTER 4. There are two (2) ways to earn an Entry or Entries (each, an Entry and collectively the Entries ) in this Contest, as follows: Send or Receive Qualifying Interac e-transfer (s). You will automatically be eligible to earn one (1) Entry when you send or receive an Interac e-transfer with your CIBC account during the Contest Period (each, a Qualifying Interac e-transfer ). For the avoidance of any doubt, you will be eligible to earn a maximum of one (1) Entry in relation to each Qualifying Interac e-transfer that you send or accept in accordance with these Rules. If you want to send or accept an Interac e-transfer during the Contest Period, but do not want to be entered in the Contest, send an email to CIBCcontests@TheMarcoCorporation.com with Fall for Interac e- Transfer with CIBC to Win Contest: DO NOT WISH TO PARTICIPATE as the subject and we will remove any entries you would have otherwise been eligible to earn in this Contest. No Purchase Necessary: To obtain one (1) Entry in the Contest without the need to send or receive a Qualifying Interac e-transfer, print your first name, last name, e-mail address and telephone number on a plain white piece of paper and mail it (in an envelope with sufficient Canadian postage) along with a unique and original sentence (the Sentence ) about Interac e-transfer to: Fall for Interac e-transfer

with CIBC to Win Contest, the Marco Corporation, P.O. Box 4099, Paris, ON N3L 4B1 (the Request ). Upon receipt of your Request in accordance with these Rules, you will receive one (1) Entry in the Contest per unique and original Sentence per envelope with sufficient Canadian postage. To be eligible, any Request you send must: (i) be received separately in an envelope bearing sufficient Canadian postage (i.e. multiple Requests in the same envelope will be void); and (ii) be post-marked during the Contest Period and received by no later than the Selection Date. PRIZE DESCRIPTION 5. There is a limit of one Prize per person. The following Prizes are available to be won: fifty (50) Prizes of one thousand Canadian dollars ($1,000) (each a Prize ). Prizes will be awarded via Interac e-transfer, which is a convenient way of electronically sending and receiving money directly from one bank account to another. 6. On December 17, 2015 (the Selection Date ) at The Marco Corporation, 470 Hardy Road, Brantford, ON N3V 6T1 at approximately 1:00 p.m. ET, fifty (50) Eligible Entrants will be selected by random draw as well as fifty (50) back-up Eligible Entrants from among all eligible Entries submitted and received in accordance with these Rules as a potential winner of a Prize of one thousand Canadian dollars ($1000) each. If any of the initial fifty (50) Eligible Entrants do not claim their Prize in accordance with section 10, then the Prize will be offered to one of the fifty (50) back-up Eligible Entrants in the order in which the back-up Eligible Entrants were drawn. 7. Prize includes delivery via Interac e-transfer or otherwise as described herein. All expenses or charges that may be incurred by a winner in relation to a Prize or their participation in the Contest shall be assumed by the winner, unless stated otherwise herein. 8. The odds of an Eligible Entrant winning a Prize will depend on the number of Eligible Entrants and the number of Entries for each Eligible Entrant during the Contest Period. HOW TO CLAIM A PRIZE 9. CIBC or its designated representative will make a minimum of three (3) attempts to contact eligible winners within fifteen (15) business days of the Selection Date. If the eligible winner cannot be contacted within five (5) business days of the first notification, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of CIBC, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and CIBC reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate Eligible Entrant from among the remaining eligible Entries submitted and received in accordance with these Rules. 10. A potential winner will need to answer a mathematical skill-testing question and sign and return a Release Form within five (5) business days of receiving the first notification referred to in Section 9. If the potential winner does not answer the skill testing question and sign and return a Release form within five (5) business days of first notification, then he/she may, in the sole and absolute discretion of CIBC, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and CIBC reserves the right to randomly select an alternate Eligible Entrant in accordance with these Rules. Within three business (3) days following receipt of his/her duly completed and signed Release Form, the prize fulfillment company will send an email notification (from Contests@TheMarcoCorporation.com) to a winner. The Prize must be redeemed

via Interac e-transfer through a winner s financial institution and is subject to any financial institution fees which may be administered. The email notification will include: links to Interac e-transfer participating financial institutions; the process for accepting a Prize via Interac e-transfer; and, the question/answer needed for the Interac e-transfer transaction to be processed. A winner must select his/her financial institution to redeem the Prize and deposit the Interac e-transfer into his/her bank account via secure online banking channels. A winner shall have a maximum of thirty (30) days to accept the Interac e- Transfer and deposit the Prize into his/her bank account, after which time the Interac e-transfer will become null and void and the Prize will be forfeited. In order to access funds quickly, one must have access to online banking, an email address, and a valid and active bank account in Canada. A winner who does not bank online with an Interac e-transfer participating financial institution will still be able to receive the Prize via Interac e-transfer in accordance with the conditions for offline Interac e-transfers as set out at http://www.interac.ca/consumers/faqs.php. An offline Interac e-transfer link will be provided in the notice by the Prize Fulfillment Company. If the winner cannot click on the link, the link can be cut and paste or typed into a browser. In this event, the winner will be required to register as an offline Interac e- Transfer customer and provide banking information in order for the Prize to be deposited into his/her bank account. The deposit usually takes 4-6 business days to process. If the winner is unable to claim the Prize via an Interac e-transfer or an offline Interac e-transfer, the Prize Fulfillment Company will courier a cheque. The Prize Fulfillment Company will require the winner s name and a delivery address. 11. In the event a winner fails to collect his/her Prize in accordance with the instructions set out in section 10, the winner will forfeit the right to collect the Prize, and CIBC reserves the right to withdraw the Prize entirely, with no further obligation to award such Prize to a new winner. GENERAL CONDITIONS 12. Verification. Any entrant who does not correctly answer the mathematical skill-testing question asked on the Release Form or otherwise does not comply with these Rules will automatically be rendered invalid and will not be entitled to be eligible for a Prize. 13. Disqualification. CIBC reserves the right to disqualify any person or cancel one or more Entries of any person participating in this Contest or trying to participate by means contrary to these Rules or in a manner which is unfair to other entrants. Any attempt to tamper with the entry process, interfere with these Rules, deliberately damage any website or undermine the administration, security or legitimate operation of the Contest, is a violation of criminal and civil laws and CIBC reserves the right to seek damages and/or other relief from all persons responsible for such acts to the fullest extent permitted by law, which may include banning or disqualifying entrants from this and future contests. Such person may be referred to the appropriate judicial authorities. 14. Non compliance/eligibility. If a potential or declared winner is not in compliance with these Rules, CIBC reserves the right to disqualify a winner, a winner will forfeit the Prize and CIBC shall be fully and completely released and discharged from any liability or responsibility in this regard, and CIBC reserves the right to withdraw the Prize entirely with no further obligation to award such Prize in any additional draws. Any potential or declared winner, who is not in compliance with these Rules, must so inform CIBC immediately upon being contacted by CIBC. 15. Acceptance of Prize. Prizes must be accepted as described in these Rules and may not be transferred to another person or substituted for another prize, subject to section 16 below.

16. Substitution of Prize. In the event it is impossible, difficult and/or more costly for CIBC to award a Prize as described in these Rules, CIBC reserves the right to award a prize of similar nature and equivalent value or, at their sole discretion, the value of the Prize in cash. 17. Refusal of a Prize. The refusal by a potential or declared winner to accept a Prize awarded in accordance with these Rules, releases and forever discharges CIBC, its divisions, subsidiaries, affiliates and agencies, its advertising and promotional agencies, and prize fulfillment companies that provide materials and services related to this Contest or any other party directly linked to the holding of this Contest, and any of their shareholders, members (if any), officers, directors, employees, agents and representatives (the Beneficiaries ) of all obligations related to the Prize, including delivery. 18. Liability limit use of Prize. Each entrant and any potential or declared winner releases the Beneficiaries from any and all damage, loss or liability suffered as a result of or arising from the entrant s participation in the Contest or the acceptance or use/misuse of his/her Prize or any portion thereof. In order to be declared a winner and prior to obtaining his/her Prize, any potential or declared winner agrees to sign a declaration to such effect in the Release Form. 19. Liability limit running of the Contest. The Beneficiaries are not liable for faulty computer components, software, or links; the loss or non-existence of communications capability; or faulty, incomplete, incomprehensible, or erased computer or network transmissions that make it difficult, or render a user unable, to enter the Contest; problems with any website or website feature howsoever caused, the malfunction of, or damage caused to, any telephone or network or lines, computer equipment, data or software, online systems, servers or access providers; or the security or privacy of information transmitted via computer networks; or for breaches of privacy due to interference by third party computer hackers. The Beneficiaries are not liable for any harm entrants may suffer directly or indirectly as a result of downloading any Web page or software or transmitting any information related to entry in the Contest. 20. Modification. CIBC reserves its right subject only to the consent of the Regie des alcools, des course et des jeux with respect to legal residents of Quebec to cancel, terminate, modify or suspend this Contest, in whole or in part, in the case of the occurrence of an event, an error or any human intervention that could corrupt or affect the administration, safety, impartiality or the running of the Contest as provided in these Rules. 21. Early termination of the Contest. In the event that participation in the Contest must be terminated in whole or in part before the closing date of the Contest as per these Rules, only the winners already selected in accordance with section 6 of these Rules as of the date of termination of the Contest will win a Prize. CIBC will have no obligation to give the remaining number of Prizes. 22. Limit of Prizes. In no event shall the Beneficiaries be obligated to award more prizes than set out in these Rules or to award prizes otherwise than in compliance with these Rules. 23. Impossibility to act. The Beneficiaries shall not be responsible for any damages for a failure to operate the Contest in accordance with these Rules in any case where their incapacity to act results from circumstances or a situation beyond their reasonable control or because of war, riot, insurrection, earthquake, terrorism, civil commotion, fire, flood, accident, storm or any other act of nature.

24. Liability limit participation. Any person who participates or tries to participate in this Contest releases the Beneficiaries from any and all liability for damages which he/she could suffer from participating or trying to participate in this Contest. 25. Authorization. By participating in this Contest, the declared winner consents to CIBC, the prize fulfillment companies and their representatives use, at their sole discretion and if desired, his/her name and place of residence without further compensation whatsoever and that, without limit as for the period of use, in any media and on a worldwide scale, for publicity purposes or for any purpose that may be considered relevant. A declaration to such effect will be included in the Release Form. 26. Communication with entrants. No communication (other than while registering) or correspondence will be exchanged with entrants in the context of this Contest, with the exception of selected entrants or declared winners. 27. Personal information. Entrant personal information that is collected in this Contest will be used solely by CIBC and the prize fulfillment companies and their representatives for the administration of the Contest and prize fulfillment, in accordance with CIBC s privacy policy available at: https://www.cibc.com/ca/legal/privacy-policy.html. There will be no communication of commercial or of any other nature, unrelated to this Contest sent to an entrant, unless such entrant gives specific authorization to the CIBC for that specific purpose. 28. Decisions of CIBC. All decisions of CIBC or those of its representatives regarding this Contest are final and binding. 29. Identification of the entrant. For the purposes of these Rules, the entrant is the CIBC client that sent or accepted the Interac e-transfer during the Contest Period or person whose name is provided in connection with the no-purchase method of entry. It is to this person that a Prize will be awarded if selected and declared a winner. 30. Unenforceability. If a section of these Rules is declared or ruled by a Court of Law as illegal, unenforceable or void, that section will be deemed void but all other sections not affected will be enforced as allowed by law. 31. For Residents of Quebec. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. 32. Jurisdiction. This Contest is subject to all applicable Canadian federal, provincial and municipal laws. 33. Language Discrepancy. In case of any discrepancy between the French and English versions of the Rules, the English version shall prevail. Interac e-transfer is a registered trade-mark of Interac Inc. Used under license.
