1. THE PROJECT GENERAL INFORMATION FOR THE BIDDERS The Integrated Child Development Services (ICDS) being operated by the Department of Women and Child Development of Government of Uttar Pradesh, (hereinafter referred to as the "Government") is an important and prestigious welfare scheme for the benefit of children in the age group of 6 months 6 years and pregnant & lactating women and Adolescent Girls. Besides other benefits, the ICDS provides food supplements in form of Micronutrient Fortified Food / Energy Dense Food to these beneficiaries. For this purpose, Energy Dense Weaning Food fortified with essential micronutrients is to be provided to the children in age group of 6 months 3 years as Take Home Ration through Anganwadi Centers as per the guidelines of Government of India. Accordingly, bids are being invited from experienced and reputed Self Help Groups (SHG), Mahila Mandal, Village Community and manufacturers of ICDS Food Supplement: Energy Dense Weaning Food fortified with essential micronutrients (hereinafter referred to as "Weaning Food") who are having the requisite infrastructure, plant & machinery and technical expertise to manufacture / process Weaning food as per the guidelines issued by the Government of India keeping in mind the various food safety and quality aspects prescribed therein. Contractors, Traders, Middlemen, Distributors, Dealers, Non trading companies, agents and any other individual and/or legal entity who are not original manufacturer or producer are strictly prohibited from bidding. 2. THE CONCEPT AND SCOPE OF WORK By this tender, the Government intends to select competent Self Help Groups (SHG), Mahila Mandal, Village Community and manufacturer(s) of Weaning Food for Zone A of the State of Uttar Pradesh. Areas comprised in Zone-A of the State of Uttar Pradesh are mentioned in Annexure-A to this Tender Document. The successful bidder shall manufacture / process Weaning Food as per the formulation and specifications prescribed hereinafter and will deliver at various ICDS Project Office Godown situated at block level of the Zone-A. The Block Level Officer(s) / Child Development Project Officers of the ICDS Department, Government of Uttar Pradesh shall ensure timely distribution of Weaning Food in various Aanganwadi Centers under his/her control. The Weaning Food shall be distributed as Take Home Ration (THR). 3.A. PRODUCT SPECIFICATION AND PROCESSING / MANUFACTURING INSTRUCTIONS (i) The Composition of Recipe-I and Recipe-II of Weaning Food are as under:- S. At the time of delivery, the product should be dry, fit for human consumption. (v) It shall have a pleasant smell and palatable taste. It shall be free from infestation and any poisonous or deleterious substances and remain so during shelf-life period. The bidder(s) shall ensure that Weaning Food will contain no contamination, which could be harmful for human beings upon ingestion. It shall be suitable as a dietary supplement for beneficiaries for serving as gruel or extender to other foods. 4

(vi) The shelf-life of Weaning Food should be not less than 90 days from the date of manufacturing and not less than 60 days from the date of delivery at Project Office under normal Weather and Storage Conditions. (vii) The variation of the final product with respect to contents of protein, calories and micronutrients shall not be less or more than 5% of the original value using standard analytical techniques which includes variations on a account of the protien and calorofic content in the food grains used, the mixing and blinding operations during the manufacturing process, analytical variations during the testing of finished product in a laboratory etc. (viii) The composition, nutritive value and shelf-life criteria of Weaning Food should conform to this tender specification. B. MANUFACTURING / PROCESSING INSTRUCTIONS (i) Weaning Food shall be manufactured using ingredients of good quality. Ingredients shall be free from foreign materials i.e. dirt, ferrous and non-ferrous extraneous matter and substances hazardous to health. Moreover, it should be free from bad odor, excessive moisture, insect damage and fungal contamination. (ii) The ingredients must be stored under dry and hygienic conditions at a properly ventilated place. The insecticides used for fumigation in storage area should not be of a hazardous nature. The quality of insecticides should be in compliance with The Food Safety and Standards Act, 2006 (FSSA) standards and all other relevant provisions. (iii) The ingredients should comply with FSSA and all relevant Food Laws and standards as applicable. (iv) During the manufacturing process of Weaning Food, the norms and systems mentioned in the Code of Hygienic Practices of Food for Infants and Children and Code of Good Manufacturing Practices (GMP) of Codex Alimentarius should be implemented. (v) The Micronutrient Fortified Food / Energy Dense Food i.e. Weaning Food shall be manufactured using Roasting / Extrusion Method. Roasting / Extrusion of Wheat & other relevant cereals and Soya bean present in the recipe shall be done at a temperature not exceeding 180 0 C and 140 0 C respectively. These Roasted / Extruded cereals should be then cooled to specified temperature in the range of 60 0 C 65 0 C, blended in appropriate proportion and finally milled into fine flour. Subsequently, this flour obtained by milling of cereals shall be homogeneously mixed with sugar and Edible vegetable Oil and eventually supplemented with premix of vitamins and minerals. (vi) The bidder should have Plant and Machinery as per the Annexure-B for the manufacture/processing of Weaning Food for the tendered quantity, to ensure "zero infection" in the food which is going to be consumed by infants and children. 5

(vii) Manufacturing process shall be according to Government of India's letter No. CFNEU/LKO/ICDS/2009-10/26/61 dated 7/8-05-2009 which is annexed as Annexure-"F" (viii) The following characteristics shall be met: (a) Flour Characteristics It shall remain uniform fine texture with the following particle distribution: 95% must pass through a 600 micron sieve 100% must pass through a 1000 micron sieve. (b) Moisture and Crude Fiber It shall contain a moisture content not exceeding 5 % and fiber content (on dry basis) not exceeding 1.5% (dehulling of soya is not required). (c) Safety It shall be free from objectionable matter. It shall not contain any substances originating from microorganisms or any other poisonous or deleterious substances like heavy metals or pesticides residues, in amount which may represent hazard to health. C. Micronutrient Fortification Weaning Food should be fortified with essential micronutrients with the addition of vitamin and mineral premix. It should provide 50% of the Recommended Dietary Allowance (RDA) for different micronutrients to 6 months to 3 years of children per day. The following basic principles shall be ensured for the fortification of micronutrients to Weaning Food: (i). It shall be compulsory to have automatic mechanical system for blending and fortification to maintain material accuracy; (ii). The essential nutrient should be present at a level which will not result in either an excessive or an insignificant intake of the added essential nutrient considering amounts from other sources in the diet; (iii). The addition of an essential nutrient to Weaning Food should not result in an adverse effect on the metabolism of any other nutrient; (iv). The essential nutrient should be sufficiently stable in Weaning Food under customary conditions of packaging, storage, distribution and use; (v). The essential nutrient should not impart undesirable characteristics to Weaning Food and should not unduly shorten the shelf-life of the Weaning Food; (vi). Technology and processing facilities should be available to permit the addition of the essential nutrient in a satisfactory manner; (vii). Methods of measuring, controlling, and/or enforcing the levels of added essential nutrients in Weaning Food should be available; (viii). The amount of the essential nutrient added should not result in excessive / lesser intakes by individuals with a high / low intake of fortified Weaning Food. 6

4. ESTIMATED QUANTITY 4.1 The estimated monthly requirement of Weaning Food in Zone A is 7800 MT approximately, which may vary with the change in the policy of the Government or requirement for distribution of the supplementary nutrition or due to other Administrative or Financial exigencies. 4.2 The Director, Bal Vikas Seva Evam Pushtahar, Uttar Pradesh (hereinafter referred to as 'Director') may increase or decrease the quantity of Weaning Food to be manufactured and delivered from time to time by serving one month prior notice. The Successful Bidder shall be bound to manufacture and deliver any such increase / decrease in quantity of Weaning Food. 5. ESTIMATED VALUE OF SUPPLY The estimated monthly value of the supply is Rs 25.00 Crore approximately. 6. DELIVERY DESTINATIONS The Successful Bidder will have to deliver Weaning Food at Child Development Project Office (CDPO) Godowns situated in various blocks in Districts of Zone A of the State of Uttar Pradesh for distribution among the beneficiaries as THR. 7. PROCUREMENT OF RAW MATERIAL FOR PREPARATION OF WEANING FOOD (i) (ii) The Successful Bidder himself shall procure all the raw materials at its own costs except the major raw materials i.e. Wheat and Rice which may be allotted by the Government subject to its availability at BPL rates at a price fixed by Government of India (Ex-FCI godown). In case of the revision in the price of the BPL - Raw material by Government of India, during the subsistence of Agreement the increase in price shall be paid by the Government to the Successful Bidder(s). Similarly if the price of BPL Raw material is decreased by the Government of India during the subsistence of agreement, the decrease in price shall be adjusted by the Government against the bills raised by the Successful Bidder. Government may allot the BPL raw materials to the Successful Bidder as per the component given in the composition of Weaning Food along with Process Losses i.e. on Wheat 12.30% and Rice 5.10% provided Government of India agrees. Bidder has to offer rates for manufacture and delivery of Weaning Food for all possible cases in the Financial Bid i.e., (a) When both or any one of the BPL raw materials are provided by the Government, (b) When none of BPL raw material is provided by the Government and (c) When both or any one of the BPL raw material are provided along with the quantity equal to process loss. (iii) The rates shall be compared with BPL raw material components (without Process Loss) and shall be finalized accordingly. 7

ELIGIBLE BIDDERS (a) (b) (c) The invitations for bids are open only to those Self Help Groups (SHG), Mahila Mandals, Village Community and manufacturers having operative manufacturing unit consisting of Plant and Machinery as mentioned in Annexure-B for the manufacture of Weaning Food within the State of Uttar Pradesh (factory license and other proofs required). The bidder must have the requisite infrastructure, technical expertise and capabilities to produce Weaning Food as per the formulation and specification mentioned in this tender document. The Bidder means an Individual, Self Help Group, Mahila Mandals, Village Community, Sole Proprietor, Partnership Firm, Private Limited Company or Public Limited Company, registered in India and should be legally competent to enter into contract as per prevailing laws. Bids of only those bidders meeting the Technical conditions as specified in this Tender document shall be considered. (d) The Bidder should furnish Earnest Money Deposit for Rs. 4,50,00,000/- (Rupees Four Crore and Fifty Lakh only) through Demand Draft of Scheduled or Nationalized Bank in favour of the Director, Bal Vikas Seva Evam Pushtahar, Uttar Pradesh payable at Lucknow to participate in the Tender. The Bank Draft should be attached with the Technical Bid. In absence of the Earnest Money Deposit, the bid will not be considered. (e) (f) (g) The Bidder should have a Turnover of manufacturing and supplying of Weaning Food in powder form against the order placed in its own name by the Department of Women and Child Development / Social Welfare Department of any State Government or UT Government under ICDS for a value not less than Rs. 25 Crores in each of the last two financial years i.e. 2010-11 and 2011-12. A certificate to this effect from respective State Government or UT Government, as the case may be, is to be attached with the Technical Bid. The Bidder should have its own quality control laboratory equipped with basic laboratory equipments for testing of Weaning Food. Further the manufacturing unit should be under hygienic conditions. The production unit of the Bidder may be inspected by the Director, Additional/ Joint Director or any other officer authorized by the Director in this behalf to assess the capacity, required manufacturing facilities, quality control laboratory, hygienic condition of the unit and any other thing related to manufacturing, processing and quality testing. The final nutritive value and the shelf life of Weaning Food should conform to this tender specification. 8

(h) (i) (j) (k) (l) The Bidder should have a minimum production capacity of 8000 MT per month for the manufacture of Weaning Food. The production capacity certificate issued by the Directorate of Industries, Uttar Pradesh or any other competent authority of the Central Government or State Government should be attached with the Technical Bid. The Technical Bid and Financial Bid should be submitted in complete form as per Annexure C and D of this tender document. Banker s / Practicing Chartered Accountant's report (on his letter head with his Membership number of the Institute of Chartered Accountants of India) regarding financial status of the Bidder and the certificate to this effect that the Bidder is financially sound and viable and is not a sick unit or a unit referred to Board for Industrial and Financial Reconstruction (BIFR) should be attached with the Technical Bid. Bids of those bidder(s) who will found to be involved in theft or in non-payment of Government dues or taxes, will be out rightly rejected and will not be considered for the opening of the Financial Bid. Bidder(s) have to submit the copy of valid ISO 22000:2005 Certification for Food Safety Management System for the manufacture of Weaning Food issued in the name of manufacturing unit. 10. SUBMISSION OF BID (a) (b) (c) (d) (e) (f) Bids only in the prescribed format annexed with this tender document will be considered. The tender documents will be issued to all interested Bidder(s) on payment of Rs. 10,000/ in cash or in the form of an account payee Bank Draft drawn in favour of the Director, Bal Vikas Seva Evam Pushtahar, Lucknow, Uttar Pradesh payable at Lucknow on all working days between 28.09.2012 to 29.10.2012 from 10:00 AM to 05:00 PM to the Drawing & Disbursing Officer (Head Quarter, Bal Vikas Seva Evam Pushtahar Nideshalay, Uttar Pradesh, Lucknow). The cost of tender document is non refundable. The Bank Draft should be issued by a Nationalized Bank or Scheduled Bank. The Bidders will have to submit "TECHNICAL BID" and FINANCIAL BID" in two separate sealed covers clearly mentioning the kind of Bid (Technical Bid or Financial Bid) on them and putting both the sealed covers in one sealed cover over which the Tender Number and Date should be written in bold letters. This cover should contain superscription TENDER FOR ENERGY DENSE WEANING FOOD ZONE - A. Last date for receiving both the Technical Bid and Financial Bid in separate sealed covers put in one single cover will be upto 2.00 P.M. on 30.10.2012 in the Office of the Director, Bal Vikas Seva Evam Pushtahar, IIIrd Floor, Indira Bhawan, Lucknow, Uttar Pradesh (hereinafter referred to as the Directorate ). 9

(g) (h) (i) The Technical Bid and Financial Bid shall be signed by the Bidder himself or by a person authorized by the Bidder and original authority letter shall be submitted along with the Technical Bid. The bidder shall submit two packets of samples of 1Kg each for both the recipes of Weaning Food along with the Analysis Report from any National Accreditation Board for Testing and Calibration Laboratories (NABL) / Government approved laboratory. Any alteration in the constitution of the Partnership Firm / Company /Self Help Group / Mahila Mandal, Village Community as duly submitted in the Technical Bid, after the submission of the Bid, without the prior written permission of the Director will result in disqualification of the Bidder or cancellation of the Agreement, as the case may be. 11. TWO BID SYSTEM The Two-Bid system shall be followed namely: (i) (ii) Technical Bid Financial Bid 12. TECHNICAL BID The Technical Bid duly filled in the prescribed format (Annexure - C) shall be submitted along with the following documents:- (a) (b) (c) (d) (e) (f) Earnest Money Deposit (EMD) in the form of a Demand Draft in favor of Director ICDS drawn on any Nationalized or Scheduled Bank in accordance with the terms and conditions of this tender document. Legal Status of the Manufacturing Unit and Bidder issued by competent authority. Bidder has to submit the Audited Financial Statements for the last two financial years i.e. 2010-2011 and 2011-2012. In case of non completion of audit for the financial year 2011-12, provisional Financial Statements certified by the Auditor should be submitted. Bidder's Income Tax Returns of last two assessment years along with a self attested copy of PAN. Certificate from a practicing Chartered Accountant (on his letter head with his Membership number of the Institute of Chartered Accountants of India) that the bidder is not a sick unit or a unit referred to Board for Industrial and Financial Reconstruction (BIFR). Certificate from a practicing Chartered Accountant (on his letter head with his Membership number of the Institute of Chartered Accountants of India) that the bidder is not involved in theft or non - payment of Government dues or taxes. 10

(g) (h) (i) (j) (k) (l) Certificate(s) from Head of the Department of the concerned State Government or UT Government regarding Annual Turnover and quantity of Weaning Food manufactured and supplied in powder form against the order placed in the name of the bidder by the Department of Women and Child Development / Social Welfare Department of any State Government or UT Government, as the case may be, under ICDS for a value not less then Rs 25 Crores in each of the last two financial year i.e. 2010-11 and 2011-12. Copy of valid license/ provisional license under The Food Safety and Standards Act, 2006. Copy of valid Factory License and consent to operate from Pollution Control Board in the name of the manufacturing unit. Machinery Performance Certificate: Bidder must furnish a list of machineries installed in his premises and a latest certificate from a Chartered Engineer registered with the Institution of Engineers (India), stating that the machineries are sufficient to meet the production requirement of Weaning Food under this tender and also stating that the machineries can effectively perform for a further period of 3 years. The certificate shall also clearly indicate the installed capacity of such machinery. Copy of the Certificate of the Directorate of Industries of the concerned State Government or any other Authority of the State Government or Central Government regarding Production Capacity in the name of the Bidder for its manufacturing unit. Copy of the Value Added Tax (VAT)/ Trade Tax Registration Certificate and No Dues Certificate from the Trade Tax Department upto the end of preceding month of date of publication of Notice Inviting Tender (NIT) for this tender Document. (m) Copy of valid ISO 22000:2005 Certification in the name of manufacturing unit of the bidder. (n) (o) Literature for both the recipes of Weaning Food to be produced or offered to be produced and distributed by the Bidder indicating their composition, calorific value, protein and vitamins and mineral content per 100 grams, process of production, mode of packing and distribution and other relevant details of the products shall be enclosed by the bidder(s) along with two bags (1Kg. each) of both the products proposed to be supplied as samples. The Director may get the quality, composition and contents of the product tested, as deemed necessary, from any NABL / Government approved laboratory. Test Reports indicating the composition of both the recipes of Weaning Food and quantity of calories, protein, vitamins and minerals per 100 gms and Shelf Life Certificates of both the recipes of Weaning Food issued by any National Accreditation Board for Testing and Calibration Laboratories (NABL) / Food and Nutrition Board or any accredited Government Laboratory. 11

(p) (i) In case of Company - Certified true copy of Memorandum and Articles of Association, Certificate of Incorporation along with name of Directors of Company. (ii) In case of Partnership Firm - Partnership Deed along with Certificate of Registration from competent authority. (iii) In case of Self Help Group/ Mahila Mandal, Village Community - relevant document of their registration with competent authority and details of members are to be furnished. (iv) In case of Individual /Proprietorship Firm - relevant document of their registration with competent authority are to be furnished. (q) (r) Practicing Chartered Accountant's report regarding sound financial status of the Bidder. A declaration on a Non Judicial Stamp Paper of Rs. 100/- is to be submitted by the Bidder to the effect that the Bidder is not blacklisted or debarred by any State Government or Central Government or Central Government Authority or State Government Authority and no Criminal Case in this regard is pending against the Bidder in any Court of Law. 13. FINANCIAL BID (i) (ii) The price in Rupees per Metric Ton for manufacture and delivery of Weaning Food for both the recipes in One Kilogram (01 Kg.) and Twenty Five Kilogram (25 Kg.) packing separately upto the ICDS Project godowns in Zone A should be clearly mentioned in words and figures as per the format for Financial Bid annexed with the Tender Document as Annexure D. The price should be inclusive of cost of raw material, processing, packing, cost of micronutrient fortification, freight, VAT, excise duty, cess, levies, other taxes and other incidental charges, etc. The details of freight should be indicated separately. Applicable VAT, excise duty, levies, cess and other taxes & charges, etc should be indicated separately in percentage (%) as prescribed in the format. Cutting or overwriting on the Financial Bid will disqualify the bidder. However, in case of any increase / decrease in the taxes, VAT, excise duty, cess, levies or any new tax is imposed by the Central Government or of Uttar Pradesh Government after the last date of submission of bids, the final price per MT shall be increased or decreased (adjusted) accordingly subject to production of notification / document relating to increase / decrease of applicable taxes. 14. OPENING OF BIDS The Technical Bid will be opened on 30.10.2012 at 3.00 P.M. in the Directorate or at any other place decided by the Director in the presence of participant Bidder or their authorized representatives who may be present at that time. The Financial Bids of only those Bidders who qualify in the Technical Bid shall be opened. 15. EVALUATION OF BIDS (a) Originals of all the documents required to be attached with the Technical Bid must be available with the Bidder / Authorized Representative at the time of opening of Technical Bid for verification, if required. 12

The Department of Women and Child Development, Government of Uttar Pradesh reserves the right to reject one or more bid without assigning any reason for the same. Bid(s) with any condition imposed by the Bidder, will be liable to be rejected. The Earnest Money Deposit of unsuccessful bidder(s) will be returned after Award of the Agreement to the Successful Bidder. Canvassing directly or indirectly in any way by any Bidder will render the Bid of such Bidder liable for rejection. The Technical Bids will be evaluated first. The Tender Committee or any Officer Authorized by the Tender Committee reserves the right to inspect the production unit of the Bidder(s), if Committee considers it necessary, before taking a decision on the Technical Bids. The Financial Bids of only those Bidders who qualify in the Technical Bid shall be opened and which shall be intimated to the technically qualified Bidders. The Lowest Bidder will be decided on the basis of comparison of the FOR destination prices with BPL raw material component inclusive of all taxes and freight offered by the Bidders. The Director reserves the right to negotiate to award the work if necessary to more than one bidder as per CVC guidelines Circular No. 4/3/07, dated 03 march, 2007 and in such case quantities depending upon remaining quantity of Weaning Food after agreeing to award the work to L-1 (Lowest Bidder), provided the bidders other than L-1 accept the rate quoted by L-1. The unallotted quantity will first be offered to L-2 and then L-3 and likewise. Explanation for the purpose of this clause:- (i) L-1 means Lowest Bidder as mentioned in item (i) of this sub-clause (15); (ii) L-2 means the bidder who has offered the rate next higher than the rate of L-1; and (iii) L-3 means the bidder who has offered the rate next higher than the rate of L-2. Negotiation may be made with L-1 also as per CVC guidelines Circular quoted above. (k) After evaluation of bids and its acceptance by the Director, the Successful Bidder(s) may be awarded the "Letter of Intent" for the manufacture and delivery of Weaning Food for Zone A at the approved price. 13

16. SECURITY DEPOSIT (a) (b) (c) (d) The "Letter of Intent" will be issued to the Successful Bidder. Successful Bidder will have to furnish Security Deposit of Rs. 7,50,00,000/- (Rupees Seven Crore and Fifty Lakh only) within 15 days from date of receipt of Letter of Intent and sign the Agreement within 21 days from the date of receipt of the Letter of Intent. The Security Deposit of Rs. 7,50,00,000/- (Rupees Seven Crore and Fifty Lakh only) is acceptable only in the form of unconditional Bank Guarantee issued by a Nationalized or Scheduled Bank in the form as prescribed in Annexure- E of this Tender Document. The Bank Guarantee should be valid for all transactions during the minimum period of 42 months (forty two months) from the date of Agreement. In case the Successful Bidder fails to furnish the Security Deposit and does not sign the Agreement within the stipulated period, then the Earnest Money Deposit of such bidder will be forfeited and "Letter of Intent" issued to him shall be cancelled. After furnishing of Security Deposit and signing of Agreement within above said stipulated time of 21 days, Earnest Money Deposit shall be refunded to the Successful Bidder. 17. PROCEDURE FOR DELIVERY OF WEANING FOOD (a) (b) (c) (d) After execution of the Agreement, the Director will issue a "Delivery Instructions (hereinafter referred as DI)" indicating monthly quantity of Weaning Food to be delivered at each ICDS project godown at the block level in Zone A. The DI for a month will be issued by the Director to the Office of the Successful Bidder by 25 th day of preceding month. On issue of the DI, the Successful Bidder shall within 10 days commence delivery of Weaning Food to the various ICDS projects in Zone A abiding by the DI. Failing to deliver the Weaning Food as per the instructions will make the Successful Bidder liable for deduction as per Clause 24 of this Tender Document. The Weaning Food shall be packed in 1kg / 25 Kg. packing as per the requirement. The Weaning Food shall be packed in 1 Kg low density polythene (LDPE) manufactured from virgin LDPE granules and shall conform to food grade and 20 such packets of 1Kg may be placed in HDPE woven bags or the Weaning Food will be packed in sealed and airtight bags of 25 Kg. net in HDPE bags with LDPE liners manufactured from virgin LDPE granules conforming to the food grade quality. The outer bags and liners should be folded together and double stitched closed after removing air. The Successful Bidder at his expense will replace any bag which is not closed properly or which bursts or get damaged during delivery. Director shall have right to get tested the quality of packing to ensure that it conforms to food grade level by taking random samples from various stages of commodity movement. All packing charges will be borne by the Successful Bidders. 14

The Successful Bidder will upload the dispatch and delivery of Weaning Food on the website of the Directorate of ICDS, indicating the movement of Weaning Food to various project godowns. The Successful Bidder shall obtain receipt in duplicate from the authorized officer / staff of the project office(s) with name, designation, date and office stamp at the time of delivery of the Weaning Food. Analysis of Weaning Food will have to be done by the Successful Bidder at every dispatch. If it is found, in the course of analysis that the Weaning Food does not conform to the specifications mentioned in Clause - 3 of this Tender document then the same shall not be dispatched to the ICDS project godowns. 18. SUBMISSION OF BILL AND MODE OF PAYMENT (a) (b) The Successful Bidder will submit bills for the Weaning Food manufactured and delivered in a particular month alongwith test report. The bills should be attached with receipts signed by the Authorized Officer or staff of the ICDS project office(s). After scrutiny of the bills and on getting the confirmation from the ICDS projects the Director will make payment to the Successful Bidder as soon as possible preferably within one month. 15

(c) All payments will be made through Account Payee Cheque / Treasury Cheque / Bank Drafts or as per the new arrangement of chequeless transfer. (d) (e) Tax at source, if applicable, will be deducted from the bills at the prevailing rate and a certificate will be issued. The payments will be made as early as possible, preferably within a month after submission of bill by the Successful Bidder. 19. VARIATION IN QUANTITY AND THE DELIVERY SCHEDULE Variation in estimated quantity or modification in the DI will not vitiate the Agreement. It is made clear that the Director is at liberty to vary the quantity of Weaning Food to be manufactured & delivered as per the requirement and accordingly the Director may change the quantity of Weaning Food in DI. 20. AGREEMENT VALIDITY PERIOD The Agreement will remain in force for a period of three years from the date of execution of the Agreement. 21. VARIATION IN PRICE OF RAW MATERIAL Any variation in price of raw material or price index will not affect the price quoted by the Successful Bidder and shall not vitiate the Agreement and he will be bound to continue to manufacture and deliver the Weaning Food on the price indicated in the Agreement for the entire duration of the Agreement in Zone A. 22. SUBLETTING Subletting of the work is totally prohibited. 23. INSPECTIONS (a) (b) (c) The Director, Additional/ Joint Director or any officer authorized by the Director may inspect the manufacturing unit of the Successful Bidder(s) and get the Weaning Food sample analyzed and tested in any National Accreditation Board for Testing and Calibration Laboratories (NABL) / Government approved laboratory as and when required. Under weighing, deficiency in quality or non-conformation of the approved specifications of the Weaning Food, if detected, will be seriously dealt with in accordance with the law of the land which includes rejection at the cost of Successful Bidder. In addition to above, suitable deductions upto 2 percent of the amount of the Bill of the particular batch may be made from the bills after giving an opportunity of being heard. The Director, Additional/ Joint Director or any officer authorized by the Director shall have the right to inspect and draw samples at any place right from the place of manufacture, to the place where it is being distributed to the beneficiaries. 16

(d) Food and Nutrition Board (FNB) in collaboration with Government will carry out periodic checks of Weaning Food manufactured and supplied by the successful bidder to ascertain whether: (i) (ii) (iii) Prescribed Standards are adhered; Quality and Nutritive Value is maintained; The norms as per Recommended Dietary Allowance (RDA) are maintained. 24. DELAYED DELIVERY / SHORT DELIVERY The Successful bidder will have to abide by the DI issued by the Director. However, if at any time during the performance of the Agreement, the Successful Bidder encounters Force Majeure impeding timely manufacture and delivery of Weaning Food and performance of his services, the Successful Bidders shall promptly inform the Director in writing of the facts of the delay, it s likely duration and its cause(s). After receipt of the Successful Bidders information, the Director shall evaluate the situation and may, at its discretion, extend the time for delivery equal to the period of Force Majeure. In case of delay in delivery of Weaning Food as per the DI, unless an extension of time is agreed upon by the Director as explained above, a deduction @ 0.5% of the cost of quantity involved in delayed delivery will be made per week and the amount of deduction will be recovered from the bills of the Successful Bidder. If above period of delay is in fraction of week, delay is less than four days, it may be ignored but if it is four days or more, it will be treated as week, for the purpose of calculation of amount to be deducted. In case of non-delivery / partial delivery the deduction may be made up to 2% of the cost of Weaning Food not delivered in addition to non-payment of undelivered quantity from the other pending bills of the Successful Bidder. 25. SETTLEMENT OF DISPUTES All disputes arising out of these presents or the Agreement will be settled by the mutual discussions failing which it shall be decided by a Sole Arbitrator. The Sole Arbitrator shall be appointed by mutual consent of the parties, failing such consensus, Principal Secretary, Law, Government of Uttar Pradesh shall be Sole Arbitrator. The decision of Sole Arbitrator shall be final and binding upon both parties. The expenses incurred by each party in this connection with the preparation, presentation, etc. of arbitration proceeding shall be borne by each party itself. Notwithstanding any reference to arbitration herein: The parties shall continue to perform their respective obligations under the Agreement unless they otherwise agree. Legal jurisdiction of any legal dispute will be at Courts of Law at Lucknow, Uttar Pradesh only. 26. TERMINATION OF AGREEMENT In case of deficiency in quality or undue delay in deliveries of Weaning Food or unsatisfactory performance of the Successful Bidder(s) or breach of any terms and conditions mentioned in this Tender Documents or Agreement to be executed in 17

pursuance of this Tender Document, the Government may rescind the Agreement and recover the damages upto ten percent of the value of Agreement as arrears of land revenue in addition to the forfeiture of Security Deposit. Such action shall be taken after affording due opportunity of hearing to the Successful Bidder. 27. ABANDONMENT OF AGREEMENT Without prejudice to right contained in Clause - 26 above the Government reserves the right to abandon the Agreement without assigning any reason. The Government may abandon the Agreement after giving one month prior notice to the Successful Bidder. In such case, Successful Bidder shall not be entitled to get any compensation. 28. FORCE MAJEURE The Successful Bidder shall not be liable for any excess costs or penalty for failure to perform, if the failure to perform the Agreement arises out of causes beyond the control and without the fault or negligence of the Successful Bidder. Such causes may include fire, flood, earthquake or any other natural disaster, blockage of roads, labour dispute / strike, lockout, embargo, failure of law and order and unusually severe weather. The Director will decide such cases on merit and his decision will be final. 18

(g) Certificate of Value Added Tax (VAT), Registration from Trade Tax / Commercial Tax Department of the bidder.
