I. INTRODUCTION The Ernest N. Morial New Orleans Exhibition Hall Authority ( THE AUTHORITY ) is a political subdivision of the State of Louisiana. New Orleans Public Facility Management, Inc. ( NOPFMI ) is a quasi-public body that is charged with the responsibility of managing the Ernest N. Morial Convention Center-New Orleans ( ENMCCNO ) on a day-to-day basis. NOPFMI and the AUTHORITY are referred to herein collectively as OWNER. As such, the OWNER is performing its due diligence in requesting proposals for this project and is not subject to or regulated by the Louisiana Procurement Code, LSA-R.S 39: 1551 et seq. The OWNER is also not governed by LSA:R.S. 39:1481 et seq. or the corresponding rules and regulations; thus the New Orleans Ernest N. Morial Convention Center may reject any and all responses after receipt or withdraw this request for proposal at any time prior to or after receipt of responses. Should no responses be received, the New Orleans Ernest N. Morial Convention will negotiate a private contract. The OWNER is seeking a Request for Proposal ( RFP ) for Insurance Brokerage and Consultation Services as described in this document and related exhibits. Response to this RFP does not guarantee a contract. Response to this RFP shall not exceed ten (10) pages in length and must be numbered consecutively. Resumes and licenses shall not count against this page limit. The response shall be organized in accordance with the RFP documents. Response shall be succinct as possible while completely providing all requested information. Responses will become part of the contract. CONTRACT RELATIONSHIP The Contract shall be between The Ernest N. Morial New Orleans Exhibition Hall Authority ( THE AUTHORITY ) a political subdivision of the State of Louisiana; New Orleans Public Facility Management, Inc. ( NOPFMI ) a quasi-public body that is charged with the responsibility of managing the Ernest N. Morial Convention Center-New Orleans ( ENMCCNO ) on a day-to-day basis; and the CONSULTANT/BROKER. NOPFMI and THE AUTHORITY are referred to herein collectively as OWNER. The CONSULTANT/BROKER shall be herein known as the CONSULTANT/BROKER. The OWNER and CONSULTANT/BROKER may be referred to collectively as the PARTIES. SCOPE OF WORK The OWNER seeks a CONSULTANT/BROKER that will provide Insurance Brokerage Consultation Services. See Exhibit No. 1 for details. QUALIFICATIONS, CONTENT AND SUBMISSION OF RESPONSES See Exhibit No. 2 for details. V. EVALUATION CRITERIA The OWNER anticipates selecting a CONSULTANT/BROKER based upon the written responses submitted; however, OWNER reserves the right to interview respondents if needed. Responses will be judged based on the proposer s ability to meet the requirements as set forth in these documents. VI. VII. CONTRACT TERM If awarded, the contract resulting from the Request for Proposal ( RFP ) shall be effective on the date signed by both parties and will be in effect for, a one (1) year base and three (3 ) one year renewal options based on mutual agreement by both parties. All services shall be provided as requested by OWNER on an as-needed basis. INSURANCE The CONSULTANT/BROKER shall furnish and maintain such insurance, as will protect CONSULTANT/BROKER, NOPFMI, the AUTHORITY and the City of New Orleans from any claims, suits, demands, or actions in which in any way relate to the CONSULTANT/BROKER S performance of the services described in this agreement. All insurance policies shall be provided by carriers (1) authorized to issue policies in Louisiana and (2) rated A VII or higher by A.M. Best. Each insurance carrier for each coverage required by this Agreement shall waive its rights of subrogation against NOPFMI, the AUTHORITY, and the City of New Orleans. All coverage other than Worker s Compensation shall include NOPFMI, the AUTHORITY and the City of New Orleans as additional insured for both on-going and completed operations on each line of coverage. If the request for Page 3

evidence of additional insured status for both on-going and completed operations coverage requires two separate additional insured endorsements, then both endorsements shall be confirmed on the evidence of insurance. Notice of cancellations shall be provided to the OWNER in accordance with the policy language. CONSULTANT/BROKER shall furnish the OWNER with certificate(s) of insurance that provide evidence of coverage with the minimum limits or greater as indicated in Exhibit No. 3 and are maintained by the CONSULTANT/BROKER during the term of this Agreement. Failure to maintain coverage as requested could result in termination of the contract. The CONSULTANT/BROKER will maintain: (1) Comprehensive General Liability or Commercial General Liability Insurance with broad form comprehensive general liability endorsement including coverage for: premises and operations, independent agencies, products/completed operations, personal injury (with employee and contractual exclusions deleted), broad form contractual coverage and broad form property damage; (2) Workers Compensation and Employer s Liability Insurance, which shall cover CONSULTANT/BROKER and its employees for injuries and/or diseases arising under all applicable Workers Compensation laws; statutory limits in accordance with the Louisiana Workers Compensation Act; and (3) Professional Liability insurance to account for negligence or malpractice, in which is not covered by the aforementioned comprehensive General Liability or Commercial General Liability insurance. The Professional Liability insurance shall be maintained for the contract s entire prescriptive period. VIII. INDEMNIFICATION The CONSULTANT/BROKER shall provide contractual liability insurance which will, to the fullest extent permitted by law, indemnify, defend and hold harmless the OWNER and their agents and employees from and against all claims, damages, losses and expenses, including but not limited to attorneys' fees, arising out of or resulting from the performance of the Work, provided that any such claim, damage, loss or expense (1) is attributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property (other than the Work itself) including the loss of use resulting therefrom, and (2) is caused in whole or in part by any negligent act or omission of the CONSULTANT/BROKER, any Subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them be liable, regardless of whether or not it is caused in part by a party indemnified hereunder. Such obligation shall not be construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity, which would otherwise exist. This indemnity agreement shall also specifically apply to all claims, damages, losses and expenses, including but not limited to attorneys' fees, arising out of or resulting from the use of any machinery, equipment, tools or other paraphernalia furnished by the OWNER for use by the CONSULTANT/BROKER, any Subcontractor, or any one directly or indirectly employed by any of them or anyone whose acts any of them may be liable, regardless of whether or not it is caused in part by a party indemnified hereunder. Notwithstanding the forgoing, it is agreed that CONSULTANT/BROKER S indemnification hereunder, shall not apply to the extent that such damage or resulting loss is attributed to the fault or neglect of the OWNER. In any and all claims against the OWNER or any of their agents or employees by any employee of the CONSULTANT/BROKER, any Subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, this indemnification Page 4

obligation shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for the CONSULTANT/BROKER or any Subcontractor under workers' or workmen's compensation acts, disability benefit acts or other employee benefit acts. The obligations of the CONSULTANT/BROKER under this Paragraph shall not extend to the liability of the OWNER, their agents or employees, arising out of (1) the preparation or approval of reports, opinions, change orders or specifications, or (2) the giving of or the failure to give directions or instructions by his agents or employees provided such giving or failure to give is the primary cause of the injury damage. IX. FEES AND INVOICING The OWNER requires a fixed rate structure for services provided and disclosure of any commissions received. See Exhibit No.4 for details. Invoices for services and expenses shall be submitted for payment and must include back-up documentation such as timesheets, spreadsheets, receipts, etc. to support the invoice amount. To expedite payment approval, invoices may be submitted electronically to the accounts payable department at (accounts_payable@mccno.com). The OWNER shall make payments of approved invoice sums to the CONSULTANT/BROKER within thirty (30) calendar days after receipt of an invoice. X. EXPENSES Expenses shall be billed at reasonable and actual cost and shall be supported by documentation in the form of detailed receipts and/or invoices. Travel and transportation expenses include, but are not limited to; tolls, parking, airfare, hotel accommodations and meals at reasonable and customary rates. Guidelines for reasonable expenses include: (i) coach air fare, (ii) mid-size car rentals, (iii) lodging at reasonable business hotel, and (iv) meals at actual and reasonable cost. (No alcohol). Mileage will be reimbursed at the current IRS rate. The OWNER must pre-approve all travel expenses. XI. XII. XIII. CONTRACT MODIFICATION Any and all changes to the scope of services for this contract must be detailed in writing and mutually agreed upon and shall be accomplished by a Change Order. TERMINATION The contract may be terminated by the OWNER upon thirty (30) days written notice at any time throughout the contract term.
