Aspire Galderma Rewards Healthcare Professional Loyalty Program Terms and Conditions Program Rules and Eligibility The Aspire Galderma Rewards Healthcare Professional Loyalty Program (the Program ), owned and operated by Galderma Laboratories, Inc. ( Galderma, we, us or our ) is available and provided to you ( account, you or user ) under the terms and conditions set forth herein, including any amendments thereto and with any additional terms and conditions, rules or policies that may be applicable to particular offerings made in connection with the Program (collectively, the Terms and Conditions ) and all applicable laws and regulations. The Program applies to eligible purchases of and -L (collectively, the legacy products ), Silk, Lyft, Refyne, Defyne, Dysport (abobotulinumtoxina) 300 Units for Injection and Sculptra Aesthetic (collectively, the Products ). Eligibility for the Program is determined by Product purchases, less any returns ( net purchases or net units ). Timing and amount of purchase credit is determined by date of shipment. Only Products purchased from Galderma through its authorized distributor(s) will count toward the Program, including Program discounts and rebates. Your failure to follow the Program's rules, whether listed below or in supplemental notices posted at various in the Program, may result in termination of your access and participation in the Program and all you have accrued in the Program, without notice, in addition to Galderma s other remedies. This Program supersedes and replaces all other healthcare professional reward programs applicable to the Products included in this Program, and these Terms and Conditions supersede all previous reward program rules and/or terms and conditions applicable to the Products. These Terms and Conditions may be modified by Galderma from time to time, without advance notice. BY PARTICIPATING IN THE PROGRAM, YOU ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, ALL OF THE TERMS AND CONDITIONS. You acknowledge that any discount or rebate provided under the Program is commensurate with the fair market value of the Products. No discount or rebate provided under the Program is intended to be, nor shall it be construed as, an offer or payment made, whether directly or indirectly, to induce the referral of patients; the purchase, lease or order of any item or service from Galderma; or the recommending or arranging for the purchase, lease or order of any item or service from Galderma. Portfolio Points and Aspire Galderma Rewards Program Level Qualifying purchases of, -L, Silk, Lyft, Refyne, Defyne, Dysport and/or Sculptra Aesthetic earn Portfolio Points based on the assigned point value for each Product as provided in TABLE 1. Portfolio Points are used only for purposes of establishing your Program Level. All changes in Program Level are effective the second Monday after the end of each calendar quarter.
Midyear Annualization. On July 1 of each calendar year, your account will be evaluated to determine the annual number of Portfolio Points you are forecasted to have on December 31 of the same year by annualizing your Portfolio Points as of July 1 of that year. If the forecasted number of Portfolio Points would place you at a higher Program Level than you are at on July 1 of that year, we will advance you to the higher Program Level for that year, excluding any change to your Portfolio Points balance. New Year Adjustment. Portfolio Point balances will reset to 0 on January 1, 2016, and on January 1 of each year thereafter. Total Portfolio Points earned in a single calendar year will establish your Program Level on January 1 of the following calendar year (i.e., Portfolio Points earned in 2015 will establish your starting Program Level on January 1, 2016; Program Points earned in 2016 will establish your starting Program Level on January 1, 2017, and so on). The establishment of your Program Level as of January 1 of each year is based solely on Portfolio Points earned from your qualifying purchases of the Products during the preceding calendar year, regardless of your Program Level during the preceding year and/or any prior midyear annualization Program Level advancement. If a single order crosses into the next Program Level, the Product discount for the next Program Level will be applied to the entire order for that Product. The Program Levels are separate for each Product category and cannot be combined across multiple Products to qualify for a higher Program Level. Quarterly rebate amounts are based on an account s Program Level as determined by Portfolio Points as shown in TABLE 2 and the particular Product. You will receive a quarterly rebate check or ACH direct deposit (upon completion of required form), within 90 days after the end of the calendar quarter, based upon your qualifying purchases made during that quarter. checks expire 180 days after issuance. checks that are not cashed or deposited within 180 days after issuance are void and will not be replaced or reissued. All quarterly rebate checks will be issued in the legal business name, and sent to the legal business address, listed with Galderma s exclusive distributor, McKesson Specialty. Incremental Units shall mean the number of vials of Dysport an account purchases in a current calendar year above the number of vials of Dysport the account purchased in the preceding calendar year. Any Dysport growth rebate shall be paid only on the dollar value of the Incremental Units purchased and shall be paid in the first calendar quarter of the following year. Payment methods are the same as quarterly rebates above. Accounts with Partner Program Level status (as determined by Portfolio Points as shown in TABLE 2) are not eligible for any Dysport growth rebate. Level Advance The Level Advance program is available to accounts that are also purchasing aesthetic dermal fillers and/or aesthetic botulinum toxin products from Galderma s competitors ( Qualifying Products ). To enroll in Level Advance, the account must provide proof of recent purchase of Qualifying Products using the current Level Advance enrollment form, and based on this information Galderma will determine the appropriate new Program Level for the account. In addition, the account must place an order for a minimum dollar amount of Products as determined by the new Program Level. Enrollment and eligibility in Level Advance is subject to Galderma approval at Galderma s sole discretion. The Level Advance program is limited to one-time eligibility and participation. New to Practice Club If you open a new account with Galderma within 24 months of successful completion of a medical residency, fellowship, or similar program, you will participate in the Program at the Presidential Associate Level as set forth herein. To qualify and participate, you must provide evidence of successful completion of a residency, fellowship, or similar program within the previous 24 months, open a new account with Galderma, and enroll in the New to Practice Club using the current enrollment form. Enrollment and eligibility in the New to Practice Club is subject to Galderma approval at Galderma s sole discretion. Healthcare Professional or Practice Parent/Child Affiliation Individuals/Entities may combine as a Parent/Child Affiliation ( PCA ) for purposes of participating in the Program. A PCA consists of one or more healthcare professionals or practices that combine their purchases for purposes of receiving the benefits set forth herein. Galderma will allow PCAs to combine their net purchases for purposes for earning rebates, receiving instant savings discounts, acquiring Portfolio Points, and qualifying for Program Levels, if the practices that desire to affiliate meet at least one of the following two criteria: (1) the healthcare professionals/practices share a common tax identification number, or (2) the practices have the same ship to address (subject to verification by Galderma and its exclusive distributor, McKesson Specialty). Each PCA will have a Parent (i.e., the individual or entity that will receive payment of rebates), and the other individuals or entities in the PCA will be considered a Child, meaning that payments shall be made to the Parent on behalf of itself and each Child. Each healthcare professional/entity in the PCA (i.e., Parent and Children) will earn rebates, receive instant savings discounts, acquire Portfolio Points, and qualify for Program Levels based upon the aggregate net purchases made by the PCA. Each member of the PCA must complete an authorization form that affirms the structure of the PCA, which must be approved by Galderma in its sole discretion. Each party affirms its understanding that all benefits, including rebate payments, made to the designated Parent will satisfy any obligation Galderma has to each Child of the PCA under the Program.
Single Individual/Entity Multi-Practice Affiliation A single individual/entity with two or more wholly-owned practices may combine its purchases across all its practices for purpose of receiving the benefits set forth herein ( Multi-Practice Affiliation ). Galderma will allow individuals/entities to enter into a Multi-Practice Affiliation for purposes of earning rebates, receiving instant savings discounts, acquiring Portfolio Points, and qualifying for Program Levels; provided, the individual/entity provides the necessary documentation as requested by Galderma evidencing such Multi-Practice Affiliation. Program Limitations This Program is limited to licensed U.S. healthcare providers who purchase, -L, Silk, Lyft, Refyne, Defyne, Dysport or Sculptra Aesthetic from Galderma through its authorized distributor(s). You may not resell Product to other healthcare professionals without the prior, written consent of Galderma. Any rewards, discounts, rebates or benefits under this Program may not be transferred to any other party. Galderma reserves the right to limit purchase quantities. Program eligibility is subject to compliance with these Program Terms and Conditions and good-faith participation in the Program. Galderma reserves the right to modify, cancel, or amend this Program as permitted by applicable law. Disclosure Requirements You may be obligated to report information concerning this Program to third parties, including but not limited to Medicare, Medicaid and other federal and state health care programs, if applicable. You are solely responsible for accurately reporting such information, including discounts and rebates, as may be required by federal or state law.
