B.5 Meeting Date: April 28, 2015 Subject/Title: Prepared by: A Resolution approving and authorizing the City Manager to execute Authorization to Order (ATO) forms required by the State, allowing the City to purchase service through the AT&T CALNET 3 agreement with the State of California Yun Cho, Chief Information Systems Officer Submitted by: Pamela Ehler, Director of Administrative Services RECOMMENDATION Adopt a resolution approving and authorizing the City Manager to execute Authorization to Order (ATO) forms required by the State, allowing the City to purchase service through the AT&T CALNET 3 agreement with the State of California. PREVIOUS ACTION On October 28, 2008, by Resolution 2008-255, City Council authorized the City Manager or designee to sign contracts with AT&T to provide phone and data line services to the City of Brentwood through the State of California negotiated contract CALNET 2. BACKGROUND The City has participated in the State s negotiated contract with AT&T (CALNET 2) Since December 2008 which is a Cooperative purchasing agreement utilized as described in City Council Administrative Policy 10-7, Purchasing Policy, Section 4 which allows such use when it is a benefit to the City. This negotiated contract covers a wide variety of services including long distance, trunk lines, internet, fiber optic, data lines and centrix lines all at a discounted rate. The current contract has been extended until July 29, 2015. At this time, if the City chooses not to participate in the new CALNET 3 negotiated contract, AT&T will move our existing services to the prices and terms and conditions contained in the current tariffs/service guides on file with the California Public Utilities Commission and/or the Federal Communications Commission. Based upon the price comparison, a change from CALNET 2 to CALNET 3 would have a minimal cost affect as some of the services have increased while others have decreased which result in an approximate overall increase of $3.00 per month. AT&T is maintaining their 2008 pricing which includes a 30% decrease from the original CALNET contract. CALNET 3 also provides the City with the option to order specific services and/or to cancel service in part or in total with a thirty (30) day written notice of cancellation which was not available with the CALNET 2 agreement. Staff recommends continued service with AT&T and to participate in the State negotiated prices as part of the CALNET 3 agreement. Agenda Item B.5 Page 1 of 13

FISCAL IMPACT During fiscal year 2014/15, costs will be approximately $89,000 for services under the CALNET 2 agreement. Costs associated with the services provided by AT&T are included within the adopted 2014/15-2015/16 operating budget. Attachment: Resolution ATO Forms Agenda Item B.5 Page 2 of 13

RESOLUTION NO. A RESOLUTION APPROVING AND AUTHORIZING THE CITY MANAGER TO EXECUTE AUTHORIZATION TO ORDER (ATO) FORMS REQUIRED BY THE STATE, ALLOWING THE CITY TO PURCHASE SERVICE THROUGH THE AT&T CALNET 3 AGREEMENT WITH THE STATE OF CALIFORNIA WHEREAS, on October 28, 2008, by Resolution 2008-255, City Council authorized the City Manager or designee to sign contracts with AT&T to provide phone and data line services to the City of Brentwood through the State of California negotiated contract CALNET 2; and WHEREAS, the current CALNET 2 contract pricing is available through July 29, 2015, if the City does not move forward to the negotiated CALNET 3 agreement, the City will be charged the current pricing on file with the California Public Utilities Commission and/or the Federal Communications Commission; and WHEREAS, if the City elects to move forward to the CALNET 3 agreement, there will be a minimal monthly cost increase associated with this change; and WHEREAS, the City can exercise an option within the agreement which allows the City to order specific services and to also cancel service in part or in total with a thirty (30) day written notice of cancellation which was not available under the CALNET 2 agreement. NOW, THEREFORE BE IT RESOLVED that the City Council of the City of Brentwood does hereby approve and authorize the City Manager to execute Authorization to Order (ATO) forms (attached) required by the State, allowing the City to purchase service through the AT&T CALNET 3 agreement with the State of California. A non-state public Entity (herein "Non-State E!"ltj!y") shall also be required to complete and submit this Authorization to Order (~TO) Under State Contract prior to ordering Services. A description of the Service(s), applicable rates and charges and the specific terms and conditions under which the Service(s) will be provided to a Non-State Entity are fully set forth in the Contract. Access to the Contract is available at http://marketing.dts.ca.gov/calnet3/. City of Brentwood ("Non-State Entity") desires to order Service(s), and Contrador agrees to provide such Service(s), as identified in the State of California, Telecommunications Service Request (Form. 20), pursuant to the terms and conditions and rates contained in!h~.contract. " -- -' Only complete if applying for E-Rate funding: E-Rate Customers Insert Non-State Entity Name here~ntends to seek Universal Service Funding (E-Rate) for eligible services provided under this ATO. The Service(s) ordered under this ATO shall commence on Insert Month, Date, Year("Service Date"). Upon the Service Date, this ATO supersedes and replaces any applicable serving arrangements between Contractor and Non-State Agency for the Service(s) being ordered under this ATO. ATTACHMENT 4 -AUTHORIZATION TO ORDER (ATO} Page 2 of 5 This A TO shall become effective upon execution by Non-State Entity, Contractor, and the Office of Technology Services, Statewide Telecom,munications and Network Division (OTech/STND). No Service(s) shall be ordered by Non-State Entity or provided by Contractor until this ATO has been executed by both parties and approved by OTech/STND. By executing this ATO, Non-State Entity agrees -to subscribe to the selected services, and Contractor agrees to provide selected services, in accordance with the terms and conditions of this ATO and the Contract. Upon execution of this ATO by Non-State Entity and Contractor, Contractor shall deliver this ATO to OTech/STND for review and approval. The State may, at its sole discretion, revoke any applicable previously approved ATO. The OTech/STND will provide Contract management and oversight, and upon request by the Non-State Entity or Contractor, will advocate resolving any Contract service issues. The ATO, and a'ny resulting Form 20, is a Contract between the Non-State Entity and the Contractor. The State will not represent the Non-State Entity in resolutiqn of litigated disputes between the parties. Non-State Entity may terminate this ATO, for specific Service( s) or in total, prior to termination of the Contract, by providing the Contractor with thirty (30) calendar days' of written notice of cancellation. This ATO shall not exceed the term of the CALNET 3 Contract. Non-State Entity, upon execution of this ATO, certifies that Non-State Entity understands that Contractor and the State may, from time to time and without Non-State Entity's consent, amend the terms and conditions of the Contract thereby affecting the terms of service Non-State Entity receives from Contractor. Non-State Entity, upon execution of this ATO, certifies that it has reviewed the terms and conditions, including the rates and charges, of the Contract. Non-State Entity, upon execution of this ATO, certifies the Non-State Entity understands that. billing invoices for Service(s) subscribed to under the Contract are subject to review and/or audit by the State,. pursuant to provisions of the Contract. All Service(s) ordered under this ATO Will be submitted using the Form 20, signed by the Non State Entity's authorized signatory. Any additions or deletions to Service(s) shall likewise be accomplished by submission of a Form 20, noting changes. The Non-State Entity understands that Form 20s are subject to review by the CALNET 3 CMO to ensure contract compliance. Non-State Entity, upon execution of this ATO, certifies the Non-State Entity understands that the Contractor shall provide CALNET 3 CMO all data, reports, and access to trouble tickets for Service(s) subscribed to under the Contract, pursuant to provisions of the Contract. Non-State Entity may, by placing Service orders issued by its duly authorized representative with Contractor, order any of the Service(s) listed in the Contract and selected below. Contractor shall bill Non-State Entity, and Non-State Entity shall pay Contractor according to the terms and conditions and rates set forth in the Contract for such Service(s). City of Brentwood ("Non-State Entity") desires to order Service(s), and Contractor agrees to provide such Service(s),. as identified in the State of California, Telecommunications Service Request (Form. 20), pursuant to the terms and conditions and rates contained in the Contract. Only complete if applying for E-Rate funding: E-Rate Customers Insert Non-State Entity Name herejntends to seek Universal Service Funding (E-Rate) for eligible services provided under this ATO. The Service(s) ordered under this ATO shall commence on Insert Month, Date, Year here ("Service Date"). Upon the Service Date, this ATO supersedes and replaces any applicable serving arrangements between Contractor and Non-State Agency for the Service(s) being ordered under this ATO. ATTACHMENT 4- AUTHORIZATION TO ORDER (ATO) Page 2 of 5 This ATO shall become effective upon execution by Non-State Entity, Contractor, and the Office of Technology Services, Statewide Telecommunications and Network Division {OTech/STND). No Service(s) shall be ordered by Non-State Entity or provided by Contractor until this ATO has been executed by both parties and approved by OTech/STND. By executing this ATO, Non-State Entity agrees to subscribe to the selected services, and Contractor agrees to provide selected services, in accordance with the terms and conditions of this ATO and the Contract Upon execution of this ATO by Non-State Entity and Contractor, Contractor shall deliver this ATO to OTech/STND for review and approval. The State may, at its sole discretion, revoke any applicable previously approved ATO. The OTech/STND will provide Contract management and oversight, and upon request by the Non-State Entity or Contractor, will advocate resolving any Contract service issues. The ATO, and any resulting Form 20, is a Contract between the Non-State Entity and the Contractor. The State will not represent the Non-State Entity in resolution of litigated disputes between the parties. Non-State Entity may terminate this ATO, for specific Service(s) or in total, prior to termination of the Contract, by providing the Contractor with thirty (30) calendar days' of written notice of cancellation. This ATO shall not exceed the term of the CALN ET 3 Contract. Non-State Entity, upon execution of this ATO, certifies that Non-State Entity understands that Contractor and the State may, from time to time and without Non-State Entity's consent, amend the terms and conditions of the Contract thereby affecting the terms of service Non-State Entity receives from Contractor. Non-State Entity, upon execution of this ATO, certifies that it has reviewed the terms and conditions, including the rates and charges, of the Contract. Non-State Entity, upon execution of this ATO, certifies the Non-State Entity understands that billing invoices for Service(s) subscribed to under the Contract are subject to review and/or audit by the State, pursuant to provisions of the Contract. All Service(s) ordered under this ATO will be submitted using the Form 20, signed by the Non State Entity's authorized signatory. Any additions or deletions to Service(s) shall likewise be accomplished by submission of a Form 20, noting changes. The Non-State Entity understands that Form 20s are subject to review by the CALNET 3 CMO to ensure contract compliance. Non-State Entity, upon execution of this ATO, certifies the Non-State Entity understands that the Contractor shall provide CALNET 3 CMO all data, reports, and access to trouble tickets for Service( s) subscribed to under the Contract, pursuant to provisions of the Contract. Non-State Entity may, by placing Service orders issued by its duly authorized representative with Contractor, order any of the Service(s) listed in the Contract and selected below. Contractor shall bill Non-State Entity, and Non-State Entity shall pay Contractor according to the terms and conditions and rates set forth in the Contract for such Service( s ).
