Individual Tax Engagement Letter 2017 Tax Returns Dear Client: Thank you for engaging Bailey, Smith & Associates, LLP, ( BSA ), to provide you with income tax compliance services for 2017. We appreciate the opportunity to serve as your tax and accounting professionals this tax season. We are providing this letter to confirm and specify the terms of our engagement with you and to clarify the nature and extent of the services we will provide. In order to ensure an understanding of our mutual responsibilities, we ask all clients for whom returns are prepared to confirm the following arrangements. 1) Our firm will prepare your 2017 federal and state (if applicable) income tax returns. These returns will be prepared solely from the information you provide to us without independent verification by our firm. We will not audit or otherwise verify the data you submit, although it may be necessary to ask you for clarification of some of the information. 2) It is your responsibility to timely provide all the information needed to prepare complete and accurate returns. For your convenience, we have provided you with a 2017 Tax Organizer which is currently available at your BSA online account. If you do not have a BSA online account, your 2017 Tax Organizer is attached to this letter. 3) This agreement covers the preparation of your 2017 federal and state income tax returns only. If you are requesting that we prepare the 2017 federal and state income tax returns for any individual(s) other than yourself or for a trust or estate, please list the additional returns you wish our firm to prepare on the second page of this engagement letter. All such returns will be subject to the terms of this engagement letter. 4) This agreement does not cover the provision of accounting or bookkeeping services deemed necessary for the compilation of your federal and/or state individual income tax returns; the preparation of amended tax returns; representation before the IRS in connection with IRS notices, inquiries, examinations or audits; or research to answer tax questions or render tax advice. These services are beyond the scope of this engagement letter and will be provided by our firm under a separate agreement and separate fees apply. 5) The fee to prepare your 2017 federal and state individual income tax returns will be based upon either a fixed fee arrangement or the time required to prepare the return. Our fees assume the information we receive is in reasonably good order and provided to us in a timely manner. You agree that our invoice is due and payable upon presentation and before your return is electronically filed. 6) At the end of our engagement, we will provide you with either an electronic or paper copy of the tax returns we have prepared and will return all of your original source documentation. Your copy of the tax returns prepared and the source documents you provided are your permanent records and may be necessary to prove the accuracy and completeness of such returns if examined by taxing authorities. We suggest you maintain these records for a minimum of 7 years. Page 1 of 7

7) You have the final responsibility for the income tax returns prepared. Therefore, upon receipt, we request that you carefully review the tax returns we have prepared to make sure we have interpreted your source documentation correctly and that you agree with the tax return(s) as prepared before the return(s) are submitted to the IRS. We also request that you ask questions about any positions taken on your return that you do not understand. 8) You agree to reasonably cooperate with BSA in connection with the services to be rendered under this engagement by providing all requested documents in a timely manner, by communicating with BSA and adhering to outlined deadlines when applicable. In the event that there is no reasonable cooperation, BSA reserves the right to withdraw from this engagement or bill additional fees at our discretion. If either party elects to terminate the engagement, you will be billed and liable for the actual hours incurred through the date of such termination at a rate not less than $185 per hour. 9) BSA's maximum liability with respect to you arising from services rendered under this engagement is limited to the fees paid for these services. You agree that any action against BSA in relation to services rendered shall be commenced within two years of the date of this engagement letter. Any action not brought within that two year time period shall be barred, without regard to any other limitations period set forth by law or statute. If the foregoing is in accordance with your understanding of our agreement, and mutual responsibilities under such agreement, please sign the enclosed copy of this letter in the space indicated and return it to our office. We are not able to begin work on your returns until we have received a signed engagement letter. We value your confidence and welcome any questions you may have.
