AMENDMENT NO. 2 DATED SEPTEMBER 23, 2016 TO THE ANNUAL INFORMATION FORM DATED APRIL 19, 2016, AS AMENDED BY AMENDMENT NO. 1 DATED JULY 8, 2016 (the AIF ) in respect of: BMO Global Monthly Income Fund (series A, T6 and I) BMO Monthly Income Fund (series A, T6, F, F6, D and I) (series A, A (Hedged), F, F (Hedged), D, I, N, NBA, NBF, Advisor Series and Advisor Series (Hedged)) (each a Fund and, collectively, the Funds ) Unless otherwise specifically defined, the terms used in this amendment have the meanings given to those terms in the AIF. 1. Introduction The AIF is hereby amended to: (1) provide notice that the merger of BMO Global Monthly Income Fund into BMO Global Diversified Fund will not proceed as previously announced on July 8, 2016; (2) qualify for distribution Series F6 securities for BMO Monthly Income Fund; (3) allow Series F securities of to offer a U.S. dollar purchase option, effective on or about September 23, 2016; and (4) update the list of directors and executive officers of the Manager of the Funds. 2. Proposed Merger of BMO Global Monthly Income Fund into BMO Global Diversified Fund On September 19, 2016, BMO Investments Inc., the manager of the Funds, announced that the merger of BMO Global Monthly Income Fund into BMO Global Diversified Fund will not proceed as previously announced on July 8, 2016. At a special meeting of unitholders of BMO Global Monthly Income Fund held on September 16, 2016 unitholders did not approve the merger. BMO Global Monthly Income Fund will continue to be available for purchase by investors.
2 3. New Series F6 Securities for BMO Monthly Income Fund This amendment qualifies for distribution Series F6 securities for BMO Monthly Income Fund. The following technical amendments are made to the AIF to reflect these changes: (1) Each of the front and back covers of the AIF are amended by adding F6, after F, in the list of series being offered by BMO Monthly Income Fund. (2) The first paragraph under the sub-heading BMO Trust Funds on page 2 is deleted and replaced with the following: Certain funds are trusts established under the laws of the Province of Ontario by three different declarations of trust (the BMO Trust Funds ). The BMO Trust Funds that were traditionally known as the BMO Retail and Advisor trust funds (the BMO Retail and Advisor Funds ) are governed by an amended and restated master declaration of trust dated April 19, 2016, together with an amended and restated Schedule A dated September 23, 2016 (the BMO Retail and Advisor Master Declaration of Trust ). The BMO LifeStage Plus Funds are governed by an amended and restated master declaration of trust dated April 3, 2014 (the BMO LifeStage Plus Master Declaration of Trust ). The remainder of the BMO Trust Funds, which were traditionally known as the BMO Guardian trust funds (the BMO Guardian Funds ), are governed by an amended and restated master declaration of trust dated March 28, 2013, together with an amended and restated Schedule A dated April 19, 2016 (the BMO Guardian Master Declaration of Trust ). 4. Change to Series F Securities of to Offer a U.S. Dollar Purchase Option Effective on or about September 23, 2016, investors will be able to purchase Series F securities of in U.S. dollars in addition to the existing option to purchase securities of this Fund in Canadian currency. 3 5. Changes to s and Executive Officers of the Manager of the Funds Effective June 30, 2016, Joan Mohammed was appointed as a of the Manager. Effective July 31, 2016, Kevin Gopaul was appointed as Chief Executive Officer and Ultimate Designated Officer of the Manager to replace Rajiv Silgardo who retired and previously acted as Chief Executive Officer, Ultimate Designated Officer and of the Manager. Effective August 12, 2016, Stella Vranes was appointed as Senior Vice President and Chief Administrative Officer of the Manager to replace Dirk McRobb who retired and previously acted as Senior Vice President and Alternate Ultimate Designated Officer of the Manager.
