Summary of Administrative Maintenance Charges (AMC) and Revenue Sharing Received For the investment options ( Funds ), listed below, advised exclusively by unaffiliated mutual fund companies, John Hancock receives fees equal to 0.50% of your Plan s assets invested in each Fund. These fees come from two sources: an Administrative Maintenance Charge (AMC) and fees (often referred to as revenue sharing ) paid by the underlying mutual fund ( fund ), trust or other fund related sources, to John Hancock for record keeping and other services provided to you by John Hancock. The AMC is a direct administrative charge made by John Hancock against the entire Fund, if applicable, for administrative and record keeping services such as employer statements, participant statements and enrollment kits. The Fund Expense Ratio is a charge for the underlying mutual fund or trust, and is determined by the underlying mutual fund or trust and reported in their annual reports, prospectuses, or trust documents. The amount of revenue sharing fees varies from fund to fund, and can come from the fund or trust s Rule 12b-1 fees, sub-transfer agency fees, other fund fees, or fees from other fund-related sources (collectively, the two latter fees are referred to as all other fees below). John Hancock uses all of these revenue sharing fees to reduce the AMC for that Fund. If John Hancock receives no revenue sharing fees from an unaffiliated underlying mutual fund or trust, the AMC for that fund is 0.50%. The total fees John Hancock and its affiliates receive from these funds may be higher than those advised or sub-advised exclusively by unaffiliated mutual fund companies. Summary of Underlying Mutual Fund or Trust Management Fees This report provides a listing of the Funds advised exclusively by unaffiliated mutual fund companies that are available under the John Hancock group annuity contract along with their current management fees reported in the most recent prospectuses available as of the date indicated. For plans required to complete Form 5500 Schedule C, John Hancock provides this information on behalf of these unaffiliated mutual fund companies. The information constitutes disclosure of the eligible indirect compensation received by these companies for purposes of reporting in Section 1a, Part I of Schedule C. The Management Fee is a component of the underlying mutual fund s expense ratio. More details about an underlying fund s expense ratio are described in the underlying fund s prospectus. Plans subject to the Schedule C reporting requirement will also receive an annual reporting package that contains, among other things, copies of prospectuses of the sub-advised Funds (i.e., Funds sub-advised exclusively by unaffiliated mutual fund companies as well as the Internally-managed Funds) available under the John Hancock group annuity contract. These prospectuses provide disclosure of the payments received by John Hancock and its affiliates that are eligible indirect compensation. Float Income Introduction In general, float income is earnings received and retained by John Hancock in circumstances that include, or are similar to, the following: a) Receipts (i.e., funds received, or credited to the contract, before they are invested, allocated or applied in accordance with the plan s instructions); or b) Disbursements (i.e., funds transferred from the contract and held in John Hancock s general account before actual disbursements are made from the general account). Float income is retained by John Hancock as additional compensation in connection with the recordkeeping and administrative services it provides under the group annuity contract and, if applicable, the recordkeeping agreement. Float income is not deducted from contract assets or participant accounts. Circumstances that Give Rise to Float Income Receipts When John Hancock receives funds without instructions that relate them to a specific contract, the funds are held in John Hancock s general account. When John Hancock receives funds in respect of a contract that are not accompanied by sufficient information (e.g., allocation information) or instructions that are in good order, these funds are held in the contract s cash account. John Hancock receives and retains float income while the funds are held in the general account or the contract s cash account. Receipts include, but are not limited to, funds relating to the following: 4 regular plan contributions, 4 rollover contributions, 4 transfers of assets from other sources, 4 plan loan repayments, 4 fee payments, or 4 adjustments due to administrative or processing errors In addition, if the plan is eligible for Plan Expense Reduction Credits ( PERA Credits ), John Hancock receives and retains float income while these credits are held in the Plan Expense Reduction Account under the contract ( PERA Account ). Disbursements When a payment is made from the contract pursuant to the plan s instruction, the funds are debited from the contract assets and held in John Hancock s general account pending settlement. The payments are made either by check or electronic payment drawn from John Hancock s general account. John Hancock receives and retains float income while the funds for these payments are pending settlement. Examples of such payments include, but are not limited to, the following: 4 distributions to plan participants or beneficiaries, 4 rollover distributions, 4 transfers of assets to other providers, 4 hardship withdrawal and loan disbursements to participants or beneficiaries, 8 OF 11 For Plan Sponsor use only. 4 service or transaction fee payments to the plan s service providers (e.g., third party administrator, registered investment advisor, etc.) that are debited from the contract at the time of the service or transaction but not forwarded to the service provider until the end of the calendar month or quarter, as the case may be, 4 payments to the plan s trustee for miscellaneous purposes, 4 federal and state withholding taxes, 4 payment of plan expenses from the plan s PERA Account under the contract, 4 liquidation of contract assets at termination, or 4 funds resulting from adjustments due to administrative or processing errors. Float Income Period Receipts John Hancock receives and retains earnings with respect to the Receipts for the following periods of time: 4 For amounts other than PERA Credits, from the date that the funds are received until they are withdrawn from the general account or the contract s cash account to be applied as instructed by the plan; 4 For PERA Credits, from the date that the funds are credited to the PERA Account until they are withdrawn to pay for plan s expenses or allocated to the participants accounts, whichever occurs earlier. Disbursements For earnings John Hancock receives and retains with respect to Disbursements, the time period varies depending on whether the disbursement on behalf of the plan is made by check or electronic payment: 4 If the disbursement is made by check, from the date that the funds are debited and transferred from the contract to John Hancock s general account until the day that the check is negotiated by the payee. 4 If the disbursement is made by electronic payment and the instructions received are valid and in good order, from the date that the funds are debited and transferred from the contract to John Hancock s general account until no later than 2 banking days following such date. If the instructions received are either not valid or not in good order, the funds are not debited from the contract until full and complete instructions have been received by John Hancock. Administrative Practices for Handling Receipts and Disbursements Receipts In general, when funds are received in its general account without any instructions that relate them to a specific group annuity contract, John Hancock has to wait for instructions from the relevant plan before it can credit the funds to the applicable contract. John Hancock may continue to receive and retain float income up to the full time period allowed under the Administrative Guidelines for Financial Transactions (the Administrative Guidelines ) for implementing plan instructions after receipt of valid instructions from the plan to transfer the funds out of the general account. When funds are received in respect of a contract that are not accompanied by instructions that are in good order, the funds are held in the contract s cash account. Based on information it has on file, John Hancock makes an effort, within a reasonable period of time and through periodic follow-ups, to contact the plan s representative (or the plan s designated contact) and obtain instructions for the disposition of the funds. Additionally, the plan may obtain information about the balance in the contract s cash account on the John Hancock Plan Sponsor website. As well, quarterly statements provided to the plan administrator include details about the funds held in the cash account and the date that they were received. John Hancock may continue to receive and retain float income up to the full time period allowed under the Administrative Guidelines after receipt of valid instructions from the plan to transfer the funds out of the cash account. 9 OF 11 For Plan Sponsor use only. If the plan is eligible to receive PERA Credits, information about the balance of the credits and the Plan expenses disbursed from the PERA Account is reported in the quarterly statement provided to the plan. John Hancock receives and retains float income while the PERA Credits remain in the PERA Account, but until no later than the last market day of the plan year. If the plan fails to use up all the available credits by the fifteenth day before the end of the plan year, John Hancock allocates such remaining credits to the accounts of the plan participants as additional earnings by no later than the last market day of the plan year. The allocation is made on a pro rata basis, based on the invested balance of each participant under the contract as of the allocation date. Disbursements In general, if a payment is made from the contract pursuant to the plan s instruction, the funds are debited from the contract in accordance with the procedures and timelines set forth in the Administrative Guidelines. John Hancock receives and retains float income on the funds transferred from the contract and held in its general account, pending settlement. If a payment made by: (i) check is not cashed during the 180-day period following the issuance of the check, or (ii) electronic payment is not completed during the 2-banking-day period described above, (collectively, the unpaid funds ), John Hancock continues to hold the unpaid funds in its general account. Each month, a report that lists the unpaid funds for the preceding month is provided to the plan so that it may provide instructions to John Hancock for the dispositions of such funds. John Hancock may receive and retain earnings from the funds held in the general account up to the full time period allowed under the Administrative Guidelines for implementing plan instructions after the receipt of instructions that are valid and in good order from the plan, provided, however, that if the plan s instructions direct the unpaid amounts to be disbursed by check, then until the day that the check is negotiated by the payee. Rate of the Float The funds held in John Hancock s general account in the circumstances described above (or other similar circumstances) are generally invested in the company s US-dollar liquidity pool, which is part of the company s general operating funds. John Hancock anticipates that the float income received from this liquidity pool will approximate the London Interbank Bid Rate ( LIBID ), reduced by related investment, bank processing, transaction, and similar charges associated with overnight cash investments, and other similar expenses ( net earnings rate ). In circumstances in which the plan s assets are held in the contract s cash account and receive interest equal to the Funds on Deposit ( FOD ) rate, float income is received by John Hancock to the extent of the spread, if any, between the net earnings rate and the FOD rate paid to the plan. The FOD rate, which is established and declared by John Hancock each month (or more frequently as it may determine from time to time), approximates amounts generally paid by banks on short-term deposits. It may differ from the net earnings rate. In circumstances in which the plan s assets held in the contract s cash account do not receive FOD interest, the float income received and retained by John Hancock from such assets approximates the net earnings rate. The circumstances under which John Hancock credits FOD interest are described below. John Hancock credits FOD interest for the period during which funds have remained in the contract s cash account pending receipt of allocation instructions that are in good order. The FOD interest is credited automatically upon investment of allocations related to regular plan contributions, rollover contributions, and transfers of assets from other sources, and is allocated on a pro-rata basis, based on the contributions allocated to each participant included in the instructions. For purposes of this disclosure, Market day means a day that the New York Stock Exchange is open for trading, and Banking day means a day that the banks in the United States are open for business.
