Terms and Conditions These Terms and Conditions together with the Business Partnership Prospectus and the Acceptance Form ( Application ) constitute an agreement between you and. To the extent of inconsistency, these Terms and Conditions apply. By submitting an Application to you acknowledge you have read and agree to be bound by this agreement. Acceptance and Payment 1. Acceptance of any Application is at s absolute and unfettered discretion. Partnerships and Event Sponsorships are limited in number and are generally assigned in order of receipt. 2. Application s acceptance does not imply endorsement by CCF SA of your company, service/s or product/s. 3. If the Application is accepted, will advise you by letter as soon as practicable and issue a tax invoice with respect to the Fee payable. Payment of Fees must be made within seven (7) days of issuing the tax invoice. 4. will not commence meeting its obligations until the Fee has been paid in full. Partnership 5. will provide the benefits listed in the relevant Partnership Package over a financial year. 6. The Partnership will last for a financial year, terminating on 30th June regardless of the Application s submission date. 7. Acceptance of a Partnership s Application does not create a joint venture, partnership, or agency relationship between and you. 8. The Partnership s benefits are subject to change. 9. Partner Logo must not be used after Partnership s expiry date or termination. 10. Partner must not represent themselves as s representatives. 11. No refund of Partnership Fee is given. Event Sponsorship 12. The Event Sponsorship will last only for the duration of that particular Event, including any pre and post event promotional activities. 13. will use its best endeavours to ensure that Event Sponsors are not comparable or in competition with an existing Sponsor. may seek the approval from the current Sponsor before accepting any subsequent Sponsor. 14. Event Sponsors have a first right of refusal to continue their Sponsorship for the same Event in the future, provided advice is given to no later than 15th June. 15. If the Event is cancelled by the Event Sponsor is entitled to refund of the Event Sponsorship Fee only if the Event is not rescheduled within twelve (12) months. This clause does not apply to Partners. 16. If the Event Sponsor cancels its Event Sponsorship no refund of Event Sponsorship Fee is given. 17. will not be responsible for any loss of or damage to any of the Event Sponsor s equipment, material, equipment, exhibit or other belongings brought by the Event Sponsor s or on its behalf to the Event, whether by fire, theft, accident, injury or otherwise. The Event Sponsor shall obtain appropriate insurance to cover any related loss or damage. 18. To the maximum extent permitted by law, will not be liable for any loss (including indirect or consequential loss), expense, damage, personal injury or death incurred (whether or not arising from negligence) by the Event Sponsor in connection with the Event. Media / Advertising 19. Requirements regarding the artwork for logos and advertisements, specifications and delivery details for signage, arrangements for static display, delivery of inserts or other arrangements will be sent to you in the letter confirming your Application s acceptance. 20. will not be liable for any costs, expenses, losses or damages suffered or incurred by you arising from s failure to publish your advertisement in accordance with your request. 21. The rate for your advertisement will be the rate specified in the current version of the Business Partnership Prospectus. 22. Art work and content must be received by the date specified in the letter confirming your Application s acceptance. If the art work, materials or content is not received by the designated due date, they will not be used. 23. You must promptly check any proofs of advertising, if has arranged to provide you with any, and notify of any errors in the proofs or in any advertisement that publishes for you. 24. will not be responsible for errors in advertising material that has been submitted electronically by you. 25. Cancellation of any advertisement must be received in writing from you no less than twenty one (21) days before the specified date for receipt of content in order to receive a refund of the Media Fee. 26. You warrant that you have all of the necessary rights, including copyright, in the content you contribute, that your content is not defamatory and that it does not infringe any law. 27. You will indemnify against any and all legal fees, damages and other expenses that may be incurred by as a result of a breach of the above warranty. Termination 28. Each party may terminate this agreement immediately by notice in writing at any time if either party breaches this agreement. 29. may immediately terminate this agreement by written notice to you if you: (i) being a company, have appointed a receiver, receiver and manager, trustee, administrator, other controller or similar official over any of your assets or undertakings, you are or become unable to pay the Fee when they are due, or you are presumed to be insolvent; or (ii) being an individual, become bankrupt or enter into any arrangement or composition with your creators or propose to do so. General 30. This agreement shall not be disclosed to any third party/s without the prior written consent of both parties. 31. You should seek independent advice in relation to any requirements or implications as set out by the Australian Taxation Office. 32. The parties will both use their best endeavours to protect the integrity and goodwill of the other party s brand. 33. Each party shall indemnify the other against any claims arising from any breach by either party. 34. Where one party is unable to carry out its obligations under this agreement due to circumstances beyond its control or which it could not have prevented, those obligations are suspended whilst those circumstances continue, provided the other party is notified and the first party uses its best endeavours to overcome the circumstances preventing its obligations from being carried out. 35. In the event of a dispute arising that the parties themselves cannot resolve, the parties agree to refer the matter to an independent arbitrator appointed by mutual agreement. 36. The rights of either party under this agreement shall not be transferable or assignable either in whole or in part, without the consent of the other party. 37. Partners and Event Sponsors will not do anything or become involved in any situation which, in the reasonable opinion of the, brings into public disrepute, contempt, scandal or ridicule, offends public opinion or reflects unfavourably upon s reputation. will be the sole arbiter in this regard. 38. The failure by a party to enforce at any time any of the provisions of this agreement must not be interpreted as a waiver of such provisions. 39. If any provision of this agreement is held by a court to be unlawful, invalid, unenforceable or in conflict with any rule of law, statute, ordinance or regulation, the validity or enforceability of the remaining provisions will not thereby be affected. 40. This Agreement will be read and interpreted according to the laws of the State of South Australia and the parties submit to the exclusive jurisdiction of the courts of that State. 41. might change these Terms and Conditions at any time without notice to you. Those changes will apply to the provision of advertising services after the date the change becomes effective. You and will be bound by the Terms and Conditions that are current as at the date of your Application. 7
