The selected firm shall be asked t prvide prfessinal civil engineering and surveying services n a prject-byprject basis, and n an agreed-upn specific scpe f services and fees. BACKGROUND The HACSJ is a public entity that was frmed in 1942 t prvide federally subsidized husing and husing assistance t lw-incme families, within San Jaquin Cunty. The HACSJ was established as a result f the United States Husing Act f 1937 and is respnsible fr prviding safe, decent, and affrdable husing fr lw-incme families, the elderly, and persns with disabilities. It is gverned by a seven-persn bard f cmmissiners and is subject t the requirements f Title 24 f the Cde f Federal Regulatins (CFR). The HACSJ cnsists f fur (4) distinctive residential Public Husing (aka Asset Management Prperties r AMPs) cmmunities lcated in the incrprated and unincrprated areas f Stcktn, Tracy and Thrntn Califrnia. There are a ttal f 1,075 residential units cnsisting f singlestried single-family detached, duplex, triplex and tw-stry 4-plex twnhuses. Varius cmmunities are parceled in a variety f cnfiguratins where wnership and maintenance f streets and infrastructure, such as sewer, water, and strm drainage, are the respnsibility f the HACSJ. Even ther residential buildings are lcated within individual lts with services prvided by the lcal public agencies. The HACSJ als wns and maintains nn-subsidies residential husing such as apartment cmmunities, residential high rises, and single-family and multi-family residential buildings. These Page 2 f 11

1.9 The HACSJ shall reserve the right t at any time during the RFQ r cntract prcess prhibit any further participatin by a prpser r reject any prpsal submitted that des nt cnfrm t any f the requirements detailed herein. 2.0 SCOPE OF SERVICES: It is the intent f the HACSJ t use the selected cnsultant n as-needed basis. The specific scpe f wrk and fee schedule fr each wrk prject shall be individually agreed upn during the fee negtiatins as described in sectins 5.2 and 5.8 f this RFQ. The selected prfessinal services shall have demnstrated experience in the fllwing types f wrk: 2.1 Engineering Design Street, Parking Lts, and Surface Imprvements Water, Sewer & Strm Designs and Repairs Pump Statins, Wastewater Treatment Facilities, Frce Main Evaluatin and Design Lcal Jurisdictin Design Standards and Permitting Prcesses City f Stcktn City f Tracy City f Ldi San Jaquin Cunty Califrnia Department f Transprtatin Strm Water Management Designs Develp Prject Cst Estimates 2.2 Surveying Parcel Maps Easement Abandnments Lt-line Adjustments ALTA Surveys Site Surveying Fld Certificates Letter f Map Revisins (LOMR) Bundary / Site Surveys Cnstructin Staking 2.3 Other: Team Leader: Include an Organizatinal Chart and identify the Team Leader, including apprpriate licenses, resumes, and previus experience with references. 3.0 PROPOSAL FORMAT: 3.1 Tabbed Prpsal Submittal: T demnstrate experience, Prpsers shall submit a Statement f Qualificatins (SOQ) Prpsal. The HACSJ intends t retain the successful prpser pursuant t a Best Value basis, nt a Lw Bid basis. Therefre, s that the HACSJ can prperly evaluate the ffers received, all prpsals submitted in respnse t this RFQ must be frmatted in accrdance with the sequence detailed belw. Each categry must be separated by numbered index dividers (which number extends s that each tab can be lcated withut pening the prpsal) and labeled with the crrespnding tab reference nted belw. Nne f the prpsed services may cnflict with any requirement the HACSJ has published herein r has issued by addendum. SOQ Prpsal submittals shall cntain the fllwing infrmatin: Tab 1, Frm f Prpsal: This frm is Attachment A f this RFQ dcument. This ne-page frm must be fully cmpleted, executed where prvided and submitted under this tab as a part f the prpsal submittal. Tab 2, Frm HUD- Frm HUD-5369- B (8/93), Certificatins and Representatins f Offerrs, Nn-Cnstructin Cntract: This frm is Attachment B f this RFP dcument. This selectin shuld demnstrate the firm s capabilities fr the variety f anticipated wrk as described in the Scpe f Services sectin. Tab 5, Managerial Capacity/Financial Viability: The prpser entity must submit under this tab a cncise descriptin f its managerial and financial capacity t deliver the prpsed services, including brief prfessinal resumes fr the persns identified in areas five (5) and six (6) f the Prfile f Firm Frm. And any ther key persnnel identified within the Firm s Organizatin, including title, years f experience, past prjects related t HACSJ needs, and educatin. Organizatin: Prvide infrmatin abut key persnnel wh will be assigned t the HACSJ s prjects. The Principal in Charge shuld be identified as a ne persn cntact fr all n-ging prjects. The Principle in Charge shall remain the pint f cntact fr the duratin f the cntract. Hw staff are retained, screened, trained and mnitred. Page 5 f 11

Tab 6, Client Infrmatin: The prpser shall submit a listing f at least six (6) frmer r current clients fr whm the prpser has perfrmed services similar r the same as thse being prpsed that the HACSJ can cntact t evaluate the firm s past wrk experience. The list shall, at a minimum, include: The clients name; The clients cntact name; The clients telephne number; A brief descriptin and scpe f the service(s) and the dates the services were prvided. Tab 7, Subcntractr/Jint Venture Infrmatin (Optinal Item): The prpser shall identify whether r nt he/she intends t use any subcntractrs fr this jb, if awarded, and/r if the prpsal is a jint venture with anther firm. Please remember that all infrmatin required frm the prpser under the prceeding tabs must als be included fr any majr subcntractrs (10% r mre) r frm any jint venture. Tab 8, Sectin 3 Business Preference Dcumentatin (Optinal Item): Fr any prpser claiming a Sectin 3 Business Preference Attachment D, he/she shall under this tab include the fully cmpleted and executed Sectin 3 Business Preference Certificatin Frm attached heret as Attachment D and any dcumentatin required by that frm. If the prpser des nt claim any Sectin 3 preference, please place hereunder a statement that "NO SECTION 3 BEING CLAIMED. Tab 9, Other Infrmatin (Optinal Item): The prpser may include hereunder any ther general infrmatin that the prpser believes is apprpriate t assist the HACSJ in its evaluatin. Prpsals submitted after the published deadline will nt be accepted. Late, emailed, r faxed submittals will nt be accepted. Page 6 f 11

3.3 Submissin Cnditins: DO NOT FOLD OR MAKE ANY ADDITIONAL MARKS, NOTATIONS OR REQUIREMENTS ON THE DOCUMENTS TO BE SUBMITTED! Prpsers are nt allwed t change any requirements r frms cntained herein, either by making r entering n these dcuments r the dcuments submitted any revisins r additins. If any such additinal marks, ntatins r requirements are entered n any f the dcuments that are submitted t the HACSJ by the prpser, that prpsal may be invalidated. If, after accepting such a prpsal, the HACSJ decides that any such entry has nt changed the intent f the prpsal, the HACSJ may accept the prpsal and the prpsal shall be cnsidered by the HACSJ as if thse additinal marks, ntatins r requirements were nt entered. 3.4 Submissin Respnsibilities: It shall be the respnsibility f each prpser t be aware f and t abide by all dates, times, cnditins, requirements and specificatins set frth in all applicable dcuments issued by the HACSJ, including the RFQ dcument, the dcuments listed within the RFQ, and any addenda and required attachments submitted by the prpser. By virtue f cmpleting, signing and submitting the cmpleted dcuments, the prpser is stating his/her agreement t cmply with the all cnditins and requirements set frth in thse dcuments. Written ntice frm the prpser nt authrized in writing by the HACSJ t exclude any f the HACSJ requirements cntained within the dcuments may cause the prpser t nt be cnsidered fr award. 3.5 Prpser's Respnsibilities--Cntact with the HACSJ: It is the Prpser s respnsibility t address all cmmunicatin and crrespndence pertaining t this RFQ prcess t the HACSJ Business Office nly. Prpsers may nt make inquiry r cmmunicate with any ther HACSJ staff member r fficial (including members f the Bard f Cmmissiners) pertaining t this RFQ. 4.0 PROPOSAL EVALUATION: 4.1 Evaluatin Methd: The HACSJ will evaluate each prpsal submitted in accrdance with the RFQ prcedures shwn in Chapter 7 f the HUD Prcurement Handbk N. 7460.8 REV 2 and within the HACSJ Prcurement Plicy. Prpsals shall be reviewed, evaluated, and ranked by a cmmittee cmpsed f HACSJ staff and guest evaluatin cmmittee members frm ther lcal public agencies. If a guest evaluatr is used as a reference the guest evaluatr must remve themselves frm the evaluatin f the firm being reviewed. Each submittal shall be judged as t the Prpser s capabilities and experience t perfrm prfessinal civil engineering and surveying services. Starting with the highest average cmpsite ranked firm and prgressing in descending rder, a shrt list f firms will be generated by the evaluatin cmmittee. The number f firms placed n the shrt list shall be limited t the number deemed apprpriate by the evaluatin cmmittee and HACSJ staff t meet its requirements and thus, may nt include all firms ranked in the evaluatin prcess. Restrictins: All persns having familial (including in-laws) and/r emplyment relatinships (past r current) with principals and/r emplyees f a prpser entity will be excluded frm participatin n the HACSJ evaluatin panel. The HACSJ recgnizes that the selected as-needed service prvider(s) may nt have experience r capacity t prvide prfessinal services in all disciplines. In such event the firm may supplement their capabilities by teaming with subcnsultants. In such cases, prpsers shall identify these sub-cnsultants, as their expertise will be cnsidered by the HACSJ in additin t the prpser s capabilities as described in the selectin criteria belw. Ability t Accmplish Wrk: Each firm shall be evaluated n its ability t prvide civil engineering and surveying services in a timely manner. Items t be cnsidered include number f qualified staff, supprt 3 20 pints staff, available equipment and facilities. Registratin as a prfessinal civil engineer/ land surveyr in the State f Califrnia is cnsidered a requirement in the ability t accmplish the wrk. Lcal Experience: Each firm shall be evaluated n its familiarity with lcal public agency cdes, regulatins, prcedures and infrastructure 4 requirements. Each firm shall be evaluated n its familiarity with 10 pints surveying requirements and prcedures fr parcel maps, lt-line adjustments, ALTA/ACSM surveys, bundary surveys within San Jaquin Cunty. Other: Each firm shall be evaluated n any additinal supprtive 5 5 pints infrmatin that demnstrates their capabilities t best suit the needs f the HACSJ. 100 pints Maximum Pints (Befre Sectin 3, MWBE, Recycle Materials, etc. Bnus Pints/Preferences) 4.3 Preference Evaluatin Factrs: The fllwing factrs will be utilized by the staff member assigned by the HACSJ t evaluate each prpsal submittal received: NO. 5.3 The HACSJ reserves the right t enter int cntracts with mre than ne prpser and may award up t three cntracts fr as-needed civil engineering and surveying services. In the event the primary civil engineering and surveying service firm desn t have the time r resurces t prvide the needed services related t individual prjects, the HACSJ may call upn the secnd and third-highest-ranking firms t prvide such services. 5.4 Selectin may be made f multiple prpsers deemed t be fully qualified and best suited amng thse submitting prpsals n the basis f the evaluatin factrs included in the RFQ. Negtiatins shall be cnducted with the prpsers s selected, including pricing. Ttal cntract pricing shall be based n an annual nt-t-exceed amunt. The HACSJ may cancel this Request fr Qualificatins r reject prpsals at any time prir t an award, and is nt required t furnish a statement f the reasns why a particular prpsal was nt deemed t be the mst advantageus. Shuld the HACSJ determine in writing and in its sle discretin that nly ne prpser is fully qualified, r that ne prpser is clearly mre highly qualified than the thers under cnsideratin, a cntract may be negtiated and awarded t that prpser. The cntract will incrprate by reference all the requirements, terms and cnditins f this RFQ slicitatin, the prpsal submittal, and pricing fee structure as negtiated. 5.5 Cntract Cnditins: The fllwing prvisins are cnsidered mandatry cnditins f any cntract award made by HACSJ pursuant t this RFQ: Cntract Frm: The HACSJ will nt execute a cntract n the successful prpser's frm. Cntracts will nly be executed n a frm supplied by the HACSJ (please see Sample Cntract, Attachment E1). By submitting a prpsal the successful prpser agrees t d s. Please nte that the HACSJ reserves the right t amend this frm as the HACSJ deems necessary. Hwever, the HACSJ will cnsider any cntract clauses that the prpser wishes t include. The failure f the HACSJ t include such clauses des nt give the successful prpser the right t refuse t execute the HACSJ's cntract frm. It is the respnsibility f each prspective prpser t ntify the HACSJ in writing prir t submitting a prpsal, f any cntract clause that he/she is nt willing t include in the final executed cntract and abide by. The HACSJ will cnsider and respnd t such written crrespndence, and if the prspective prpser is nt willing t abide by the HACSJ's respnse (decisin), then that prspective prpser shall be deemed ineligible t submit a prpsal. Assignment f Persnnel: The HACSJ shall retain the right t demand and receive a change in persnnel assigned t the wrk if the HACSJ believes that such change is in the best interest f the HACSJ and the cmpletin f the cntracted wrk. Cntractr shall select and emply the replacement persnnel. Unauthrized Sub-Cntracting Prhibited: The successful prpser shall nt assign any right, nr delegate any duty fr the wrk prpsed pursuant t this RFQ (including, but nt limited t, selling r transferring the cntract) withut the prir written cnsent f the HACSJ. Any purprted assignment f interest r delegatin f duty, withut the prir written cnsent f the HACSJ shall be vid. It may result in the cancellatin f the cntract with the HACSJ, r may result in the full r partial frfeiture f funds paid t the successful prpser as a result f the prpsed cntract; either as determined by the HACSJ. 5.6 Cntract Perid: The selected prpser(s) shall serve as ne f HACSJ s civil engineering and surveying service prvider(s) fr a perid f ne (1) year frm the signing f the prfessinal service cntract. The HACSJ reserves the right t terminate the cntract when it is determined it is in the best interest f the HACSJ. The HACSJ may als elect t renew the annual cntract fr an additinal fur (4) years, up t a maximum ttal f five (5) cnsecutive years. 5.7 Licensing and Insurance Requirements: Prir t award (but nt prir t submissin f the prpsal) the successful prpser will be required t prvide t the HACSJ: Cpies f any required current City, State and/r Federal licenses. Failure t maintain these licenses in a current status during the term(s) f this cntract shall cnstitute a material breach theref. Prf f insurance cverage as utlined in the HACSJ dcument Insurance Requirements fr Architectural and Engineering Cnsultants Attachment H. The requested related infrmatin shall als be entered where prvided fr n the Prfile f Firm Frm. DO NOT ATTACH COPIES TO THE PROPOSAL SUBMITTED. The HACSJ will garner the necessary certificates frm the successful prpser prir t cntract executin. 5.8 Right t Negtiate Final Fees: The HACSJ shall retain the right t negtiate the amunt f fees that are paid t the successful prpser. Such negtiatins shall begin after the HACSJ has chsen a tp-rated prpser. If such negtiatins are nt, in the pinin f the HACSJ, successfully cncluded, the HACSJ shall retain the right t end such negtiatins and begin negtiatins with the next-highest-rated prpser. The HACSJ shall als retain the right t negtiate with and make an award t mre than ne prpser, as lng as such negtiatin(s) and/r award(s) are addressed in the abve manner (i.e. tp-rated first, then next-rated fllwing until a successful negtiatin is reached). 5.9 Requirements Cntract/Task Order Basis: The HACSJ des nt at this time knw the full extent f the wrk that the HACSJ will need the successful prpser t perfrm. Therefre, the prpsed cntract shall be cnsidered t be a requirements cntract (RC) with wrk rdered n a task rder basis. This means that the HACSJ will rder wrk n an as-needed basis, and the successful prpser will prvide the wrk pursuant t the unit csts prpsed and/r negtiated. The HACSJ reserves the right t rder any quantity f wrk pursuant t the prpsed cntract. This means that there shall be n minimum r maximum amunt f wrk that will be rdered, either n an individual rder basis r in ttal. Hwever, any such wrk rdered will be in cnfrmance with an HACSJ Bard-apprved budget, a specific nt-t-exceed (NTE) amunt apprved by the HACSJ Bard f Cmmissiners and shall nt exceed the NTE amunt listed n the current cntract. 5.10 Cntract Service Standards: All wrk perfrmed pursuant t this RFQ must cnfrm and cmply with all applicable lcal, State and Federal laws.
