Solutions Expo Guidelines & Regulations These guidelines shall apply to the use of exhibit booth space by an exhibitor at the QAD Solutions Expo 2017 ( Expo ), being held during the Explore 2017, Detroit, MI QAD Customer Conference ( Explore ). By completing this contract, the exhibitor agrees to comply with all rules, guidelines and regulations outlined below. Exhibitor's participation at Explore shall at all times be in accordance with the terms of this contract and further limited to the terms of Exhibitor's current Alliance Agreement with QAD. The opportunity to exhibit and sponsor is offered to QAD partners in good standing and with no past due financial obligations to QAD. CONTRACT FOR SPACE: The exhibitor fee includes (1) booth as defined below under Booth Information as well as full conference registrations and complimentary Exhibitor Only Registrations as indicated by sponsorship level. An exhibitor s application for booth space, once endorsed by QAD Inc. ( QAD ), constitutes a contract for the right to use the space, subject to receipt of payment for space rental. Payment in full allows you to reserve your specific booth space. All fees must be paid by March 9, 2017. After March 9th allocation of spaces and deliverables will be assigned by QAD utilizing the best remaining options available. Subletting or sharing of space is strictly prohibited. CANCELLATION and NO SHOW POLICY: If you must cancel your sponsorship, all fees paid less $250 will be refunded if cancellation notice is provided by March 9, 2017. In the event of a cancellation after this date, QAD will attempt to resell the sponsorship and if sold, QAD will refund fifty percent (50%) of the amount paid. Cancellation notice should be sent to: QAD Inc. ATTN: Tracy Doyle t2d@qad.com. For no shows, if your booth space is unoccupied as of the opening of the event, QAD may rent or use the space without obligation. In the event the event or your sponsorship is cancelled by QAD all Sponsorship fees shall be promptly refunded by QAD. EVENT: QAD is again proud to make Explore 2017 a green event again this year. Please leverage electronic media for delivery of collateral. Please join QAD in limiting the use of paper where possible in the Solutions Expo. Paper handouts outside of the exhibit area are not permitted. Booth drawings and giveaways as participation incentives are acceptable. BOOTH INFORMATION: Each 10x10 booth space contains the following standard equipment: One (1) 6 black draped table, 2 chairs and waste basket Side and back draping 1-110-volt outlet Nightly carpet cleaning service Notes: Computers, monitors, Internet access, etc. would be arranged by the exhibitor with the onsite provider It s your responsibility to know all exhibitor rules outlined in the exhibitor kit. Freeman is the official Explore exhibition services provider and can help in the coordination of your booth. All services are outlined in the exhibitor kit that will be emailed to you upon confirmation of your booth space. Any additional signs, furniture, utilities, storage and supplies contracted with Freeman will be the responsibility of the exhibitor to manage, arrange and pay for directly. 3

EXPO OPEN HOURS (subject to change): Day Open Close Comment Tuesday, May 9 7:00 8:30 Breakfast 12:00 5:00 Lunch and exhibition 5:00 7:00 Expo Reception Wednesday, May 10 7:00 5:00 MOVE-IN/MOVE-OUT: Exhibitors must register with the Explore registration desk to receive an official Explore name badge that will be required for admission to the exhibit hall. Move-in/move-out hours are: Day Start Finish Comment Monday, May 8 1:00 pm 7:00 pm Move in and set up Wednesday, May 10 5:00 pm 9:00 pm Tear down and Move out These are the ONLY allotted time for set-up/tear down and all work must be completed during these times. Have your materials available and your booth ready or disassembled by the designated time. If you can t meet the schedule and QAD incurs fees to put up, tear down and/or store your materials, you agree to pay those additional direct costs. Freeman Material Handling Department is responsible for maintaining in and out traffic schedules at the show site. All exhibitors will need to clear all movements of exhibit materials through this department Exhibitor agrees to abide by applicable local rules and regulations and/or union work rules that apply. Any questions can be directed to Freeman. LIABILITY, INDEMNITY and INSURANCE: QAD will provide security guards in the exhibit area during the off-hours, and will take reasonable precautions to safeguard exhibitor s property. However, the event hosting facility, Freeman and QAD shall have no liability whatsoever for loss or damage, through any cause, of goods, hand carried items, exhibits, or other material owned, rented or leased by the exhibitor and exhibitor shall indemnify the event hosting facility, Freeman, and QAD against, and hold them and their representatives harmless from complaints, suits or liabilities resulting from negligence of the exhibitor in connection with the exhibitors use of display space. Exhibitor s personal effects, souvenir handouts and other small, easily removed valuable items should not be left unattended. Exhibitors are encouraged to remove any valuable items from the exhibit area. Exhibitors may wish to purchase additional insurance at their own expense. In no event shall QAD have any liability for incidental, consequential, special, indirect, or punitive damages for any harm arising from, or related to, the use of exhibit space under this agreement. 4

Exhibitor Rules of Conduct 1. Abide by the direction/instructions provided by QAD at the event. This is a live and dynamic event. Schedules can change - be ready and be flexible. 2. Side meetings or events (including hospitality rooms/events) overlapping or immediately before, during or after group events which involve more than 10 attendees at an event must be scheduled and approved with QAD in advance. 3. Sponsor hosted events outside of the conference agenda should not begin or end within 30 minutes of any event on QAD s published agenda. Non QAD Explore sponsors are not allowed. 4. All the programs and promotional opportunities offered are done so by QAD only. Do not undertake, create or participate in unofficial or independent options/programs at the event. (The presentation program at events is usually independent of the exhibiting process and exhibiting areas.) 5. Explore is a paperless event, please leverage electronic and on demand media for delivery of collateral as much as possible. No paper handouts outside of the exposition area are permitted, and please join QAD in limiting the use of paper as much as possible. Booth drawings and giveaways as participation incentives are acceptable. 6. All exhibitor staff involved in Explore must register for the event. Registrations may not be shared. 7. Staff your booth at all the designated exhibition times. Staff your exhibit space with your direct employees only. Independent contractors or related companies are not permitted without the direct written approval of QAD. Staff must wear Explore credentials at all event programs. Registration holders may attend all events, sessions and meals. Exhibitor personnel will be admitted to the exhibit floor by badge, one-hour prior to the opening each day. Admittance at any other time is by special pass signed by the Expo Exhibit Manager. Note: Persons under the age of 16 are not permitted in the exhibit hall. 8. Ensure your marketing/promotional materials and messaging are consistent with QAD requirements. You may submit content/questions in advance for approval which will be done in writing. Promotional materials may only be distributed from your booth in the exhibit area or other area as specifically designated by QAD. Promotional materials can be distributed in the Exhibit Hall only. Collateral cannot be freely distributed through independent room or table drops, at the entry/exit of presentations, hall way promotions and the like. 9. Names of participants may be provided by QAD and the participants directly. This information is intended for the direct use of the exhibitor. Exhibitor agrees this information will be used to promote products or services presented at the event and which contribute to the user's or their company s success with QAD products. User lists or other information about users obtained from or through the event are intended for the exhibitor only and may not be sold, bartered or exchanged. 10. If your behavior, presentation, participation etc. is found to be disruptive or violates rules or guidelines, you may be asked to leave the event and your exhibit/sponsorship can be revoked immediately. No compensation or refunds will be provided by QAD under these circumstances. If you have any questions surrounding this agreement, your compliance, questions about what is acceptable or not, or the need for exceptions, please contact the QAD Director, Global Events or QAD Director, Alliances. 5

OTHER TERMS & CONDITIONS: All exhibits are under the management and control of QAD. Only authorized QAD personnel have authority to make decisions affecting conference and exhibit activities. QAD shall have final authority as to interpretation of these rules and their application. QAD reserves the right to amend these rules and regulations or to make additions thereto.
