March 2019 Re: Changes to the investments in the OhioHealth Retirement Savings Plan on April 30, 2019 Dear Associate: OhioHealth is committed to periodically reviewing the OhioHealth Retirement Savings Plan to make sure it continues to help you meet your retirement and financial goals. Among the things considered are the range of investment options available through the Plan, investment option performance and value, and whether the Plan gives you access to services that complement your account. In addition, OhioHealth is focused on keeping your investment fees competitive. As a result of a recent review, OhioHealth is making changes to the OhioHealth Retirement Savings Plan s investment lineup to help lower overall investment cost for associates. The changes described on the following pages will take place without any action required on your part. However, if you are not satisfied with how your current investment elections will be modified, you will have the opportunity to make changes. Changes to the OhioHealth Retirement Savings Plan Investment Share Changes the potential for lower overall investment cost for associates. Effective April 30, 2019, some of the Plan s funds are transitioning to a different share class. As a result, the fund codes, ticker symbols, and ratios will change. The new share class will offer the same investment strategy and risk, but the overall s will change. Except for the change of the Vanguard Index Fund Shares to the Vanguard Index Fund Plus Shares, the ratios for the funds in the new share classes will be higher prior to considering the availability of the revenue rate described below that we believe may result in lower overall investment cost for associates. A quarterly revenue may be allocated to your account if you hold one of these investments during the prior quarter. Revenue s may help reduce your overall net cost to invest through the plan. The represents the allocation of a portion of the revenue associated with the fund(s), based in part on your average daily balance in the fund(s). Revenue s are associated with some, not all, of the investment options in your plan. Review the chart below to determine which funds have revenue s associated with them. The information in this chart is provided as of February 15, 2019. The ratios for the new funds in the chart below, along with the revenue program, are designed to keep your costs to investment through the plan reasonable and competitive, based on OhioHealth s research and oversight. 1

HERE S HOW THE FUNDS WILL TRANSFER TO THEIR NEW SHARE CLASSES If you are invested in any of the funds that are moving to a new share class, expect your account statement to show an exchange according to the following table. The transfer will take place after 4 p.m. Eastern time on April 30, 2019. This number does not include any fee waiver arrangement or reimbursement that may be terminated without agreement of the fund s board of trustees during the one-year period. 3 The estimated net cost to invest includes the fund s ratio, less the amount of revenue allocated to your account, if any. It does not include the recordkeeping fee. Expense information as of February 15, 2019. The rate does not reduce the gross or net ratio of the investment option. Important Note The estimated net cost to invest is for illustrative purposes only; your costs and s are based on your actual investments in the Plan. Expense ratios shown are based on the fund s most recent fiscal year end. You ll be eligible to receive a revenue if you have been invested in one of the funds in the chart at any time during the relevant quarter and have a balance in the plan at the time the is allocated. The will be allocated to your account and reinvested in the same fund that generated the. If you no longer hold the fund at the time of the allocation, the amount will be invested according to your current investment mix. You will see the amount listed as a Revenue Credit on your Fidelity statement and in your account transaction history online at NetBenefits.com/OhioHealth. Although fees and s are common considerations in choosing investment options, it is important to also consider other crucial factors, such as time horizon, risk tolerance, and financial situation, when deciding on an investment mix that s right for you. Additional Information The dates shown are based on the timing and accuracy of a variety of factors, including the transfer of data, receipt of instructions, and receipt of assets. Changes in any of these factors may result in changes to the dates and timing, including the dates on which, and thus the prices at which, assets in your account are sold and/or reinvested. Important Note If You Use Automatic Rebalance If your existing Automatic Rebalance election includes an old investment option(s), your Automatic Rebalance election will automatically be updated to replace the old investment option(s) with the new investment option(s). 3

Metropolitan West Total Return Bond Administrative Ticker: MWTNX Gross ratio: 0.78% as of 07/27/2018 Objective: The investment seeks to maximize long-term total return. This effect is usually more pronounced for longer-term securities.) Fixed income securities also carry inflation risk and and default risks for both issuers and counterparties. Strategy: Under normal circumstances, the fund invests at least 80% of its net assets, plus any borrowings for investment purposes, in investments related to real assets and real asset companies. It seeks to achieve its investment objective by allocating its assets among general investment categories related to real assets and real asset companies (which include tangible assets and investments that are expected to perform well in periods of rising or high inflation). Strategy: The fund employs an indexing investment approach designed to track the performance of the Standard & Poor's 500 Index, a widely recognized benchmark of U.S. stock market performance that is dominated by the stocks of large U.S. companies. Glossary of Terms Fund fee ( ratio) This is the fee a fund charges for investment management, accounting, custody, compliance, shareholder communications, and other activities associated with the day-to-day operation of the fund. A fund s fee is charged as a percentage of the fund s assets and is called the fund s ratio. You don t pay fund fees directly. Instead, the fund s fee is deducted from the fund s assets, reducing the fund s return. Fund fees can vary widely and may change over time, depending in part on the type of fund, its management, and the risks and complexities of the fund s strategy. In some cases, an offset arrangement may exist with the plan for a specific fund, which may reduce the overall cost to invest through the plan. Investment management fee This is the fee a fund pays to its investment manager for buying and selling securities, including transaction costs for trading of the fund s assets. Plan s These are the costs incurred by your plan for recordkeeping, administration, tax reporting, compliance, communications, and other activities associated with the plan s day-to-day operations. Recordkeeping fee This is a flat fee of $58.00 per year deducted quarterly charged to associate accounts. The fee covers the plan s and will be listed on associate account statements under Administrative Fees in the Account Summary section. Recordkeeping services These are the recordkeeping, phone support, accounting, and other services Fidelity provides for your plan. Revenue This is a quarterly that may be allocated to your account based on the investments you hold. Revenue s may help reduce your overall net cost to invest through the plan. A revenue represents a portion of the revenue associated with a specific fund, based in part on your average daily balance in the fund. The amount you receive is based on the amount you have invested in the fund. Revenue s are associated with some, not all, of the investment options in your plans, so make sure you understand which funds offer a and which don t. For example, if you have a balance of $5,000 in a fund in each quarter that provides an annual revenue of 0.20%, you will receive a $2.50 quarterly in your account (.002 x $5,000/4), $10 annual. That will be reinvested in the fund and will be shown on your account statement. The revenue is discretionary. The plan may change or terminate the or its amount at any time, which would affect the estimated net investment costs shown in this brochure. Share class A mutual fund may offer more than one class of its shares to investors. Each share represents a proportionate amount of ownership in the mutual fund s portfolio. Each share class may have a different ratio, which is directly tied to how the fund is purchased by the investor. Some share classes are available only to large institutional investors. Before investing in any mutual fund, consider the investment objectives, risks, charges, and s. Contact Fidelity for a prospectus or, if available, a summary prospectus containing this information.
