BASE PROSPECTUS INVESTEC BANK PLC (incorporated with limited liability in England and Wales with registered number 489604) Structured Warrants Programme Under its Structured Warrants Programme (the "Programme"), Investec Bank plc (the "Issuer") may from time to time issue warrants (the "Warrants"), including Warrants that are linked to the performance of one or more underlying assets (each an "Underlying"), being (i) a single share or a basket of shares (such Warrants being the "Equity-Linked Warrants") or (ii) a single index or a basket of indices (such Warrants being the "Index-Linked Warrants"). An investment in Warrants issued under the Programme involves certain risks. For a discussion of these, see "Risk Factors" below. This Base Prospectus has been approved by the United Kingdom Financial Conduct Authority (the "FCA"), which is the United Kingdom competent authority for the purposes of Directive 2003/71/EC amended by Directive 2008/11/EC, Directive 2010/73/EU and Directive 2010/78/EU (the "Prospectus Directive") and relevant implementing measures in the United Kingdom, as a base prospectus issued in compliance with the Prospectus Directive and relevant implementing measures in the United Kingdom for the purpose of giving information with regard to Warrants issued under the Programme during the period of twelve months after the date hereof. The Issuer has been assigned the following long-term credit ratings: BBB- by Fitch Ratings Limited ("Fitch"), Baa3 by Moody's Investors Service Limited ("Moody's") and BBB+ by Global Credit Rating Co. The Issuer is a public limited company registered in England and Wales under registration number 00489604. The liability of its members is limited. The Issuer was incorporated as a private limited company with limited liability on 20 December 1950 under the Companies Act 1948 and registered in England and Wales under registered number 00489604 with the name Edward Bates & Sons Limited. Since then it has undergone changes of name, eventually re-registering under the Companies Act 1985 on 23 January 2009 as a public limited company and is now incorporated under the name Investec Bank plc.
