Adopt a resolution authorizing the termination of an agreement for janitorial services with Crystal Management and Maintenance Services Corporation. 2. Adopt a resolution authorizing the Village Administrator to sign an agreement for janitorial services with ABC Commercial, Inc. Executive Summary: In 2016, the Village completed a competitive bid process for janitorial cleaning services at the Police Station, Public Works, Village Hall, and train station. The lowest bidder was Crystal Management and Maintenance Services, which submitted a bid of $47,580 per year to clean the buildings. The lowest bidder was awarded an agreement from September 1, 2016 August 31, 2018. Staff has continually worked with the company to ensure they complied with all terms set forth in the agreement and that the scope of work for cleaning services were performed at a satisfactory level. Ultimately, staff provided advance notice to the company that the agreement would be terminated effective October 13. Staff recommends that the second lowest bidder, ABC Commercial, Inc., which submitted a bid of $47,940 per year, be awarded an agreement from October 14, 2017 September 30, 2019. RESOLUTION NO. 2017- A RESOLUTION AUTHORIZING THE TERMINATION OF AN AGREEMENT FOR JANITORIAL SERVICES BETWEEN THE VILLAGE OF ROSELLE AND CRYSTAL MANAGEMENT AND MAINTENANCE SERVICES CORPORATION WHEREAS, the corporate authorities of the Village of Roselle approved an agreement (hereinafter referred to as Agreement ) on August 8, 2016 between the Village of Roselle and Crystal Management and Maintenance Services (hereinafter referred to as Contractor for Janitorial and Cleaning Services; and WHEREAS, the Agreement was for the period beginning September 1, 2016 and ending August 31, 2018; and WHEREAS, Section 23 of the Agreement allows for the Agreement to be cancelled by the Village at any time with at least 30 days advance written notice; WHEREAS, the Contractor was provided written notice on that provides the Agreement will be cancelled effective October 13, 2017; NOW, THEREFORE, be it resolved by the Mayor and Board of Trustees of the Village of Roselle that the Village Administrator, or his designee, is hereby authorized: a.) RESOLUTION NO. 2017- A RESOLUTION AUTHORIZING THE VILLAGE ADMINISTRATOR TO SIGN AN AGREEMENT FOR JANITORIAL CLEANING SERVICES BETWEEN THE VILLAGE OF ROSELLE AND ABC COMMERCIAL INC. WHEREAS, the corporate authorities of the Village of Roselle deem it in the best interests of the Village to enter into an agreement with ABC Commercial, Inc. located at 212 S. 1. PREAMBLE This Service Agreement (hereinafter referred to as Agreement ) is entered into by and between the Village of Roselle, an Illinois Municipal Corporation (hereinafter referred to as Village ) located at 31 S. Prospect Street, Roselle, IL 60172 and ABC Commercial, Inc. (hereinafter referred to as Contractor ), an Illinois Corporation located at 212 S. Milwaukee Avenue, Suite B, Wheeling, IL 60090. In consideration of the mutual promises, covenants and agreements contained herein, the parties hereto, by their duly authorized representatives and/or agents, do mutually covenant and agree as follows: 2. STATEMENT OF WORK The Contractor hereby agrees to furnish and provide all supervision, labor, materials, tools and equipment necessary to provide the scope of cleaning and janitorial services as set forth in the Agreement for a term beginning October 14, 2017 and terminating September 30, 2019. An extension term of two (2) additional years may be exercised upon mutual agreement between the Village and the Contractor. Not later than three (3) months prior to the expiration of the initial term, the Contractor may submit a proposal for the renewal of the Agreement. If the Village and the Contractor are unable to agree on mutually acceptable terms for a renewal term, the Village shall be free to solicit bids or requests for proposals from other contractors for a new Agreement, and the Contractor shall be free to bid for such contract or submit its proposal as the case may be. 3. GENERAL SCOPE OF WORK The Contractor shall be responsible for performing all work as outlined in this Agreement by providing a full range of cleaning and janitorial services for the following Village facilities: Police Department (103 S. Prospect), Public Works Administration Building (474 Congress Circle West), Village Hall (31 S. Prospect) and the Metra Train Station (540 E. Irving Park Road). The nature of the service will be ongoing cleaning and janitorial services to ensure proper cleaning and sanitization of the facility. It is intended that the services provided by the Contractor include all functions normally considered a part of workmanlike, satisfactory cleaning and janitorial work, whether or not specifically listed herein. The Village s satisfaction with the cleaning and janitorial services performed shall be a material term of this Agreement. The Contractor s employees shall always be presentable, courteous and receptive to the direction of the Village s representatives. There shall be at least one member of the Contractor s work crew performing work in Village facilities capable of understanding and reading clear directions and conversing in the English language with the Village s representatives. The Contractor shall report status and condition of Village facilities on a daily basis identifying problems and corrective actions to the Village s representative. 4. SCOPE OF SERVICES Details of the services to be provided by the Contractor to the Village in the areas of cleaning and janitorial services are contained within Appendix A. Appendix A contains a description of the cleaning service intervals for each area and each type of service to be performed at the facility. It shall be the responsibility of the Contractor to comply with these service intervals and meet the levels of service described. 5. CONTRACTOR AND VILLAGE PROVIDED SUPPLIES The Contractor shall supply all cleaning solutions, soaps, detergents, waxes, polishes, brooms, mops, rags, sponges, squeegees, buckets, mechanical polishers, buffers, vacuum cleaners and other items, tools or equipment needed to clean and sanitize the buildings. Unless otherwise agreed upon by both parties, the Village shall provide the following supplies: paper towels to refill dispensers, toilet paper, facial tissue, waste can liners, and hand soap. If the Contractor provides supplies, as mutually agreed upon by both parties, the Contractor shall invoice the Village for the actual cost of the supplies. The Contractor shall make no profit on the supplies it provides to the Village. The Village shall also provide the Contractor with an appropriate secure area for the storage of cleaning supplies, implements and machinery; these implements, cleaning supplies and 3 of 12

machinery will be kept in a sanitary and odor-free condition. All materials shall be stored in a manner/location as directed by the Village and such materials shall be moved by the Contractor if requested to do so by the Village Administrator or his designee. The Contractor shall supply the Village Administrator or his designee with Material Safety Data Sheets (MSDS) for all cleaning solutions, soaps, detergents waxes and polished being used as part of this Agreement. 6. DAYS OF SERVICE Unless otherwise agreed to by both the Village and the Contractor, the following shall be the work schedule. Services shall be performed on the days and between the times as described below. Weekly work hours are the minimum number of hours the Contractor agrees to perform cleaning and janitorial services at the facility. The Village will provide advance notification to the Contractor as to which nights public meetings will be held. Service will not be required at the Public Works, Village Hall and Metra Train Station as specified in Appendix B Holiday Schedule. A modified schedule of service will be in effect on holidays at the Police Department. The private offices, conference rooms, common office areas, hallways and restrooms located on the second floor will not be cleaned on holidays or Saturdays and Sundays. All other areas of the Police Department will be cleaned on holidays and Saturdays with the exception of December 25 and January 1 when no cleaning services will be provided. 7. EMERGENCY SERVICES The Contractor agrees to respond to any emergency requests made necessary by weather, plumbing failure, mechanical failures, leaks, accidents or as otherwise requested by the Village; 24 hours per day, 7 days per week, 365 days per year. Any Services of this nature must be pre-approved by the Village. The Contractor may charge the Village for these services at the Emergency Rate provided in Section 9, billed in 30 minute increments. 8. WEEKEND SERVICES Unless Services are required pursuant to Sections 6 or 7, the Contractor will not provide Services on Saturdays and/or Sundays. However, should the Village require Services on weekends, the Contractor may charge the Village for these services at the Weekend Rate provided in Section 9, billed in 30 minute increments. 9. COST FOR SERVICES The Contractor shall be compensated for cleaning and janitorial services in accordance with the following rate schedule. The rates provided shall include any and all charges, costs, taxes, fees for providing the services. LOCATION POLICE STATION 103 S. BILLING AND PAYMENT The Contractor shall submit a separate bill for each location cleaned on a monthly basis for work completed and supplies provided the previous month. Payment will be made by the Village in compliance with the Local Government Prompt Payment Act (50 ILCS 505/) and only when all work has been completed in a satisfactory manner and the conditions herein have been met. The Contractor shall charge the Village for the actual cost of any supplies provided and shall make no profit on the supplies it provides to the Village. 11. WALK THROUGH INSPECTIONS Walk through inspections with the cleaning supervisor(s) will be scheduled with the Village's designee(s) to observe and evaluate current service levels. 12. SUPERVISION AND TRAINING Competent English speaking supervisory personnel shall be present at each facility on a regular basis. The Contractor shall properly schedule and train all of its personnel. The Contractor s supervisor shall visit each facility being cleaned no less than once a month to confirm that it has been completed in a satisfactory manner. The Village reserves the right to have the Contractor assign a new contact, supervisor, and/or staff, for the Village s account if the current supervisor(s) are deemed unacceptable. 13. UNIFORMS Uniforms and name tags, including the Contractor s corporate name and/or logo, shall be worn by the Contractor s employees. A picture ID with the Contractor s company logo shall be on the Contractor s personnel at all times while cleaning at Village facilities. 14. APPROVAL AND REMOVAL OF PERSONNEL The Contractor shall conform to federal laws and employ only individuals who may legally work in the United States. Employees that will be driving between Village facilities shall possess a valid driver s license. The Village reserves the right to disallow any employee from performing services at Village facilities. The Village also reserves the right to disallow any employee from performing services at Village facilities if the employee has been convicted of a felony or any type of misdemeanor involving, but not limited to, theft, fraud, or deceit. The Contractor shall submit to the Village Administrator, or his designee, a current list of the names of all cleaning service employees that will be providing services at the facility. Changes in the employment list shall be reported to the Village Administrator or his designee within 24 hours. 5 of 12

The Village, in its sole discretion, shall have the right to instruct the Contractor to remove any on-site personnel from their Roselle assignment if those personnel are deemed unacceptable. The Contractor, at its sole cost, shall be responsible for replacing the personnel with professional personnel that meet the requirements in this Agreement. 15. INDEPENDENT CONTRACTOR The Contractor acknowledges that it is an independent contractor and that none of its employees, agents, or assigns are employees or agents of the Village. The Contractor shall make all unemployment, social security, and other payroll taxes required by law or union contract. 16. ASSIGNING AGREEMENT It is mutually understood and agreed that the Contractor shall not assign, transfer, convey, or otherwise dispose of this Agreement or the right, title, or interest therein, or the power to execute such Agreement, to any other person, firm, or corporation, without the prior written consent from the Village Administrator or his designee; but in no case shall that consent relieve the Contractor from the obligations or change the terms of the Agreement. 17. COMPLIANCE WITH LAWS The Contractor shall comply with all applicable laws, regulations, and rules promulgated by any Federal, State, County, Municipal and/or other governmental unit or regulatory body now in effect or which may be in effect during the performance of the work. Included within the scope of the laws, regulations, and rules referred to in this paragraph but in no way to operate as a limitation, are Minimum Wage and Overtime Law, Occupational Safety and Health Act, Illinois Department of Labor, Department of Transportation, Worker s Compensation Law, Prevailing Wage Laws, the Social Security Act of the Federal Government and any of its titles, the Illinois Department of Human Rights, Human Rights Commission, or EEOC statutory provisions and rules and regulations and applicable environmental laws regarding the use and disposal of hazardous substances and waste. 18. PROHIBITED ACTIONS The Contractor shall maintain proper security at the facility in which work is being conducted. This includes, but is not limited to, keeping doors locked (i.e. not propping them open) and no unauthorized individuals shall be admitted into any building at any time by the Contractor. Cleaning service personnel shall not disturb paper on desks, tables or cabinets and shall not use any Village equipment including, but not limited to, telephones, fax machines, computers and copiers. The Contractor will also be responsible for securing facilities at the time of leaving the facilities. The Contractor shall be responsible for immediately reporting any irregularities that are discovered during the course of working in the Village facilities. These may include unlocked doors, broken windows, defective plumbing, as well as loose railings, etc. The unlawful manufacture, dispensing, possession, use, or distribution of illicit drugs or alcohol is prohibited on Village premises. No proprietor/partner/executive officer or any other member of the Contractor who is excluded from Workers Compensation and Employers Liability insurance coverage shall perform cleaning or janitorial services pursuant to this Agreement. 19. DAMAGE TO PUBLIC OR PRIVATE PROPERTY Any damage of public or private property caused by the Contractor s operations shall be resolved with the property owner within ten (10) days after damage occurs to the satisfaction of the Village. The Contractor shall inform the Village of any damage caused by the Contractor s operation on the day such damage occurs. Should the damage not be rectified within the time frame agreed upon or to the satisfaction of the Village, the Village reserves the right to repair or replace that which was damaged or assess the successful bidder such cost as may be reasonable and related to damaged caused by the Contractor, and deduct these costs from any payment due the Contractor. 20. INSURANCE REQUIREMENTS A. The Contractor shall procure and maintain, for the duration of the Agreement, insurance against claims for injuries to persons or damages to property, which may 6 of 12

arise from or in connection with the performance of the work hereunder by the Contractor, agents, representatives, employees or subcontractor. Insurance shall be placed with insurers licensed to do business in the State of Illinois. The Contractor shall be responsible for payment of all policy deductible and shall maintain limits no less than the following: i. Workers' Compensation and Employers' Liability: Workers' Compensation coverage with statutory limits and Employers' Liability limits of $500,000 per accident. ii. Commercial General Liability: $1,000,000 combined single limit per occurrence for bodily injury, and property damage and $1,000,000 per occurrence for personal injury. The general aggregate shall be twice the required occurrence limit. Minimum General Aggregate shall be no less than $2,000,000. iii. Business Automobile Liability: $500,000 per accident for bodily injury and $100,000 per accident for property damage. iv. An Umbrella Insurance Policy in an amount not less than $1,000,000 per occurrence. B. The Contractor shall cause the Village, its officials, agents, employees and volunteers to be covered as additional insured as respects to: liability arising out of the Contractor s work, including activities performed by or on behalf of the Contractor; products and completed operations of the Contractor; premises owned, leased or used by the Contractor; or automobiles owned, leased, hired or borrowed by the Contractor. The coverage shall contain no special limitations on the scope of protection afforded to the Village, its officials, agents, employees and volunteers. C. The Contractor s insurance coverage shall be primary as respects to the Village, its officials, agents, employees and volunteers. Any insurance or self-insurance maintained by the Village, its officials, agents, employees and volunteers shall be excess of the Contractor s insurance and shall not contribute with it. D. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the Village, its officials, agents, employees and volunteers. E. The Contractor shall furnish the Village with certificates of insurance naming the Village, its officials, agents, employees and volunteers as additional insured, and with original endorsements affecting coverage required by this Agreement. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. F. Each insurance policy required by this Agreement shall be endorsed to state that coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the Village. G. The Contractor shall assume liability for all injury to or death of any person or persons including employees of the Contractor, any sub-contractor, any supplier or any other person and assumes liability for all bodily injury and property damage sustained by any person or persons occasioned by or in any way arising out of any work performed pursuant to this Agreement. H. In the event of accidents of any kind (including injuries to the Contractor s employees), which involve the general public, and/or private or public property, the Contractor shall immediately notify the Village Administrator s Office and shall provide a full accounting of all details of the accident. The Contractor shall furnish 7 of 12

the Village with copies of all reports of such accidents at the same time that the reports are forwarded to any other interested parties. I. The Contractor shall provide proof of insurance as required by this section to the Village Administrator, of his designee, prior to commencement of the work under this Agreement. The Contractor shall also provide the Village Administrator, or his designee, with any change in insurers providing insurance required by this section. 21. INDEMNITY AND HOLD HARMLESS To the fullest extent permitted by law, the Contractor hereby agrees to defend, indemnify and hold harmless the Village, its officials, agents and employees, against all injuries, deaths, loss, damages, claims, patent claims, suits, liabilities, judgments, cost and expenses, which may in anywise accrue against the Village, its officials, agents and employees, arising in whole or in part or in consequence of the performance of this Agreement by the Contractor, its employees, or subcontractor, or which may in anywise result therefore, except that arising out of the sole legal cause of the Village, its agents or employees. The Contractor shall, at its own expense, appear, defend and pay all charges of attorneys and all costs and other expenses arising therefore or incurred in connections therewith, and, if any judgment shall be rendered against the Village, its officials, agents and employees, in any such action, the Contractor shall, at its own expense, satisfy and discharge the same. The Contractor expressly understands and agrees that any insurance policies required by this Agreement, or otherwise provided by the Contractor, shall in no way limit the responsibility to indemnify, keep and save harmless and defend the Village, its officials, agents and employees as herein provided. 22. NO STRIKE GUARANTEE The Contractor shall continue to provide all services in a timely and complete manner, in the event of any labor stoppage or slow down. The Contractor shall be obligated to take all reasonable and necessary steps to secure, at its sole expense, replacement personnel to perform its obligations under this Agreement. 23. TERMINATION OF AGREEMENT The Agreement may be cancelled or annulled by the Contractor with at least 30-days advance written notice and by the Village with at least 15-days advance written notice. However, the Village may immediately terminate the agreement based on the Contractor s material breach of the Agreement. 24. NON-WAIVER No course of dealing or failure of either the Village or the Contractor to strictly enforce any term, right, or condition of this Agreement shall be construed as a waiver of such term, right, or condition and shall not affect that party's right to require performance at any time thereafter. 25. HEADINGS NOT CONTROLLING The section headings inserted in this Agreement are for convenience only, and are not intended to affect the meaning or interpretation of the Agreement. 26. EXCLUSIVE JURISDICTION If there is litigation under this Agreement, the exclusive jurisdiction for such litigation shall be the Eighteenth Judicial Circuit, DuPage County, Illinois. 27. NOTIFICATION OF PARTIES All notification under this Agreement shall be made as follows: Village, Village Administrator, 31 S. Only the interior side of windows shall be cleaned at the Metra Train Station. This service shall occur once a year in the spring. Tile Striping and Waxing: Floors will be completely stripped of all wax to the original surface of the floor, resealed, recoated with wax and buffed with a buffing machine and shall be done with minimum disruption. Furniture must be moved and returned in its proper place during stripping and waxing of the floor. This service shall occur twice a year once in the spring and once in the fall at the Police Station and once a year at Public Works and Village Hall. Tile/Hard Floor Scrubbing: Floors will be machine scrubbed to remove all surface marks, dirt, salt, and blemishes and dried and buffed. Furniture must be moved during scrubbing of the floor and returned in its proper place upon completion. This service shall occur once a year in the spring at Police Station, Public Works, Village Hall and the Metra Train Station. Carpet Extraction Cleaning: Carpets will be cleaned with traditional drag wand steam extraction using truck mounted equipment with customary cleaning chemicals and cleaning solution temperatures. Pre spotting of stained areas and high traffic areas where traffic patterns are evident is required. The Contractor will move objects where practical to allow efficient cleaning, but no movement of large, heavy furnishings will be required. Tile Stripping and Waxing, Tile/Hard Floor Scrubbing, and Carpet Extraction Cleaning: All work shall be performed with advance approval by the Village after 6pm Monday thru Friday, on Saturday or Sunday from 7am to 5pm, or any other time as mutually agreed to by both parties. 11 of 12
