Board of Directors Meeting Wednesday, August 10, 2016 Room 208 In attendance: Ms. Lynne Volpe, Lew Kirk, PhD, Ms. Alba Mas, Mr. Gil Schisler, Mrs. Carol Hines-Cobb, Mr. Todd Amaden, Ms. Tahvia Shaw, Mrs. Ruby Anderson, Mrs. Tiffany Sperry, Mrs. Karen Orbegoso, Ms. Stephanie Hill-Kennedy Absent: Bonnie Salazar, PhD Call to Order Ms. Alba Mas called the meeting to order at 6:00PM. Public Comment on Agenda Items There was no comment from those attending on the agenda items. Approval of the July 2016 Minutes Ms. Mas asked for approval of the minutes. Ms. Hines- Cobb moved for approval; seconded by Ms. Volpe. The board then voted unanimously to approve the minutes. Treasurer s Report Mr. Gil Schisler (Attachment #1) No comments. Principal s Report Ms. Tahvia Shaw (Attachment #2) Faculty Report Ms. Stephanie Hill-Kennedy reported (Attachment #3) PRA Report Mrs. Karen Orbegoso reported (Attachment #4) Committee Reports New Business Old Business Development and Finance Oversight Mr. Gil Schisler reported. The committee did not meet. There were no budget issues to discuss. Governance Dr. Lew Kirk reported. The committee did meet. Dr. Kirk recommended Ms. Tracie Hiller as a new Board member. Mr. Amaden motioned, Ms. Hines-Cobb seconded it. Board voted unanimously to approve. October 12 th Board Training 5-7pm, will it be open to public? Board Meetng to take place ½ hour before training. Building Ms. Mas reported. The committee did not meet. Academic and Standards Ms. Lynne Volpe reported. Ms. Volpe recommended looking into our retention issue, looking ahead at hard data, instructional weaknesses. Valid causes for retention rates. Team Tornado kick off 8/22/16 Monopoly edition, focusing on new floors. Building committee to take lead on quotes. There was no old business. Public Comment There was no public comment.

Terrace Community Middle School Finance Committee To: BTBCSF Board Members & Finance Committee From: Gil Schisler, Treasurer Date: 08/07 RE: July 2016 YTD Operating Results ------------------------------------------------------------------------------------------------------------ These results, as outlined in this report are based on unaudited financial data, and as such is to be used for informational purposes for management only and is not intended to convey Foundation financial data to the public. Revenues: YTD revenue total $ 373.8k versus the plan of $ 360.6k for a favorable variance of 13.2k. First month of the year; still very little coming in yet with school just starting this week. Will advise as any issues develop. Expenses: YTD total spending totals $398.0k vs the plan or $ 387.4k for a variance of $ 10.5k unfavorable. Again too early in the year for issues. F&D will advise Board if there are issues developing. One note is that we finally figured out the mechanism for claiming a refund from our Repairs reserve with the bank for the $70k we spent on the roofs last year. We expect to see these funds to be available for us in the next 30 days Net Asset Changes: YTD Net asset changes are of ($24.1k) versus the plan of ($26.8k). This is favorable variance to the plan of $ 2.6k, this combination of revenues and expense changes already discussed. Cash Balances: Cash balances and working capital liquidity decreased by a net of $ 110k month over month to $1,352.1k. Of the cash balances $1,075k is encumbered by the bonds and associated mortgages. The balance of $ 277k is available to meet current foundation needs. The next Series A bond interest payment of $ 136,069 occurs November 15, 2016. The next principle payment of $135k will be due on May 15, 2017. These are all covered in the encumbered funds balances and are funded monthly with our mortgage payment. All Series B bonds have been retired. All required tax obligations and bond covenant filings are current and up to date. Respectfully submitted, Gil Schisler

Attachment #2 Principal s Report August 10, 2016 1. New employee orientation was held on August 1, 2016 for our 6 new teachers. They were invited to tonight s Board Meeting so that we could formally introduce them to you. The teachers who are here tonight are: Sheila Neugebauer 7 th Grade Math Shannon Wilson 7 th Grade Language Arts Nathan Yurchak 7 th Grade Civics All returning faculty and staff returned on August 2, 2016 excited and ready for the school year. All staff have been train for the school year procedures and incentives. 2. Yesterday we had a very successful open house our students and families appeared to be pleased and excited for the school year. 3. Today we had a great opening to the school year. We welcomed 654 students this morning. We still are trying to fill 4 openings in 6 th grade, 1 opening in 7 th grade and 1 opening in 8 th grade. 4. There is one action item on the agenda from my last month report. I am requesting approval on a new policy regarding Public Records Request. 5. I am currently working with our attorney to draft a updated language on our title IX policy to address transgender students. 6. I would like to introduce to the board our new faculty rep to the board Stephanie Hill- Kennedy.

Attachment #3 Faculty Report August 10, 2016 1. Introduction & Expectations: Ms. Hill-Kennedy introduced herself and asked for suggestions on what the Board would want to hear about in future meetings about what is going on in the classrooms.
