This engagement letter expresses the terms and conditions under which we will provide you with tax services and outlines responsibilities for each of us. The Client You will provide all information, records, and documents needed in a legible format, to complete the tax return preparation in a timely fashion. The timeliness of your cooperation is essential to our ability to complete your tax return. We must receive all necessary information within a reasonable period of time prior to the filing deadline. Accordingly, if we do not receive the needed information from you by March 26, 2019, it may be necessary for us to extend the due date of your return which may result in interest charges of unpaid taxes. ROR Tax Professionals, LLC assumes no responsibility for your unpaid taxes. Providing information, records, and documents with sensitive personal information should not be done via unsecure email. We provide our clients with access to a secure online client portal through which these items can be sent. You agree to use this online portal, mail, or a fax, to send us such information or bring it to our office in person, and to not hold our firm responsible if you use unsecure email. If you have a business or rental property we require that you provide us with a summary of the income and expenses in a common Profit & Loss Statement format. During tax season we simply do not have time to do your bookkeeping. It is your responsibility to be organized. Unorganized documentation, or loose receipts, will be returned as unused in our preparation process and the return will be placed ON HOLD until the proper information format is received. You attest that income and expense items you claim are substantiated by proper records and receipts, and can furnish such documentation in the event of an audit and attest that the information provided is accurate and complete to the best of your knowledge. Monitor your email for any follow up questions we may send you. It is our preferred method of contact for questions, and we ask that you provide any and all answers in a single reply email if possible. Please note that sensitive information, such as but not limited to Social Security Numbers and banking info, should never be sent via unsecure email. Remember, you are ultimately responsible for the accuracy of your tax return(s) and you should review all documents carefully before signing and authorizing the filing. If you have questions about the information on your return, please contact us. Your completed tax return is accompanied by a letter which may contain instructions for you to follow. It is your responsibility to read that letter and follow any such instructions. Please be aware that you are responsible for paying any and all tax that you owe. ROR Tax Professionals, LLC We will prepare your federal and state tax return(s) with supporting schedules and calculate estimated tax payments, if needed, for the 2019 tax year based on the information you provide us. We will contact you by phone or email with any questions. We do not keep original documents. We will scan original documents and immediately return them to you. We will not audit or otherwise verify your records to discover errors or omissions, should any exist. However, if we find irregularities or unusual items, we will bring them to your attention and/or ask for clarification. Should we encounter instances of unclear tax law, or of potential conflicts in interpretation of the law, we will outline the reasonable course of action and the risks and consequences of each. Should we feel that the course of action you choose is unreasonable, we may decline to complete your return(s). If you receive a written notice from the IRS or a state tax department for a tax return we prepared, and the issue is directly related to our work on the return, we will respond to the letter on your behalf at no cost to you. To do this we may need you to provide us with the proper authorization or power of attorney for tax matters. Resolving issues related to information, documents, or situations which we were not made aware of by you are not included in this engagement. 1

In the event of a tax audit, we will be available, upon request, to represent you. However, such additional services are not included in the fees for the preparation of the tax return. Any such representation will be the subject of, and governed by, a separate engagement letter. We also include a single 30 minute tax planning service with this engagement to be utilized by the end of November this calendar year. Please plan on contacting no later than October to take advantage of this service. Extra time or consultation is billed separately. Fees & Payment: Our tax prep fee is based on a number of factors including complexity and time required, subject to a minimum. If you have requested a paper copy, we ask that you pick up your return as soon as possible after it is complete. Past due balances exceeding 7 days will be charged a $25 late fee. Past due balances exceeding 20 days will be charged an additional $25 late fee, unless mutually agreed upon arrangements are made. If you terminate this engagement before completion you agree to pay for time and expenses incurred prior to the date of termination, even if the tax return(s) is not completed. Dispute Resolution & Litigation: If any dispute arises (between/among) the parties hereto, the parties agree first to try in good faith to settle the dispute through nonbinding mediation. The costs of mediation shall be shared equally by the parties. The parties agree that, if any dispute cannot be settled through mediation, the dispute may then be brought before a court of competent jurisdiction, but the matter will ultimately be decided by the court, sitting without a jury. The parties recognize they have knowingly and voluntarily agreed to waive all rights to have any such dispute determined by a jury, but otherwise retain all rights afforded under the applicable civil justice system. This Agreement, and the rights and obligations of the Parties hereunder, shall be governed by and construed in accordance with the laws of Minnesota. This Agreement is fully and voluntarily entered into by the ROR Tax Professionals LLC and The Client. The Client states that he, she, or it has read this Agreement, has obtained advice of counsel if he, she, or it so desired, understands all of this Agreement, and executes this Agreement voluntarily and of his, her, or its own free will and accord with full knowledge of the legal significance and consequences of this Agreement. Any litigation arising out of this engagement, except actions by us to enforce payment of our professional invoices, must be asserted within one year from the date any such cause of action accrues, or within three years of the completion of the engagement, whichever is earlier, notwithstanding any statutory provision to the contrary.
