SHERWOOD FOREST CLUB FACILITIES USE AGREEMENT THIS AGREEMENT is executed this day of, 20, by and between the SHERWOOD FOREST CLUB ( the CLUB ), and, ( the MEMBER ), a member in good standing. Contact Information: Cottage # Phone (day): (evening): Fax: E-mail: Winter Address (if applicable): In consideration of the promises and undertaking set forth in this Agreement, the CLUB grants the MEMBER, subject to the following terms and conditions, permission to use: Stewart Hall Dance Hall Activities Room Bowling Alley ( the FACILITY ), on, the day of, 20, from a.m./p.m. to a.m./p.m., for the following EVENT: (Purpose and description of event): Anticipated number of guests: Number of guests from outside the Forest: Requested time of set up: Please draw your Club furniture/av equipment layout request on a separate sheet and submit it two (2) weeks before the event. TERMS AND CONDITIONS 1. FEE. The MEMBER agrees to pay the CLUB a User Fee of $ upon the execution of this Agreement by the parties. 2. MANDATORY ATTENDANCE. The MEMBER agrees to be present at the EVENT throughout its entirety. 3. COMPLIANCE WITH APPLICABLE LAW AND REQUIREMENTS. The MEMBER agrees to comply with, and to cause its agents, servants, employees, contractors, guests, invitees and all other persons entering Sherwood Forest with the implied or express permission of the MEMBER. to comply with: (i) all applicable Federal, State, and local laws, regulations, and requirements; (ii) all applicable rules, regulations, prohibitions and requirements of the CLUB, (iii) the General and Special Conditions set forth in Attachment One; and (iv) any special instructions issued by the Club Manager. 4. LICENSES AND PERMITS. The MEMBER agrees to obtain all licenses and permits required by Federal, State and County law, and to permit inspection by appropriate governmental agencies and by the CLUB. 5. RESPONSIBILITY FOR DAMAGES. The MEMBER agrees to pay for all damages to any property of the CLUB or any other CLUB member directly or indirectly caused by or resulting from, in whole or in part, any act, omission, negligence, or fault of the MEMBER or any guest, invitee or other participant in the EVENT, including entities providing services for the EVENT.
6. INDEMNIFICATION. The MEMBER agrees to hold harmless and indemnify the CLUB, its members, officers, directors, employees and agents from and against any and all liabilities, damages, actions, costs, losses, claims and expenses (including reasonable attorneys fees) arising out of, caused by or resulting from, in whole or in part, any act, omission, negligence, fault or violation of law by the MEMBER, its employees, agents, contractors, guests, invitees or any other person entering Sherwood Forest with the implied or express permission of the MEMBER. 7. PRE-EVENT DAMAGE TO THE FACILITY. The MEMBER bears the risk of damage to or destruction of the FACILITY prior to the EVENT. If the FACILITY becomes unsuitable for the EVENT by reason of damage or destruction not caused by the MEMBER, its employees, agents, contractors, guests, invitees or any other person entering Sherwood Forest with the implied or express permission of the MEMBER, the MEMBER S sole remedy shall be the refund of the User Fee. 8. APPLICABLE LAW. This Agreement is to be construed in accordance with the law of Maryland. 9. VENUE. For the purposes of any litigation arising out of this Agreement, the EVENT, or any other act or omission of the MEMBER, its employees, agents, contractors, guests, invitees or any other person who entered Sherwood Forest with the implied or express permission of the MEMBER, exclusive venue and jurisdiction is, as appropriate, in the Circuit Court for Anne Arundel County or the District Court of Maryland for Anne Arundel County. 10. SANCTIONS UPON BREACH. For breach of any provision of this Agreement, any provision of Attachment One of this Agreement, or any special instruction of the Club Manager pursuant to his authority under Attachment One of this Agreement, the CLUB may terminate this Agreement and may seek any other remedy available under applicable law. Failure to comply with the above rules could result in the forfeiture of the security deposit. Future use of Sherwood Forest facilities may be denied any MEMBER who, in the opinion of the Activities Committee, has misused the FACILITY. WHEREFORE this Agreement is executed, effective the date first set forth above, subject to the acceptance and approval of the Sherwood Forest Club. ATTACHMENT ONE FACILITIES USE AGREEMENT GENERAL AND SPECIAL CONDITIONS A. GENERAL CONDITIONS: 1. The MEMBER must obtain, complete, and submit to the Club Office a Facility Use Agreement. The following fee schedule applies (as of 2/22/10): Non-refundable deposit due at time of application: 50% of the total User Fee (will be applied to total rental fee listed below) Refundable security deposits: Stewart Hall, Dance Hall or Activities Room: $500.00 (due two weeks prior to event); Bowling Alley: $100 User Fees (due two weeks prior to event): Stewart Hall $500.00 (per day or any portion thereof) Activities Room $325.00 (per day or any portion thereof) Dance Hall $325.00 (per day or any portion thereof) Bowling Alley $ 50.00 (per day or any portion thereof) Prior approval and piano rental fee is required in order to use the piano. 2. Events for Members and their cottage co-owners, and their respective ascendants, descendants and their spouses ( PRIORITY EVENTS ) may be reserved at any time, subject to the terms of this Agreement and other Club scheduling policies. Events for other relatives, defined as someone who is related to the Member, may not be reserved until 6 months or less in advance of the event. Sponsorship of events for non-relatives is not allowed. In no case may Stewart Hall or the Dance Hall be rented for official functions or ceremonies (including without limitation graduations or dances) for outside institutions. The MEMBER must closely estimate on the Agreement the anticipated attendance for the EVENT. Under no circumstances may the number of persons using the FACILITY exceed the maximum number permitted by the Fire Marshall or by applicable laws or regulations. 3. Other than pre-cleaning and arranging Club furniture, the MEMBER is responsible for the preparation of the FACILITY for the EVENT. 4. A liquor license is required by law if any alcoholic beverage is to be served at the event. The MEMBER is responsible for obtaining the license. The Club Office will supply the Application upon request. Within 30 days of the event, the MEMBER must submit the Application to the Board of License Commissioners for Anne Arundel County ( the Liquor Board ) at 94 Franklin St., Annapolis, MD, and pay the license application fee, obtain the license, and deliver a copy of the license to the Club Office at least 5 working days before the EVENT. 5. Smoking within the FACILITY is strictly prohibited. 6. The MEMBER is responsible for providing valet parking for motor vehicles if more than 20 non-members are expected to attend the EVENT. (Designated valet parking areas for events held at the Clubhouse are the Edge Hill parking lot and Robin Hood Beach parking lot. A shuttle service from Robin Hood Beach is recommended for large events at the Clubhouse.) The soccer field, volleyball field, basketball courts, Store parking lot, and perimeter of the golf course are NOT to be used for EVENT parking. 7. The MEMBER must provide sufficient responsible adults to supervise groups of minors present at the EVENT. 8. The MEMBER is responsible for cleaning the FACILITY and adjoining areas after the EVENT. This includes, but is not necessarily limited to, broom cleaning the FACILITY and adjoining areas, clearing tables, removing decorations, and bagging trash. Items such as privately owned equipment, food, decorations, serving dishes, etc. must be removed at the time
of clean up. The CLUB is not responsible for items not removed at the time of clean up. 9. Keys will be issued to the MEMBER by the Club Office on the last business day before the EVENT, and must be returned to the Club Office on the next business day after the EVENT. 10. The security gate will remain closed before, during and after the EVENT. The MEMBER, therefore, must obtain a one-day gate code for use by any non-members entering Sherwood Forest with the implied or express permission of the MEMBER. 11. Before leaving the FACILITY, the MEMBER must turn all lights off and secure the FACILITY. 12. Facility users must be aware of their impact on their neighbors and surrounding community. Consideration should be exercised when using amplified sound systems, parking automobiles, and conducting activities that may have a negative impact on the neighborhood. MEMBER must abide by the noise curfews set forth in the S.F. Club Rules and Regulations. 13. Space heaters in the Clubhouse must be rated For Indoor Use as required by the Fire Marshall. MEMBER is to notify the Club Office of how many, what type, and where space heaters will be placed as well as which responsible adult is in charge of monitoring them during the EVENT. 14. Cooking is not permitted in the Clubhouse. Food may only be re-heated (chafing dish, etc.) Stoves, countertop grills and ovens may not be used under any circumstances. 15. If the Member wishes to have access to the Clubhouse the day or days before the event for any reason such as decorating, rehearsal, rental delivery or set up, a per day rental fee will be charged. It is the Member s responsibility to ensure the removal of rental equipment in a timely fashion so as not to interfere with the next scheduled event. 16. Use of anything that creates holes in or mars any of the surfaces of the FACILITY (including but not limited to the walls, floors, ceilings, or windows) inside or out, is prohibited. Lighting fixtures should not be removed or altered. Failure to comply with these provisions may result in forfeiture of some or all of the security deposit. Should the cost of repairing the damages exceed the amount of the security deposit, the MEMBER will be liable for the balance of the cost of the repairs. 17. Fireworks, including sparklers, are prohibited. B. SPECIAL CONDITIONS. In addition, the Club Manager may, from time to time, issue special instructions, as appropriate, to the MEMBER. C. USE OF OTHER SHERWOOD FACILITIES (including but not limited to: Main Pier, Soccer Field, Robin Hood Beach, Robin Hood Flats, Tennis Courts, Golf Course, Softball Field, Little John Pier, Volleyball Field): 1. The above rules also apply to these facilities. 2. Permission to use any of these facilities for a function must be obtained from the Activities Committee, with the approval of the Board of Directors, and the appropriate Committee Chair (i.e. Golf, Tennis, etc.) 3. The Activities Committee is authorized to approve use of the Robin Hood Flats for wedding ceremonies being held in conjunction with a Clubhouse rental, without Board approval. 4. No alcoholic beverages are allowed at these facilities except for Community-sponsored events, such as the Opening and Closing Picnics. D. USE OF FIREPLACE The fireplace in Stewart Hall may not be used unless prior arrangements have been made with the Club Office and the appropriate Fireplace Use Agreement has been executed by a responsible Club Member and his or her spouse.
