University of North Texas System Tax-Sheltered Annuity Plan and University of North Texas System Optional Retirement Plan The University of North Texas System (UNTS) has decided to make investment option changes to the University of North Texas System Tax-Sheltered Annuity Plan and University of North Texas System Optional Retirement Plan ( Plan ). As a result of these changes, beginning September 28, 2018, you will be provided with the following through our new product offering, Retirement Choice II: New account under a new plan number Modified menu of investment options What s changing? This process is automatic. You are not required to do anything other than the items listed in the Things to do section of this letter. A new account will be established for you automatically on September 28. You will receive confirmation of the enrollment in your new Plan account with Voya Financial (Voya). Please note: Your existing Plan account balance(s) with Voya will not automatically exchange ( transfer ), though you can voluntarily elect to transfer these amounts at any time on or after September 28. Once you transfer out of your current Plan account with Voya, you cannot transfer back. Please carefully consider the benefits of existing and potentially new retirement accounts and any differences in features. If you would like to learn more about account transfers or would like assistance with an account transfer, you can contact your local Voya advisor at (972) 643-6304 or the Voya Account Consolidation Team at (866) 865-2660. On January 2, 2019, your future contributions will be automatically directed to the new Plan account and allocated according to the investment option fund chart on the following pages. Things to do Decide how you want your contributions and/or transferred existing balance to be invested in your new Plan account with Voya. Important Your beneficiary designation records will transfer over to the new Plan account; however, it is very important that you review and update your beneficiary designations as necessary. This is a good time to make sure your designations are current by: 1) c alling Voya s Retirement Readiness Service Center at (800) 584-6001 or 2) online at VoyaRetirementPlans.com. Make preparations so that your assets are distributed to the individual(s) of your choice. Invest your way - Election change Although the Plan is automatically mapping your contribution elections (allocations) to the new investments, you can invest these assets in any of the other options offered in the Plan. Be certain to submit your request no later than the close of the New York Stock Exchange (NYSE), generally, 4:00 pm eastern time on December 20 to ensure directions are received prior to the transition. Beginning September 28, access your Plan account at VoyaRetirementPlans.com. Select your investment option elections by clicking Account > Manage Investments > Change Elections. Your contributions will be invested into the investment option(s) you select and in accordance the percentages you designate. If you prefer customer service assistance, you can also contact Voya at (800) 584-6001. Our customer service associates will be happy to assist you with this request. IMPORTANT: Any election change you submit as described above will also direct how each of your ongoing payroll deferrals to the Plan are invested with Voya. You can request a new election change at any time following the transition. Following the switch of contributions to the Plan on January 2, 2019, you are always able to transfer your balance between investments and/or change how your payroll deferrals are invested, subject to Voya s Excessive Trading Policy and equity wash provisions. These are described in the accompanying Retirement Choice II Information Booklet. Key transition dates 02 I Date Event September 28 Access your new Plan account at Voya. Decide if you want to change how your contributions are invested and/or whether or not you want to exchange your current Voya account balance to your new Plan account with Voya. December 2018 Last contributions to your current Plan account balance. January 2019 First contributions to your new Plan account with Voya. March 31, 2019 First combined statement reflecting contributions made to your new Plan account during the quarterly statement period.

Fees and Expenses Understanding the fees and expenses of your retirement investments is important and sometimes complicated! Recordkeeping and administrative service fees will continue to apply to your account after this transition. Today, all fees for the Plan s administrative costs are included in the expenses charged by the Plan s investment options. These are not explicit deductions visible to you in your account or as a separate line item on your quarterly statements. Advisory Services: An annual expense of 0.50% applies if you elect to utilize the Morningstar Retirement ManagerSM Have Morningstar Manage My Plan service*. For further information, including costs and features, please click Get Advice to get additional information about Morningstar Retirement ManagerSM available online at VoyaRetirementPlans.com. This service will be available in your account once you have a balance with Voya. Without full administrative fee transparency, you may be under the impression that your overall cost to participate in this Plan is lower than it actually is. To ensure greater transparency for you, Voya will deduct all recordkeeping and administrative service fees as a separate line item on your new Plan account. With the Plan s increased fee transparency, you ll know exactly what you are being charged for Voya s services. Perhaps more important, going forward the Plan will reimburse Voya the same fees regardless of the investment options you select. IMPORTANT: The projections or other information generated by Morningstar Retirement Manager regarding the likelihood of various retirement income and/or investment outcomes are hypothetical in nature, do not reflect actual results (including investment results) and are not guarantees of future results. Results may vary with each use and over time. Beginning as early as October, Voya will deduct an annualized asset-based fee of 0.50% from your account on a quarterly basis. This is the total fee for Voya s recordkeeping services and, as noted previously, is a reduction in the overall fees you are charged today. Individual mutual fund fees will still apply based on selected investments. The deduction will come pro-rated, or in proportion, from each of the investments within your account including the Voya Fixed Plus Account III. Morningstar Retirement ManagerSM is offered by Morningstar Investment Management LLC and is intended for citizens or legal residents of the United States or its territories. Investment Options What is the stability of principal option offered? A new credited fixed interest account, the Voya Fixed Plus Account III, will be offered through a group fixed annuity contract. This investment option currently pays a credited interest rate of 1.75%, guaranteed to not be less than 1.00% through December 31, 2018. Guarantees are based on the claims-paying ability of Voya Retirement Insurance and Annuity Company. Unlike the Voya Fixed Plus Account III, the investment return or principal value of the mutual funds under the Plan is not guaranteed. Please note: The Voya Fixed Plus Account III is subject to an equity wash provision. This provision restricts direct transfers between the Voya Fixed Plus Account III and any competing investment. With the exception of the optional self-directed brokerage account and the American Century Capital Preservation, there are no other competing funds in the new menu of investment options. All transfers are also subject to the Voya Excessive Trading Policy. Please refer to the individual prospectuses for fund fee information. Refer to Fees and expenses section for more information. What happens if I am currently using an automatic rebalancing feature? Any current elections to rebalance your account will not automatically transfer. If you elect to exchange your balance to your new Plan account, you can re-establish this feature at your convenience. Will I receive a confirmation statement? Shortly after the transition, Voya will mail a confirmation statement notifying you that the transition process to your new Plan account is complete, and confirming the investment option(s) to which amounts were transferred. As a result of this activity, a separate certificate of participation in the Plan s group annuity contract will be mailed to you. Please retain this for your files. How do I register for online access with Voya? If you have not previously registered for online access, contact Voya at (800) 584-6001 for assistance in securing a Personal Identification Number (PIN).
