2nd AGM of Bankers' Welfare Association Bangladesh (BWAB) Date: 12/01/2019 (Saturday) Venue: Intraco Convention Hall Baridhara, Dhaka The AGM was chaired by Mr. Kazi Md. Shafiqur Rahman, President of BWAB (Former Managing Director, Mutual Trust Bank Ltd.). Mr. Khondkar Ibrahim Khaled, Former Deputy Governor, Bangladesh Bank graced the function as Chief Guest while Mr. Mohammed Hossain, Former Managing Director, Sonali Bank graced the AGM & Annual Get-Together program as Special Guest. Participants: 1. Dignified EC Members of BWAB 2. Dignified Life Time Members of BWAB 3. Dignified General Members of BWAB The meeting started with the recitation from the Holy Quran by Mr. Md. Farid Uddin, VP & Manager, MTBL, Sonargaon Branch, Dhaka. The Chief Guest & the Special Guest were received warmly by presenting flower bouquet and with a round of applause from the audience. They were also honored by presenting BWAB Crest to each of them by the President, BWAB. All the dignified EC, Life Time & General Members of BWAB present in the meeting were asked to introduce themselves in the big gathering. Then Kazi Md. Shafiqur Rahman, President, BWAB convey hearty welcome to all and delivered his welcome speech. Before going to main AGM Agenda President, BWAB requested the Chief Guest & the Special Guest to hand over the BWAB Crest award to the 7 (Seven) brilliant kids of members who secured 1st position in the 2018 Exam in the respective classes. The occasion was cheered by all the parents of kids as well as by the audience with huge round of applause & great enthusiasm. The 7 (seven) brilliant kids who were awarded with the BWAB Crest are as under: 1. H.M Farhan Mannan-Class II-1st position; Ankur School & College, Rajbari Son of Mr. Md. Deliberations & Comments of the Chief Guest: Mr. Khondkar Ibrahim Khaled, Former Deputy Governor, Bangladesh Bank & the Chief Guest in his speech expressed great satisfaction to see the huge gathering and the type of enthusiasm among the BWAB Crest owner Kids & parents. He also expressed his satisfaction to see that Kazi Md. Shafiqur Rahman, Former MD, MTBL & the President of the BWAB has taken a very good initiative to establish Bankers Welfare Association Bangladesh (BWAB), which is essential for the bankers. It is unique in the sense that officers of all level (both in service & retired) from all banks & financial institutions are eligible to become members. He mentioned that earlier there were efforts for establishing such association, but that was based considering a particular institution or group. In this regard he recalled that the Former Governor Late Lutfor Rahman Sarker thought that a platform for bankers was necessary for the welfare & common interest of the officers of the banks. Taking initiative he was not able to form such association or organization at that time. At the moment 1 or 2 Bankers Club have been established in Bangladesh for the particular bank officials only. He expressed his feeling that BWAB is representing as a true organization for the welfare of the officers of all banks & financial institutions in Bangladesh, He conveyed his heartfelt thanks to Mr. Kazi Md. Shafiqur Rahman, Former MD of MTBL & President, BWAB to establish Bankers' Welfare Association Bangladesh for the welfare & common interest of the officers of the banks and financial institutions. He hoped that under the dynamic leadership of Kazi Md. Shafiqur Rahman BWAB will reach to a greater height and become successful. His speech and valuable opinion created great inspiration & enthusiasm among the BWAB members present. Deliberations & Comments of the Special Guest: Mr. Mohammed Hossain, Former Managing Director, Sonali Bank, the Special Guest mentioned that Kazi Md. Shafiqur Rahman, Former MD of MTBL & the President, BWAB is personally known to him. Mr. Mohammed Hossain is very much aware of his successful career for his sincerity, honesty and performance as a banker. He felt that BWAB has been established after a long time of establishment of Krishibid Institution Bangladesh (KIB), BMA, BGMEA, BKMEA, the Institution of Engineers, Bangladesh (IEB), etc. He felt that the bankers are a big community and the role of banking is commendable in the society. BWAB should have been established much earlier. However, since BWAB is leading by the right leader Mr. Kazi Md. Shafiqur Rahman, Former MD of MTBL, the organization will be able to achieve its goal with sustainable development and it will be able to create better image than other welfare association under the dynamic leadership of Kazi Md. Shafiqur Rahman. He also expressed his feeling that he will be happy if he becomes a proud member of BWAB. His expression was highly appreciated and welcomed by a huge round of applause from the audience. AGM Discussion Session BWAB President Kazi Md. Shafiqur Rahman conducted the AGM discussion session. He invited all the members present to give freely their opinion/suggestions for future course of action & betterment of the association. Then all the interested members who came forward were given the open floor for their individual opinion & comments.

Comments/Opinions of the Members of BWAB: As many as following 25 (Twenty Five) members expressed their valuable & constructive opinions for the development & future growth of BWAB. One member present in the AGM sent his comments afterwards through e-mail to the President, BWAB. Their comments/opinion are as under: 1) Mr. Md. Abdul Mannan, PO, Rajbari, BRAC Bank Limited (Membership No. 95): To hire/rent an office space at Dhaka. 2) Mr. Biprajit Saha, VP, System Audit, MTB (Membership No. 202): To find out way to increase fund, to take initiative to establish hospital, go ahead technologically, i.e. facebook, linkedin, whatsapp, BWAB website etc. 3) Mr. Kazi Naim Morshed, SAVP & Deputy Head, RMD, MTB ( Membership No. 137): Training may be conducted for skill development; Meeting may be conducted each month; Initiative to be taken to increase Female members; To provide support to secure job of the members of BWAB advisory cell may be established; Health benefit to be provided; Housing facility may be ensured. 4) Mr. M.H.M Jahangir, DGM, Welfare Deptt. Janata Bank (Membership No. 240): Brochure to be revised; We have to boost up the BWAB so that the Government considers it as a valuable Organization as like as Krishibid Institution Bangladesh (KIB), BMA, The Institution of Engineers, Bangladesh (IEB). 5) Mr. Abu Taher, SAVP & Manager, Dakshin Khan Branch, Jamuna Bank (Membership No. 827): We have to connect with BIBM. 6) Mr. Shamsur Rahman Majumder, EVP & Head of Branch, Motijheel Branch, NRB Global Bank Ltd. (Membership No. 125): BWAB will be a platform for the honest officials of the banks; It is needed to provide support to secure job of the members of BWAB; Necessary support to be provided for the victim bankers who have integrity. 7) Mr. Md. Zahangir Alam Bhuiyan, EVP & Head of Branch, Gulshan Branch, First Finance Ltd. (Membership No. 535): NBFI Officials may be considered as member of BWAB; College/School may be established; Monthly saving may be collected; Per member share may be introduced; Work to be started for the poor/natural affected persons. 8) Mrs. Taslima Begum Lima, FAVP, HO, SIBL (Membership No. 262): Initiative to be taken to increase female members. 9) Mr. Md. Aliullah Bhuiyan, Officer, Card Division, NCC Bank Ltd. (Membership No. 914): Committee may be formed to increase members as well as for smooth operations; Annual Picnic to be arranged; News paper/magazine may be published; Office is needed for smooth operations; Land/Plot may be purchased from Government; Members may be increased by the existing members of the respective bank. 10) Mr. Md. Belal Uddin Mahmud, FAVP, Group ICC Division, MTBL (Membership No. 142): Initiative to be taken to increase members covering all banks; 3 4 active members will be able to boost up the organization; Publicity to be increased. 11) Comments of Mr. Md. Anwar Hossain, CEO, Shahjalal Islami Bank Securities Ltd. (Membership No. 349): Souvenir to be published; Ads may be collected for the Souvenir. 12) Mr. Mokeshudey Alahi Mazumder, Company Secretary, Hajj Finance Company Limited (Membership No. 361): Financial support to be provided to the members of BWAB; Support to be provided to the naturally affected people of the country; Sub-committee may be formed to complete job smoothly.

13) Mr. Mohammed Kaisar Ali, SEO, SIBL (Membership No. 924): Initiative to be taken to increase female members. 14) Mr. Zakir Hossain, SAVP, SME & AFD, SJIBL (Membership No. 683): Monthly subscription/fee to be deposited on regular basis for smooth operation of the organization. 15) Mr. Salahuddin Bhuiyan, PO, BRAC Bank Ltd, (Membership no. 884): AGM may be held at District/Division level. 16) Mr. Mahbubur Rahman, AVP & Branch Manager, Chowmuhani Branch, Shahjalal Islami Bank Ltd. (Membership No. 557): Executive Committee, Purchase Committee and Audit Committee to be elected fairly to achieve the goals of BWAB. 17) Mr. Saiful Islam, FAVP & Branch Manager, Shahjalal Islami Bank Ltd. (Membership No. 26): Feedback option to be added in the web site to update; Meeting may be held at District/Division level; Strong EC to be formed/elected; To complete the work, segregation of duty will be required. 18) Mr. Mohammad Moniruzzaman, SPO, Hajj Finance Company Ltd. (Membership No. 957): Leaflet to be developed for distribution to increase members; Initiative may be taken to give Ads to print and electronic media; Initiative may be taken to give press release; To complete the work, segregation of duty will be required. 19) Comments of Mr. Shamim Reza, Officer, BRAC Bank, (Membership No. 890): To take necessary steps for skill development. 20) Mr. Mir Abu Zahid Shamsuddin, Unit Head, SAM-EC, BRAC Bank, (Membership No. 229): Joint effort is required to boost up BWAB; Members should provide Picture for the web site of BWAB. 21) Mr. Khondoker Ahasan Habib, SO, Shahjalal Islami Bank Ltd. (Membership No. 235): To boost up the activity of BWAB all members may deposit Tk.1.00 Lac for Housing Project. 22) Mr. Md. Altaf Hossain, ICC Division, NBL (Membership No. 418): Profitable projects may be taken for members welfare; Per member share to be introduced. 23) Mr. Mir Muhammed Sahdat Hossain, AVP, HO, Trust Bank, (Membership No. 868): Office need to be hired/rented in a good communicating place. 24) Mr. Showkat Heyet, FAVP, MTBL (Membership No. 98): Initiative to be taken to construct a BWAB Tower; If BWAB functions properly it will be possible to take initiative to get license for Commercial Bank; Each member should hunt for minimum one more member for BWAB; Some more posts in addition to the existing may be created for smooth functioning of BWAB. 25) Mr. Md. Emdad Hossain, SAVP & Head of Islamic Banking Unit, MSME Banking Division, Prime Bank Ltd. (Membership No. 106): BWAB will have to increase members up to 10,000 within next year; BWAB will have to collect deposit from the interested member for Tk.1.00 Lac each on yearly basis in addition to monthly subscription to invest the money to establish project(s) such as School, College, University, Hospital, Housing & Construction Company, Food Factory, etc. If so, we will be able to establish project yearly for welfare of the members of BWAB InshaAllah; Victim members of BWAB will be able to get an opportunity to work with the BWAB, which will act as an incentive for the members of BWAB. 26) Mr. Md. Abdur Razzaque, SAVP, Sr. Manager, Credit Administration Division, The City Bank Ltd. (Membership No.8) gave subsequent opinion through e-mail. Group life Insurance policy may be incorporated; Initiative may be taken to improve liaison with the relevant Government bodies so that association can get the opportunity to have subsidy from Govt.

Comments of Mr. Ahsan Habib, General Secretary of BWAB (EVP & Chief Manager, Millennium Branch, Trust Bank Ltd.): The General Secretary of BWAB Mr. Ahsan Habib opined that everything is possible and BWAB will be able to be one of the biggest association in Bangladesh if we all work together. He also expressed that the BWAB will provide support to the officials of the banks who have integrity & honesty. In conclusion, he gave vote of thanks to the President, BWAB, Chief Guest, Special Guest, all dignified EC, Life Time & General members, family members of the members of BWAB & others presented in the AGM of BWAB to make the program successful. Concluding Remarks & Comments of the President of BWAB Kazi Md. Shafiqur Rahman (Former MD, MTBL): The President, BWAB expressed great satisfaction for the kind presence of the Chief Guest & Special Guest and their valuable opinion/suggestions for the growth & development of the BWAB. He also expressed thanks & gratitude for huge presence & participation of BWAB Members, Family members, their kids and some guests in the 2 nd AGM & Annual Get- Together program of the Bankers Welfare Association Bangladesh. He mentioned that a large number of BWAB Members have come forward with valuable opinions & suggestions. He informed that as per provision of constitution, all members can pay monthly subscription of Tk. 500.00 to Tk.10,000.00 according to their convenience & desire. All Members are requested to start paying monthly subscription of Tk.500.00 to Tk.10,000.00 from January, 2019 on regular basis. Since this is a very important issue all dignified members are also requested to inform President, BWAB through email to: shafiq.crbhrd@gmail.com urgently within 10 (Ten) days regarding his/her actual monthly subscription to be deposited (from Tk.500.00 to Tk.10,000.00) and mode of deposit to be made. Advance payment of subscription may be made (say, 3/6/12 months) according to intention or convenience. Deposit against subscription/contribution to be made within 10th of the following month. Advance deposit amount & period should be mentioned during deposit. Statement will be issued to individual member for deposit of subscription/fees for transparency; BWAB office will maintain separate account for each member like bank. Profit will be distributed/credited to the individual account of each member as per subscription/ deposited amount. All members are requested to visit BWAB website, send photograph, provide missing information & their feedback to update/improve the website through e-mail to: mamunuits.1@gmail.com. He mentioned that initiative has already been taken & software development is under process to enable members of BWAB to deposit/send monthly subscription/fees through online by using BWAB website in a simple way. Auto generated Membership Form submission through BWAB website is being developed to make the process easy and for proper storage. Office space for BWAB in a suitable location and well communicated place will be hired/rented considering regular payment of monthly subscription/fees. As per constitution there is a provision to become an EC member from each bank. Emphasis will be given to include at least one EC Member from each bank/institution for increasing number of membership. All regular General & EC members (who have paid Annual Membership Fee) are requested to be Life Member by paying Tk.5,000.00 within January/2019. Life Time Member fee will be increased in future; All Officers of Financial Institutions will be allowed to be a proud member of BWAB. All members are requested to increase member, specially, in their own institution. As per opinion in the AGM we will accommodate at least one EC Member from each district for increasing membership of BWAB. Particularly, he informed that active members will be given due consideration and recognition to become EC Member. In reply to the members' question

present in the AGM, he informed that we will try to convene EC meeting on monthly basis to boost up the activity of BWAB. He informed that we have a plan to purchase land for construction of quality building in a good location in or around Dhaka City for allocating apartments to the members at cheaper rate. Interested members are requested to enlist their names with Membership Number to pay Tk.1.00 Lac each as initial deposit within February/2019. In phases we like to allocate apartment to all the members; There was a good response in this respect from a the members present. We have a plan in phases to purchase possession of Shop/Space in a good located Shopping Mall, establish Community Hall, Hospital, School/College and go for risk-free investment for our common interest. We will have a Training Academy of our own to train up & HR development of our members so that they become knowledgeable & efficient; It will help them build career in their own bank as well as switching to other institution in a better position. We will continue to encourage giving recognition to the kids of BWAB members for their academic success. We have plan to arrange Scholarship for the deserving meritorious kids of our BWAB members in home & abroad. Training program will be undertaken in future for the kids of members as well as members of BWAB for professional skill development and Entrepreneurship Development for making them Self-Employed Person since employment opportunity in the country is reducing. In future BWAB will honor giving crest to BWAB members and successful bankers for their performance, honesty & integrity nominating from different banks & financial institutions. Meeting/Seminar or AGM in future will be organized division/district wise for the convenience of the local members & to attract more people under the umbrella of BWAB. The President BWAB expressed that we will work to attain the BWAB to a greater height with its activities to get accreditation of Bangladesh Bank, Government & also from International Level. All members (who are acting as Branch Manager/Head of Branch or those who have scope/opportunity) are requested to collect ads to publish a standard souvenir of BWAB very soon; The souvenir is under process of completion. It will bring a big coverage and image of BWAB. The president of BWAB opined that some posts may be created in the Executive Committee for smooth operation of BWAB such as Organizing Secretary, Office Secretary, Joint General Secretary, Public Relations Secretary (Responsibility will include Advertisement & Publicity), Research & Development Secretary, Legal Affairs Secretary, Sports & Cultural Affairs Secretary and Financial Affairs Secretary in addition to President, General Secretary and Treasurer. Since BWAB got license from the Ministry of Commerce we will approach Ministry of Commerce for the necessary approval in this regard; All members present agreed and gave their consent to the President of BWAB in this respect. The president of BWAB took the privilege to declare Mr. Khondkar Ibrahim Khaled, Former Deputy Governor, Bangladesh Bank and Mr. Mohammed Hossain, Former Managing Director, Sonali Bank, the Chief Guest & the Special Guest respectively the honorary Life Time Member of BWAB; In the meantime, they have been communicated the decision & given Life Time Member position with the consent of members of BWAB. In his concluding remarks the President, BWAB Kazi Md. Shafiqur Rahman mentioned that it is a great pleasure to see that the program is going to be concluded with positive output and fruitful result; He conveyed heartfelt thanks to the Chief Guest, Special Guest, all dignified EC Members, Life Time Members, General Members, family members, kids of the members of BWAB and guests present in the 2nd AGM & Annual Get-Together, 2019 of BWAB for their full cooperation and to make the program successful.

Resolution of 2nd AGM of Bankers' Welfare Association Bangladesh (BWAB) dated 12/01/2019 In the 2nd AGM dated 12/01/2019 of Bankers' Welfare Association Bangladesh (BWAB) there was a open floor and participatory discussion. The members gave their opinion and suggestions freely. After threadbare discussion all the members present reached a consensus opinion and the following resolution was adapted: 1. BWAB will be a big platform & umbrella, a combined voice for securing interest & rights of its members. 2. All members will work sincerely and whole-heartedly for the growth & development of Bankers' Welfare Association Bangladesh (BWAB). 3. Officers of Financial Institutions will also be eligible to become member of BWAB. 4. All members will work for increasing members including female members from banks & financial institutions. 5. Existing members will take the responsibility to increase membership from their own institution. 6. As per constitution there is a provision to become an EC member from each bank. Emphasis will be given to include at least one EC Member from each bank/institution for increasing number of membership. 7. EC Member from each district will be accommodated for increasing membership of BWAB. 8. Active members, be in a senior or junior position, will get the opportunity to work in the Executive Committee of BWAB. 9. EC meeting will be convened preferably on monthly basis to boost up the activity of BWAB. 10. Sub-Committee within EC will be formed for smooth working on different occasion. 11. Annual Membership Fee is to be deposited/paid within January each year. All the members will deposit Annual membership Fee and Renewal Fee timely to keep their membership regular. 12. The existing members will take initiative to inform their known members to regularize payment of Membership Fee. 13. Life Time Membership has reached to 90. General Members are requested to become Life Time Members by depositing/paying Tk.5,000/-. It is convenient in the sense that Life Time Membership Fee is payable only once and there is no need to renew membership each year. 14. As per provision of constitution, members can pay monthly subscription of Tk.500.00 to Tk.10,000.00 according to their convenience & desire. All Members be requested to start paying monthly subscription of Tk.500.00 to Tk.10,000.00 from January, 2019 on regular basis. 15. Members will have to inform President, BWAB through email to: shafiq.crbhrd@gmail.com urgently within 10 (Ten) days regarding his/her actual monthly subscription to be deposited (from Tk.500.00 to Tk.10,000.00) and mode of deposit to be made. Advance payment of subscription may be made (say, 3/6/12 months) according to intention or convenience. 16. Deposit against subscription/contribution to be made within 10th of the following month. Advance deposit amount & period should be mentioned during deposit. Membership No. & Name to be clearly written in the deposit slip while depositing any amount by the members. 17. Statement will be issued each year to individual member for deposit of subscription/fees. 18. BWAB Office will maintain separate account for each member like bank.

19. After accumulating a handsome amount the fund will be deposited at the competitive prevailing profit rate with due approval of the Executive Committee. Thus, fund will be raised to a bigger amount. 20. Software will be developed at the earliest possible time to enable members of BWAB to deposit/send monthly subscription/fees through online by using BWAB website in a simple way. Auto generated Membership Form submission through BWAB website will be developed to make the process easy and for proper storage. 21. Website will have provision to get feedback from the visiting members. 22. Office space for BWAB in a suitable location and well communicated place will be hired/rented considering regular payment of Annual Membership Fee and Monthly Subscription. 23. Initially, a project for purchasing land for construction of quality building in a good location in or around Dhaka City will be taken for allocating apartments to the members at cheaper rate. Interested members will enlist their names with Membership Number to pay Tk.1.00 Lac each as initial deposit within February/2019. This type of project will be a continuous process to allocate apartment to all the members in phases. 24. BWAB will take initiative in phases to purchase possession of Shop/Space in a good located Shopping Mall, establish Community Hall, Hospital, School/College/University, own Building/Tower and go for risk-free investment for common interest of the members. 25. BWAB will examine as to whether it can introduce Group life Insurance policy for the members. 26. Thus, it will have a role & contribute to the banking sector; it will create its presence & credibility.. 27. BWAB will work for the poor/natural affected persons in future according to its ability. 39. Initiative will have to be taken to give "Press Release" on the AGM to print and electronic media; subsequently also covering BWAB activities. 40. It is recommended to create some posts in the Executive Committee for smooth operation of BWAB such as Organizing Secretary, Office Secretary, Joint General Secretary, Public Relations Secretary (Responsibility will include advertisement, publications & publicity), Research & Development Secretary, Legal Affairs Secretary, Sports & Cultural Affairs Secretary and Financial Affairs Secretary in addition to President, General Secretary and Treasurer.
