Neither CSIDC nor their employees or consultants will have any liability to any prospective Bidder or any other person under the law of contract, tort, the principles of restitution or unjust enrichment or otherwise for any loss, expense or damage which may arise from or be incurred or suffered in connection with anything contained in this document, any matter deemed to form part of this document, the award of the Project, the information and any other information supplied by or on behalf of CSIDC or their employees, any consultants or otherwise arising in any way from the selection process for the Project. 4. CSIDC reserves the right to reject any or all of the Bids submitted in response to this Expression of Interest at any stage without assigning any reasons whatsoever. 5. CSIDC reserves the right to change any or all of the provisions of this Expression of Interest. Such changes would be intimated to all parties procuring this Expression of Interest. 1 P a g e
2 DEFINITION Act The Companies Act, 2013 or any other law for the time being in force or any modification thereof. Agreement/Project Agreement The Project Agreement to be entered into between the Company and CSIDC, the Principles of which are provided in Part 3 of this document, including any amendments and modifications thereof from time to time. Bid The proposals submitted by the prospective Bidders in response to this Request for Proposal Document issued by CSIDC. Bidder Bidding Company or Bidding Consortium, as defined below that has submitted a Bid in response to this Request for Proposal Document. Bidding Company If the Bid for the Project is made by a single corporate entity, it shall be referred to as Bidding Company. The Bidding Company would necessarily have to be a Company as defined in the Act. Bidding Consortium If the Bid for the Project is made jointly by more than one entity, then this group of entities shall be referred to as a Bidding Consortium. HWTSDF A place for collection, reception, treatment, storage and disposal of hazardous wastes, which has been duly approved by the competent authority, which is for the purpose of collective use and caters to the hazardous waste disposal needs of multiple industrial waste generators. Company/JV Company/JVC The joint venture company to be promoted as a special purpose vehicle to implement the Project. Document / Bid Document This Request for Proposal Document in four parts. Developer/Operator The agency identified as the Successful Bidder and responsible for designing, financing, establishing, operating (including receiving, storing, treating and disposing the hazardous waste) and maintaining the proposed HWTSDF. Effective Date As specified in Part 3 - Draft Principles underlying the Agreement. Generator The industry generating/producing hazardous wastes. Hazardous wastes Waste as defined under Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016. Joint Development Agreement The agreement to be finalised and signed between the members of the Successful Bidder and clearly indicating the Lead Promoter (in line with CSIDC approval of the same). 2 P a g e
Joint Venture (JV) Agreement The Joint Venture Agreement to be entered into between the JV Partner and the User Association; the principles of which are provided in the document, including any amendments and modifications thereof from time to time. Joint Venture (JV) Partner The Company constituted by the Successful Bidder for developing the HWTSDF and entering into the JV Agreement with the User Association. Lead Consortium Member (LCM) In case of a Bidding Consortium, the Lead Consortium Member (LCM) shall be that Member Company vested with the prime responsibility of developing the Project and holding not less than a 50% equity stake in the Bidding Consortium. The Lead Consortium Member would require to be declared as such in the MoU to be entered into between the Member Companies as per the proforma presented. It is understood that the LCM shall be the authorised representative of the Bidding Consortium and shall be liable for all the obligations of the Developer under the Agreement. Lead Promoter The Promoter holding the maximum stake in the Bidding Company/Lead Consortium Member of the Bidding Consortium and in no case less than 50% of the total equity. Member Company Each entity in the Bidding Consortium shall be referred to as a Member Company. Project Design, finance, construction, operation, and maintenance of a Hazardous Waste Treatment Storage and Disposal Facility (HWTSDF) in Chhattisgarh Request for Proposal This Document, being issued to the prospective Bidders, asking for their Bids. Successful Bidder The top ranked Bidder as per the evaluation as outlined in document. User Charges/Tariffs Tariffs to be charged by the Company for services provided to Generators/Users such as analysis, transportation, storage, preliminary & final treatment, disposal of wastes into Incinerator/PGV reactor/clos reactor and the disposal of Incinerator/PGV reactor/clos reactor residue/rejects at HWTSDF, and any other services for managing the Generator s hazardous wastes. Treatment A method or process, designed to change the physical, chemical or biological characteristics or composition of any hazardous waste so as to render such wastes harmless. User Association The body constituted by the Hazardous Waste generating units located in the Chhattisgarh State Industrial Development Corporation (CSIDC) Industrial Areas of Chhattisgarh for entering into the JV Agreement with the JV Partner for the development of the HWTSDF. 3 P a g e

4 INVITAION FOR EXPRESSION OF INTEREST Chhattisgarh State Industrial Development Corporation Ltd (CSIDC) hereby invites Expression of Interest (EoI) for setting up and operating the Common Hazardous Waste Treatment, Storage and Disposal Facility (TSDF) from reputed Indian companies /Consortium partner for setting up and operating the Common Hazardous Waste Treatment, Storage and Disposal Facility (TSDF) on Public Private Partnership (PPP) as per guidelines issued by Central Pollution Control Board (CPCB) from time to time in Chhattisgarh The scope of work envisioned for the Common Hazardous Waste Treatment, Storage and Disposal Facility includes the following: a. Treatment, Storage and Disposal of Hazardous waste not less than of total installed capacity of 20,000 tonnes per annum (MTPA)- employing environmentally sound technology comprising with secured landfill, incineration/pre-processing of incinerable Hazardous Waste for co-processing in the cement industries, or both as per Hazardous and Other Wastes (Management and Trans-boundary Movement) Rules, 2016 and amendments (if any) and as per guidelines issued by Central Pollution Control Board (CPCB) from time to time. b. Disposal of the process remnants/ inert materials, if any, as per Hazardous and Other Wastes (Management & Trans-boundary Movement) Rules, 2016. The firm should have experience in the design, construction, operation & maintenance of Common Hazardous Waste Treatment, Storage and Disposal Facility (CTSDF) of capacity 20,000 MTPA or above; Details of projects which are either completed or are under progress must be submitted with their installed capacity, cost of installation and financial model along with certificate of experience from the client and proposed team (with biodata) for the Project. Provide details as per format attached in Annexure I. Indicate appropriate sections of the submitted EOI for evaluation purpose in Annexure II. Audited financial statement of the firm for the last three financial years (i.e. 2015-16, 2016-17, 2017-18) must be attached. The Bidder/Consortia partners should not be blacklisted by any Central/State Government, Ministry or Agency for breach of Contractual Conditions. The Bidder should also not be entangled in any legal disputes with any Govt. / PSU body. Bidder should submit Self declaration that the Bidder is not black listed and is not in any legal disputes as on the EoI calling date. Self-Declaration Certificate to be enclosed in the EoI duly signed by the authorized signatory on its company letter head. Note: The Request for Proposal (RFP) document to be issued subsequently, will be provided to only those parties who meets the above criteria and score more than 70% marks as per attached evaluation criteria (Annexure II) Expectations of the applicants from Chhattisgarh State Industrial Development Corporation Ltd. (CSIDC) must be clarified in writing.
