REQUEST FOR PROPOSALS FOR INSURANCE CONSUL TANT SERVICES HUMAN RESOURCES You are hereby invited to submit proposals for Insurance Consultant Services, as specified in the attachments of this Request for Proposal. The information necessary to complete the proposal is listed below and in the attachment of this invitation. Questions on the technical specifications of the Request for Proposal should be directed to Alison Kivikoski, Human Resources Director at 603-679-9365. Questions on bidding procedures can be directed to the Commissioners Office at (603) 679-9350. Proposal Instructions: Three (3) copies of the proposal should be submitted in a sealed envelope marked INSURANCE CONSUL TANT SERVICES to:. Rockingham County Commissioners 119 North Road Brentwood, NH 03833 Proposals must be submitted to the above address no later than 3:00 p.m. on Monday, February 18, 2019 to be eligible for consideration. If proposals are being sent via FedEx, UPS, or other mail carrier, please ensure that the mailing envelope/package is clearly marked INSURANCE CONSULTANT SERVICES. Envelopes/packages not marked with the name of the proposal may be misidentified and will be rejected. Other forms of submission (fax or email) will be rejected. Proposals received after the deadline will be rejected. An electronic version of your proposal, via CD or flash drive, included inside your sealed bid is welcomed. Proposal Openings: Proposals will be opened publicly at a regular scheduled meeting of the Board of Rockingham County Commissioners in the Commissioners Conference Room of the Rockingham County Rehabilitation and Nursing Center, 117 North Road, Brentwood, NH, on Wednesday, February 20, at 1 0:00am. Proposals will be taken under advisement at that time and will be awarded as soon as a complete review and comparison of the proposals received has been made by the Board of Commissioners. Proposal Award: The proposal(s) will be formally awarded and announced publicly at a regular scheduled meeting of the Board of Rockingham County Commissioners held in the Commissioners' Conference Room located in the Rockingham County Rehabilitation and Nursing Center, 117 North Road, Brentwood, NH. Formal notification of proposal award to all proposers will occur immediately thereafter. Information on the award will also be available on the RFP/Bidding section of the County's website at: www.rockinghamcountynh.org RFP Prices: RFP prices are to remain in effect for a period of (60) days from opening date of the proposal and are to remain firm once proposal is awarded to the successful proposer(s). Performance Clause: In the event that the successful awarded proposer/rockingham County should default in the observance of the stipulations set forth in this Request for Proposal and any attachments Invitation to submit Insurance Consultant Services RFP Page 1 of 3

thereto and such default is not corrected within 30 days of written notice from either party, the successful awarded proposer/ Rockingham County shall have the option of canceling the proposal. Contractual Obligations: In the event that contracts for the supply of materials, equipment, or services are required under the bid, the Board of Rockingham County Commissioners reserves the right to review said contracts and amend to comply with county legal requirements prior to signing by the appointed representative of the Board of Rockingham County Commissioners. All contracts entered into by Rockingham County are required to contain Non-Appropriation and Indemnification clauses. Sample language is provided below. Non-Appropriation Rockingham County is obligated to pay only such contract amounts that can lawfully be made from funds budgeted and appropriated for that purpose during Rockingham County's then current fiscal year, subject to annual approval by the Rockingham County Delegation. Should Rockingham County fail to budget, appropriate, or otherwise make available funds to make payments under this contract, such contract shall be deemed terminated at the end of the then current term. Rockingham County agrees to deliver prompt notification after any decision to non-appropriation is made, but failure to give such notice will not extend the term beyond such Original or Renewal Term. Indemnification To the fullest extent permitted by law, (ORGANIZATION) shall protect, indemnify, save, defend and hold harmless Rockingham County, including its officials, agents, volunteers and employees, ("Indemnified Parties"), from and against any and all liabilities, obligations, claims, damages, penalties, causes of action, costs, interest and expenses, including but not limited to reasonable attorney and paralegal fees, which Indemnified Parties may become obligated or suffer by reason of any accident, bodily injury, personal injury, death of person, or loss of or damage to property, arising indirectly or directly under, out of, in connection with, or as a result of this Contract or the activities of (ORGANIZATION) or its agents, employees, contractors or subcontractors, and even if caused in whole or in part by any negligent or intentional act or omission of Indemnified Parties. In addition, and regardless of respective fault, (ORGANIZATION) shall defend, indemnify and hold harmless the Indemnified Parties for any costs, expenses and liabilities arising out of a claim, charge or determination that (ORGANIZATION) officers, employees, contractors, subcontractors or agents are employees of the Indemnified Parties, including but not limited to claims or charges for benefits, wages, fees, penalties, withholdings, damages or taxes brought in connection with laws governing workers compensation, unemployment compensation, social security, Medicare, state or federal taxation, and/or any other similar obligation associated with an employment relationship. (ORGANIZATION'S) obligations to defend, indemnify and hold harmless the Indemnified Parties hereunder shall survive the term of this Contract. Rockingham County shall not be required to defend or indemnify (ORGANIZATION) or its agents, employees, contractors or subcontractors or any professional service provider. Insurance Requirements The provider shall maintain at all times during the life of this contract the following insurance coverage. The provider must also require its subcontractors to maintain such coverage. Any request for modification of the coverage requirements must be submitted in writing with the proposal, and will be evaluated accordingly. NOTE: Workers' Compensation Insurance: The provider shall carry Workers' Compensation insurance as required by the State of New Hampshire. Comprehensive General Liability Insurance: The provider shall maintain comprehensive general liability insurance policy, which includes coverage for contractual liability, in an amount of no less than $1,000,000 per occurrence. Motor Vehicle Insurance: The provider shall carry motor vehicle insurance to include bodily injury, property damage, and uninsured motorist, coverage in an amount of no less than $1,000,000 combined single limit per accident. Provider shall provide an insurance certificate confirming the above insurance coverage. The insurance certificate and the underlying insurance coverage shall be issued by a carrier authorized to do business in the State of New Hampshire and having AM. Best Company rating of "A" or better. The provider shall have professional insurance/errors and omissions insurance with limits of not less than $1,000,000 each occurrence. The provider shall file certificates with Rockingham County showing that the above insurance has been purchased. A 30-day notice is required for cancellation and /or material change of coverage, sent directly to the Rockingham County Commissioners Office at 119 North Road, Brentwood, N.H. 03833. The Board of Rockingham County Commissioners reserves the right to accept or reject any and all proposals or parts thereof, to accept the proposal which they deem to be in the best interest of Rockingham County and to waive any bid formality. ATTACHMENT I I. General Requirements for Proposing and Instructions to Respondents A. Introduction and Background: The Rockingham County Complex, located in the southeastern corner of the State of New Hampshire, is a public entity composed of general administrative offices, a nursing home and a correctional facility. The County currently offers the following fully-insured health insurance plans: Plan Eligible Participants Teamsters Allegiant Care Open Access (Unions) Sheriff Deputies, Corrections Plan - Cigna Supervisors, Dispatch, Legal Assistants, Engineering and Maintenance - Active and Retired The County currently offers the following self-insured health insurance plans: Plan Eligible Participants (1) Open Access Plan - Cigna (National Eligible Non Union employees, (Unions) Network) Sheriff Supervisors and Corrections (2) High Deductible Health Plans - Cigna Officers - Active and Retired (National Network) The County currently offers the following dental plans: Plan Eligible Participants (2) Self-insured Delta Dental plans Eligible Non Union, (Unions) Dispatch, Sheriff Deputies, Sheriff Supervisors, Corrections Supervisors, Engineering and Maintenance and Legal Assistants - Active and Retired; Corrections Officers - Retired Only Teamsters Allegiant Care plan includes (Unions) Sheriff Deputies, Corrections dental Supervisors, Dispatch, Legal Assistants, and Engineering and Maintenance National Correctional Employees Union (Union) Corrections Officers - Active Only (NCEU) includes Dental Blue Program 2 Invitation to submit Insurance Consultant Services RFP Page 1 of 7

Additionally: County-paid Short-Term Disability insurance plan for all union and non-union full time benefit eligible employees; County-paid Basic Life insurance plan ($20,000) for all union and non-union full and part time benefit eligible employees. There are a total of 575 currently approved positions. Approximately 285 employees and 20 retirees are enrolled in the Cigna health insurance plans, and 64 are enrolled in the Allegiant Care health/dental/life insurance plan. Approximately 443 employees are enrolled in the County's self-insured dental insurance plan, and 47 are enrolled in the NCEU Dental Blue plan. The County-paid Basic Life insurance has approximately 452 employees enrolled. The County self-insured Short-Term Disability insurance plan has 370 employees enrolled. The County's Flexible Spending Accounts (medical and dependent care) enrollees total 93. 161 employees participate in the County's Health Savings Account. The County offers an Employee Assistance Program and a personalized health care shopping service as added benefits. Voluntary Programs: Long Term Disability Vision Voluntary Life and AD&D (self, spouse, child) Hospital, Critical Illness, and Accident Pet Insurance Home and Auto It should be noted that the County is actively involved in Wellness programming. We will be undergoing a shift to a health insurance based program under our current carrier for 2019. We look to incorporate a health insurance platform that will track, provide data analysis and reporting tools to assist our employees and the County in engagement, initiatives, and long range goals. Rockingham is seeking written proposals from qualified professionals for a contract term for service of July 1, 2019 through June 30, 2022 with a renewal option by the County for July 1, 2022 through June 30, 2023. B. Purpose of the Request: Rockingham County is initiating an insurance consultant services review to ensure our partner is proactively assisting the County in providing health and welfare programs to our employees in the most competitive and strategic manner possible. This includes providing health and welfare plans that: Are competitive and comprehensive. Utilize carriers who are providing benefits in the most cost effective arrangement and who are performing at the highest level. Invitation to submit Insurance Consultant Services RFP Page 2 of 7

Innovative approach to benefit offerings and wellness initiatives. C. Scope of Services: The general scope of services to be provided by the Consultant is as follows: 1. The consultant will conduct an annual cost/claims analysis to propose short and long term program goals. Using this information it will prepare bid specifications, solicit competitive proposals and make objective written recommendations to the County on its health, dental, Short-Term disability insurance coverages, flexible spending program, health savings accounts, new or enhanced benefits, as well as applicable voluntary plans (i.e. Life, Accident, Hospital and Critical Illness, Home and Auto, Pet Insurance, EAP, Long Term Disability, and personalized health care shopping service) for the years beginning July 1, 2019 and through June 30, 2022. Full analysis will be provided to support the recommendation. 2. The Consultant will request proposals on the coverages that Rockingham County presently has in effect and shall solicit additional, varied (including alternative options to the current plan funding arrangement(s)) or enhanced coverages as it is deems appropriate. 3. The Consultant will solicit proposals with a minimum two year rate guarantee, if available. 4. The Consultant will coordinate all requests for information/proposal. 5. The Consultant will be available to the County Commissioners to present their findings as required. 6. The Consultant shall serve as liaison with providers and third party administrators as requested by the County (including reporting and problem resolution). 7. The Consultant will be responsible for providing consultation, analysis (e.g., benchmarking to New England, Northeast, National), periodic reporting and constant update on current trends and issues as deemed necessary by the Rockingham County Commissioners; provide expert advice in the design and review of benefit plans, proactively recommend alternative benefit designs, ancillary benefit program(s), voluntary benefit programs, or delivery systems as dictated by emerging costs or benefit practices and trends. 8. The Consultant will provide all scopes of open enrollment services annually as requested. 9. The Consultant will provide support to the County on other matters related to the County insurance coverages including but not limited to wellness programming, alternative open enrollment processing tools and employee communications. 10. The Consultant will provide legislative, state and federal compliance support. D. Negotiating: The Board of Rockingham County Commissioners and/or their designee will conduct negotiations with the provider. Invitation to submit Insurance Consultant Services RFP Page 3 of 7

E. Proposal Prices: Proposal prices are to remain in effect for a period of sixty (60) days from opening date of the proposals and are to remain firm. Please specify whether the proposal includes the Consultant retaining commissions or any other revenue. Should the proposal include commissions please specify the percentage required for each program. Please provide a separate page of all costs associated with this RFP. Please disclose any bonuses the Consultant may receive that may affect the County's or Employees' costs. F. Performance Clause: In the event that the successful awarded bidder/rockingham County should default in the observance of the stipulations set forth in this Request for Proposal and any attachments thereto and such default is not corrected within thirty days of written notice from either party, the successful awarded bidder/rockingham County shall have the option of canceling the Proposal. Prior to commencement of any work the successful awarded Consultant shall provide to the Board of Rockingham County Commissioners a Certificate of Insurance for employees who will visit County property. (See II A., Sections 8&9) G. Notice: Information provided in these specifications is to be used only for the purposes of preparing a proposal of costs and services to be provided to Rockingham County. It is expected that each provider will read these specifications with care. Failure to meet certain conditions may invalidate proposals. Preparation of Proposals: Following the review and screening of all proposals, providers may be invited to participate in the final selection process, which will include interviews during the week of March 11 and may include software demonstrations and/or the submission of additional information regarding cost or other issues, as requested by Rockingham County. I. Award and Completion Time Frame: The County is prepared to award the contract for the project immediately after the evaluation of the proposals. The County expects that: 1. Item #1 (C. Scope of Services-items # 6-10) will be ongoing and available for the entire period of the contract. 2. Item #2 (C. Scope of Services-items #1-5) will be completed by March 31, 2020. 3. Item #2 (C. Scope of Services item# 6) will be ongoing and available through June 30, 2020 (for the first year). Scope of Services item# 6) will be ongoing and available through June 30, 2021 (for the second year). J. Additional Terms and Conditions: 1. Rockingham County may award the contract to multiple providers. 2. Any changes to the above Specifications shall meet with the approval of the Board of Rockingham County Commissioners. 3. Should you have any variations (discounts and/or penalty clauses) that may affect the price, please specify same in your proposal. Upon satisfactory completion of the above noted work, payment is subject to the County's standard accounts payable process. 4. All contracts signed by the County will include a non-appropriations clause. II. Proposal Contents and Evaluation A. Technical and Cost Proposal The proposal must include, at a minimum, the information required to describe execution of the Scope of Services, given above, including a description of the proposed methodology. The proposal shall also include: 1) A Letter of Introduction. 2) Identity of offeror, central address and telephone number. 3) General experience and interest in the project. 4) Qualifications of the Consultant. A brief history of years of experience your firm has in providing health and welfare services; Total number of employees directly involved in providing health and welfare services; A description of your firm's service philosophy and practice; Invitation to submit Insurance Consultant Services RFP Page 5 of 7

Total number of companies for which your firm is the lead consultant in regard to health and welfare plans and services; Provide a summary of the service team that you would propose to be the primary contact for the County; Provide the retention rates of the proposed service team and of all teams assigned to health and welfare services; Provide a list of the top five health and welfare plan providers and or insurance companies that your firm deals with in each of the following areas; medical, dental, life, disability and other voluntary benefits. 5) Qualifications and resumes of any other personnel proposed to work in the absence of the Consultant or in lieu of the Consultant for any item number. 6) A list of references (particularly NH government) for whom similar work has been performed. 7) List of any pending, settled, tried, or other litigation the Consultant has been involved in for the past five (5) years, with a brief description of the case(s) and their current status. 8) A statement that if awarded this contract, the Contractor will obtain professional liability insurance in the amount of at least $1,000,000.00 coverage. 9) A certificate of Workers' Compensation Insurance for all employees in the amount of at least $1,000,000.00 coverage while on County premises. 1 0)A statement that the proposal is effective for 60 days from proposal due date. 11)A statement that the offeror will comply with all terms and conditions as stated in this RFP, or identify any exceptions taken to any of the requirements. 12) The costs of the services shall be quoted as follows: Item #1: Scope of Services Items 1-10 (I C) for contract years July 1, 2019 - June 30, 2022 Item #1: Scope of Services Items 1-10 (I C) for optional contract year July 1, 2022 - June 30, 2023 B. Evaluation of Proposals The proposals will be reviewed by the Board of Commissioners and Human Resources Department. C. Clarification of Offer The County may, in the evaluation of offers, request clarification from offerors regarding their offers, obtain additional material or literature, and pursue other avenues of research as necessary to insure that a thorough evaluation is conducted. D. Modifications to Offer Offers may be modified or withdrawn by written notice provided such notice is received prior to the hour and the date specified for receipt of offers. E. Proposal Preparation Expenses Offerors shall prepare and develop proposals at the sole cost and expense of the offeror. F. Addendum In the event it becomes necessary to add to or revise any part of this RFP prior to the scheduled Bid Submission Deadline, the County shall post any Addenda on the County's website. Additional Information The County reserves the right to make a written request for additional information in writing from a Vendor to assist in understanding or clarifying a Bid response. The County reserves the right to reject any and all Bids, or any part thereof. H. Waiver of Minor Irregularities The County reserves the right to waive minor irregularities in Bids. Such waiver shall in no way modify the RFP requirements or excuse a Vendor from full compliance with the RFP specifications and other requirements if the Vendor's Bid is selected.
