Table 1 lists the chargeable transaction volume threshold for each currency supported by Ariba Network. Per any one customer relationship per year 1 / 5

ARIBA NETWORK FEES FOR SUPPLIERS WITH HIGH USAGE STATUS Once you cross the document and transaction volume thresholds described above in at least one customer relationship annually, you will be enrolled in a paid subscription and will be required to pay fees. There are two components to the supplier fee schedule for Ariba Network Fulfill: Orders and Invoices: Transaction fees, which are determined based on the document type and financial volume you transact annually with all customers through Ariba Network Subscription fees, which are determined based on the number of documents you transact annually with all customers, as well as your technology usage 3 Relationships Not Containing Service Entry Sheets Transaction fees are calculated as a small percentage (0.155%) of your transaction volume for a given customer relationship. Transaction volume is calculated as the total financial value (in the applicable currency) of all non-po invoices plus the total financial value of all POs (excluding canceled orders) or all invoices generated from a PO, whichever is greater. Relationships Containing Service Entry Sheets Transaction fees are calculated as a small percentage (0.35%) of your transaction volume for a given customer relationship. Transaction volume is calculated as the total financial value (in the applicable currency) of all non-po invoices plus the total financial value of all POs (excluding canceled orders) or all invoices generated from a PO, or all service entry sheets generated from a PO, whichever is greater. 2 / 5

Transaction fee caps are also included to limit fees paid on high-value transactions and customer relationships. Table 2 lists the annual buyer-seller relationship caps for each currency supported by Ariba Network. Table 2: Transaction Fee Caps Country or Region Annual Cap: Maximum Annual Transaction Fees for High-Volume Customer Relationships 3 North America United States and Mexico USD 20,000 North America Canada CAD 26,000 Central America USD 20,000 South America (except Brazil) USD 20,000 Australia AUD 27,300 China USD 20,000 Japan JPY 2,220,000 Singapore SGD 27,375 Other APAC USD 20,000 Switzerland CHF 19,800 United Kingdom GBP 15,500 Other EMEA EUR 17,300 ZAR 282,000 Subscription fees Subscription levels and fees are determined based on the number of documents you transact annually as well as your technology usage. 4 There are four paid subscription levels, each offering a set of features that increases in value as you move to a higher level. For more information on subscription features, please see www.ariba.com/ariba -network/ariba-network-for-suppliers/subscriptions-and-pricing. 3. Per any one customer relationship per year. All supplier customers that moved from Quadrem Network to Ariba Network beginning in 2017 will receive a new relationship cap that places a limit on the annual network fees. SAP Ariba will continue to provide account management and transition support services to these same customers in 2019. In 2019, this relationship cap will be USD 100,000. 4. For first-time chargeable suppliers, Ariba Network totals your historical monthly document transaction counts across all customer relationships, up to three months if available, and annualizes that amount to determine your subscription level and fee for the next year. The date when this occurs becomes your master anniversary date. Your subscription level is then reevaluated each year on your master anniversary date based on your document transaction counts during the previous 12 months. 3 / 5
