ALPHAY COMPENSATION PLAN This article is an in-depth look at all of the different aspects of the Alphay compensation plan. In your first month or two, you do NOT need to understand the entire comp plan. In fact, don t. Your only task is to pay attention to the most important things to know in the beginning. Your 3 immediate Targets to accomplish to get your Alphay Business launched: 1) Get onto Autoship, to get your required PPV to activate your Cumulative Volume, preventing it from diminishing by 50% each week or even being deleted. - You can also Acquire 2-3 Customers to satisfy this requirement. - Your Personal purchase will also develop your personal relationship to the products. 2) To activates IMMEDIATE weekly Payouts, Enroll 2 PSDS and get them placed on our Right and Left side of your Placement Tree. 3). Get 1 more PSD (3 in total) to create your Unilevel foundation of 3 solid legs that will get you all the way to Key. 4. You must be ACTIVE to get paid any commissions. Active means generating at least 50 Personal Qualifying Volume (PQV), in the current or previous 4 weeks. In real terms, that means being on autoship with at least 1 bottle (which happens to equal 50 points); that will keep you always Active. CUSTOMER ACQUISITION PROGRAMS 1. 10 Customer Club Bonus Who is Eligible: ----Distributors (in their first 30 days of enrollment) Bonus: --------------- 30% of total BV from all new personal customers who place order(s) during the Distributor's first 30 days of enrollment. Add that to the normal 15% every Distributor earns from its Customers, and that gives you an astounding 45% commissions on the total Customer orders in the first 30 days, IF you can get at least 10 Customers. POOLS NOTE: because all Pool commissions are based on a country s annual or quarterly sales, and then divided by the number of Distributors currently that pool for that period, pool commissions are hard to calculate. However, as of August, 2015, the pools can be quite large, over $1,000 for each share. 1. 10 Customer Pool Bonus: ---------------One Share in the 10 Customer Pool Source: --------------5% of each country s total Customer BV and 25% Direct Customer BV Payout: --------------Paid 4 times per year Qualifications: -----Earn one share in the pool each calendar month you: Maintain 3 Personally Sponsored Distributors with at least 50 QV each Maintain 10 unique personal Customers One share will be awarded for each multiple of 10 personal Customers: There is no limit to how many shares you can earn. Builders Pool Bonus:----------------Share in the Builders' Pool Source: --------------15% Direct Customer BV, plus 2% PTV, plus 2% Unilevel BV Payout: --------------Paid 4 times per year Qualifications Option 1: receive one share each calendar month you: Maintain your 3+3 (3 personal Customers and 3 PSDs with at minimum 50 QV each, and Have 3 Distributors anywhere in your sponsor tree who maintain their 3+3 Option 2: receive 3 shares each calendar month you: Maintain your 3+3 and Have 9 Distributors anywhere in your sponsor tree who maintain their 3+36. Option 3: receive one share each calendar month you: Maintain your 3+3 and A PSD qualifies for the 10 Customer Pool Each country will fund its own Builders Pool. This Summit will be held annually at the Grand Wailea Hotel in Maui, Hawaii and is open to qualified Key (and higher) distributors. It is an opportunity for distributors to share this experience with their significant other and meet with Key leaders from all over the world, including Chairman Chen himself. Key Global Leadership Summit Maui, Hawaii Grand Wailea Resort Meet & strategize with global leaders. Maintain rank and travel every year. Understanding Placement Tree and Sponsor Tree As an Alphay Distributor, you get paid to build a network of Consumers and Distributors. Your compensation for building that one network is tracked through two maps, called trees: the Sponsor Tree and the Placement Tree. Everyone who joins your team will have a position in both of these trees. All commissions and bonuses in the entire Alphay compensation plan (and described in this document) are based on building your Sponsor Tree... with the sole exception of the Placement Team Commission. Let s look at them both. Sponsor Tree The Sponsorship Tree tracks the connection between every sponsor and their PSDs (Personally Sponsored Distributors). The distributors you personally introduce are automatically and always positioned on your first level (Level 1) of your Sponsorship Tree. The new people each of your PSDs introduce to Alphay will be on each of their own Level 1, which means your Level 2. And so on. The Sponsor Tree keeps track of commissions on all orders after the First/Upgrade orders (ie, all reorders). Distributors are paid through 10 levels of our Sponsor Tree volume: 15% on all PV (Personal Volumes) of L1, and 5% on all PV on L2-L10. Every person you and your team of distributors introduce to Alphay will be your Sponsor Tree. Since every order of any Customer becomes part of their sponsor s volume, you are also paid on all of the L1-L10 Customers, too. There is no limit to the number of PSDs that you can personally sponsor. The map below shows 4 first level PSDs, but each Distributor can sign up 20 or 100 or more Sponsor Tree legs. The first 10 levels of your Sponsor Tree are also known as the Unilevel. Worth repeating: in the 13+ ways we get paid (see the wheel image on page one), all of them (except one) are paid through building your Sponsor Tree. In the Sponsor Tree, you can t manually place anyone every person you sign up automatically goes onto your Level 1. Every person your Level 1 people sign up goes onto their Level 1, and so forth. page 7 Alphay Compensation Plan version 3.6

That s it; the only reason for the Placement Tree is to help you earn weekly commissions on the total volume of all First/Upgrade orders. NOTE: for details on First/Upgrade orders, the 8-week allowed for Upgrade, and Status Levels, see the next section, Placement Tree Commission. Every one in your Sponsor Tree (to infinity, there is no cutoff) has a spot in your Placement Tree (meaning: your PSDs, as well as everyone of of their PSDs, and so on). Furthermore, anyone in your upline can also place their own PSDs and subsequently those PSDs entire Sponsor Tree to infinity into anyone s Placement Tree. Since everyone s First/Upgrade order becomes part of your Placement Tree Volume (PTV), Placement Tree Commissions can eventually become a very big weekly pay. And because PTV is created solely from First/Upgrade orders, it is the most powerful indication of new growth and new people. Placement Team Volume (PTV) is 80% of the total Bonus Value (BV) of all First/Upgrade orders that occur in the most recent week (ending Saturday at midnight, Pacific Coast Time). There will be PTV in the Right Leg, and PTV in the Left Leg. You will get paid each week on the Placement Team Volume that accrues on the smaller of your two legs. The smaller leg is always called the Pay Leg, the larger is the Power Leg. page 8 Alphay Compensation Plan version 3.6

The amount paid is based on your Placement Team Status Level (ie, 5%, 10%, 15%). This is why coming in at 15% Status Level is so important for each new Distributor. After getting paid your weekly commissions on your Placement Tree, the volume on your Pay Leg is reset to zero, and then accumulates again until the following Saturday evening, midnight. That same Pay Leg volume is subtracted from your Power Leg. The remaining amount on your Power Leg is called Carryover Volume. The new weekly PTV on your Power Leg is added to that Carryover Volume. Reminder: You must be ACTIVE to get paid for any part of the entire Alphay Comp Plan. Active means generating at least 50 Personal Qualifying Volume (PQV), in the current or previous 4 weeks. In real terms: get onto autoship with at least 1 bottle (which happens to equal 50 points). If you re not on autoship, you will lose some or all of your commissions. During your first 4 weeks, you will receive all Placement Team commissions. From your 5th week onward, the rule is this: to be eligible for PTC, you must have at least 2 Active PSDs, one in the Left leg and one in the Right leg. If you do not have one active PSD on each leg, you will not be eligible for Placement team commissions for that week even if you are personally active. In theory, you essentially only need one PSD on your Power Leg, the rest can be placed in your Pay Leg. However, if for any reason that single Active PSD in the Power Leg doesn t place an order that month, you could lose your PTC for that week. Therefore it is advisable to have a few PSDs in your Power Leg. Placement Tree Strategy: in the Placement Tree, you have a choice of where to place each new PSD: you can put them onto the first open position of your Left side, or Right side. Since Placement Tree Bonus is paid on the smaller of your two Placement Tree legs each week, you can decide where you need the First/Upgrade volume the most. In general, you want to use the Outer Edge Placement strategy. This is where you place each new PSD of yours along one outer edge. If your own sponsor is doing this for your own LEFT outer leg, then you would do it for your own RIGHT outer leg. By doing this, it builds one leg (one side) of every single PSD s Placement Tree. That means each Distributor will tend to mainly only have to build their other leg. This outer edge placement strategy is incredibly supportive. Every person you bring in gets supported by the other people you bring in, and then everyone they each sign up into their own networks. One important caveat: to get paid on Placement Team bonus, Alphay has a rule that says you must have at least 1 active Personally Sponsored Distributor in both sides (both legs). The best way to do this is to place at least one truly active PSD into your other leg, and it's best to put them into that outer edge the other leg; this allows your solitary PSD on that leg to benefit from having one leg built by your sponsor, just like the other PSDs. Last note: don't get confused by where your people are on your Placement Tree. Remember: Everyone you ever sign up is on your Level 1. It doesn't matter which ROW they are in your Placement Tree. Eventually, you will sign up a new first level Distributor and the first open position will be on your 4,000th row in your Placement Tree. Doesn't matter: they're still your Personally Sponsored Distributor, and they will always be on your Level 1. page 9 Alphay Compensation Plan version 3.6

PLACEMENT TEAM COMMISSION Payout: -------------- Weekly (an Alphay week ends midnight, Saturday night, Pacific coast time) Source: -------------- Placement Team Volume (comes from First/Upgrade orders that occur each week) Amount Paid: ------ Either 5%, 10%, or 15% of the total Placement Team Volume on your smaller Placement Team leg each week. Your percentage (5, 10, or 15%) is determined by your Status Level. Qualifications: ----- 2 Active PSDs (one on the Right Leg and one on the Left Leg) Placement Team Volume (PTV) Placement Team Volume is what Placement Team Commissions is paid on. PTV is derived from 80% of the total of all First/Upgrade orders that have occurred each week in your entire Placement Tree (mean, from your entire Sponsor Tree, plus anyone who was placed there by your upline). Example: someone signs up as at the top 15% Status Level. This is 700BC. 15% (105 BV) is paid to the direct Sponsor, and 80% (560 BV) is placed in your Placement Tree and becomes Placement Team Volume. On a weekly basis, the leg with the most PTV will be your Power Leg. The leg with the smaller PTV will be your Pay Leg. You are paid a Placement Team Commissions (PTC) once a week based on your Placement Team Status. It will be either 5, 10, or 15% of that total, depending on your Status Level. Status Level Status Level (aka Placement Team Status) refers to one of 4 positions: - 5% Status Level (cost: 175BV) - 10% Status Level (cost: 350BV) - 15% Status Level (cost: 700BV) - 20% Status Level (can t be purchased; it s automatically achieved by reaching Diamond Pin Rank) Status Level is achieved through the size of your First/Upgrade order. Your Status Level determines how much Placement Team Commissions (PTC) you earn each week on your Placement Team Volume. You only have to reach a Status Level once, and then you never have to do it again. When Distributors come in at the top level, 15%, they re set for life. If they come in at 5% or 10%, they have 8 calendar weeks to upgrade to the 15% Status Level. This is done through a one-time only, special Upgrade Order, that makes up the difference between where they are, and 15%. NOTE: once anyone reaches Diamond Pin Rank, they are automatically placed at 20% Status Level.The first three (5-10-15%) can be purchased, but the 20% Status Level can only be earned. You get it automatically (regardless of your former Status Level) by achieving Diamond Pin Rank (which is when your Group Volume gets to 50,000). Example Let s say the total new Placement Team Volume is 10,000 this week on your Pay Leg, and 15,000 on your Power Leg. PTV on your Pay Leg is set to zero at Sunday, Pacific Time,12:01AM, and then starts to accumulate again until the following Saturday, midnight. 2. Whatever amount was in the Pay Leg is subtracted from the Power Leg. Because the Power Leg is, by definition, bigger, there will be some volume left over each week. That leftover volume is called Carryover Volume. The new weekly PTV on your Power Leg is added to any Carryover Volume that has accumulated from the past. Your Placement Team Volume always starts with 0 on your Pay Leg, and the remaining Carryover Volume on your Power Leg. If you get off of autoship, you can start to lose this Carryover Volume. The Power of Placement Team Commissions 1. Because PTC is created solely from Distributors First/Upgrade Orders, PTC is an indication of new growth and new people. If your weekly PTC is low, it s a sign that your group has become stagnant. 2. The power of the PTC is that the Placement Tree is made up not just of your entire Sponsor Tree (going to infinity), but also from anyone that your upline places into your Placement Tree. The Placement Tree is the one place where Distributors in your upline can help you earn money, by possibly placing their own PSDs into your Placement Tree. And you can do the same for your own PSDs, and so forth. 3. When a Distributor is placed into your Placement Tree, their entire Sponsor Tree (to infinity) now becomes a permanent part of your Placement Tree. Meaning that PTV is not only from legs of people you sign up, but also from the legs of people placed there by your upline. 4. You are paid to infinite levels on your Placement Tree. There is no limit. 5. You have a choice on where to place people in your Placement Tree. To be eligible for PTC, you must have at least 2 Active PSD, one in the Left leg and one in the Right leg, during each week (new Distributors are exempt from this for their first 30 days). Alphay uses dynamic compression which means that if anyone in your Sponsor Tree either drops out or doesn t qualify for commissions during any month, their position is compressed and their L1 becomes your own L1, their L2 becomes your L2, and so on. This ensures that no commissions are left to the company, and are instead paid to the upline. This encourages distributors to work with even those many levels down in their genealogy. Generational Bonus is the 5% paid to you for this total Generational Volume between you and that next Key, however deep they are in your Unilevel. In other words, the Generational Bonus pays you 5% based on the Personal Volume of each Distributor in a Generation. The higher your rank, the more generations you can be paid on. Either 50% (ie, 2 legs), 40% (ie, 3 legs), or 30% (ie, 4 legs) - 3 to 6 months at that Pin Rank (any time during a rolling 12-month period) Maximum GQV Contribution Maximum GQV Contribution is the maximum BV percentage that a single Sponsor Tree leg may contribute to your Paid Rank Qualifications. An example: - you have 10 PSDs (ie, 10 Sponsor Tree legs). Total Group Qualifying Volume from all is 22,000 GV - Your best PSD, Fred, has 15,000 GV. The other leg s total then is 7,000 - Max GQV says, only 50% of any one PSD leg can count towards the Pin Rank required volume. So, since 22,000 is in the range of Emerald Pin Rank, which has a required GV of 20,000, that means only 50% of that 20k can come from any one PSD leg. - In Fred s case, only 10,000 of his 15,000 can count towards the required 20,000. - That gives you a total 10k from Fred, and 7k from the other legs. Total qualified points is 17,000, which is enough for Ruby, but not enough for Emerald. Your focus, then, is to expand your other legs. The idea behind the Maximum GQV is to not lean so heavily on one superstar PSD leg. As your group grows, the comp plan pays you more by developing two legs (50%), three legs (40%), and then four legs (30%) at the very top Pin Ranks. Other Cash Bonus notes: qualifications require 3 or 6 months at that Pin Rank, and are based on a 12-month rolling calendar period. Once qualified, you earn your cash bonus. At the 2-Star Key rank, Alphay gives you $75,000 towards the purchase of an Audi car. This is not a lease; it is a clear title to a brand new Alphay Audi. It is 15% for all Distributors, regardless of what Status Level they are at. This is completely separate from Placement Team bonuses. There is no limit as to how many personally sponsored distributors you can have. Example: when you sign up a new PSD who comes in at the 15% Status Level, that means their total BV is 700. Whoever is the sponsor immediately gets 15 of that total BV right off the top. In this case, 700 x 15% = $105. 80% of that total 700 (560BV) would then land in your Placement Tree, where you could then also earn your Placement Team bonus as well. Inactive means not having this volume. Personal Qualifying Volume comes from ones personal purchases, plus the total of all Consumers. To qualify for any payments (commissions, bonuses, etc.), you must be Active status (the exception is Retail Profits from Retail Customers) The easiest way to be active is to be on autoship for at least 1 bottle. This automatically makes you active without having to do any math or figure out weeks. A "week" in Alphay is measured from 12:01 am Sunday (PacificTime) to 12 midnight, Saturday. Autoship----------------Autoship is an optional monthly shipment of product that you set up through your back office. Choose the which products and which date it is sent. Change product or delivery date at any time. After the 3rd month on autoship, you receive a 5% discount. After the 6th month, a 10% discount. If you get off autoship, you lose this discount and have to start over. The two biggest advantages to autoship is 1) it guarantees that you remain Active status, and never lose any commissions; and 2), by the 8th week of no PV, you lose 90% of your Carryover Volume. Bonus Volume --------Bonus Volume (also known as Bonus Qualifying Volume, BQV) refers to the point value that is placed on every product purchased. By using BV instead of $$, the comp plan can assign the same points to a product, no matter which country or currency a Distributor purchases it. In the US, one US$69 bottle of Linghzi is 50 BV. In Mexico that same 649 peso bottle is also 50 BV. All commissions paid to you, and all descriptions of volume, are based on BV. Carryover Volume ---CV is the cumulative running balance of Placement Team Volume (PTV) left over at the end of each week in the Power Leg (your larger leg) after Placement Team Commissions (PTC) are paid each week. Carryover Volume remains and accumulates each week, and can often climb to 10s and even 100s of thousands of BV points over time. It is this Carryover Volume that allows you to immediately tap the full Placement Team Commissions (between 5-15% based on your Placement Team Status) every time anyone new signs into your smaller Pay Leg (going to infinity). The only way to lose CV is to become Inactive. Stay on autoship, and you ll never lose this CV. Group Qualifying Vol Group Qualifying Volume (GQV) is derived from your entire Sponsor Tree volume (all levels, even past Level 10). This includes the Qualifying Volume of everything purchased in the past calendar month: Personal Sales Volume, ALL Sponsor Tree First/Upgrade Orders, and 80% of all Retail/Preferred Customers Qualifying Volume going to infinity. In other words, everything in your Sponsor tree, going to infinity. GQV is used to qualify your Pin & Paid Rank in the Unilevel Bonus program. Your rank may change month to month, dependent upon the amount of your GQV. NOTE: even though the maximum we can get paid in our Unilevel is through Level 10, GQV for ranking purposes includes the volume of everyone in your Sponsor Tree to infinity. Placement Tree-------The binary map where every Distributor in Alphay, worldwide, is placed in and holds a position in. Under each Distributor are two positions; under those positions are two positions, and so on. This creates a left leg and right leg under every Distributor. Those positions can be filled by that Distributor's upline, their own Personally Sponsored Distributors (PSD), and by the entire Sponsor Tree of those Distributors. PSD----------------------A Personally Sponsored Distributor is someone you personally introduce and sign up as a Distributors. You can have as many PSDs as you want.
