STRANICA 1/6 LIPANJ 2015 PAGE 1/6 JUNE 2015 Prijedlog novog Zakona o računovodstvu u nastavku: ZOR) je na prvom čitanju u Saboru, a prema navedenom u završnim odredbama, stupiti će na snagu već 1.7.2015. (u prilogu). Prijedlog ZOR-a, u odnosu na sada važeći ZOR, donio je neke, od kojih izdvajamo najvažnije kako slijedi: Propisano je novo i drugačije razvrstavanje poduzetnika na mikro, male, srednje i velike. Mikro poduzetnici su oni koji ne prelaze dva od tri sljedeća uvjeta: iznos ukupne aktive 2.600.000,00 kuna, neto prihod 5.200.000,00 kuna i prosječan broj radnika tijekom poslovne godine 10. Mali poduzetnici su oni koji nisu mikro poduzetnici i ne prelaze dva od tri sljedeća uvjeta iznos ukupne aktive 30.000.000,00 kuna, iznos neto prihoda 60.000.000,00 kuna, prosječan broj radnika tijekom poslovne godine 50. Srednji poduzetnici su oni poduzetnici koji ne pripadaju kategoriji mikro ni malih poduzetnika te ne prelaze dva od tri sljedeća uvjeta: iznos ukupne aktive 150.000.000,00 kuna, neto prihod 300.000.000,00 kuna i prosječan broj radnika tijekom poslovne godine 250 radnika. Proposal of the new Accounting Act (in text: ZOR) was sent to the Parliament for the first reading, and according to the previously mentioned, it will be put into effect by July 1st, 2015 (attached in e-mail). Proposal of the new Accounting Act has provided some news in comparison with the current Accounting Act and some of those are as follows: A new and different classification of entrepreneurs is prescribed; micro, small, medium and large. Micro entrepreneurs are the ones that do not exceed two of the following three conditions: total assets in the amount of 2.600.000 HRK, net income in the amount of 5.200.000 HRK and average number of employees during the financial year is not more than 10. Small entrepreneurs are the ones that do not fall in the category of micro entrepreneurs and do not exceed two of the following three conditions: total assets in the amount of 30.000.000 HRK, net income in the amount of 60.000.000 HRK and average number of employees during the financial year is not more than 50. Medium entrepreneurs are those entrepreneurs who do not belong to the category of micro neither to small business owners and do not exceed two of the following three conditions: total assets in the amount of 150.000.000 HRK, net income in the amount of 300.000.000 HRK and average number of employees during the financial year is not more than 250.
STRANICA 2/6 LIPANJ 2015 PAGE 2/6 JUNE 2015 Veliki poduzetnici prelaze dva od tri uvjeta koji su navedeni kod srednjih poduzetnika. Dodatno su propisani veliki poduzetnici neovisno o navedenim uvjetima. Detaljnije je propisano kako se razvrstavaju novoosnovani poduzetnici. Kao pokazatelj prilikom razvrstavanja poduzetnika uveden je neto prihod umjesto dosadašnjeg pokazatelja ukupnog prihoda. Izmjena u odnosu na važeći Zakon je ta što je uvedena je kategorija mikro poduzetnika za 2015. godinu gdje će se razvrstati gotovo 100 tisuća sada malih poduzetnika. Pojedini mali postati će srednji poduzetnici, pojedini srednji mali, a pojedini veliki postati će srednje veliki poduzetnici. Razvrstavanje u nove skupine je važno jer su u ovisnosti o veličini poduzetnika ZOR-om propisane različite obveze vezano za financijske izvještaje i financijsko izvještavanje. Uvodi se razvrstavanje grupa poduzetnika na male, srednje i velike. Male grupe neće morati sastavljati konsolidirane financijske izvještaje. Poduzetnici neće morati potpisivati izlazne račune, ako ih sastave sukladno poreznim propisima i ako sadrže ime i prezime osobe koja je odgovorna za njihovo izdavanje. Large entrepreneurs exceed two of the three conditions set out in mediumsized businesses. Large entrepreneurs are additionally prescribed regardless of the above conditions. It is described in more detail how to classify newly established entrepreneurs. As an indication for the classification of entrepreneurs, the net income is introduced instead of the total income. A change to the current Act is that it introduces the category of "micro" entrepreneurs in 2015 where almost 100,000 small businesses will be rearranged. Some small entrepreneurs will become medium-sized entrepreneurs, some medium-sized entrepreneurs will become small entrepreneurs, and some large entrepreneurs will become medium-large entrepreneurs. Classification in new groups is important because depending on the size of the entrepreneur ZOR has prescribed different obligations related to financial statements and financial reporting. Classification of entrepreneur group is introduced, on small, medium-sized and large. Small groups will not have to prepare consolidated financial statements. Entrepreneurs will not have to sign outgoing invoices, if the invoices are in accordance with tax regulations, and if they contain the name and surname of the person responsible for their issuance.
STRANICA 3/6 LIPANJ 2015 PAGE 3/6 JUNE 2015 Produljeni su obvezni rokovi čuvanja knjigovodstvenih isprava na temelju kojih se unose podaci u pomoćne knjige i rokovi čuvanja pomoćnih knjiga, sa 7 na 11 godina. Propisan je rok od 4 mjeseca za zaključivanje poslovnih knjiga (do 30. travnja slijedeće godine). Poduzetnik je dužan godišnje financijske izvještaje i godišnje izvješće, zajedno sa revizorskim izvješćem (ako je obveznik revizije) te izvještaj o plaćanjima javnom sektoru dostaviti Financijskoj agenciji najkasnije u roku od šest mjeseci od zadnjeg dana poslovne godine. Konsolidirane godišnje financijske izvještaje, konsolidirano godišnje izvješće i konsolidirani izvještaj o plaćanjima javnom sektoru dužan je dostaviti najkasnije u roku od devet mjeseci od zadnjeg dana poslovne godine ako je poduzetnik dužan sastavljati konsolidirane izvještaje. Poduzetnik ima obvezu dostave u roku od devedeset dana od dana nastanka statusne promjene, pokretanja postupka likvidacije ili otvaranja stečaja, a za sljedeće poslovne godine pravila isporuke su regulirane prema uobičajenom načinu isporuke. Izostavljena je mogućnost provedbe inventure (popisa) tijekom godine, a popis se obvezno provodi na kraju poslovne godine. Bilanca se naziva "izvještaj o financijskom položaju". The mandatory retention periods of accounting documents are extended, on the basis of which data are entered in the sub-ledger and deadlines for keeping sub-ledger is extended from 7 to 11 years. The required period for the conclusion of business books is 4 months (until April 30th next year). The entrepreneur is required to turn in annual financial statements and annual report, with the audit report ( if the entrepreneur falls under audit requirements) and report on public sector payments to the Financial Agency no later than six months from the last day of the business year. Consolidated annual financial accounts, the consolidated annual report and the consolidated report on payments to the public sector should be turned in not later than nine months from the last day of the financial year if the contractor is required to prepare consolidated financial statements. The entrepreneur is required to submit it within ninety days from the date of the status change, the initiation of liquidation or filing for bankruptcy, and for the following business year the delivery rules are regulated according to the usual method of delivery. The possibility to carry out an inventory process during the year is not included, and the inventory process must be carried out at the end of the financial year. The balance sheet is called Statement of financial position.
STRANICA 4/6 LIPANJ 2015 PAGE 4/6 JUNE 2015 Odgovornost za godišnje financijske izvještaje proširuje se na sve članove uprave poduzetnika i njegovog nadzornog odbora (ako postoji), odnosno na sve izvršne direktore i upravni odbor u okviru zakonom (Zakon o trgovačkim društvima - ZTD, ZOR i dr.) određenih nadležnosti, odgovornosti i dužne pažnje. Godišnje financijske izvještaje potpisivat će predsjednik uprave i svi članovi uprave (direktori), odnosno svi izvršni direktori poduzetnika. Ako nema uprave, odnosno izvršnih direktora, kao i do sada potpisat će ih osobe ovlaštene za zastupanje poduzetnika. Subjekti od javnog interesa dužni su u godišnje izvješće uključiti izjavu o primjeni kodeksa korporativnog upravljanja kao poseban odjeljak godišnjeg izvješća. Revizor tada ima obvezu obaviti reviziju dijelova izjave o primjeni kodeksa korporativnog upravljanja i o tome izdati mišljenje. Obveznici revizije financijskih izvještaja propisani su na drugačiji način nego sada, a uz financijske izvještaje obvezno će se revidirati i godišnje izvješće. Obvezi revizije godišnjih financijskih izvještaja tako podliježu: 1. godišnji odvojeni i konsolidirani financijski izvještaji subjekata od javnog interesa te velikih i srednjih poduzetnika koji nisu subjekti od javnog interesa. Responsibility for the annual financial statements will be extended to all entrepreneurs Board members and its supervisory board (if it exists), and all executive directors and the board of directors within the acts of law (Companies Act ZTD, ZOR and others) for specific competence, responsibility and due care. Annual financial statements will be signed by the Chief executive officer and all Board members (directors), and all executive directors of the entrepreneur. If there is no administration or executive directors, as before they will be signed by persons authorized to represent entrepreneurs. Public interest entities are required in the annual report to include a statement of the Corporate Governance Code as a separate section of the annual report. The auditor then has the obligation to carry out the audit on parts of the declaration of Corporate Governance Code and issue an opinion. Legal entities required for audit of financial statements were prescribed in a different way than now, and with the financial statements the annual report review will be mandatory as well. Legal entities that are subject to mandatory audit of financial statements are: 1. The separated annual and consolidated financial statements of public interest entities and large and medium-sized entrepreneurs that are not public interest entities.
STRANICA 5/6 LIPANJ 2015 PAGE 5/6 JUNE 2015 2. poduzetnici koji su matična društva velikih i srednjih grupa. 3. odvojeni i konsolidirani godišnji financijski izvještaji svih dioničkih društava, te komanditnih društava i društava s ograničenom odgovornošću čiji odvojeni, odnosno konsolidirani podaci u godini koja prethodi reviziji prelaze dva od sljedeća tri uvjeta: iznos ukupne aktive 15.000.000,00 kuna; iznos neto prihoda 30.000.000,00 kuna; prosječan broj radnika tijekom poslovne godine 25. 4. godišnji odvojeni i konsolidirani financijski izvještaji poduzetnika društava koji su podnijeli zahtjev za uvrštenje svojih vrijednosnih papira na uređeno tržište. Trgovačko društvo koje na datum bilance ima dobit raspoloživu za podjelu članovima društva (prema odredbama ZTD-a) dužno je takvu dobit najprije uporabiti za unos u ostale rezerve iz dobiti za pokriće: neotpisanih troškova razvoja iskazanih u aktivi i dobiti koja se može pripisati sudjelujućim interesima u iznosu koji nije primljen niti se njegova isplata može zahtijevati. 2. Entrepreneurs who are parent companies of large and medium-sized groups. 3. Separate and consolidated financial statements of all joint stock companies and limited partnerships and limited liability companies whose separate or consolidated data in the year preceding the audit exceed two of the following three conditions: the amount of total assets of 15.000.000,00 HRK; the amount of net revenue 30.000.000,00 HRK; average number of employees during the financial year is not more than 25. 4. Separate annual and consolidated financial statements of entrepreneurs that has been applied for listing of its securities on a regulated market. A company that at the balance sheet date has a profit available for distribution to the members of company (under the provisions of the ZTD) should first use those profits for transfer to other reserves for covering: Non write off development costs reported in assets and Profit attributable to the participating interests in the amount that has not been received neither can its payment be expected.
