1 Presentation of Campanile Attorneys-at-Law Our law firm has been established in 2003 with offices in Zurich. We advise our clients in all commercial legal matters and value our practice as being efficient, goaloriented and client related, focusing on establishing and maintaining a stable relationship with our clients. 3 Our Areas of Practice The services provided by us encompass especially the following areas: Corporate Law Our services cover all aspects of corporate law and we provide corporate administrative services to both Swiss companies and Swiss affiliates of foreign companies. We offer assistance in the field of incorporation of companies, national and international mergers and acquisitions, joint ventures, elaboration of shareholders agreements, private equity and venture capital transactions. Furthermore, we offer advice on corporate restructurings as well as on all issues related to the cantonal registers of commerce and to the transfer of managers. Corporate administration services include also assistance in organization matters, such as registered offices, directors, accounting and other administrative issues. Competition Law We advise our Swiss and foreign corporate clients in all matters which may be affected by unfair competition or antitrust laws, including distribution and marketing schemes, advertising law, joint ventures and mergers & acquisitions. We represent our clients in unfair competition and antitrust matters in courts as well as in administrative hearings before the Swiss Competition Commission. In international cases, especially those related to the European Union, we work closely with our foreign correspondents, which enables us to provide our clients with the required multi-jurisdictional assistance. Banking and Stock Exchange Law We assist both Swiss and international financial institutions in all aspects of banking and stock exchange law. Our services include counselling in all regulatory matters, such as obtaining the necessary licenses, and representation before the Swiss Financial Market Supervisory Authority (FINMA) and the SIX Swiss Stock Exchange. We assist financial intermediaries and holders of Swiss bank accounts confronted with account freeze or account disclosure orders issued in national or transnational criminal or administrative investigations. In the field of capital market, our services encompass assistance with capital restructuring, refinancing and private placements. Our services consist in negotiating and drafting contracts and general terms of contract in particular in the following areas: domestic and international sales agreements, leasing law, domestic and international distribution of commercial goods, agency law, joint ventures, loan agreements, mandate and supply agreements, employment contracts, consultancy and service agreements, etc. Labour Law We benefit from a broad litigation and counselling experience in the field of employment law. 5 Insolvency, Reorganisation and Bankruptcy Law We offer legal assistance to both creditors and distressed debtors in all aspects of insolvency, reorganisation and bankruptcy law. Our services encompass counselling and litigation at all stages of insolvency and bankruptcy proceedings, in particular also seizure and freezing of assets and international debt collection, as well as assistance in financial reorganisation and restructurings of companies as well as advice on liability issues arising out of insolvent or bankrupt enterprises. Notarial Services Out of the Canton of Schwyz we offer notarial authentications and legalizations under Swiss and non-swiss law. This allows us to provide a full range of efficient notarial services at competitive rates in all corporate matters such as incorporation of companies and affiliates, capital increases or reductions, mergers and amendment of articles of association. Furthermore, Swiss and foreign individuals are served with notarial authentications and legalizations regarding marital and inheritance contracts as well as last wills.
6 Our Team Fabrizio N. Campanile lic. iur. utr., LL.M., Attorney-at-Law Fabrizio N. Campanile, Finnish and Italian citizen, was born in 1972. He studied law at the University of Freiburg i.ue. and at the University of Siena (focussing on international law, WTO/GATT). He graduated from the University of Freiburg i.ue. in 1997. Thereafter, he worked as scientific assistant with the Federal Office of Justice (Department International Private Law focussing on international private and proceeding law). In 2002 he graduated from Glasgow University and received a LL.M. in commercial law (focusing on international arbitration, banking law and international tax law). He was admitted to the bar of Zurich in 2001 and worked as an attorney-at-law in an international orientated law firm in Zurich, where he was employed since 1998. In April 2003 he has founded his own law firm having its office in Zurich and counsels in Augsburg (Germany) and Siena (Italy). Fabrizio N. Campanile is registered with the bar register of the Canton of Zurich and is fluent in German, Italian, English and French. Marc Sinoli lic. iur., LL.M., Attorney-at-Law and Notary Public of the Canton of Schwyz, Legal Counsel Marc Sinoli, Swiss citizen, was born in 1979. He has graduated from the faculty of law of the University of Freiburg i.ue. in 2003. After different traineeships in 2003 and 2004 he has been admitted to the bar of the Canton of Schwyz in 2005. Subsequently he started working as an attorney-at-law before deepening his professional experiences as Deputy Notary Public in Schwyz over the period of 18 months. Simultaneously, he partly directed the local department of bankruptcy. Thereafter he began further postgraduate studies at the University of Glasgow (focusing on Corporate Law, Competition Law, International Sale & Finance and Commercial Banking), where he graduated as LL.M. in Commercial Law in December 2008. For Campanile Attorneys-at-Law Marc Sinoli is acting as legal
7 counsel and as Notary Public of the Canton of Schwyz. He is a member of the Bar Association of the Canton Schwyz. Marc Sinoli speaks fluently German, English and French. Joseph Flury lic. iur., Attorney-at-Law, Legal Counsel Joseph Flury from Beromünster and Stans was born in 1961. After a commercial apprenticeship with Winterthur Insurances, he has obtained in 1989 the superior commercial diploma with the School of Business Management (KLZ) in Zurich. In 2003 he has graduated from the faculty of law of the University of Freiburg i.ue. as lic. iur. After a traineeship in 2005 he has been admitted to the bar of the Canton of Lucerne. Joseph Flury shows vast and long-time professional experiences in the field of insurances. He was employed in the claims department of Winterthur Insurances, in the legal department of Winterthur and ARAG legal protection insurances, in the management of the claims department of La Suisse Insurances, as head of office of the claims center central Switzerland of La Suisse Insurances, as claims inspector of SIZ Schadeninspektorat Zürich AG and SSS Schaden Service Schweiz AG as well as with SUVA in Zurich. Since 2006 he is partner of the law firm Habermacher, Manser, Barmettler, Flury in Lucerne. Since 2007 Joseph Flury acts as legal counsel for Campanile Attorneys-at-Law especially in the field of private and social insurance law as well as with regard to liability law issues. Joseph Flury speaks fluently German, English and French. Martin Humpf Attorney-at-Law, Certified specialist for employment law, Certified specialist for commercial and company law, Managing partner of AWI TREUHAND Rechtsanwaltsgesellschaft GmbH, Legal Counsel Martin Humpf, German citizen, was born in 1973 in Stuttgart. He graduated from the faculty of law of the University of Augsburg focussing on commercial law. In 2002 Martin Humpf has obtained admission to the bar from the Munich Chambers of Attorneys. In 2006 and 2011 he has been certified as specialist for employment as well as for commercial and company law. After having worked for a supra-regional, civil law oriented law firm, in 2009 Martin Humpf joined the
8 consultant network AWI Treuhand (tax consultants, auditors and attorneys-at-law) in Augsburg. As founding member and managing partner of AWI TREUHAND Rechtsanwaltsgesellschaft GmbH he primarily serves medium-sized companies and family enterprises with main emphasis on commercial and tax consulting. Beside his activity as an attorney-at-law Martin Humpf also acts as speaker for legal topics within the area of employment and company law. Since 2003 Martin Humpf acts as legal counsel in Augsburg, Germany, for Campanile Attorneys-at- Law. He is fluent in German and English. Dr. Andrea Bracciali Legal Counsel Dr. Andrea Bracciali, Italian citizen, studied at the University of Siena (Italy), where he wrote a dissertation in the field of international commercial law and graduated with distinction in 1997. Until 2000 he has been employed as a research assistant with the Institute of International Public Law of the Faculty of Law of the University of Siena focussing on international public law, international private law, European law and international commercial law. Afterwards he studied for two years at the Notary Public School Cino da Pistoia in Florence and worked with a notary public office. Since 1998 he runs in Siena (Italy) his own law firm in co-operation with other law firms. Since 2003 he acts as a legal counsel for Campanile Attorneys-at-Law. He is fluent in Italian and English.
