KEEN, CURT CONYERS AND KELLY E. CONYERS (collectively, Borrower) and for a First Amended Complaint allege as follows: Jurisdiction and Venue 1. This Court has jurisdiction under 15 U.S.C. 1640(e); 28 U.S.C. 1331 and 28 U.S.C. 1367(a). 2. Venue is appropriate in this District under 28 U.S.C. 1391(b)(2) because a substantial part of the events giving rise to the claim occurred and continue to occur in Oakland, California. The Parties 3. Borrower is comprised exclusively of California Citizens who are Class members as those terms are defined, infra, at 16. 4. Defendant JPMORGAN CHASE BANK, N.A. (Lender) is a national banking association organized under the laws of the United States with its principal place of business in Columbus, Ohio. Charging Allegations 5. Lender is the named lender on a $203,115.00 promissory note made in Oakland, California and dated November 25, 2014 (FNMA Note), which FNMA Note is, in turn, secured by a Deed of Trust (FNMA Deed of Trust) of even date on certain real property located in Turlock, California. Copies of FNMA Note (Exhibit 1) and FNMA Deed of Trust (Exhibit 2) (sometimes collectively referred to as Borrower s FNMA Loan) are attached hereto. 6. On its face, FNMA Note sets forth a fixed yearly [interest] rate of 5.125% payable during the 30 calendar year life of Borrower s FNMA Loan. 7. A yearly [interest] rate of 5.125% (collected at an approximate daily interest rate of.015% for each calendar day) results in a Finance Charge of not less than $202,779.44 collected over the 10,957 calendar days which comprise the 30 calendar year term of the Borrower s FNMA Loan as calculated consistent with 12 C.F.R. Part 1026, Appendix J. See Exhibit 3 (APR Disclosure Documentation) and Exhibit 4 (Loan Amortization Comparison). 1 First Amended Complaint for Statutory Damages for TILA Violations

In California where the length of a year is presumed to be either 365 or 366 days in length, depending on whether the year is a leap year (see Chern v. Bank of America, 15 Cal.3d 866, 871 (1976)) the disclosures required by all of (i) common law; (ii) the Truth in Lending Act (TILA [15 U.S.C. 1601 et seq.]); and (iii) Regulation Z (Reg Z [12 C.F.R. 1026.1 et seq.]), all collectively obligated Lender to properly disclose the Finance Charge in the FINANCE CHARGE box of the Truth in Lending Disclosure Statement dated October 21, 2014 (Exhibit 5 [Borrower s TILDS]) as being not less than $202,779.44 rather than under-disclosing the Finance Charge in the FINANCE CHARGE box of Borrower s TILDS as being only $195,104.49. See e.g., Supplement I to Part 1026 Official Interpretations 17(c)(1)-1 ( The [TILA-required] disclosures shall reflect the credit terms to which the parties are legally bound as of the outset of the transaction and The [TILA-required] legal [disclosure] obligation is [to be] determined by applicable State law ); see also FTC v. AMG Servs., 29 F. Supp. 3d 1338, 1375-76 (D. Nev. 2015) (AMG Case) (holding, inter alia, that all TILA-required legal disclosure obligations are to be determined based on applicable state contract law principles); Supplement I to Part 1026 Official Interpretations 17(c)(3)-1(ii) (Off l. Interp. 17(c)(3)-1(ii)) ( [Creditors may not] ignore, for disclosure purposes, the effects of applying 1/360 of an annual rate to 365 days. ). 9. Lender s failure to properly disclose the Finance Charge in the FINANCE CHARGE box of Borrower s TILDS as being not less than $202,779.44 makes Lender liable to Borrower for statutory damages because same constitutes a violation of 15 U.S.C. 1638(a)(3) and 1640(a), the latter of which two statutes provides for statutory damages where the underdisclosure of a Finance Charge in the FINANCE CHARGE box of Borrower s TILDS exceeds the one hundred dollar ($100) tolerance otherwise provided for by 12 C.F.R. 1026.18(d)(1)(i). Lender s failure to properly disclose the Finance Charge in the FINANCE CHARGE box of Borrower s TILDS as alleged at 6-9, supra, is hereafter referred to as the TILA Violation(s). 10. For the avoidance of doubt, the TILA Violation(s) alleged herein specifically do not include any claims by Borrower seeking statutory or any other type or kind of damages arising out of Lender s non-disclosure in Borrower s TILDS of the fact Lender used any 2 First Amended Complaint for Statutory Damages for TILA Violations

This is because none of common law, TILA or Reg Z in any way require any disclosure in Borrower s TILDS by Lender of what particular method for computing interest Lender uses. See, e.g., Haynes v. Home Q Servicing Corp., No. 3:04-1081 l, 2006 WL 216375, *7 (M.D. Tenn. Aug. 1, 2006). 11. However, and as noted above at 6-9, supra, common law as well as 15 U.S.C. 1638(a)(3) and 1640(a) all require consistent with 12 C.F.R. 1026.18(d)(1)(i) that the Finance Charge in the FINANCE CHARGE box of Borrower s TILDS may not understate the Finance Charge which Lender is lawfully permitted to charge Borrower pursuant to applicable state law under the stated terms of Borrower s FNMA Loan by any more than $100. 12. Again for the avoidance of doubt, that is the only type or kind of TILA Violation(s) anywhere alleged by this First Amended Complaint and statutory damages on account of such TILA Violation(s) are the only type or kind of damages sought herein. 13. Finally, and under, inter alia, AMG Case, the amount stated as the Finance Charge in the FINANCE CHARGE box of Borrower s TILDS must reflect any and all even ambiguous legal obligations of Borrower according to the terms of the FNMA Loan (not the other way around the TILDS does not amend the FNMA Loan). Thus, where, as here, the FNMA Loan would even possibly allow the Lender to enforce the FNMA Loan by using the California state-law definition of a year, the TILDS should and must reflect that liability so as to keep the borrower fully informed from a worst-case standpoint. As previously noted at 7, supra, a yearly rate of 5.125% (collected at an approximate daily rate of.015% for each calendar day) results in a Finance Charge of not less than $202,779.44, which not less than $202,779.44 as calculated pursuant to 12 C.F.R. Part 1026, Appendix J (see APR Disclosure Documentation and Loan Amortization Comparison) neither equals (nor does it come within $100 of equaling) the $195,104.49 stated in Borrower s TILDS. 14. The present assertion by Lender that it would never enforce the FNMA Loan as permitted by applicable state law under the stated terms of Borrower s FNMA Loan does not alter Lender s initial disclosure requirements under TILA. 3 First Amended Complaint for Statutory Damages for TILA Violations

The class (Class) represented by Borrower is comprised of all natural persons residing in the State of California (California Citizens): Who own a residential structure located within the State of California that contains one to four units (including any individual condominium unit, cooperative unit, mobile home, or trailer [whether or not same is attached to real property]) (California Dwellings); and Which California Dwellings have been given by said California Citizens as security for written promissory notes secured by written deeds of trust (collectively, California Dwellings Loans); and Which California Dwellings Loans have had their specific written terms previously approved by Fannie Mae (FNMA California Dwellings Loans); and Where the California Citizens FNMA California Dwellings Loans have been obtained by them primarily for personal, family, or household purposes rather than for any other or different primary purpose; and Who have entered into FNMA California Dwellings Loans with Lender within one year last past from the initial filing date of this First Amended Complaint. 17. Borrower cannot state the precise number of potential members of the Class because that information is in the possession of Lender. Borrower is informed and believes, and on that basis alleges, that the number of Class members is in the thousands and that this fact makes joinder of all members impracticable.
