TOWNSHIP OF NUTLEY One Kennedy Drive Nutley, New Jersey 07110 REQUEST FOR PROPOSALS FOR BANKING SERVICES NOTICE IS HEREBY GIVEN that pursuant to a fair and open process in accordance with N.J.S.A. 19:44A- 20.5, sealed proposals will be received by the Township of Nutley at its offices at One Kennedy Drive, 3 rd Floor Commission Chambers Nutley, New Jersey 07110, on Wednesday, January 9, 2019 at 11:00 a.m., prevailing time, for the following: BANKING SERVICES. Request for Proposals from Individuals and/or Firms Interested in providing "Banking Services" for the Township of Nutley. Township of Nutley, Essex County, NJ Request for Proposals/Qualifications for General Banking Service Received no later than January 9, 2019 at 11:00 AM The Township of Nutley is seeking proposals from financial institutions to provide primary banking services. This contract will be awarded using the fair and open process under the New Jersey Local Unit Pay-to-Play Law, N.J.S.A. 19:44a-20.4 et seq. Purpose: The Township of Nutley is accepting proposals on a money management system for banking services which is to be implemented on a date mutually acceptable to all parties. The objective is to maximize interest earned on collected funds while satisfying the Township s financial obligations and maintaining various account records. Presently, the Township has approximately forty (40) bank accounts, which include, Current Fund and Water Utility operating accounts, General and Water Capital accounts, various Trust Fund accounts, Developers Escrow accounts, COAH Trust Account, various grant accounts, Claims Fund account, and Net Payroll and Payroll Agency accounts. Checks would be written from these accounts as needed with interest paid on the total cleared balance of all accounts. The township anticipates awarding the services for one (1) year, and reserves the right to renew these services for two (2) additional one (1) year periods. The fees, formulas, and services indicated in this proposal are those that will be in effect for the duration of the contract. The bidder certifies that any fees or formulas for affixing the rate of interest or providing services will remain in effect for the duration of the contract. Nothing herein is intended to exclude any responsible institution, or in any way restrain, or restrict competition. Rather, all responsible firms are encouraged to submit proposals. All proposals submitted shall be binding for ninety (90) calendar days following the above due date. Proposals received by the Township after the time specified will not be considered. All information required by the Request for Proposal must be supplied to constitute a valid proposal. All banks wishing to propose banking services must complete the Proposal Form in its entirety.

Under this proposal, one bank would be designated to administer minimally the Current (General) Account and the Payroll Accounts. The other accounts may be given to another bank. For purposes of this proposal, assume that all accounts are to be held by one bank. All banks wishing to propose these services must complete the Banking Services Questionnaire in its entirety, and return 4 copies of the sealed proposal to the attention of the Rosemary Costa, C.F.O., no later than January 9, 2019. Any and all questions relating to this proposal should be address to Rosemary Costa, C.F.O. via e-mail at rcosta@nutleynj.org. Part 1. Terms of the banking agreement: 1. The financial institution shall be fully qualified as a Public Depository pursuant to N.J.S.A. 17:9-41, the State of New Jersey Government Unit Depository Protection Act (GUDPA) and shall continue to be such during the three-year agreement period. In addition, the Township requires all banking institutions submitting a proposal to have a satisfactory rating by Federal Examiners under the Federal Community Reinvestment Act (CRA). Please submit a copy of the most recent rating. 2. The Township of NUTLEY is not liable for any costs incurred in the preparation of proposals. 3. By submitting a proposal, the proposer certifies that he or she has fully read and understands the RFP and has full knowledge of the scope, nature, quantity and quality of the work to be performed. 4. The proposer shall furnish such additional information as the Township of Nutley may reasonably require. The Township of Nutley reserves the right to make reasonable inquiries of the qualifications of the proposer, as it deems appropriate, and may contact the proposer for clarifications regarding the proposal. 5. The Township of Nutley reserves the right to reject any/or all proposals, and the right to accept the proposal that it considers most favorable to the Township of Nutley s interests. In addition, the Township of Nutley reserves the right to seek new proposals when such a procedure is in its best interests to do so. The Township reserves the right to split the relationship among different financial institutions if such would provide the Township an overall cost savings. The Township shall not be obligated to provide reasons for the rejection of any proposal. 6. The Township does not guarantee any minimum or maximum volume of activity. Basis and transaction rates from proposer will be considered fixed, regardless of deviation in activity. All bidders are to indicate unit prices for all services. Failure to submit all information requested will be considered non-responsive and may be disqualified. 7. The financial institution must submit a copy of the Business Registration Certificate under C.57, Law of 2004. 8. The financial institution must submit all documentation as require under NJ Pay to Play Laws.

9. The financial institution must submit a Business Entity Disclosure Certification for Non-Fair and Open Contracts required pursuant to N.J.S.A. 19:44A-20.8. 10. Services and pricing must be guaranteed and locked in for a minimum of three (3) years. Part 2. Evaluation of Proposals: The contract shall be evaluated based upon the ability of the proposer to provide the primary banking services at the lowest average daily balance required, the highest potential earnings, and lowest net cost associated. The contract shall be evaluated based on the institution that best meets the needs of the Township. The following criteria will be used but not limited to, for the evaluation of this proposal: A. Responsiveness of the proposal related to the scope of the work. B. Ability, capacity and skill of the financial institution to perform the services on a timely basis. C. Response to client references D. Experience of the financial institution in establishing and maintaining similar accounts. E. Physical proximity of the Township municipal building to banking location in town. F. Net earnings potential. G. The reputation, stability, and longevity of the institution. H. The quality, availability, and adaptability of the services to the particular needs required. I. Need to provide: Bank Values Code of Conduct Diversity Policy Anti-Discrimination Policy

Part 3: Required Services & Specifications: The Township reserves the right to terminate such contract by giving ninety (90) days notice. While it is the intent of the Township to have one single banking institution provide all of its general banking services (except for services such as escrow accounts, investments, short and long term loans, lease financing, etc., which will be negotiated separately), the award of banking services may be made to more than one institution. The Township expects all of its accounts to be linked together to aggregate earnings credits, against which charges will be deducted, unless specifically excluded from aggregation at the request of the Township. The township requires the following services on their accounts. Any variation of these requirements must be noted. 1. Maintain the various Township accounts, providing monthly electronic and printed statements along with all canceled checks no later than the 5 th day of the subsequent month. 2. Front and back images of all canceled checks must be provided, on a CD-ROM (or other electronic means). 3. A branch office, at which the Township can transact business, in a convenient location with a dedicated knowledgeable contact resource. 4. Monthly account analysis to include bank earnings credit, itemized fees, and interest earned to be credited to the Township. 5. Interest on all accounts, unless otherwise indicated. 6. Availability to provide Positive Pay, ACH Filters/Blocks, and other fraud prevention controls. 7. Eligibility to act as a depository for public funds under the Governmental Unit Deposit Protection Act. Certificate must be provided within 10 days of notice of award. 8. Comprehensive on-line account services including: a. Account Inquires b. Transfer and wiring capabilities c. Real time ACH/Wire transfer confirmation d. Check imaging e. The ability to view full addenda records for incoming state funding f. Full on-line reporting and full and partial reconciliation. g. E-Statements

9. Ability to provide statements and checks on CD-ROM. 10. Provision of checks, pre-printed deposit tickets, and endorsement stamps for all accounts at no cost to the Township. 11. The ability to accept or return a Positive Pay Exception. 14. Ability to process direct deposits for payroll. 15. All interest rate/analysis comparisons must be computed at the prevailing rate for that same time period. 16. Comprehensive transition plan must be developed and implemented in the event the award goes to a bank other than the current depository. 17. AMERICANS WITH DISABILITIES ACT Equal Opportunity for Individuals with Disabilities The Contractor and the Township of Nutley do hereby agree that the provision of Title II of the Americans With Disabilities Act of 1990 (the ADA ) (42 U.S.C. Section 12101 et seq.), which prohibits discrimination on the basis of disability by public entities in all services, programs and activities provided or made available by public entities, and the rules and regulations promulgated pursuant thereunto, are made a part of this contract. In providing any aid, benefit or service on behalf of the Township pursuant to this contract, the Contractor agrees that the performance shall be in strict compliance with the ADA. In the event that the Contractor, its agents, servants, employees or subcontractors violate or are alleged to have violated the ADA during the performance of this contract, the Contractor shall defend the Township in any action or administrative proceeding commenced pursuant to this ADA. The Contractor shall indemnify, protect and save harmless the Township, its agents, servants and employees from and against any and all suits, claims, losses, demands or damages of whatever kind or nature arising out of or claimed to arise out of the alleged violation. The Contractor shall, at its own expense, appear, defend and pay any and all charges for legal services and any and all costs and other expenses arising from such action or administrative proceeding or incurred in connection therewith. In any and all complaints brought pursuant to the Township grievance procedure, the Contractor agrees to abide by any decision of the Township which is rendered pursuant to said grievance procedure. If any action or administrative proceeding results in an award of damages against the Township or if the Township incurs any expense to cure a violation of the ADA which has been brought pursuant to its grievance procedure, the Contractor shall satisfy and discharge the same at its own expense. The Township shall, as soon as practicable after a claim has been made against it, give written notice thereof to the Contractor along with full and complete particulars of the claim. If any action or administrative proceeding is brought against the Township or any of its agents, servants, and employees, the Township shall expeditiously forward or have forwarded to the Contractor every demand, complaint, notice, summons, pleading or other process received by the Township or its representatives. It is expressly agreed and understood that any approval by the Township of the services provided by the Contractor pursuant to this contract will not relieve the Contractor of the obligation to comply with the ADA and to defend, indemnify, protect, and save harmless the Township pursuant to this paragraph. It is further agreed and understood that the Township assumes no obligation to indemnify or save harmless the Contractor, its agents, servants, employees and subcontractors for any claim which may arise out of their performance of this agreement. Furthermore, the Contractor expressly understands and agrees that the provisions of this indemnification clause shall in no way limit the Contractor s obligations assumed in this agreement, nor shall they be construed to relieve the Contractor from any liability, nor preclude the Township from taking any other actions available to it under any other provisions of this agreement or otherwise by law.
