GENERAL TERMS AND CONDITIONS FOR SUPPLY OF PRESCRIBED MEDICINE ON CREDIT 1. Definitions Unless specifically mentioned otherwise the following words shall have the meanings ascribed to them: 1.1. compound means to prepare, mix, combine, package and label as a result of a prescription as supplied by a veterinarian registered with the SAVC on behalf of the customer. 1.2. prescribe means a prescription (i.e to Act 101 of 1965) provided by a veterinarian registered with the SAVC on behalf of the customer. 1.3. medicines means the compound as prepared by V-TECH. 2. Validity These terms and conditions shall be applicable to all supplies and services from and by V-TECH and any of it s subsidiaries to the customer, not paid COD, and any term or condition inconsistent with the terms set forth herein shall only be valid if accepted in writing by the designated director of V-TECH. 3. Terms of Delivery Unless agreed upon otherwise by the parties, shipping mode shall be at V-TECH S discretion, who shall therefore be free to ship the medicines ordered either by plane, or by railway, ship, truck, courier service or by ordinary postal service. The shipping expenses will be charged to the Customer at the cost price, unless agreed upon otherwise. 3.1 Part Shipment V-TECH shall be entitled to fulfil its supply obligation towards Customer by part shipments, dependant on convenience and practicality. 3.2 Product Complaints Customer shall inspect all medicines received and notify any visible defect to V-TECH without any delay, in writing, specifying the defect, however within 24 hours after receipt of medicines. Customer shall store the medicines for a reasonable period of time at his own cost, for inspection by V-TECH, who will endeavor an exchange or refund, at their discretion, to the benefit of the customer. 4. Prices Prices are subject to change without prior notice, save for quotations accepted. However, V-TECH will always endeavor to advise customers of imminent price changes. 5. Terms of Payment 5.1 Unless otherwise specified on the delivery notes, payment shall fall due on 30 days from statement rendered by V_TECH. This shall also apply to delivery notes for part shipments to which V-TECH is entitled pursuant hereto. 5.2 In case of delayed payment V-TECH shall be entitled to levy interest on arrears amounts at a rate of 5% above the prime interest rate of Standard Bank of South Africa. 5.3 V-TECH reserves the right to demand advance payment, before delivery. In particular, this shall be the case if a Customer is in default of payment of other due invoices. 5.4 The Customer may not apply setoff against any claim of V-TECH for goods delivered or services rendered. 6. Impossibility of delivery V-TECH shall not be liable to the customer for failure to deliver in time or at all if, delivery fails due to V-TECH s own suppliers failing to deliver on time, or at all or due to strikes, labour unrest, forces of nature, acts of terrorism, public violence, legislation or any incident beyond the control of V-TECH. 7. Liability of V-TECH 7.1 Liability for breach of it s contractual duties shall be limited to amounts already paid by the customer on a particular order. 7.2 Liability for medicines failure shall be excluded, unless in cases of willful misconduct or gross negligence. 7.3 The Customer, inter alia the prescribing Veterinarian carries responsibility for the suggested formulation, dosage and withdrawal period. 8. Warranties given by V-TECH 8.1 That the medicines will be prepared as prescribed by the customer, conforming to technical data sheets etc. but not the effectiveness of application 8.2 That it s facilities will at all times conform to acceptable standards of Quality, Sanity, Health and Safety. 8.3 In any case, Customer claims for defects of the purchased goods shall be limited to the right to remedy the defects and the right to substitute delivery. 8.4 Raw materials used will conform to quality standards. V-TECH will rely on the raw material or compound analysis as supplied by suppliers. 8.5 Medicines supplied by V-TECH and used by a third party for further manufacturing carries no V-TECH warranty. 8.6 The medicine will be compounded by a Pharmacist registered with the South African Pharmacy Council. 9. Technical Advice Upon request, V-TECH can advise Customers on product application but will carry no liability for the incorrect application, side effects, or ineffectiveness of the product. 10. Retention of Title V-TECH cannot retain title to the medicine as compounded and delivery of the medicine constitutes full performance subject to clause 3.2. Upon placement of order the customer becomes liable for payment in terms thereof irrespective of cancellation of order or any part thereof. 11. Certification of indebtedness A certificate issued at the hand of the manager or a director (whose signatures shall be uncontested) of V-TECH shall be prima facie proof of any amount owed by the Customer. 12. Jurisdiction, Choice of law This agreement is governed by South African law. 13. Costs Should legal steps be taken to recover any outstanding payments, the Customer will be liable for all costs relating to such collection inclusive of all Attorneys charges, tracing fees and collection costs. 14. Domicilium The customer choose his domicilium citandi et executandi for purpose of delivery of any document in terms of this facility as set out in the application.
