SURPLUS PROPERTY SALE REQUIREMENTS FOR: Purchase of items listed below. Items will be sold as-is, where-is and with all faults. The undersigned hereby agrees to purchase the items listed below, at prices shown for each, all in accordance with the instructions contained herein. GENERAL INSTRUCTIONS FOR BIDDING ON SURPLUS PROPERTY All bid proposals and documents must be delivered to the location listed on the Invitation to Bid page, in a sealed, properly addressed envelope with the name of the Bidder and bid number and description of the project plainly written on the outside of the envelope, prior to the scheduled time and date stated in the Invitation to Bid. County offices are not open for special mail or other delivery on weekends and County holidays. Pierce County shall assume no responsibility for delay in U.S. mail service or for bids delivered to County offices other than the specified location. Telecopy bid proposals will be accepted by the County provided that the original signed bid proposal is mailed to the location listed on the Invitation to Bid page and postmarked prior to the time designated for the bid opening. Also, telecopy proposals shall not be sent to the County's telecopy machine but must be sent to the Bidder's agent and delivered to the requested location in a sealed envelope, as stated above, before the time stated in the Bid. Bids received after the time stated in the bid will not be accepted and will be returned unopened, to the Bidder. There will be no exceptions or waivers of this requirement. PRIOR TO BID OPENING Any Bidder may withdraw his/her Bid prior to the scheduled bid opening time by delivering a written notice to location listed on the Invitation to Bid page. The notice may be submitted in person or by mail; however, it must be received prior to the time for bid opening. The Bidder agrees to be responsible for examining the surplus property, specifications, delivery schedules, delivery locations and all instructions prior to submitting a bid. Failure to do so will be at the Bidder's risk. 2

AFTER BID OPENING No bidder will be permitted to withdraw his/her Bid/Proposal after the time of bid opening, as set forth in the Invitation to Bid, and before the actual award of the sale, unless the award of sale is delayed more than thirty (30) calendar days after the date set for bid opening. If a delay of more than 30 calendar days does occur, then the Bidder must submit written notice withdrawing his/her Bid to the Pierce County Purchasing Agent. The County reserves the right to award a contract for any or all items to one or more Bidders, to reject any and all Bids or any item(s) within the Bids, to waive any informality in the Bids, and to call for new Bids as best meets the needs of the County. In the event that any litigation should arise concerning the construction or interpretation of any of the terms of this Agreement, the venue of such action of litigation shall be in the Superior Court of the State of Washington in and for the County of Pierce. This Agreement shall be governed by the law of the State of Washington. DEFENSE AND INDEMNITY AGREEMENT The Bidder agrees to defend, indemnify and save harmless the County, its appointed and elected officers and employees, from and against all loss or expense, including but not limited to judgements, settlements, attorney's fees and costs by reason of any and all claims and demands upon the County, its elected or appointed officials or employees for damages because of personal or bodily injury, including death at any time resulting therefrom, sustained by any person or persons and on account of damage to property including loss of use thereof, whether such injury to persons or damage to property is due to the negligence of the Bidder, his/her Subcontractors, its successor or assigns, or its or their agent, servants, or employees, the County, its appointed or elected officers, employees or their agents, except only such injury or damage as shall have been occasioned by the sole negligence of the County, its appointed or elected officials or employees. It is further provided that no liability shall attach to the County by reason of entering into this contract, except as expressly provided herein. The following paragraph applies to all work in connection with or collateral to, a contract or agreement relative to construction, alteration, repair, addition to, subtraction from, improvement to, or maintenance of, any building, highway, road, railroad, excavation, or other structure, project, development, or improvement attached to real estate, including moving and demolition in connection therewith: If the claim, suit, or action for injuries, death, or damages as provided for in the preceding paragraph of this contract is caused by or results from the concurrent negligence of (a) the indemnitee or the indemnitee's agents or employees, and (b) the indemnitor or the indemnitor's agents or employees, the indemnity provisions provided for in the preceding paragraph of this contract shall be valid and enforceable only to the extent of the indemnitor's negligence. PERMITS, LICENSES, TRANSFER OF TITLE The awarded Bidder shall procure and pay for all permits and licenses necessary for the completion of this Contract including those permits required by Pierce County for the dump site location. In the event a necessary permit is not obtained the Bidder will not be permitted to work on items subject to said permit and any delays caused thereby will not be subject to extra compensation or extension. 3

BID DEPOSIT Each proposal must be accompanied by a Certified or Cashier's check as a bid and performance guarantee in an amount not less than ten percent (10%) of the amount of the Proposal, made payable to "Pierce County". Cash will not be accepted. Deposit checks will be held until the remainder of the purchase price is received from the successful Bidder; upon receipt, deposit checks will be returned to the unsuccessful Bidders. The deposit of the successful Bidder shall be applied to the purchase price. If the successful Bidder fails to consummate the purchase, such deposit shall be forfeited as liquidated damages to Pierce County. PAYMENT Within one week from date of notification of award, the successful Bidder must make payment in full for all items awarded to him/her. All payments are to be by Certified or Cashier's check, made payable to "Pierce County", and delivered to the Purchasing Office, 615 So 9th Street, Suite 100, Tacoma, WA 98405-4674. PICKUP SCHEDULE Any material, equipment or other items bid upon must be removed by the successful bidder within one week from date of notification of award, unless stated otherwise under special instructions. Material bid on may be added to by like material through normal course of operation by Pierce County between the time of the bid opening and the time the salvage is picked up. However, all material in any designated bin or location must be removed during the normal course of pick-up by the successful bidder. SALES TAX The successful Bidder will be required to pay Washington State Sales Tax, unless he/she is a qualified dealer, in which case he/she must possess a valid reseller permit; the permit number must be entered in the space provided on the Invitation to Bid. 4

PUBLIC WORKS AND UTILITIES DEPARTMENT ENVIRONMENTAL SERVICES SURFACE WATER MANAGEMENT SWAN CREEK STORMWATER DETENTION FACILITY GRAVEL SURPLUS SALE PIERCE COUNTY, WASHINGTON PROJECT SPECIFICATIONS DESCRIPTION OF WORK The gravel removal project is located in Swan Creek Park along Pioneer Way East near Waller Road East in unincorporated Pierce County on parcel 0320142000. This project consists of the surplus sale and removal of approximately 3,000 cubic yards of unscreened stream gravel for Pierce County Public Works and Utilities Surface Water Management (hereinafter referred to as COUNTY). The Contractor shall field verify the quantity and quality of material prior to bidding. PROJECT REQUIREMENTS 1. Removal of the stockpiled material shall not go below original ground level or outside the limits as established by the COUNTY in the field. 2. All workmanship, labor, materials, equipment, professional services, mobilization(s), fees, and appurtenances as listed in this contract or otherwise, shall be provided by the PURCHASER and shall be considered incidental to this contract and included in the purchaser's bid. This project shall generate no expenses to the COUNTY, whatsoever. 3. The PURCHASER shall provide grading and restoration of access roads, as required and needed from the public road(s) to the stockpile removal site. The PURCHASER shall be responsible for construction and/or removal of any temporary turn-arounds. The COUNTY shall inspect and approve all work prior to release of any financial guarantees and/or bonds. 4. Upon final project completion, the PURCHASER shall cleanup and restore all work areas and appurtenances to the satisfaction, inspection and acceptance of the COUNTY, which will include grading the disturbed area smooth, strawing, and seeding. The PURCHASER shall provide daily cleanup of all work areas, as required by the COUNTY including street sweeping. Any and all temporary ramps, gravel roads constructed by the Purchaser shall be removed and the surrounding area(s) restored upon project completion. This shall be subject to the COUNTY S final inspection and approval. 5. The PURCHASER shall provide dust and fire control as required by regulation and/or to the satisfaction of the COUNTY. The PURCHASER shall comply with WAC 296-155-140 Sanitation. The PURCHASER shall utilize spill prevention practices and all equipment onsite shall have a spill prevention kit. 6

6. The project must be completed in its entirety (including all site restoration) on or before September 30, 2013. 7. The COUNTY makes no guarantee and assumes no responsibility as to the feasibility, availability, accessibility, quality and/or quantity of gravel material. The COUNTY will incur no liability whatsoever, involved with any part of this sale project and the PURCHASER will defend, indemnify and hold harmless Pierce County, its elected officials, department officials, employees and agents from any and all liability, claims, demands and/or damages. 8. In order to be eligible for this project, the purchaser must submit with a copy of valid permit(s) from various applicable federal, state, county, city, and Indian tribal agencies, for dumping, temporary stockpile and/or fill sites, where the contract material is to be hauled and dumped. 9. The PURCHASER shall not commence work under this contract until he/she has obtained all insurance required under these provisions, and evidence of such insurance has been approved by the COUNTY. A. Insurance Required 1. Compensation Insurance: The PURCHASER shall comply with the Washington Compensation Insurance during the life of this contract, and in case any work is sublet, the PURCHASER shall require any and all subcontractors to comply with said acts. 2. Liability Insurance: The PURCHASER shall procure and maintain during the life of this contract Commercial General Liability insurance, with an insurance carrier licensed to do business in the State of Washington, which includes but is not limited to operations of the PURCHASER, with limits of not less than: COVERAGE LIMITS OF LIABILITY Commercial General Liability Insurance Bodily injury Liability and Property Damage Liability Insurance $1,000,000 each occurrence $2,000,000 aggregate Commercial Automobile Liability Insurance Bodily Injury Liability and Property Damage Liability Insurance $1,000,000 each occurrence or combined single limit coverage of $1,000,000 7

Stop-Gap Employer s Contingent Liability yes X no It is further provided that no liability shall attach to the COUNTY by reason of entering into this contract, except as expressly provided herein. The contractor's insurance policies shall also contain a "cross liability" endorsement substantially as follows: The inclusion of more than one Insured under this policy shall not affect the rights of any Insured as respects any claim, suit or judgment made or brought by or for any other Insured or by or for any employee of any other Insured. This policy shall protect each Insured in the same manner as though a separate policy had been issued to each, except that nothing herein shall operate to increase the company's liability beyond the amount or amounts for which the company would have been liable had only one Insured been named. Pierce County shall be named as an additional insured as respects this contract, and such insurance as is carried by the contractor shall be primary (over any insurance carried by Pierce County). The contractor shall provide a certificate of insurance to be approved by the County Risk Manager prior to contract execution. Insurance and bond submittals are subject to review and approval by the Pierce County Risk Management Division. 10. The PURCHASER shall provide traffic control if required to protect the general safety, health and welfare of the public. All traffic control shall be in accordance with the most current version of the Manual of Uniform Traffic Control Devices (MUTCD), latest version of the Pierce County Road Standards and the Pierce County Water Programs Division. The PURCHASER shall submit the traffic control plan to the appropriate county agency for approval if required. 11. The PURCHASER shall secure and lock all COUNTY and/or private gates at all times other than normal working hours. 12. The COUNTY shall not be liable and responsible in any manner or otherwise for stop work orders of any type filed against the PURCHASER, the COUNTY and/or the COUNTY S agents. The PURCHASER agrees to defend, indemnify and hold harmless the COUNTY, it s officials, directors, employees and/or agents from any and all liability, claims and demands arising directly or indirectly from this project. 13. All workmanship and materials, shall be in accordance with the Pierce County practices and principles, the latest edition of Pierce County Stormwater Management and Site Development Manual, latest edition of the Washington State Department of Transportation Standard Specifications for Road, Bridge and Municipal Construction and the Pierce County 8

Road Standards as required. The PURCHASER shall be responsible for compliance with all applicable weight restrictions. 14. The PURCHASER shall conduct his/her work and operations in accordance with the Pierce County Stormwater Management and Site Development Manual, WPD requirements and specifications. 15. Work hours shall be Monday through Friday, 7 a.m. to 6 p.m. Pierce County shall be notified 48 hours before construction or rock removal is started. MEASUREMENT 1. Quantities for gravel material removed from the site shall be one lump sum to include approximately 3,000 cubic yards. Contractor is encouraged to visit the site and make their own estimate of the gravel pile prior to bidding. PAYMENT 1. The PURCHASER shall be solely responsible for all costs to remove and haul the gravel in accordance with the plans and specifications. These costs include but are not limited to labor, equipment, materials used, hauling/dumping, traffic control, erosion control, permitting and other appurtenant materials or operations. 2. Any additional volume of material found to be removed below the original ground elevation or outside the designated area shall result in the replacement of like material by the PURCHASER at the PURCHASER S expense or the COUNTY shall replace the material and charge the PURCHASER at Force Account rates as established by Section 1-09.6 of the latest addition of the Washington State Department of Transportation Standard Specifications. The additional monies owed shall be payable within ten (10) days following notification by the COUNTY of such monies due. 3. Payment to the COUNTY by the PURCHASER for the sale of the gravel material shall be lump sum for approximately 3,000 cubic yards. BOND/INSURANCE REQUIREMENTS Performance bond or Assignment of Funds in the amount of 10% of the contract value or $5,000, whichever is greater, to guarantee project completion and site restoration work is required. An insurance certificate that names Pierce County as additional insured in the amounts specified in the Project Requirements section must also be received and approved by the Pierce County Risk Management office prior to starting of work. 9
