1. To supply and install of four (4) premium spirits units to the NSLC s Fall River, Larry Uteck, Bayers Lake, and Portland St. Retail Stores. These units must be received at their respective stores by March 31, 2013. As you will note on the Tender Response Form, it is imperative that you indicate what quantity of the 4 units you can provide and ship to stores by March 31 st. The delivery dates cannot be moved and will form the contractual compliance for this work. The NSLC will consider accepting partial orders and, therefore, awarding more than one supplier should this be necessary to ensure all 4 stores will have the unit(s) by the March 31 st date. 2. The NSLC Policy is to ensure that all firms interested in becoming government suppliers shall be given equitable access to contract opportunities, except that consideration may be shown to Atlantic Provinces suppliers, manufacturers and contractors whenever practical and economically feasible to do so, consistent with The Atlantic Procurement Agreement. 3. Tender responses must be delivered or faxed to the Nova Scotia Liquor Corporation, prior to the tender closing. Please indicate the NSLC Reference Number on your document and/or envelope. Our fax machine activity record will govern the receiving date and time. Please allow a minimum of 15 minutes prior to the close time. Late quotes received after closing date and time will be disqualified from competition and returned to the bidder. 7. Notification of successful bidder will be forwarded to all unsuccessful suppliers immediately after the tender is awarded. 8. All bids submitted must identify and comply with the specifications requested unless the NSLC has approved an equivalent. The NSLC is not obliged to accept an alternative and reserves the right to reject alternative bids. 9. Proposed delivery date(s) or schedule(s) must be included in all bids submitted. 10. All bid submissions are subject to evaluation after opening and before award of contract. Bids may be evaluated not only on the submitted price but also on quality of goods, delivery, availability of supply, parts, servicing and the capacity of the bidder to meet the requirements of the procurement in accordance with the criteria stated in the bid request documents. On request, unsuccessful bidders are entitled to receive an explanation and a debriefing on their bid submission. All buying activity will attempt to seek out best value, which maximizes the effectiveness and profitability to the Corporation. 11. The Corporation is not obliged to award lowest bid and reserves the right to re-address the requirement, should there be reasonable doubt that prices received are not competitive. This tender implies no obligation on the NSLC to accept this bid or any bid submitted and has the right to cancel this tender if required. 12. Changes/amendments to Bid Submissions may be accepted by fax provided the attached NSLC document is completed. Fax must include proper identification by company name, control number and due date and are received by the NSLC prior to closing date and time. Amendment is to identify change in price only, not revealing the amount of the original bid submitted. For example your Amendment must state: Change (decrease/or increase) to the original bid excluding HST is $10,000.00. Do not show any HST as this is no longer required. 13. Bidder should ensure that all calculations and totals are correct. If any discrepancies/errors are noted in the evaluation process, the unit price will prevail. 14. The NSLC reserves the right to reject any or all bids. This tender implies no obligation on the NSLC to accept this bid or any bid submitted and has the right to cancel this tender if required. 15. The NSLC reserves the right to cancel the awarded contract with 30 days written notice if required. 16. All contracts resulting from this tender will be governed under the laws of Nova Scotia. 17. Tenders must specify estimated time of completion from tender award. 3

18. The Applicant shall indicate on his tender form that he has based his prices on the specifications and all addenda issued during this course of tendering. The respondent shall ensure that he has in his possession at the time of submission, all addenda that may have been issued. Confirmation can be by checking the tender document as posted on the Public Tenders website at www.gov.ns.ca/tenders reference no. CN-41-I-12. 19. Bid Evaluation Criteria Compliance Pass / Fail *Price 100% *Pricing to be weighted 100% of evaluation criteria. Dates proposed after March 31, 2013 will not be considered. Bidders must price the number of units that can be shipped and received by this date if not the entire order. (See Tender Response Form). 4

Nova Scotia Liquor Corporation Summary Of Section 2 Premium Spirits Units Work Page 2 1.1 DESCRIPTION OF WORK.1 Work at the Nova Scotia Liquor Corporation Bayers Lake, Fall River, Portland Street and Larry Uteck, shall consist of (but not be limited to): - Provide Premium Spirits Units as per the attached Architectural and Electrical drawings. The store will remain operations during the installation..2 Before tendering each trade shall determine all site conditions which may affect the work and include everything necessary for the proper installation of the work and operation of the unit. 1.2 CONTRACTOR'S DUTIES.1 Unless otherwise provided in the Contract Documents, the Contractor shall provide and pay for all labour, materials, equipment, tools, construction equipment and machinery, transportation and other facilities necessary for the execution and completion of the work in accordance with the Contract Documents and any applicable code or statute..2 Pay all applicable taxes..3 Obtain and pay for, as necessary, proper execution of the work: a) Fees b) Inspections.4 Comply with all rules and regulations of Provincial Government, Local Municipal Statutes and Authorities having jurisdiction. Comply with all the NS Occupational Health and Safety Act regulations, and all applicable codes, standards and best practices..5 Prior to commencement of work the Contractor shall submit for approval to the NSLC where applicable two (2) copies each of the following: a) Project schedule b) Shop Drawings c) Material Safety Data Sheets d) Applicable Safe Work Procedures.6 Promptly submit written notice to NSLC of observed variance of Contract Documents from legal requirements of Authorities having jurisdiction.

Nova Scotia Liquor Corporation Summary Of Section 2 Premium Spirits Units Work Page 3.7 The Contractor shall at all times enforce strict discipline and good order among his employees and ensure the same from all sub contract trades..8 The contracted party must have an account with the Workers Compensation Board of Nova Scotia (WCB). Before work commences, the contracted party must submit a clearance certificate from the WCB which indicates that their account is in good standing. 1.3 Occupational Health & Safety Program.1 Contractor must: have a Certificate of Recognition issued jointly by the Workers Compensation Board of Nova Scotia (WCB) and an occupational health and safety organization approved by the WCB; or be in the process of qualifying for the Certificate of Recognition from an occupational health and safety organization approved by the WCB..2 Before work on the project commences, the contracted party must have had the sponsoring occupational health and safety organization submit a Letter of Good Standing to the NSLC Representative..3 Before work on the project commences, the contracted party shall ensure that all of its employees who will be working on the project have received appropriate training and are competent to perform the work required..4 If requested by the NSLC Representative, the contracted party shall submit a copy of the documentation respecting the contracted party s occupational health and safety program..5 When requested by the NSLC Representative, the contracted party shall submit additional safety documentation until the NSLC Representative is satisfied that the requirements have been met 1.4 JOB SITE MEETINGS.1 There will be a start-up on site job meeting convened by the NSLC Representative. All sub trades will be required to attend..2 Additional job site meetings will be convened by the NSLC Representative should conditions dictate..3 There will be one (1) final inspection convened by the NSLC Representative upon notification of substantial completion of work.

Nova Scotia Liquor Corporation Summary Of Section 2 Premium Spirits Units Work Page 4.4 Minutes of meetings will be issued by the NSLC Representative or their designate. 1.5 CONTRACTORS USE OF PREMISES.1 Use of site shall be limited to immediate areas required for execution of work and storage..2 Do not unreasonably encumber site with materials or equipment. Remove trash as needed to allow normal operation of the site. Before leaving the premises, the Contractor and/or his subordinate shall remove any rubbish set aside during the performance of his/her duties. 1.6 ADDITIONAL WORK.1 The Contractor must submit a written quotation for any additional work not covered within the scope of this contract..2 The Nova Scotia liquor Corporation reserves the right to request quotations from other service providers for additional work not covered within the scope of this contract. 1.7 HOLDBACK AND DEFICIENCIES.1 A 10% holdback will be applied to the final payment for sixty (60) days from substantial completion..2 All deficiencies identified at substantial completion must be corrected prior to release of holdback..3 Deficiencies remaining after the sixty (60) day period may be contracted out by the NSLC, with the cost to be deducted from the holdback. 1.8 PAYMENT.1 Invoices may be submitted for the proportional value of work completed with backup documentation..2 Payments shall only be made from invoices; no payment shall be made from a statement of account..3 No payment shall be made for additional work not covered within the scope of this contract unless accompanied by a change order signed by an approved representative of the Nova Scotia Liquor Corporation..4 All invoices shall be a minimum of thirty (30) days payable.

Nova Scotia Liquor Corporation General Section 2 Premium Spirits Units Instructions Page 2 2.1 PROTECTION.1 The Contractor shall provide protection against loss or damage to part of the building, materials, tools or equipment used throughout the construction period and related to his scope of work and will not adjust or move any systems, or equipment at the place of work without the consent of the NSLC or its designate..2 Contractors will provide all protective devices and rigging required by the authorities having jurisdiction. Remove all such temporary facilities on the completion of the work. 2.2 CUTTING AND PATCHING.1 The Contractor shall be responsible for the removal and replacement of walls, ceilings and floors which shall match existing including all cutting, fitting, patching, and clean-up, that may be required to complete the work or to make its several parts fit together properly..2 The Contractor shall ensure that cutting and patching of all roof work shall be performed by a Certified Roofing Contractor for the particular type of roof in each instance. A written certificate must be issued to ensure continuance of warranty where applicable. 2.3 WORKERS' COMPENSATION INSURANCE/ACCIDENTS.1 All Contractors must be registered under the Workers' Compensation Act and provide their firm's WCB clearance number on the Tender Form..2 If an accident occurs involving any employee of the Contractor, Subcontractor or their employees, the Contractor shall provide notice and a copy of all accident reports to the NSLC immediately. 2.4 CHANGE ORDERS.1 No additional payment shall be made to the Contractor unless the Contractor makes the necessary applications and receives approval in the form of a written Change Order issued by the NSLC or their designate and signed by the Project Representative. 2.5 INTERRUPTION OF SERVICES.1 Coordinate all work and use of the building with the NSLC Representative and/or Store Manager.

Temporary shutdown or obstruction of services must be coordinated with the NSLC Representative and/or Store Manager. Services shall be meant to include any and all services or portions thereof required in order to maintain full and complete operation of the premises during designated business hours..3 Temporary shutdown of some systems may not be possible during designated business hours. In this case it is the contractors responsibility to provide whatever temporary measures may be required in order to maintain full and complete operation of the premises and/or continued security and functionality..4 Obtain permission from NSLC Representative and Store Manager before interrupting any service..5 Request permission to interrupt services not less than two (2) days in advance and state time(s) and duration(s) of interruptions. 2.6 TERMINATION OF CONTRACT.1 If the Contractor should be adjudged bankrupt, or if the Contractor should make a general assignment for the benefit of his/her creditors, or if a receiver should be appointed on account of his/her insolvency or if he/she should refuse or fail to supply enough properly skilled workpersons or proper materials after having received seven (7) days notice in writing from the Nova Scotia Liquor Corporation (or its appointed representative) to supply additional workpersons or materials, or if he/she shall fail to make prompt payment to subcontractors or suppliers for labour or materials, or persistently disregard laws, ordinances or the instructions of the Nova Scotia Liquor Corporation, or otherwise be guilty of a substantial violation of the provisions of the Contract, or if the Contractor shall become negligent in the performance of his/her duties with regard to the terms and conditions of the Contract, then the Nova Scotia Liquor Corporation may, without prejudice to any other right or remedy, by giving the Contractor and the Surety thirty (30) days written notice, terminate the employment of the Contractor and take possession of the premises and all materials, tools and appliances thereon and finish the work by whatever method he/she may deem expedient, but without undo delay or expense. In such case, the Contractor shall not be entitled to receive any further payment until the work is finished. If the unpaid balance of the contract price shall exceed the expense of finishing the work, such excess shall be paid to the Contractor. If such expense shall exceed such unpaid balance, the Contractor shall pay the difference to the Nova Scotia Liquor Corporation.

Nova Scotia Liquor Corporation General Section 2 Premium Spirits Units Instructions Page 4.2 If the work should be stopped under an order of any court, or other public authority, through no act or fault of the Contractor or of anyone employed by him/her, the Contractor may, upon three (3) days written notice to the Nova Scotia Liquor Corporation, stop work or terminate this contract and recover from the Nova Scotia Liquor Corporation payment for all work executed and any loss sustained upon any plant or material with reasonable profit and damages. **********END***********
