This change is being made to ensure that the fund manager can manage the Fund effectively and continue to meet the Fund's investment objective. If shareholders continue to hold shares of the Fund in a PEA after the Effective Date, the PEA will be closed. Significant tax consequences may result from the closure of a PEA, in particular when such a closure takes place within five years of the start of the plan.
