ATTORNEY BIOGRAPHY Mary Jane Wilson-Bilik Partner Washington P: +1.202.383.0660 E: mjwilson-bilik@eversheds-sutherland.com Education J.D., magna cum laude, Georgetown University Law Center, Articles Editor, Georgetown Law Journal, Order of the Coif Ph.D., Columbia University B.A., magna cum laude, College of New Rochelle Bar Admissions District of Columbia Background For more than 20 years, Mary Jane Wilson-Bilik has helped her insurance company clients comply with the fast-changing requirements of state and federal regulators and successfully respond to state unclaimed property and market conduct examinations and changes in U.S. Securities and Exchange Commission (SEC) regulations, with a particular focus on cybersecurity. Her extensive knowledge of company operations and of insurance, unclaimed property and securities regulation and corporate governance helps clients evaluate and refine compliance procedures to improve positioning with regulators, including unclaimed property administrators and securities and insurance regulators, and to address cybersecurity risks. Mary Jane advises on the development, disclosure and administration of life insurance products, including variable, indexed and fixed products. She assists her clients gauge legal risks and develop solutions, assessing operations and procedures of insurance companies and their affiliates for compliance with federal securities and state insurance and unclaimed property laws and regulations. Experience Advised numerous U.S. life insurers in responding to subpoenas and multistate market conduct examination requests. Counseled a coalition of major life insurance companies on evolving state and federal regulations and other legal developments. Advised insurance company and other clients on unclaimed property audits and remediation strategies. Advised mutual fund and investment adviser on SEC cybersecurity policies and procedures. Advised many U.S. life insurance companies on financial statements. Worked with U.S. life insurance companies sharing same parent in interpreting parental support agreements. Advised insurance company clients on unclaimed property audits. Advised insurance companies on multistate market conduct exams.

Represented U.S. life insurance subsidiary of Swiss holding company in development of innovative variable annuities. Worked with SEC staff to seek approval for registration of guarantees and credit support agreements related to variable products. Represented chief compliance officer in SEC inquiry. Counseled on compensation practices. Conducted a privileged information security assessment for a retirement benefits provider with the assistance of a major computer security consultancy firm.
