BY-LAWS OF THE Wiscnsin Juvenile Detentin Assciatin ARTICLE I Name (I-A) The name f the rganizatin shall be the Wiscnsin Juvenile Detentin Assciatin hereafter referred t in this dcument as the "Assciatin." ARTICLE II Purpse (II-A) The Wiscnsin Juvenile Detentin Assciatin is established fr the fllwing purpses: T identify, strengthen and prmte the cncepts underlying sund juvenile detentin practices. T review and evaluate prpsed r existing standards fr juvenile detentin and treatment. T develp persnnel standards, which enhance the prfessinalism and effectiveness f thse, invlved in juvenile detentin wrk. T encurage creative prgram develpment and the disseminatin f cnstructive prgram cncepts. T prmte the develpment f training prgrams and presentatins fr thse invlved in juvenile detentin r related wrk. T prvide recgnitin t individual achievements and significant cntributins made t the field f juvenile detentin wrk. Functins (II-B) In carrying ut the abve-stated purpse, the Assciatin shall utilize all apprpriate and legal means, including but nt limited t the fllwing: a. Cnferences, "wrkshp institutes, and seminars; b. Standing and special cmmittees; c. Onging training prgrams; d. Newsletter and publicatins; e. Special prjects f. Recgnitin and Awards ARTICLE III Membership
(III-A) The Principal Office f the Assciatin shall be lcated at (address) PO Bx Madisn, WI. The Executive Bard may designate ther temprary r satellite ffices, within r utside the State f Wiscnsin, as may be required by Assciatin business frm time t time. (III-B) The Registered Agent f the Assciatin is (persn s name), At (agency & address). Bth the Principal Office and Registered Agent f the Assciatin may be changed as deemed necessary by the Executive Bard. ARTICLE IV Membership and Dues (IV-A) Members f the Assciatin shall be classified as a "Regular," "Assciate," and "Hnrary." "Regular" members are thse individuals whm currently wrk in juvenile detentin facilitates, shelter cares, grup hmes and ther facilitate wrking with juvenile. Regular members will be affrded all vting rights and privileges within the Assciatin. They may be elected t the Bard f Directrs and may be elected t Executive Office. "Assciate" members - All reputable persns, whlly r partially engaged in varius phases f juvenile wrk, and nt qualified fr Regular Membership. Assciate members have vting rights and may be elected t the Bard f Directrs in an at-large psitin and may nt serve an ffice. "Hnrary" members are thse individuals wh, by designatin f the Executive Bard, are deemed t have made significant cntributins t the Assciatin r t the field f juvenile detentin and treatment. Such members may serve fr life in an advisry capacity, are entitled t attend all Assciatin functins and meetings f the Executive Bard. Hwever, they d nt have the right t vte nr t hld ffice. (IV-B) An eligible individual is cnsidered a member f the Assciatin after the fllwing steps are cmpleted: Submissin f a membership applicatin. Payment f annual dues fr the current fiscal year. Apprval f the Executive Bard (IV-C) The Executive Bard f the Assciatin, by majrity vte, may suspend r expel any Assciatin member fr nn-payment f dues fr the perid crrespnding t nn-payment (IV-D) The Executive Bard f the Assciatin, by majrity vte, may suspend r expel any Assciatin member fr acts, which wuld cnstitute grss miscnduct, r a clear vilatin f the ethical standards assciated with juvenile detentin and treatment. (IV-E) Any member f the Assciatin may resign frm the Assciatin by electing t nt pay annual dues when they becme due, r by submitting a written resignatin t the Executive Bard f the Assciatin.
(IV-F) The Bard f Directrs shall determine the dues fr the Assciatin membership. Individual dues are payable upn the first day September and cvering the fllwing twelve mnths. Dues are payable at time f applicatin and annual n the renewal dates. (IV-G) Payments f dues and acceptance f membership in the Assciatin shall entitle a member t a membership card, special prjects and ther training pprtunities ARTICLE V Bard f Directrs (V-A) The Bard f Directrs will cnsist f ne member frm each detentin facility in the State f Wiscnsin. This member will be elected r appinted frm the facility frm which they wrk. If the persn that was appinted t the Bard f Directrs frm any facility is unable t attend the meetings, then anther fficer frm the same facility may represent them. (V-B) The Bard will als cnsist f six (6) at large directrs wh will be vted in by the entire membership. ARTICLE VI ELECTION OF OFFICERS TO THE EXECUTIVE BOARD (VI-A) The Executive Bard f the Assciatin shall be cmprised f the fllwing - Officer: President, president-elect, Recrding Secretary, Crrespnding Secretary, Treasurer. All regular members f the Assciatin are eligible t hld executive ffice. Any regular member may hld nly ne executive ffice at any given time. (VI-B) The term f ffice fr each fficer n the Executive Bard f shall be every tw- (2) year. A bard member will be re-elected every tw- (2) years. Newly elected fficers will assume their psitin n the Executive Bard 30 days fllwing the annual electins. (VI-C) At the cnclusin f their term f ffice, each fficer n the Executive Bard will turn ver t their successr all bks, recrds, crrespndence, and ther apprpriate prperty f the Assciatin. (VI-D) At least sixty (60) days prir t the electin f fficers t the Executive Bard but nt mre than ninety (90) days prir t the electin, the Bard f Directrs will infrm, by written ntice, the entire active membership f the upcming electins and will seek written nminatin t the respective ffices. All nminatin fr ffice will be submitted, in persn r by mail, t the Assciatin's principal ffice at least thirty (30) days prir t the electin. (VI-E) The Executive Bard will cmpile the list f nminees fr the respective ffices and prepare ballts. Ballts will be mailed r handed ut t the regular and assciate members with instructins that they must be returned t the principal ffice within twenty-ne (21) days, this twenty-first (21 St.) day marked clearly n the ballt. Ballts received after the twenty-first (21 St.) day will nt be cunted. The Registered Agent f the Assciatin and at least tw members f the Executive Bard will cunt the ballts cast fr each respective ffice f the Assciatin, and will frward the results t the entire Executive Bard fr annuncement. ARTICLE VII
Duties f Officers (VII-A) President The President shall preside at regular meetings and all Executive Bard meetings. he/she shall, in every way, endeavr t prmte the interest and purpse f the Assciatin. He/She shall, with the advice f the Executive Bard, appint all Standing Cmmittee Chairpersns. He/She shall sign all plicy statements and shall be held respnsible fr all prgress and wrk f the Assciatin. he/she shall be the principal liaisn fficer with all ther related prfessinal rganizatins. (VII-B) president-elect The president-elect shall: 1. Assist the President in the cnduct f Assciatin business. 2. Assist the President in all the President's duties. 3. The president-elect shall be the deputy t the President and shall act in his/her behalf n any ccasin due t the absence r incapacitatin f the President. 4. When s acting, shall have all the pwers f and be subject t the restrictins upn the President. 5. The president-elect shall autmatically rise t the psitin f President upn the resignatin r expiratin f the term f the President. 6. Serve as the chairpersn f the Annual Cnference and Training Cmmittee. 7. Perfrm ther general administrative duties as may be assigned t him r her by the President r Bard f Directrs. (VII-C Recrding Secretary The Recrding Secretary shall: 1. Keep the minutes f the meetings f members and f the meeting f the Bard f Directrs in ne r mre bks prvided fr that purpse. 2. See that all ntices are duly given in accrdance with prvisins f these Bylaws and as required by law. 3. Be custdian f crprate recrds. 4. Keep a register f the pst ffice addresses f each member and shall be furnished t the Recrding Secretary by such members. 5. Will serve as the Registered Agent f the Assciatin (VII-D) Crrespnding Secretary 1. Carry ut crrespndence f the Assciatin as directed by the President r Bard f Directrs. 2. Wrk with the president-elect in planning, develping and distributing the Assciatin s newsletter. 3. Prepare public relatins brchures, which describe the purpse and missin f the Assciatin and cntain ther infrmatin abut the Assciatin as deemed apprpriate-by the Bard f Directrs. Other literature abut the Assciatin and its activities (cnferences, annual meetings, fund-raising activities, certificates, etc.) may als be develped. 4. Prduce and maintain a scrapbk as well as a pht album depicting varius activities f the Assciatin. 5. In general, perfrm all duties incidental t the ffice f Secretary and such ther duties as frm time t time may be assigned by the President f by the Bard f Directrs. (VII-E) Treasurer
The Treasurer shall receive all funds belnging t the Assciatin; payff same in checks, drafts r rders signed by the President r president-elect jintly with the Treasurer; keep an itemized accunt f receipts and expenditures; and submit a written reprt f same t the membership at each annual cnference. Als the Treasurer shall keep the membership rster up t date. (VII-F The Bard f Directrs The business and affairs f the Assciatin shall be managed by its Bard f Directrs in' the interim between meetings f the Assciatin. The Bard f Directrs shall be subject t the rders f the Assciatin and nne f its acts shall cnflict with actin taken by the Assciatin r with the purpse f the Assciatin. The Bard f Directrs shall have the fllwing pwers and duties: 1. Set plicy and establish prcedures fr the peratin f the Assciatin; 2. Accept and apprve reprts by such Bard Cmmittees and act upn recmmendatins made by such Bard r Cmmittees; 3. Apprve all financial decisins f the Assciatin; 4. Perfrm all ther such duties as may be necessary t enable the Assciatin t carry ut its purpses. (VIII-A) Place f Meetings ARTICLE VIII Meetings The meetings f the Bard f Directr shall be held at the principal ffice f the Assciatin r such ther place, within r withut the State f Wiscnsin, designated in the ntice f meeting. (VIII-B) Schedule f Meetings The Bard f Directr shall meet quarterly. There may be such ther regular meetings f bard f Directrs as may be scheduled by the Bard. Special meetings f the Bard f Directrs may be called at any time by the President r Executive Directr r upn written request by nt less than ne-third f the Directrs. (VIII-C) Ntice f Meeting Ntice f each meeting f the Bard f Directrs, stating the place, date, and hur f the meeting shall be given t each Directr persnally r by mail, r fax nt less then ten (10) days prir t the date theref (VIII-D) Organizatin f Meetings At each meeting f the Bard f Directrs, the President shall act as chairman. In his absence, the presidentelect shall act as chairman. In their absence, a designee frm The Bard will be appinted t be the chairman. (VIII-E) Qurum f Meetings A qurum fr all meetings f the Assciatin shall cnsist f members present and a qurum fr the Executive Bard and Cmmittee meeting shall cnsist f a majrity (11) f the Bard r Cmmittee.
(VIII-F) Telephne Cnferences Any r all Directrs may participate in a meeting f the Bard by means f a telephne cnference r ther means f cmmunicatin by which all persns participating in the meeting are able t hear each ther. (IX-A) Term f Office ARTICLE IX Electin The term f ffice fr each fficer n the Executive Bard shall be every tw- (2) year. Bard member will be re-elected every tw- (2) years. (IX-B) Nminatin Nminatins fr elected fficers will be elicited in accrdance with guidelines established by the Executive Bard. (IX-C) Ballting T be determined when the Bard f Directrs are in place. (IX-D) Vting Rights Each member f the Bard f Directrs r their designee shall have ne vte upn all questins presented t said Bard. Vting rights may be exercised nly in persn. (IX-E) Resignatin Any directr may resign at any time by giving written ntice t the President r Bard f Directrs. Such resignatin shall take effect at the time f specified therein. (IX-F) Remval Any member elected t r appinted by the. The Bard f Directrs may remve bard f Directrs with just cause at any time at a special meeting called expressly fr that purpse.. (IX-G) Vacancies Any vacancy in the Bard f Directrs, ther than the Executive Bard members, d t resignatin r any ther cause shall be filled by the cunty, which that persn represents. Shuld that cunty decide nt t fill that vacancy, the President may appint anther representative t the Bard f Directrs. Any representative appinted shall hld that psitin until the expiratin f the current term f ffice. A. vacancy in the Presidency shall be filled by the president-elect, withut any effect n the president-elect s scheduled term as President. Any vacancy in the Executive Bard due t resignatin r any ther cause shall be filled by the vte f the Bard f Directrs. ARTICLE X Cmmittees
(X-A) Cmmittees The President shall appint frm time t time cmmittees as may be desirable t prmte r further the business f the Assciatin. All such cmmittees shall exercise such pwers, perfrm such duties and functin fr the perid f time prescribed by the President. The chairpersns f such cmmittees shall be Appinted by the President. Examples f cmmittees, which may be frmed, are as fllwed: Nminatin, Publicatins, Newsletter, Annual Cnference, Training, Research, Awards and Recgnitin, and Standards. (X-B) Cmmittee Members Members f such cmmittees may, but need nt, are members f the Bard f Directrs and shall be appinted by the President r the chairpersn. (X-C) Review f Appinted Cmmittees The President shall review annually the appinted cmmittees, their pwers, duties and cmpsitin and decide if such cmmittee(s) shuld cntinue. (XI-A) Cntracts ARTICLE XI Fiscal The Bard f Directrs may authrize any fficer r fficers, agent r agents, t negtiate bid n and enter int any cntract r execute and deliver any cntract in the name f and n behalf f the assciatin, and such authrity may be general r cnfined t specific instances. (XI-B) Lans N lans shall be cntracted n behalf f the Assciatin and n evidence f indebtedness shall be issued in its name unless authrized by a reslutin f the Bard f Directrs. Such authrity may be general r cnfined t specific instances. The Assciatin shall make n lans t its fficers r directrs. (XI-C) Checks All checks, drafts r ther rders fr the payment f mney, ntes, r ther evidences f indebtedness issued in the name f the Assciatin shall be signed by such fficer r fficers, agent r agents f the Assciatin and in such manner as shall frm time t time be determined by reslutin f the Bard f Directrs. (XI-D) Depsits All funds f the Assciatin nt therwise emplyed shall be depsited frm time t time t the credit f the Assciatin in such banks, trust cmpanies r ther depsitries as the Bard f Directrs may select. (XI-E) Expenditures All funds shall be spent t carry ut the purpses f the Assciatin and in such a manner as t avid jepardizing the Assciatin's nn-prfit status. N funds shall be spent fr any public, plitical campaign.
Nn-designated dnatins shall be used as deemed necessary by the Bard f Directrs t carry ut the nnprfit charitable purpses f the Assciatin (XI-F) Bks and Recrds The Assciatin shall keep cmplete and accurate bks and recrds f accunts and shall keep minutes f the prceedings f its Bard f Directrs and cmmittees. (XI-G) Audit The Bard f Directrs shall cause the Assciatins recrds and bks f accunt t be audited r reviewed at such times, as it deems necessary. (XI-H) Cntributins Any cntributins, bequests r gifts made f the Assciatin shall be accepted r cllected and depsited nly in such manner as shall be designated by the Bard f Directrs. (XI-I) Petty Cash T be determined n finances available. ARTICLE XII Affiliatin with Similar Assciatin (XII-A) The Assciatin may, with the apprval f the Executive Bard, jin with any ther having similar r related ideas and bjectives in the prmtin f the purpse f the Assciatin. Assciatin ARTICLE XIII (XIII-A) The Assciatin shall be incrprated as a nn-prfit crpratin. ARTICLE XIV Amendments (XIV-A) Amendments t these by-laws may be made in the manner prescribed by the Assciatin. ARTICLE XV Parliamentary Prcedures (XV-A) Rberts Rules f Order, revised, shall be the authrity n parliamentary prcedure in bth General Meetings and the Executive
