The same may change subject to any material information received from the creditors affecting the claim amounts. The Resolution Professional had received two claims from VKR Diagnostics in Form C amounting to Rs. 11.75 Crores and 36.00 Lakhs (Approximately) respectively. The Resolution has requested the VKR Diagnostics to submit the revised Claim in Form B as per the provision of the Insolvency and Bankruptcy code 2016. Axis Bank has filed a claim vide Form C dated 10 November 2017 for Rs. 43 crores by treating BSR Diagnostic Ltd (Corporate Debtor / CD) as corporate guarantor to BSR Super Speciality. This means BSR Super Speciality has defaulted in honouring its debt towards Axis Bank and the CD now has to pay/settle the debt of Rs. 43 Crores. Considering the current claim of Rs. 15 crores filed by BSR Super Speciality against the CD and the fact that CD has to honour its corporate guarantee to the extent of Rs. 43 crores given to Axis Bank. CD would stand to charge back/recover Rs. 28 crores from BSR Super Speciality (after setting off their claim of unsecured loan of approx. Rs. 15 crores). Under the Indian Contract Act, once a surety (i.e. BSR Diagnostic / CD in this case) is compelled to pay/honour the guarantee provided by it on behalf of the defaulting principal debtor (i.e. BSR Super Speciality in this case) to the lender, the CD gets into the shoes of the creditor and has a right to recover it from the defaulting principal debtor i.e. BSR Super Speciality. This would turn tables here. Once CD accepts the claim from Axis bank as a corporate guarantor to the tune of Rs. 43 crores, which it already has admitted as a valid claim, CD has the right to recover the same from BSR Super Speciality to the tune of Rs. 28 crores after setting off the unsecured loan of Rs. 15 crores. The two-fold transaction of CD to Axis of approx. Rs 43 Crores on behalf of BSR Super Speciality and CD to pay BSR Super Speciality approx. Rs. 15 crores, though being independent financial commitments, ought to be adjusted/knocked-off against each other. Otherwise, the shareholder BSR Super Speciality would stand to gain unjust enrichment by not paying Rs. 43 crores to Axis since it was the principal debtor and additionally recovering Rs. 15 crores from CD, which is bad-in-law. Considering the above, BSR Super Speciality s claim stands to be knocked-off against the claim filed by Axis bank for Rs. 43 crores.
