FORWARDING LETTER Note: - Tender to be submitted on or before 3.00 pm on 09th October 2012. To, The Dy. General Manager, Regional office, Bank of Baroda, Aurangabad From Sub: Tender / quotation for the Air-Conditioning work of Jalna Branch, Aurangabad, for Bank of Baroda, Aurangabad. Dear Sir, With reference to the tender invited by you for above-mentioned work, I/ we hereby offer to execute the items of work specified in the Schedule B. I/ we have examined and studied carefully all the drawings, specifications, conditions of contract, site and agree to comply with them. I / we agree to and take whole & sole responsibility for completing the whole work in all respects within the stipulated time from the date of work order and shall comply with it. I/ we are aware that any of schedule - B items/ s can be canceled or replaced and quantity of any of items can be increased or decreased at any time by the Architect OR Owner, for which I/ we shall not claim extra. I / we agree to appoint a full time technically equipped site supervisor on site, who will monitor the progress of work and report about the same on daily/weekly basis as required. I also undertake that I/ we have executed (at least one) Air-conditioning work of similar nature and having similar or more quoted value during last two financial years (Attested copies of certificates have been enclosed herewith). NOTICE TO TENDERERS: 1. Sealed tenders should be addressed to Dy. General Manager, Bank of Baroda, Regional Office, Aurangabad Region, Plot No. 8, N-5, Town Centre, Cannaught Market, CIDCO, Aurangabad-431003 (M.S.) and super-scribed as TENDER FOR Air-Conditioning Work of Jalna Branch of Bank of Baroda, Aurangabad Region and sent as to reach the office of Dy. General Manager, Bank of Baroda, Regional Office, Aurangabad not later than 3.00 PM on the 09 th October 2012. Tender should be accompanied with Earnest Money Deposit (EMD) of Rs. 2000=00 (Rupees Two Thousand Only) in the form of Demand Draft in favour of Bank of Baroda payable at Aurangabad. Tenders not accompanied with EMD shall be rejected and considered invalid. The earnest money shall be returned to the tenderer if the tender is not accepted but without any interest. EMD amount deposited by the tenderer, whose tender is accepted, shall be adjusted towards security deposit to be retained by the Bank for one year. 2. No tender will be received after 3.00 PM on the 09th October 2012. 3. Tenders shall be opened at the office of DGM, Bank of Baroda, Regional Office, Aurangabad on the 09th October 2012.at 4.00PM by the DGM or his nominee. The rates quoted shall be valid for 90 days from the date of opening. 4. Dy. General Manager, Bank of Baroda, Regional Office, Aurangabad does not bind himself to accept the lowest or any tender and reserves the right to accept or reject any or all the tenders whether in whole or in part without assigning any reason for doing so. The owner reserves his right to negotiate with the lowest tenderer/ s. 5. Each of the tender documents is required to be signed by the person or persons submitting the tender in token of his/ their having acquired himself/ themselves with the general conditions, articles of agreement, mode of measurements, schedule of probable quantities and the time schedule etc. as laid down. Any tender with any of the documents not signed will be rejected. 6. Tenderer shall fill in rates for all items of work described in the Schedule -B. All entries must be made by hand and in ink. The rates quoted for the items must be in Figure & Words in English. In the event of discrepancy between the rates quoted in figures & words, the rates quoted in words, shall be binding. Tender not quoted in above said manner will be refused and will not be considered. Items against which no rate is entered by the tenderer will not be paid for by the Owner when executed and shall be deemed covered by the other rates in the Schedule-B. 7. All erasures and alterations made while filling the tender must be attested by initials of the tenderer. Overwriting of figures is not permitted. Failure to comply with either of these conditions may render the tender invalid. 8. Intending tenderer shall pay as earnest money a sum of Rs 2000/- (Rs. Two Thousand only) by Demand Draft drawn on any scheduled bank in the favor of Bank of Baroda, Aurangabad payable at Aurangabad along with the tender documents. A tender, which is not accompanied by the earnest money, will not be considered. The earnest money shall be returned to the tenderer if the tender is not accepted but without any interest. The successful tenderer to whom the contract is awarded will have to deposit as initial security deposit a further sum to make up 2 % of the accepted tender including the Earnest Money. The initials Security Deposit will have to be made within 02 days from the date of acceptance of tender, failing which the employer at his discretion may revoke the letter of acceptance and forfeit the Earnest Money Deposit furnished along with the tender. Payment shall be made in 2 installments (upon achieving at least 50 % interim bill value of the contract amount). Second and final installment shall be made after completion of the entire work and upon scrutiny of final bill by the Architect. Apart from the Initial security Deposit made as above, retention money shall be deducted from progressive running bills @ 4% of the gross value of each running bill until the total security Deposit, i.e., the initial Security Deposit plus the retention money equals total 6% of the final bill amount as certified by the architect. The above amounts shall 4

not bear any interest. If successful tenderer fails to execute the agreement within time specified above, the earnest money deposited by him shall be forfeited. The forfeiture of earnest money is to be considered as cost covering all losses & liquidated damages not withstanding any other provisions envisaged for losses - penalties, implied in the provisions of the contract. 9. Within Seven days of the receipt of intimation from the Owner of acceptance of his/their tender, the successful tenderer shall be bound to implement the contract by signing the agreement in accordance with the draft agreement and the conditions of contract with the owner. 10. The security deposit shall be kept with the Owner for a period of 12 months after the completion certificate is issued by the Architect. This amount is not to bear interest. 11. The rates quoted by the contractor should include all charges for scaffolding, materials, labour, hire for any tools, marking out and clearing of the site as mentioned in the specifications. The rate quoted by the tenderer in the Schedule-B of probable quantities will be deemed to be for the finished work to be measured at site. The rates shall be inclusive of all applicable taxes, sales tax, octroi duty; Works Contract tax, Provident Fund, Insurance etc. levied by any Government or any public body. The contractor shall abide by the rules of Minimum Wage Act and Child Labor Act and keep the owner indemnified regarding the same. 12. The rate shall be binding to the Contractor for all the tender items till the completion of the work irrespective of variation in market rates of material and labour. 13. The calculations made by the tenderer should be based upon probable quantities of the several items of work that are furnished for the tenderer s convenience in the schedule B. It must be clearly understood that the contract is not a lump-sum contract that neither the probable quantities nor value of the individual and the aggregate value of the entire tender will form a part of the contract and that Architect doesn t in any way assure the tenderer or guarantee that the said probable quantities are correct or that the work would correspond thereto. 14. The items against which no quantity is shown in schedule -B for which tenderer is to quote his rates and the Owner at his discretion shall ask the contractor to execute those items if required and which shall be binding on the part of the contractor to execute those items at the rates quoted therein in the tender. 15. Special attention of the tenderer is drawn to the alternative items in the schedule of probable quantities. The rates and amount for these alternative items, if any, shall be duly filled in. The Architect reserves to himself the right to adopt any of the alternative items, either after scrutinizing and deciding upon the tenders or later when the work is being executed. 16. The successful tenderer should make own arrangement to obtain all materials required for the work. 17. The various materials stored on site shall be protected from the fire or rains etc. and the contractor shall be responsible for any damage caused to the owner for the same. 18. The contractor shall allow enough facilities to the sub-contractors employed by the owner and should co-operate with them and that small holes etc. made by these sub-contractors to the structure shall be properly corrected by the general contractor without any prejudice and extra cost whatsoever. 19. The bills shall be prepared by the contractor in the manner required by the Architect and should be submitted to him. The owner shall pay the contractor within the 15 days time from the issue of the certificate of payment by the architect. All payments by the owner under this contract shall be made at Aurangabad. 20. All drawings to be returned back with the Tender. 21. The tender submitted on behalf of a firm shall be signed by all the partners/ directors of the firm or by a partner who has the necessary authority on behalf of the firm to enter into the proposed contract. Otherwise the owner may reject the tender. 5

22. The specifications that are not mentioned or listed in the tender shall conform to I.S.I. specifications. 23. In case of dispute regarding quality of material, workmanship etc. shall be settled and accepted as final decision on the basis of test reports obtained Government Polytechnic, Aurangabad. 24. The contract shall be subject to Aurangabad jurisdiction only. 25. The Architects for this work is M/s S. Nandedkar & Associates, 103, Utkarsha Umang, Ajni Square, Nagpur (Tel: 2252945) and the architect reserves the right to deduct such amounts as he may feel proper on account of bad workmanship as penalty and that his decision in such matters shall be binding to both the parties and shall not be subject to arbitration. The architect or his representative shall visit the site for periodic supervision only. The contractor should make sure that he or his site supervisor is present on site with all the drawings provided by architect. The architect in no way is responsible for any delay in work. 26. The owner reserves the right to omit any item or items or part thereof while execution of the work for which contractor shall not claim any compensation whatsoever. 27. These documents from page no. 02 to 06 shall form the part of subsequent Agreement. 28. Tenderer shall submit attested copy of valid Tax clearance certificate. 29. The contractor will have to procure all the required materials, labours, equipments and machineries required for the work. The materials should be stacked in such a way that it is not disturbing to the working of the office. 30. The work is with materials and labour. Hence it will be the duty of the tenderer for any type of accident incurred during the work, causing damage to human life and injury, damage to other property, damage to any visitors, customers or supervisor. The contractor should therefore take all the necessary precautions, and care during the progress of work of his own staff and also for the staff owner, supervisors, visitors, customers etc. The contractor should take necessary insurance for the work as required under the workman compensation act, labour laws etc. as prevailing. In short, it will be the duty of the contractor for all the types of accident and damages caused to human lives or property in any form, during the progress of work at his own cost and risk. 31. The contractor will have to follow the instructions and guidelines as issued to him by the architect. If any work is not carried out satisfactory or to the required standard in the opinion of architect the contractor will have to rectify it again at his own cost, without any additional payment and without any challenge. 32. The contractor will have to keep one supervisor from his side constantly at site for this particular job that will be fully responsible for the work on behalf of the contractor. 33. In case the contractor s progress of work is not satisfactory or his workmanship is not to the standard quality, the architect and/or owner reserve the right to issue necessary notice to the contractor, for carrying out timely progress. If however the contractor has not improved the progress, the architect and/ or owner can release the contractor from his work and terminate the contract after issuing seven days notice. 34. The Owner in this case is the said bank. The site means the place of work i.e. Jalna Branch, Aurangabad Region. The Architect for the work is M/s. S. Nandedkar & Associates, Nagpur. The entire work is to be carried out under the supervision, execution and instruction of the said Architect. For any technical clarifications, the contractor may contact him on the above address. 35. Conditional tender will NOT be accepted. If any of the documents is missing or unsigned the tender shall be considered invalid. AGREEMENT 1. THIS AGREEMENT made on the day of 2012 between (hereinafter referred to as Contractor which expression shall unless repugnant to the context or meaning there of deemed to include its/ his legal heirs, executors, administration and assign of the one part and Dy. General Manager, Bank of Baroda, Regional Office, Sitabuldi, Nagpur. (Hereinafter referred to as the Employer.)Which expression shall unless repugnant to the context or meaning thereof be deemed to include is successor and assigns of the other part. 2. WHEREAS the said employer is desirous to carrying out Air-Conditioning Work of Bank of Baroda, Jalna Branch, Aurangabad hereinafter the aforesaid work are collectively referred to as the work 3. WHEREAS the said works are more particularly described in contract document consisting plans, specification, schedule of quantities of various classes of works to be done and set of conditions of contract to be complied with by the contractor are annexed herewith as part and partial of thus agreement. The parties to the contract agree to abide by the same. 4. WHEREAS the Employer has invited the tender and the contractor has also given his tender which was opened on and it has been accepted by the Bank vide letter no. Dated. NOW IT IS HEREBY FOLLOWS; 5. WHEREAS in consideration of payment to be made to the contractor as hereinafter provided, the contractor shall upon and subject to the set of conditions described in the Contractual document, execute and complete the works as shown in the said plan, drawings, complete specification, schedule of quantities of various classes of works to be done and such further detailed drawings plan and specification as may be furnished/ provided to him by the said employer and described in the said specification and on the said price of schedule of quantities. 6. The Branch Head of the Employer shall exercise power on behalf of the said employer for the purpose of this contract agreement. 7. WHEREAS both the parties agree to sign the following annexure annexed to this agreement in token of their acceptance. (a) General Condition of Contract. (b) Safety Mode (c) Model Rule for protection of health and sanitary arrangement for workers. (d) Specification for Civil Work. (e) Abstract of Cost. 8. The Company shall pay the contractor such sums as shall become payable hereunder the works within 45 days from the date of written orders to commence the works are given to the contractor. The contractor agrees and has deposited 2 % of the accepted tender amount by way of initial security deposit for due fulfillment of the contract for the works. It is agreed that the security deposit shall be deducted from each running bills as per clause-11 and refunded to the contractor as per clause -11 collected by the contractor as details of the General condition of the contract Annexed herewith. 9. WHEREAS it is agreed that the Earnest Money amounting to Rs.2000.00 deposited by the contractor in the form of Demand Draft along with the tender shall be forfeited in full in case contractor does not remit the initial security deposit within the stipulated period of start the works by the stipulated date mentioned in the award letter. 10. WHEREAS Shri. is the accredited representative (s) of the contractor who would be responsible for taking instruction from the Employer and the architect in relation to the works. The contractor agrees to pay sales tax, income tax or any other taxes on material or on finished works like works 7

contract tax, turnover tax etc. in respect of this contract of the works and the employer will not entertain any claim whatsoever in this respect, nor the employer shall be responsible to pay taxes as mentioned above. If due to non payment of any of the aforesaid tax or other taxes connected with the works, the contractor suffers any loss or damage or delay in completing the works, the employer shall not responsible for any such loss or damage occurred to the contractor, and the employer will be entitled to claim damages from the contractor for non completion of the works within 45 days as stipulated in Para 4 as aforesaid. 11. WHEREAS the contractor hereby declares the list of all relatives working with the employer which is annexed herewith and marked C-1 OR WHEREAS the contractor declares that none of his relative is working with the employer, 12. The plans, details, diagram specification, contract document and the document above mentioned shall form basis of this contract and decision of The Branch Head from the time being as mentioned in the conditions of contract in reference to all matters of dispute shall be final and binding on both the parties. 13. The works comprises the furnishing of the branch and all subsidiary and others works connected therewith on the same site as may be ordered to be done from time to time by the said Branch Head for the time being even though such works may not have been shown on the drawings plans or described in the said specification or schedules of various classes of works to be done. 14. The employer reserves to himself the right of altering the plans, drawings and the nature of works and of adding to or omitting any item of works or having portions of the same carried out departmentally or otherwise and such alteration or variation shall be carried out without prejudice to this contract. 15. All disputes arising out of or in any way connected with this agreement shall be deemed to have arisen in Aurangabad and only the courts of Aurangabad shall have to be jurisdiction to determine the same.
