Section 4: advised investors only 4.1 Adviser Charges Please tick one box below. Note: EIS Tax Relief is calculated with reference to the amount invested in each EIS Qualifying Company within the Fund and will be on 100% of the Investment Amount subscribed into the EIS Qualifying Company net of adviser charges. Section 5: non-advised investors 5.1 Investor Eligibility To be completed by, or on behalf of, the investor To invest in the Silver Lining Screen Fund as a non-advised investor you have to confirm on the application form that you meet the criteria of being a High Net Worth Investor, a Sophisticated Investor or a Restricted Investor, as defined by the FCA. The following is a list of the criteria to qualify as such: 1. High Net Worth Investors At least one of the following applies: (a) You have had, throughout the financial year immediately preceding the date below, an annual income to the value of 100,000 or more; or (b) You held, throughout the financial year immediately preceding the date below, net assets to the value of 250,000 or more. Net assets for these purposes do not include: the property which is a primary residence or any money raised through a loan secured on that property; any rights under a qualifying contract of insurance; or any benefits (in the form of pensions or otherwise) which are payable on the termination of service or on death or retirement and to which you (or your dependants are), or may be, entitled. Also excluded from the net asset definition are lump sum pension withdrawals that are not intended to serve as income in retirement. 2. Certified or Self-Certified Sophisticated Investors At least one of the following applies: (a) Member of a network or syndicate of business angels and have been so for at least the last six months prior to the date below; (b) Have made more than one investment in an unlisted company in the two years prior to the date below; (c) You are working, or have worked in the two years prior to the date below, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises; or (d) You are currently, or have been in the two years prior to the date below, a director of a company with an annual turnover of at least 1 million. 11

3. Restricted Investor In the twelve months you have not invested more than 10% of your net assets in non-readily realisable securities; and undertake that in the twelve months following the date below, you will not invest more than 10% of your net assets in non-readily realisable securities. Net assets for these purposes do not include: the property which is my primary residence or any money raised through a loan secured on that property; any rights of mine under a qualifying contract of insurance; or any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependants are), or may be, entitled. Also excluded from the net asset definition are lump sum pension withdrawals that are not intended to serve as income in retirement. 5.3 Appropriateness Assessment The Silver Lining Screen Fund, like many SEIS and EIS funds, is in fact a series of parallel Investor Agreements. You will enter into such an agreement with Kin Capital Partners LLP (the Firm ) to become a client. Kin Capital is authorised and regulated by the Financial Conduct Authority ( FCA ). The FCA s rules require that the Firm considers information you provide us regarding your knowledge and experience in the investment field relevant to the specific type of product or service offered or demanded, so as to enable the Firm to assess whether the service or product envisaged is appropriate for you. There are three core areas we need information from you in order to make this decision: (a) The types of service, transaction and investments with which you are familiar; (b) The nature, volume, frequency of your previous relevant investments and the period over which they have been carried out; and (c) Your level of education, profession or relevant former profession. Investment & Transaction Experience The Firm must assess that you have the necessary experience and knowledge in order to understand the risks involved in the management of your portfolio. Section 6: cancellation form Cancellation Form - Silver Lining Screen Fund Unless waived as described in Section 2 of the Application Form, you may exercise a right to cancel the Investor Agreement by notification to the Manager within 14 days of the Fund Manager receiving your Application Form. This right and the consequences of cancellation are explained in the Investor s Agreement in the Information Memorandum. Following cancellation, the remaining balance of your money (if any), less any fees paid, will be refunded to you by cheque and any shares acquired will be transferred into your own name. You will not be entitled to interest on monies refunded following cancellation.
