2017 GROUP BENEFITS SALES CAMPAIGN RULES & REGULATIONS CAMPAIGN PERIOD AND SPONSOR DETAIL The 2017 Group Benefits Sales Campaign All-Star Hollywood Weekend (the Campaign ) begins on January 1, 2017 12:01 a.m. Eastern Time (ET) and ends on December 31, 2017 at 11:59 p.m. ET (the Campaign Period ). The Campaign is sponsored by Sun Life Assurance Company of Canada (the Campaign Sponsor ). CAMPAIGN DISCLOSURE Please comply with your disclosure obligations referred to in our Group Commission Agreement that apply to this Campaign. CAMPAIGN PARTICIPANT ELIGIBILITY All independent licensed advisors/brokers ( advisors/brokers or individually advisor/broker ) within Canada are eligible to participate in the Campaign. Sun Life Financial advisors, defined as advisors contracted with Sun Life Financial Distributors (Canada) Inc., and Investor Group advisors are not eligible to participate in the Campaign. Managing General Agents ( MGAs ) including advisors that have 100% of their commissions run through a MGA and National Consulting Firms, Association, Creditor and Affinity programs are excluded from the Campaign. Employees of the Campaign Sponsor and the persons with whom they are domiciled are not entitled to participate in the Campaign. CAMPAIGN PARTICIPANT REGIONAL ALLOCATION A participant s allocation to a specific Sun Life Financial group benefits sales region (the Sales Region ), is based on which Sun Life Financial group benefits office their assigned Sun Life Financial group benefits account executive (the Account Executive ) is associated with. The chart below shows which group benefits office is associated with a specific Sales Region. WESTERN REGION CENTERAL REGION EASTERN REGION Vancouver Group Office Toronto Group Office Montreal Group Office NEW SALES DEFINITION AND CAMPAIGN REQUIREMENTS For the purposes of the Campaign, a new sale is defined as a SunAdvantage case or SunSolutions case with a sales effective date during the Campaign Period. SunAdvantage or SunSolutions cases classified as Additional Business ( AB ) will also be counted as a new sale, if the SunAdvantage or SunSolutions benefits AB case effective date is within the Campaign Period. Only SunSolutions cases classified as insured (non-refund) will be counted as a new sale if the case effective date is within the Campaign Period. SunSolutions insured new sales premium is also capped at $1,000,000 per sold case. Administrative Services Only ( ASO ) or Refund SunSolutions cases will not be counted as a new sale for SunSolutions and SunAdvantage cases. Any SunAdvantage or SunSolutions cases sold with an effective date outside of the Campaign Period will be ineligible. For SunAdvantage or SunSolutions cases sold by multiple agents of record ( AOR or Split Cases ), the percentage of total sold premium assigned to each advisor/broker will qualify towards the net sales calculation*. * Net Sales Calculation = Non Refund Gross Sales Premiums (minus) Non Refund Terminated Premiums Note: If there is a tie in net sales premium, then the agent/advisor with greater number of cases sold will be deemed the winner of this campaign. CAMPAIGN GRAND PRIZE DETAILS Each Prize will consist of one (1) travel package to Los Angeles, California on February 17-19, 2018, with an approximate value of $13,500 CAD (the Grand Prize ). Each Prize winner will be entitled to bring a total of one (1) guest to accompany them. The package includes airfare, one (1) room/two (2) nights accommodation. 5

All incidental costs and expenses not specifically referred to shall be the responsibility of the winner. GRAND PRIZE WINNERS There will be a total of three (3) Grand Prize packages for SunAdvantage and a total of three (3) Grand Prize packages for SunSolutions, for a total of six (6) Grand Prize packages available to be won by the advisors/ brokers who obtain the highest result in each sales region. Each Grand Prize winner will be entitled to bring a total of one (1) guest to accompany them. If the selected participant cannot be contacted within 14 days of the notification, or refuses the Prize or if contacted but does not claim his or her Prize by email or telephone within 2 weeks of the date of initial contact or does not meet all of the Campaign conditions, then the next ranking participant will be contacted and so on and so forth. CAMPAIGN PRIZE SUBSTITUTION Prizes are non-transferable, non-refundable, have no cash surrender value and must be accepted as awarded. If the selected winner cannot attend, accept, or refuses the Prize, then another entry may be selected from the remaining eligible entries. GENERAL CAMPAIGN CONDITIONS Independent licensed advisors/brokers within Canada cannot earn more than one (1) Prize. To claim a Prize, the participant must first have complied with the Rules and correctly answered, unaided, a time-limited, skill-testing question administered by email or telephone by the Campaign Sponsor at a prearranged, mutually convenient time. The selected participant will be required to sign a standard Declaration and Release form confirming compliance with an agreement to be bound by the Campaign Rules, release of the Campaign Sponsor, its directors, officers, dealers, partners and employees from any and all liability, and acceptance of the Prize as awarded within five (5) days after receipt. The decision of the Campaign Sponsor is final. TAXATION In compliance with federal and provincial tax legislation, all Campaign Prizes distributed are taxable. PUBLICITY All participants agree to be bound by the Campaign Rules and the decision of the Campaign Sponsor and consents to the use of their name, city of residence, likeness, photograph, image and voice without payment or compensation, in any publicity or advertising, in any medium carried out by the Campaign Sponsor. MODIFICATION OR TERMINATION Subject to applicable law, the Campaign Sponsor reserves the right to cancel, terminate, modify the Rules or administration of or suspend this Campaign in whole or in part without prior notice, with no obligation or liability, including if for any reason the Campaign is not capable of running as planned, whether due to technical failure, tampering, fraud, or corruption of security or proper administration of the Campaign or other causes beyond the control of the Campaign Sponsor. The right is reserved to modify, terminate or withdraw this Campaign at any time without prior notice. LIABILITY The Campaign Sponsor, its directors, officers, partners, dealers and employees shall not be responsible for any injuries, loss or damages of any kind (compensatory, direct, incidental, consequential or otherwise) with respect to, or in any way arising from, this Campaign or the Prizes awarded, including but not limited to: (i) lost, stolen, not received, destroyed, damaged, misdirected, illegible, incomplete, fraudulent or late case applications, which will be void and not eligible; (ii) failure to receive case applications for any reason or technical failures or errors of any kind, including but not limited to incorrect or inaccurate capture or loss of sales information, omissions, lost/delayed/garbled data, transmission failure, interruption, deletion, defect or failures of any telephone or computer line or network, computer equipment, servers, or software; (iii) seeding or printing or typographical errors in any Campaign-related material or human error. A Prize-winner s refusal or inability to accept the Prize awarded shall release the Campaign Sponsor from all obligations. In no event shall the Campaign Sponsor be held to award more Prizes than what is mentioned in the Campaign Rules or to award Prizes otherwise than in compliance with the Campaign Rules.
