1 RAF/2018/00054: PANEL OF ATTORNEYS Questions and Answers EMPLOYER RFP NUMBER DESCRIPTION The Road Accident Fund (RAF) RAF/2018/00054 The RAF wishes to invite suitably qualified Legal Firms from all provinces to be listed on a Panel of Attorneys to provide Specialist Litigation Services to the RAF in respect of Magistrate Court, Regional Court and High Court litigation for a period of five (5) years. 2 1. Page will any reference letter provided for in the last three years suffice? How old should a reference letter be? Please follow the directions set out in the tender documents at on page 75. The reference should not be older than 3 years. 2. Paragraph 1 of tender document on page 46, 47 and 48 refers to SMME Status that are Need to Identify our enterprise. the amounts i.e. Turnover, size of class and Total full time Equivalent of paid employees do not totally with description of some the bidders i.e. some bidders have 60 employees full time others turnover is R6 Million There is no provision for some of the bidders so SMME status is it Compulsory to complete if Applicable or Not Applicable? No 3. Are we supposed to apply for Magistrate, Regional Court Separately and High Court Separately? No 4. I would to enquire if sole traders can bid for the PANEL OF ATTORNEYS tender. We do have the following documents: a tax clearance and status pin, CSD number Fidelity Fund Certificate The only thing we don t have is a CIPC registration as we are a sole trader (individual) with employees under the law firm. they may 5. If we have multiple directors can we submit only the one director that will be involved in the RAF tender or must we submit all directors Fidelity Fund and letters of good standing Documents must be submitted by all directors who will perform work for the RAF. 6. Will the fund be open over the Christmas holidays for drop off e.g. from the 27th onwards The RAF offices close on 21/12/2018 and reopens on 02/01/2019 2

3 7. Communication capabilities please confirm that we may submit a detailed invoices and proof of payment of these services. 8. Do we need to send directors identity numbers, as it is not a current requirement from what we can see It is required under SBD 6.1 on page Do we need to send audited financials? The Annual Financial Statements are no longer a requirement. 10. Will 2018 fidelity fund certificates be accepted given that they only expire end of December and will still be valid when we submit our tender application? The certificates must be valid at the time of closing of the tender. 11. Must the disaster recovery plan be provided by the firm as part of our business continuity plan or must this be on IT Company s letterhead? Either will suffice, provided it addresses all items specified in the requirement. 12. Licensed software minimum Microsoft capability can the proof be provided in the form of a letter from IT company because the requirement reads as follows proof of capability and licence in the form of current end-user agreement or any other confirmation that the bidder/s are registered or licenced to use the software. 13. Can the asset register be in the form of confirmation from the Director on a firm letterhead?, provided it addresses all items specified in the requirement. 14. Do I, as a newly established sole proprietor law firm, need to register as a Supplier/ Vendor on the RAF database before I may participate in this said tender? No. Registration on the database will only be required if the firm is awarded a contract. 15. At paragraph/ Section 1 (Bidder Information): Is it necessary to have a registration number and be VAT registered? 3

4 A company registration number is not required, but tax compliance is required. 16. Ad paragraph/ Section 2/ Annexure D: In absence of a B-BBEE certificate, do I only need to submit an affidavit herein? 17. Is the appointment of a correspondent or advocate regarded as sub-contracting? 18. Page 46- Will attorney s services fall under Finance and Business Services? Limpopo High Court Thohoyandou. How do we determine jurisdiction for the Thohoyandou High court? Do we apply the 15 km rules to determine the jurisdiction? Or does it suffice to be based in Limpopo province? Jurisdiction is based on the gazetted area of jurisdiction for the various Courts. 19. Ad paragraph 15 on page 54 of bid Doc. Is the accountant of my firm to sign the document and then the bank? This refers to your internal processes. 20. The Bisho High court is a stand-alone court with no attorneys located thereat, the nearest being King Williams town and East London. Jurisdiction is based on the gazetted area of jurisdiction for the various Courts. 21. King Williams s town is under the Grahamstown jurisdiction. Jurisdiction is based on the gazetted area of jurisdiction for the various Courts. 22. I would like to know who is eligible to submit a bid at Bisho. My suggestion is that East London attorneys should be eligible to tender for this court mores o that East London is the circuit court for the Bisho High court. 5 23. Should the original and copy of the tender documents be submitted in one envelope or should be submitted in separate envelopes. They can be submitted in the same envelope as long as they are clearly marked original or copy 24. Paragraph 1.2 (b) on page 42 of Annexure D requires that the applicant delete whichever is not applicable for this tender. Must the applicant delete the (a) or the (b) The bid is based on a 90/10 preference point system 25. Must an applicant complete 1 Bid Document and simply state that it is bidding in respect of Magistrate s Court, Regional Court and the High Court OR must a separate Bid Document be completed, 1 for the Magistrate s and Regional Court and a separate 1 for the High Court? There is no separation in this bid for Magistrate & High Courts. Separate bid documents must be provided iro each jurisdiction tendered for. 26. Is it in order if certified copies of the Certificates of Good Standing are submitted or must it be the originals? (para on page 69 refers) Certified copies will suffice 27. As the Legal Practice Council only issues 1 original Fidelity Fund Certificate, is it in order that certified copies of such Certificate be submitted? Certified copies will suffice 28. Is it in order to submit certified copies of the Certificate of Right of Appearance in the High Court and is this required in respect of the Lead Attorneys only? (para refers) Certified copies will suffice 29. Can there be more than 1 Lead Attorney? 30. Will it be in order to state Not Accept at para on page 9 as the fees will be fixed and therefore will not be negotiable? The bidder will have to accept this condition irrespective of the fees being non-negotiable 5

As concerns the BBBEE Certification referred to on page 53 of the RFB: Is the reference to R5 million an error?... as In terms of Section 4 of the Codes of Good Practice issued in terms of the BBBEE Act No. 53 of 2003, the EME threshold has increased from R5 million to R10 million and deemed verification statuses then apply and there is no need to obtain a SANAS accredited verification rating certificate to establish the BBBEE Level contribution; Noted, the EME threshold has been increased from R5 million to R10 million. 32. Does the Disaster referred to on page 76 (Disaster Recovery Plan) refer to a physical disaster such as a fire? Please refer to the technical requirement under on page Please confirm that it is not necessary to submit Annual Financial Statements as part of the Bid. The Annual Financial Statements are no longer a requirement. 34. Please confirm that all references to the word Company on page 17, includes a Sole Proprietorship. Confirmed 35. Is it necessary for purposes of the Bid to sign the draft SLA on page 46 or should this be left unsigned at this stage for signature only in the event of a successful Bid? It is not necessary to sign the draft SLA 36. Page 64: If bidding for a jurisdiction, are you only required to submit 1 bid and that will be inclusive of Magistrate Court, Regional Court and High Court. With the previous tender we were required to bid for a Jurisdiction and court as well for eg if the bid was Eastern Cape we were required to submit 3 bids ie Magistrate Court, Regional Court and High Court. Please confirm that 1 bid for a jurisdiction automatically includes magistrate, regional and High Court. There is no separation in this bid for Magistrate & High Courts. Separate bid documents must be provided iro each jurisdiction tendered for. 6

7 37. Page 69 (6.1.6) the new Fidelity Fund Certificates issued in term of the new Legal Practice Act doesn t specify a region/province. How do we submit a Fidelity Fund Certificate for each province we are bidding for? Kindly confirm that the same FFC will be attached to each different Province that we are bidding for. That will be in order. 38. Page 70 (6.1.11) is the acceptance of the SLA at Paragraph sufficient or do you require that the signed and initialed SLA be returned with the bid document as well. It is not necessary to sign the draft SLA 39. Kindly assist with regards to page 50 number five of the Workforce Classification: What are meanings of the abbreviations i.e. A, C, I, W? African, Colored, Indian, White 40. I would like to know if you have an office in Port Elizabeth can you bid for Grahamstown seeing that Port Elizabeth is within the jurisdiction of Grahamstown. 41. Page will any reference letter provided for in the last three years suffice? How old should a reference letter be? any letter from a client will suffice as long as it is not older than 3 years 42. I would like to know if you select the jurisdiction that you wish to tender for do this mean that we are tendering for High court, Magistrate and Regional court within that jurisdiction. I do not see a selection for a specific court other than just jurisdiction. 43. On page 56 of the tender (B) point 1 which reads A detailed description of business relations/agreements (Can you please be more specific as to what do you require by the question). 8 44. I wish to know whether or not a separate bid must be completed for each Court, (i.e. one for High Court, one for Regional Court and one for Magistrate Court) in the same Jurisdiction. Or is the completion of one Bid for a particular jurisdiction inclusive of all the relevant courts. Previously when we tendered for the RAF we had to complete 3 separate bids for each court. Has this changed with regards to the current tender? One bid per jurisdiction (inclusive of original and copy) With regards to page 56 of the bid document, paragraph B. a. Kindly advise if the first bullet point ie a detailed description of a.. Any restrictions is relevant to attorneys. If so what is specifically required in relation to the agreements referred to and what are the restrictions referred to. Please provide examples of what is required. Kindly advise with reference to the second last bullet point ie. Group structure. If an organogram of the entire attorney s firm is required or do we only submit details of the shareholders and their respective % of shares. Please clarify. We list below our questions seeking clarity on the requirements of the Tender, alternatively we seek confirmation that our interpretation of the requirements is correct, further alternatively we seek guidance regarding the correct interpretation to be applied to the requirements if our interpretation is not correct. 8

9 a) There is reference to a financial assessment (P.54 and P.56). What are the measurement criteria for this assessment, how will it be performed and what documentation is required? What if the bidder has no past trading experience and is established as a start-up venture for the purpose of this tender? Can the bid of a bidder that has no past trading experience be declared non-responsive for this reason alone? It is our understanding that the fact that the bidder has no past trading experience and is established as a start-up venture for the purpose of this tender will not, in itself, disqualify the bidder and that the absence of historical financial statements and documents evidencing a trading history will not serve as an impediment. Due diligence on financial assessment on page 54 will not be applicable to this bid as the RAF RFB document is a standard bid document that the RAF uses for all bids. b) As per item (P.73), documentary proof of assets is required. The point allocation is limited to assets detailed in an Asset Register. This relates specifically to computers, printers, scanner and multifunctional printers. Often bidders will procure these items through a lease agreement and therefore these assets will not appear on the Asset Register of the bidder. Will lease agreements in respect of these assets suffice as evidence for these assets and the allocation of points in respect thereof? It is our understanding that lease agreements in respect of these assets suffice as evidence for these assets and the allocation of points in respect thereof. Lease agreement or a letter from the Director on company letterhead confirming the listed assets. c) The tender requires the bidder to have an office within the jurisdiction of the court for which it is tendering (P.65). In some instances, there are Courts with overlapping jurisdictions (e.g. the Pretoria High Court jurisdiction overlaps that of the Johannesburg High Court but not the other way around). In view of this, does this requirement require a functioning office within 15 kilometres of the court in respect of which the bid relates (i.e. Pretoria High Court if the bidder is located in Johannesburg)? If not, and by way of illustration, can a bidder within the jurisdiction of the Johannesburg High Court, but with a service office and different lead attorney in Pretoria, tender for Pretoria? It is our understanding that a bidder within the jurisdiction of (e.g) the Pretoria High Court, located in Johannesburg but with a service office and different lead attorney in (e.g) Pretoria, will be entitled to tender for RAF work in the Pretoria High Court Jurisdiction. 9

10 Correct d) As the price for the bid is fixed, and assuming that a sufficient number of level 1 bidders pass the functionality threshold, are we correct in our assumption that the bid evaluation method restricts the tender to BBBEE level 1 bidders, and that under the aforementioned circumstances bidders with a lesser BBBEE level (I.e. less than BBBEE 1) will automatically be disqualified regardless of their functionality score? No, however it will give a fair advantage to the level 1 status contributor as provided for in the PPPFA. e) Lastly, we foresee a practical difficulty arising in respect of certain of your requirements. Bidders are required to submit valid Fidelity Fund Certificates as well as Certificates of Good Standing. Whilst we have no objection to the submission of these documents, the dissolution of the Law Societies and the formation of the Legal Practice Council is still in process and we anticipate that most practitioners, including ourselves, will practically be unable to obtain assistance from either the Law Societies or the Legal Practice Council, due to their inaccessibility or operational start-up challenges. Is it possible to submit these documents at a later stage? It is our understanding that, if we were to be unable to obtain such documents due to the inaccessibility or operational start-up challenges of the Law Societies and the Legal Practice Council, that we may submit a bid without these documents, provided such documents are made available to the RAF prior to the award of the Tender, if the bidder is successful. A valid fidelity fund certificate and letter of good standing is required at closing of the tender. 46. Our offices are situated at Sebokeng in the Vaal Triangle we just want to find out if we could still submit a Tender for this area as it is not listed under the areas that may submit Tender as opposed to Heidelberg Law firms. You may submit a bid in respect of the appropriate High Court jurisdiction. 47. I refer you to page 46 of the Tender document. Could you please indicate of assist us how to tick the table below as there is no legal services included in this table. Financial and Business Services 10

Further to the instructions contained in the bid document, and to the advice furnished at the non-compulsory briefing session this past Wednesday, 12 December 2018, kindly provide clarity and further advice on the following questions: if a firm, which has in the past and currently, operates as a sole proprietorship, on the panel for the RAF, is in the process of converting its practice to operate as an incorporated company (set to commence business on 1 March 2019) and intends to bid for the new RAF tender, how should such firm go about submitting their bid for the new tender, and what documentation would the RAF expect to receive from the sole proprietorship (as is currently) and the incorporation (which is in the process of coming into business)? Should the firm be successful in its bid to the RAF, it shall operate as an incorporated company on the new tender. In this regard, kindly advise accordingly. The bid will be evaluated as per the bid submission that will be submitted on closing date of the bid. The SLA limits the fee for attending to a party and party bill in an amount of R8 500,00 only. Surely this amount is unsuitable, especially considering that bills of cost in some matters can run into millions of rand. If this is so, there is no incentive for an attorney to spend time marking the bill and drawing the objections for a significant bill of cost, given this nominal fee of R8 500,00. Would it not be better if this fee is amended to 10% of the savings as is in the existing SLA, where the RAF has saved millions of rands which would otherwise be wasted costs, invariably attributed to attorney and client costs? The RAF views this amount to be reasonable In the event that the 2019 Fidelity Fund Certificate s (FFC) in respect of the directors is not applicable through all the jurisdictions, would it be a requirement then that we will have to apply for different FFC s in respect of the different jurisdictions we may want to apply for? FFC are applicable to all jurisdictions SECTION Paragraphs 2.10, 2.11, 2.12, 2.13 and 2.14, on pages 17 to 19. Do we answer these questions on the form or must we answer them on a separate paper and attach the answers on the form? 11

No, it s not applicable. answer is NO, do we still need to complete Annexure F SBD9, on page 59. Is the bid number the same as the RFB number? Will it be correct to state the description as "Panel of Attorneys Pretoria"? Indicate Bid Number and Description 50. On page 75, paragraphs (reference checks). The legal services that our firm has been rendering over the past three (3) years was for individual clients and not corporate entities. Our clients do not have letter heads. In the circumstances, can we request our clients to make affidavit, confirming that we rendered services for them and will the said affidavit suffice for the purpose of this paragraph? References provided must clearly reflect the requirements stated in For back up and continuing plan. What proof should we provide to show that we have a back running infrastructure? Detailed business continuity plan. 51. For computers. If the computers are not insured or rented, should we attach pictures as proof of having computers? Asset register is required 52. Are we required to submit original bid documents, copy and on a disk? 12

13 No disk is required, but one original and copy. 53. Please clarify if companies such as Transnet, Eskom, Denel are a "State" as per the definition of State They are state owned entities. 54. In the instance where the Director of the Legal Firm is employed by a Public entity, in particular from any company such as above (1), does it limit or prevent him or his Legal Firm of which he is a Director to be awarded this RAF tender? No, it does not limit or prevent them, however they should have obtained the appropriate approval to conduct remunerative work outside their employment in the public sector. 55. Do you need separate Lead Attorneys for separate areas in which you apply / tender / bid for, such as Pietermaritzburg and Durban as there is only 1 branch of the RAF located in these areas. separate lead attorney for each jurisdiction ( page 72) 56. Do you require Good Standing Certificates for all Professional staff, or only for the Lead Attorney/s and Directors? Only lead attorney and Director (6.1.4 Page 69) 57. On page 46 of the tender documents, it requires a tick in the relevant box for our business to determine the SMME status, but none provided in the list on page 46 is relevant to an Attorney's Practice, please guide us on this. On page 54 of the tender documents, it has supplier evaluation questions, kindly guide us as to how to complete the questionnaire as we are not a macro enterprise therefore some questions do not apply to us, kindly advise on how to complete the questionnaire. In terms of the company profile, can we submit one for the entire company, or must it be branch specific?, however for every jurisdiction that the bidders intend to bid, they must submit a separate bid submission with one company profile. 61. On the declaration of interest Page 37, clause 2.8 about whether one has conducted business with the state, please elaborate: Our firm has done business with institutions defined as state by the RFB, should we list these institutions?. 62. Completed price schedule with detailed breakdown - This document forms part of the mandatory document checklist where is this document? Are bidders not expected to merely agree to the proposed pricing structure? The bid document is a standard document that the RAF uses, however the completed price schedule with detailed breakdown is not applicable for this bid. 63. Can we type into the bid document or must one respond in manuscript when completing the bid document? Hand written 64. Page 9, paragraph 2.2 A under Accept appears to have two different meanings? Can you clarify the following instruction: A under Accept will be interpreted as full compliance/acceptance of the applicable paragraph? A under Accept will be interpreted that the bidder/s has/have read and understood the paragraph, but the bidder does not accept the content of the applicable paragraph. If the requirement is accepted, please tick Accept and if the requirement is not accepted then tick Not Accept 65. Page 12, paragraph at what pages can this document be found? 15 66. Page 68 can the partner/director referred to in paragraph be the same person as the lead attorney referred to in paragraph where only one jurisdiction is being tendered for? If so, will the bidder be penalized? Director and Lead Attorney can be the same per jurisdiction. 67. Page linked to the query above: if the partner/director and lead attorney can be one and the same person, is it accepted that only one certificate of good standing is required? Does annexure H (page 78 & 79) form part of the pricing schedule and acceptance of annexure C & D of the SLA and do they have to be submitted together? Page 46 Table of SMME statuses please clarify how this table should be read. If one has over 50 but less than 200 employees, over R13 and R26m turnover but less than R5m in assets does that class as medium or small? Are the limits, maximum or minimum limits and do all 3 categories have to be met before you can identify your class? Small, the bidder will only qualify for medium once their employees are more than 200. Page 48 Point 2 there is a column for exercisable voting rights and economic interest for each line. Is the percentage voting/interest applicable to the person or the entity only? To the person 71. Page 48 Point 2 The RFB states The members of the enterprise are: Should all shareholders and directors be detailed in this table and if a person is both a shareholder and a director should we list their names twice? 15

February 2017 to February From when in 2019 is it expected that a successful bidder will be allocated instructions from the fund. The date will be communicated after award. 73. Our offices are in Pretoria within the Gauteng Province. Will that satisfy the requirement to have a physical office within the Jurisdiction of the Johannesburg High Court? Jurisdiction is based on the gazetted area of jurisdiction for the various Courts. 74. There is no reference to a criminal and credit check in the RFB, only in the SLA. Do we still need a draft consent to criminal check for employees and have them sign it for the RFB? This is not a bid requirement indeed, but will be applicable to successful bidders contracted with the RAF. It s not a returnable document for purpose of the bid submission at this point. 75. Our main offices are in Pretoria within Gauteng Province. We are considering bidding for Courts in other provinces as well. For this purpose we intend opening satellite offices in such provinces with one central bookkeeping department remaining in and operating from Pretoria. Furthermore, all of our main offices resources and infrastructure including but not limited to, computer hardware and software, professional and support staff as far as is required will be utilised, linked to and/or deployed at such satellite offices. Will this surface? Furthermore, when is it required that such satellite offices should be fully operational? It is expected that all offices should be operational at the time when the bid is submitted and should have a lead attorney for each jurisdiction 76. One of our directors will, at the closing date and time for the bid, have six years and more than 11 months, post admission experience in the Civil Litigation (Personal Injury law) 16

17 Such director will by 28 February 2019 have more than 7 years post admission experience in Civil Litigation (Personal Injury Law) All the other directors have more than 7 years post admission experience. How will this effect our scoring? The scoring will be done as set out in on page One of our directors will, at the closing date and time for the bid have 11 years and more than 10 months post admission experience in Civil Litigation (Personal Injury Law) By 20 March 2019, such a director will have more than 12 years post admission experience in Civil Litigation (Personal Injury Law) How will this affect our scoring, if at all? The scoring will be done as set out in on page With reference to the proposed Service Legal Agreement and specifically paragraph 1, 2 on page 75 thereof, we wish to seek clarity as the tariff of fees applicable in respect of Regional Court Litigation. The tariff as set out in the rules of Court as applicable to Regional Court litigation will apply. 79. Are we required to draft a consent for criminal and credit checks in respect of our employees to attach to our tender? This is not a bid requirement indeed, but will be applicable to successful bidders contracted with the RAF. It s not a returnable documents for purpose of the bid submission at this point. 80. Please confirm that we need only submit Right of Appearance in respect of Lead Attorneys and Associates, or do we have to provide for Candidate Attorneys as well? Only the Lead Attorney 81. Do we need a Good Standing Certificate for all attorneys or only the lead attorneys and directors? Directors and Lead Attorney 82. Do we need Fidelity Fund Certificates for all attorneys or only the lead attorneys and directors? FFC only applies to Directors 17

18 83. If the lead attorney is a director too, should we submit her/his CV twice? You only have to submit once, but be clear about the fact that the director and lead attorney is the same person 84. In cases where we have addendums to the tender document (insufficient space to complete information), do we slot it in and mark the page, for example annexure 1 or do we put it in the back of the tender? The addendum may be placed at the point where the question is raised or as an annexure clearly marked as such. 85. If our offices are in Port Elizabeth which technically falls in the jurisdiction of GHT: Can we apply for the GHT panel Will RAF pay the correspondent fees You may apply for GHT. Where an attorney on the panel is situated in GHT, such attorney must be used as correspondent, and only as a post box in order to limit correspondent fees. 86. Can the director in charge, be the director in charge for all three branches? 87. Will we get notification of the site inspection? 88. Who do we contact to get our vendor number for RAF? If you are not already a vendor, you will be contacted by the RAF post award in order to register. 89. When providing our Organisational Structure, can it be for the entire company (entire staff complement) or should we only provide organisational structure for that branch?
