7 Stock Option Plan Accordingly, shareholders are asked to consider and approve the following resolution: NOW THEREFORE BE IT RESOLVED THAT: 1. The Corporation be and it is hereby authorized to amend Section 4.3 of the Corporation s Stock Option Plan (the Plan ) to replace 3,607,495 common shares that have been exercised upon the exercise of previously granted options and increase the number of common shares which are available for issuance under the Plan by 904,000 common shares so that the aggregate number of common shares available for issuance under the Plan shall be 7,000,000 by deleting the reference to 6,096,000 and substituting therefore 7,000,000 ; 2. The Corporation be and is hereby authorized to extend the term for which options may be granted under the Plan from seven years to ten years by replacing the word seven with the word ten in Section 4.6 of the Plan; 3. The Corporation be and is hereby authorized to remove the ability to grant options to Directors by removing the reference to Directors in Section 3.1 (a) and 4.1 by deleting the following words directors, the directors and, to such directors of the Corporation and its Affiliates and respectively; 4. The Corporation be and is hereby authorized to further restrict the ability of the Board of Directors of Toromont to reduce the option price or extend the term of an option granted under the Plan by deleting the words benefiting an insider in Section 10.2(c) of the Plan; and, 5. Any director or officer of the Corporation be and is hereby authorized and directed, for an in the name of and on behalf of the Corporation, to execute and deliver, whether under the corporate seal of the Corporation or otherwise, all such documents, and to all such acts or things, as in the option of such director or officer maybe necessary or desirable to implement this resolution. 7
