3 HISTORY AND BUSINESS Jolloco Explorations Limited (hereinafter called "the Company") was Incorporated pursuant to The Corporations Act, Ontario, "by Letters Patent dated 29th May, Its head office is Suite 209, 18 Bay Street, Toronto, Ontario. By agreement dated 19th June, 1969, between the Company and Graham Hallburton Duff (hereinafter called "the Vendor"), l? Ridgegate Crescent, Toronto 18, Ontario, the Company agreed to purchase from the Vendor eighteen (18) unpatented mining claims situate in Mongowin Township, District of Sudbury, Ontario. The consideration is the allotment and issue to the Vendor, within three (3) days after the date the Ontario Securities Commission gives its final receipt for the filing of this Prospectus, of 70,000 fully paid and non-assessable shares in the capital stock of the Company, of which 7,000: shall be issued free of escrow and 67,000 shares shall be deposited in escrow with the Registrar and Transfer Agent of the Company, subject to release therefrom pro rata to the parties entitled thereto upon the consents of the majority of the directors of the Company and the Ontario Securities Commission.. The cost to the Vendor of arranging a grubstake for the claims was ^2, [ l -- The signatories hereto have no knowledge of anyone, other than Graham Haliburton Duff, being entitled to receive more than ft of the aforesaid vendor consideration. Mongowin Township Claims The eighteen (l8) unpatented claims referred to above are located in Mongowin Township, Sudbury Mining Division, and are numbered S to S inclusive. The property is situate on the north shore of Lake Huron and is readily accessible by a paved highway that runs south from the Town of Espanola, which is seven miles to the north. I Following is a summary of a report of G. E. Moody, P.Eng., dated 1th July, 1969, which report is available for inspection in the files of the Ontario Securities Commission. Mainly precambrian sedimentary rocks underlie the claims. The predominate rock types are quartzite and pelite tentatively correlated with the Bruce and Cobalt group of rocks. Nickeliferous pyrrhotite and chalcopyrite occur in the Wallace Mine site. Based on the available geological information, three segments of the property are considered to be favourable for the location of mineralization. RecommeudatiODS 1. The original Wallace discovery area, where a small northwest trending basic dyke has been mapped. 2. The northeast trending Quarry Fault that goes through the center of the property, and 3. The southwest corner of the property where two other northwest trending dykes have been oapped. It is recommended that a detailed electro magnetic,survey be done of the favourable zones above to de-limit conductive or anomalous zones. Further that geological mapping, magnetometer and geiger counter surveys of the property be carried out. The estimated cost of the above exploration is aa follows:

' There is no surface or underground plant or equipment on the claims and no work has been done on them by the present management. ^A' ' USE OF PROCEEDS K- The net iroceed.s to be received by the Company from the sale of the under written shares is $1, There is no assurance that any of the 19*000 shares under option (see heading "PLAN OF DISTRIBUTION") will be purchased. If all such optioned shares are purchased the Company will receive an additional $3^^ The net proceeds will be used to pay the costs of this offering and of the incorporation and organization of the Company, together estimated at a total of approximately $looo.oo, and in implementing the exploration recommendations of Paul Piazza relating to the Mongowin Township claims (see heading "HISTORY AND BUSINESS"). Excess moneys will form part of the general working capital of the Company to be used for general administrative and operating expenses. While the Company has no plans in this regard at the present time, moneys in its treasury, as available, may also be used to defer programs to acquire, stake, explore and develop other properties either alone or in concert with others and to generally carry out exploration programs as opportunity and finances permit. No moneys will be expended on any new properties acquired without an amendment to this Prospectus being accepted for filing if the securities of the Company are then in the course of primary distribution to the public. No moneys will be advanced to other companies, except to the extent necessary to enable the Company to implement the foregoing proposed uses. Any moneys subscribed in excess of the Company's Immediate requirements for the purposes aforesaid will be held by the Company in banks or interest bearing securities or other securities permitted by the laws of Canada for investment by life insurance companies.
