2 INTRODUCTION PURPOSE The Retirement Board of the Policemen s Annuity and Benefit Fund of the City of Chicago ( Fund, Plan, Chicago PABF ) seeks to identify outside counsel qualified to provide legal services in the following subject areas: fiduciary counsel assisting the Board in its defined benefit administration which is subject to Illinois State Statutes Pensions Chapter 40, Sections 1 and 5, Administrative Review Law (ARL), QILDRO law as well as disability benefit administration. More specifically at this time, the Board is identifying firms that have institutional law experience reviewing various investment related topics such as Alternative Asset Portfolios, Equities and Fixed Income Portfolios, and its operations, and can counsel to the Retirement Board Trustees and Staff regarding such matters. The RFI process is for the Fund s benefit and is intended to provide the Fund with competitive information to assist in the evaluation of institutional firms. Each firm is responsible for determining all factors necessary for submission of a comprehensive proposal. s become the property of the Fund and these and any late submissions will not be returned. Your answers will be open to the public under the Illinois Freedom of Information Act (FOIA) (5 ILCS 140) and other applicable laws and rules, unless you request in your Proposal that we treat certain information as exempt. This for Information (RFI) is for planning purposes only and should not be construed as a solicitation or as an obligation on the part of the Policemen s Annuity and Benefit Fund of the City of Chicago. Counsel may make an application for more than one of the areas of service requested below (see questions 8. to 16.), and Chicago PABF will consider separate engagements based on demonstrated qualifications by subject matter area or firm specialization. However, with regard to investment matters, preference will be given to firms with expertise and qualifications in all of the subject matter areas listed below (see questions 8. to 16.). s must be provided in electronic format only by August 26 th,

3 BASIC REQUIREMENTS To be considered for evaluation the firm must meet all of the following minimum requirements * as well as all the provisions highlighted in RFPs/Searches under the Investments section of the Chicago PABF website (.chipabf.org): Yes/No The Responder agrees not to make any claims for or have a right to damages because of any misrepresentations or misunderstanding of the specifications or 1. because of any lack of information. The Responder must have verifiable experience in providing Fiduciary & Governance Review and Evaluation for public defined benefit pension systems with at least $1.0B in assets, preferably with State of Illinois public employee defined benefit plans. The individual assigned to the Fund as lead attorney must possess previous experience with at least one public defined benefit pension system with at least $1.0B in assets. The term lead attorney shall refer to the lead, most senior consultant assigned to legal services to the Plan. 4. The Responder warrants that all information provided by it in connection with this request for information is true and accurate. 5. No possible conflict of interest between the Fund and the contracting firm, subsidiaries or affiliates. 6. Compliance with all U.S. and Illinois laws and statutes. 7. 12 BRIEF ESSAY QUESTIONS * Expertise in alternative assets, including private equity funds, hedge funds, and real estate funds, primarily through private placements. Expertise in 1) providing legal due diligence on investment managers and service providers and discuss their organization and structure, 2) evaluating the material or significant terms of an investment, 3) recommending issues to be addressed in side letter agreements, draft, 4) review and comment on, and negotiate the terms of each fund's constituent documents and side letter agreements directly with fund representatives on behalf of Chicago PABF, and 5) assisting with preparation of the subscription documents and closing matters. Expertise in commercial real estate investment vehicles and entities, financing arrangements, securitization, REITs, and general commercial real estate law incidental to private real estate fund investments. Expertise in presenting litigation analysis and recommendations in particular cases and to provide information and advice to Chicago PABF management and the Board. Expertise in provide specialized legal advice about compliance with fiduciary responsibilities. For example, in providing requested opinions on ethical and conflict of interest questions with respect to system fiduciaries, in reviewing investment policies and procedures as requested, review proposed changes, and submit comments and recommendations to staff and Board, and providing advice on potential liabilities of trustees and other Chicago PABF fiduciaries. Expertise in state procurement law, state-agency contracting for general goods and services, consulting services, professional services, building construction, automated information systems (hardware, software, disaster recovery, consulting, and systems development) * Prospective counsels are strongly encouraged to be as brief as possible in their responses. Responses should be narrowly focused on firm and attorney competency, qualifications, and experience in substantially similar client matters for similar clients. 12
