40th Annual Meeting April 12, 2017

Chairwoman s Report 2016: Oh, what a year it was! Our focus in the first half of the year was on completing our renaming, rebranding process and reintroducing ourselves as Ardent Credit Union! We ve been telling our members our story and demonstrating to them how grit makes great through our stellar products and services. As a result of our efforts, our members have come to appreciate our new brand. Our fivecounty footprint is a testament to our engagement with the communities we serve, and thanks to the entire Ardent family, from the CEO down, the transition has been a success. The second half of the year was no less exciting. Our partnership with Meridian Link elevated our online application process to a higher level of speed and efficiency for membership and lending applications. Of course, ebanking continues to grow as well, with members empowering themselves and taking control of their accounts online and on their smartphones. Speaking of smartphones, Ardent Mobile Wallet s tap-and-pay functionality gives members a custom-fitted combination of smarter technology, faster service, and a secure way to pay with the touch of a finger. 2017: Maintaining our focus on goals we ve set The opening of our flagship branch in Oaks is a game changer for us, another clear step toward expanding our membership and growth in the five-county region. From the look and feel, to the expanded hours and drive-thru, our new branch was designed with our members in mind, and it shows! We ve also added some very exciting free checking account offerings Kasasa Cash and Kasasa Cash Back. These accounts reward members with cash back or higher interest on their checking accounts, just for doing the things many already do, like enrolling in estatements and using their check cards to make purchases. Our new ClickSWITCH takes the hassle out of moving accounts, and our Bank-in-the-Box this summer will showcase revolutionary branching. Throughout the remainder of the year, will shall continue to maintain our focus on enhancing the member experience even more, while finding ways to keep up with the everchanging landscape in technology and banking. Ardent will remain current, relevant, disruptive, and its entire staff, as forward-thinking and engaged as ever all for the financial health of the credit union and its members. Gloria Wilson Chairwoman of the Board

Treasurer s Report As the Treasurer of Ardent Credit Union, I closely monitor the financial decisions made throughout the year on behalf of the credit union s membership. I am pleased to report that the financial performance of Ardent remained strong in 2016, with growth in loans, shares, and total assets, and we ended the year in a strong capital position. Net loans to members grew by more than 12% in 2016 to $401.1 million, while total assets increased by nearly 4% to $631.4 million. Member share balances were up almost 5% to $536.7 million. After taking steps to bolster our allowance for loan losses in 2016, Ardent reported net income of more than $2.2 million for the full year. The net worth of Ardent increased to $67.6 million for the period ended December 31, 2016, up from $65.4 million at the end of the previous year. Our net worth ratio is 10.7%, well above the 7.0% required to be considered wellcapitalized by the National Credit Union Administration (NCUA). While interest rates remain relatively low, we re hopeful that an improved economy and lower unemployment should help both your credit union and our members. We remain positive on the outlook for Ardent. The board and management team of Ardent are committed to building lasting relationships that will sustain the long-term value of membership. Audrey Klijian Treasurer

Supervisory Committee Report Ardent Credit Union s Supervisory Committee ensures that your credit union is managed in accordance with the rules and regulations of the National Credit Union Administration (NCUA) and the policies established by Ardent Board of Directors. The Committee directs that an audit of the credit union s financial statements is performed each year and is also available to review appeals made by members who may have been denied a loan or who may have had their account privileges revoked. The policies and procedures of the credit union, its board governance, and the established internal control framework are designed to safeguard the assets of Ardent and comply with relevant laws and regulations. The Committee has engaged Accume Partners to perform certain internal audit functions, including a thorough risk assessment. The Committee recently reviewed an updated risk assessment to guide the internal audit program for Accume submits its quarterly audit results to the Committee, with all observations and recommendations documented and monitored for completion by the credit union s compliance officer. The Committee engaged Doeren Mayhew CPAs and Advisors, a certified public accounting firm, to conduct an audit of Ardent Credit Union s 2016 Financial Statements. The results of these audits satisfy this Committee that the assets of Ardent are properly safeguarded, its general operations are within the scope defined by law and policy, and that the financial statements, as reported by your treasurer, are a complete and fair representation of the credit union s financial position. We are pleased that the management of your credit union and the Board of Directors are engaged and support the activities of this Committee. We look forward to continue our work in 2017 and wish to thank the Ardent Board of Directors, management, and staff for their collaboration throughout the year. Cecilia Silva-Pizarro Interim Supervisory Committee Chair

CEO Report A year of milestones and commitment to the membership Your credit union had a very exciting year in 2016, with several major accomplishments, including new products, new technologies, a new charter, and a new name! One thing, however, remains unchanged: our focus on the membership. The right balance of products and services makes banking with Ardent an even more amazing member experience. In 2016, a new, online application was launched to allow you to bank on your time. As we enter 2017, we are already positioned to improve this solution and make it even more user-friendly on a smartphone. And while great technology is very important, we also recognized the need to be more convenient with our physical locations. In June, we held our groundbreaking at your new branch in Oaks, PA. We selected this location due to the number of members located in close proximity to the branch and to the GSK facility in Upper Providence. We also launched our new brand and new name to the membership this year. The name Ardent and the tagline Grit makes great, both represent the passion, drive, and shared vision to succeed that we have with our members. This year, the credit union industry took notice of our initiatives and recognized Ardent with numerous awards, including Best Credit Union to Work for by CU Journal, Healthiest Company to Work For from SmartCEO, and several national service awards through MemberView. We also hit some important milestones in 2016, having reached more than $400 million in loans for the first time, while maintaining a strong capital ratio in excess of 10% of assets. We are constantly looking for opportunities to advance our technologies, products, and services for our members and opened our inhouse garage or think tank during the second half of the year to solicit ideas from the entire team. We believe the best ideas come from the people closest to the members. We have since instituted several of the ideas, including lower minimums on CDs, checking accounts that either pay a high rate of interest or offers cash back, and added an online concierge switch service to move direct deposits and other electronic payments over to your Ardent account. With the forward-thinking ideas from our staff, look for many more great ideas and solutions being implemented in We also believe it is important for Ardent to be out in the marketplace nurturing relationships with our business partners, attending community events, and conducting seminars focused on financial wellness with more than 200 events completed this year. We will be hosting an ongoing series of fun seminars at our Oaks branch that will be open to the public. This is a tremendously exciting time at your credit union, and the accomplishments would not be possible without the amazing dedication of our entire team. I thank all of them for their dedication to our mission of unequaled service to members. I would like to also thank the Board of Directors and Volunteers for their leadership and shared vision of all that is possible at Ardent. And finally, to all of you, our members, who we come to work for every day and who have supported the growth and direction of Ardent, we thank you. As we celebrate our 40 th year in 2017, we will continue to look for ways to better serve all of you. Rob Werner President / CEO Empowering people and strengthening communities, one member at a time.
