4 MANULIFE 1 GENERAL INFORMATION 1.1 THE TRUST The Fund commenced operations on 24 November 2016 and will continue its operations until terminated as provided under Clause 25 of the Deed. Note: For fund performance purposes, the commencement date of the RM-Hedged Class was 9 December 2016 (when the first subscription was made) while the USD Class was 16 February 20 (when the first subscription was made). 1.2 FUND TYPE / CATEGORY Growth / Wholesale (feeder fund) 1.3 OBJECTIVE OF THE FUND The Fund seeks to achieve capital appreciation over the medium- to long-term period. 1.4 DISTRIBUTION POLICY Distribution of income, if any, is incidental 1.5 PERFORMANCE BENCHMARK MSCI Zhong Hua Index Note: Risk profile of the Fund is not the same as risk profile of the benchmark. 1.6 INVESTMENT STYLE AND STRATEGY The Fund will invest at least 95% of the Fund s NAV in the Target Fund, while 2%-5% of the Fund s NAV will be invested in money market instruments and placement of deposits with financial institutions for liquidity purposes. The Fund s portfolio will be closely monitored and rebalanced from time to time to ensure that the Fund s asset is allocated in accordance with its asset allocation. If the Manager is of the opinion that the Target Fund no longer meets the Fund s objective, the Manager will act in the interest of the unit holders, to seek trustee s consultation and subject to the unit holders approval, to replace the Target Fund with another collective investment scheme of a similar objective. During the financial period under review, there have been no significant change in the state of the affairs of the Fund and there have been no circumstances that materially affect any interest of the unit holders. 1
5 2 MANAGER S REPORT 2.1 FUND PERFORMANCE For the financial quarter ended 30 September 20, the Target Fund s return was 15.78%, which outperformed the benchmark return of 12.% (both in USD terms). Strong stock selection in several sectors contributed positively to the portfolio performance, such as information technology, healthcare and materials. On the other hand, the positive performance was partly offset by stock selection in the consumer staples and real estate sectors. The Feeder Fund s return increased in tandem with a gain of 14.77% for its RM-Hedged class compared with its benchmark USD return of 12.% in the financial quarter ended 30 September 20. The Feeder Fund s USD Class was also up by 14.43% during the period. 8 BASES OF CALCULATION 1. Net Asset Value (NAV) Net Asset Value of the Fund is determined by deducting the value of all the Fund s liabilities from the value of all the Fund s assets, at the valuation point. 2. Net Asset Value per unit Net Asset Value per unit is the net asset value of the Fund divided by the total number of units in circulation, at the valuation point. 3. Fund s Return Fund s return can be calculated based on the computation methods as follows: Daily Total Fund s Return = {[End NAV (Ex-distribution) - Beginning NAV + Dividend Distribution] / Beginning NAV} x 100% Total Fund s Return Average Total Return = Total Fund s return for the period is derived from geometrically linking together the daily total fund s returns. The linking formula is = [(1+ R 1 ) x (1+ R 2 ) x (1+ R n )] -1 where: R 1 is the first daily return for the period, R 2 is the second daily return for the period, and R n is the last daily return for the period. = Annualised Total Return (Actual number of days in a year/ [(1+ Total fund s return for the period) number of days during the period) -1] x 100% 2.2 MARKET REVIEW The Hong Kong and Chinese equity markets recorded solid performance in the third quarter, with the MSCI Zhong Hua Index posting a strong return in US dollar terms. This return was mainly attributed to the strong performance in China, which emerged as the best-performing market in Asia following good second-quarter corporate earnings results and resilient economic activity. The Hong Kong and Chinese equity markets have also been supported by strong liquidity via Stock Connect flows. There have been US$78 billion cumulative inflows via the southbound channel since the Stock Connect program was launched. Earnings results in the first half of 20 for Chinese listed firms were very positive, registering 22% year-on-year growth. There have been continuous upward revisions in corporate earnings with 20 earnings-per-share (EPS) growth estimated at 18% as at 8 September 20, which was significantly higher than the EPS growth estimate of 11% made in early January. On the macro front, China s economic activity in July proved resilient based on a broad range of indicators. Official Purchasing Managers Index (PMI) continued its uptrend, improving to 52.4 in September. This was the highest reading since April 2012, pointing to a strong rebound in domestic demand. In addition, manufacturing output has remained strong and stable in the recent months. 2.3 PORTFOLIO PERFORMANCE REVIEW Strong stock selection in several sectors contributed positively to the portfolio performance, particularly in information technology, healthcare and materials. The top contributor was China s third largest social platform operator, lifted by an increasing number of active users which led to well-targeted marketing. Within the healthcare sector, a biopharmaceutical company specialising in oncology drugs benefited from its unique position in developing a drug which has shown promising results in preclinical studies that could be applied to many cancer types. On the other hand, the Target Fund s positive performance was partly offset by stock selection in the consumer staples and real estate sectors. Within the consumer staples sector, a wellestablished and market-leading tissue paper manufacturer was hit by intense competition and cost pressure due to rising pulp paper prices. As the industry goes through a consolidation, the portfolio managers believe market leaders like this company could stand to benefit in the long run. 5
9 2.4 MARKET OUTLOOK AND INVESTMENT STRATEGY The portfolio managers remain constructive on China and Hong Kong equities. Despite the strong year-to-date rally, they believe the markets are supported by sound corporate fundamentals as reflected in the solid first half of 20 earnings results and continued upward earnings revision. In addition, valuations remain reasonable and not overvalued, relative to historical standards and other developed markets. Looking ahead, the portfolio managers believe the Chinese government s policy direction will likely remain largely unchanged, with efforts to deleverage and cut capacity set to continue. They expect existing policies of deleveraging the off-balance sheet financing and the cooling measures for housing market to carry on. That said, they believe any excessive slowdown should be limited due to the government s support in the infrastructure and industrial sectors. With the government striving to sustain gross domestic product (GDP) growth of at least 6.5% year-on-year, their investment focus will be on identifying companies that could benefit from two themes: (a) quality of economic growth; and (b) the transformation of the economy to be more domestic consumption-oriented. 6

15 8 NOTES TO THE FINANCIAL STATEMENTS FOR THE THREE MONTHS FINANCIAL PERIOD ENDED 30 SEPTEMBER 20 1 INFORMATION ON THE FUND Manulife Dragon Growth Fund ( the Fund ) was established pursuant to a Principal Deed dated 5 October 2016 (hereinafter referred to as the Deed ) between Manulife Asset Management Services Berhad ( the Manager ) and HSBC (Malaysia) Trustee Berhad ( the Trustee ). The principal activity of the Fund is to invest in Investments as defined under Clause of the Deed, which includes one collective investment scheme having a similar objective, deposits and money market instruments, financial derivative instruments including but not limited to options, futures contracts, forward contracts and swaps for hedging purposes, and any other form of investments as may be determined by the Management Company from time to time that is in line with the Fund s objectives. The Fund commenced operations on 24 November 2016 and will continue its operations until terminated as provided under Clause 25 of the Deed. The main objective of the Fund is to achieve capital appreciation over medium- to long-term period by investing in the Target Fund (MGF-DGF). The Target Fund aims to achieve capital growth by investing in a diversified portfolio of public companies which are listed on the Stock Exchange of Hong Kong Limited ( SEHK ) and/or the Growth Enterprise Market of The Stock Exchange of Hong Kong Limited ( GEM ) and/or, although not incorporated or listed on either stock exchange in Hong Kong, are incorporated or listed on a stock exchange in any other jurisdiction and have substantial business interests in Hong Kong and/or derive a substantial portion of their revenue from their businesses carried in Hong Kong. The Target Fund may invest directly in certain China A-Shares listed on the Shanghai Stock Exchange ( SSE ) via Shanghai-Hong Kong Stock Connect. In any event where the Target Fund invests in China A-Shares, it is expected that the Fund will not hold more than 30% of its total net asset value in such shares. A proportion of the Target Fund may also be invested in equity warrants and convertible bonds issued by, or in respect of its target companies. The Manager of the Fund, a company incorporated in Malaysia, is a wholly-owned subsidiary of Manulife Holdings Berhad, a public limited liability company, incorporated and domiciled in Malaysia, and listed on the main market of Bursa Malaysia. Its principal activities are the management of unit trusts, private retirement schemes, fund management activities and financial planning. The financial statements were authorised for issue by the Board of Directors of the Manager in accordance with a resolution of the Directors on 22 November NET ASSETS ATTRIBUTABLE TO UNITHOLDERS The net assets attributable to unit holders meet the definition of puttable instruments classified as equity instruments under the revised MFRS 132 Financial Instruments: Presentation. The units in the Fund are puttable instruments which entitle the unit holders to a pro-rata share of the net assets of the Fund. The units are subordinated and have identical features. There is no contractual obligation to deliver cash or another financial asset other than the obligation on the Fund to repurchase the units. The total expected cash flows from the units in the Fund over the life of the units are based on the change in the net assets of the Fund. 12
16 3 MANAGER'S FEE In accordance with the Deed, the Manager is entitled to Manager s fee at a rate of 1.80% per annum of the net asset value of the Fund before deducting Trustee s fee and Manager s fee for the day, calculated on a daily basis. The management fee paid to the Manager is net of rebate. Rebate is recognised at a rate of 1.75% per annum on the collective investment scheme's fair value over the number of dealing days, calculated and accrued daily. There will be no further liability to the Manager in respect of Manager s fee other than the amount recognised in the statement of comprehensive income on the above basis. 4 TRUSTEE'S FEE In accordance with the Deed, the Trustee is entitled to a fee of 0.04% per annum of the net asset value of the Fund before deducting Trustee s fee and Manager s fee for the day, calculated on a daily basis.
